Under no circumstances shall the Contractor, or anyone acting on behalf of the Contractor, refer to the supplies, services, or equipment furnished pursuant to the provisions of this contract in any news release or commercial advertising without first obtaining explicit written consent to do so from the Contracting Officer. The Contractor agrees not to refer to awards in commercial advertising in such a manner as to state or imply that the product or service provided is endorsed or preferred by the Federal Government or is considered by the Government to be superior to other products or services.

H.2 ORDERING PROCEDURES

(a) GENERAL

One or more task orders may be issued during the performance period of this contract. The

Contractor agrees to accept and perform orders issued by the Contracting Officer within the scope of this contract. It is understood and agreed that the Government has no obligation to issue any orders except the guaranteed minimum order. In the event of any inconsistency between any order and the contract, the contract shall control. All task orders incorporate all terms of the contract unless otherwise specified in the awarded task order.

(b) AVAILABILITY PERIOD TASK ORDER ISSUANCE PROCEDURE

The Contracting Officer intends to potentially issue a task order annually prior to the ship’s availability period. Each task order will notionally have CLINs ordered based on the Contractor’s schedule incorporated from its proposal. The Government reserves the right to change from the

Contractor’s proposed schedule prior to task order issuance if Government requirements change.

The task order issued will include the award fee as described in clause H-3.

The Contracting Officer will set the availability end date / scheduled award fee date for the period of performance for each Task Order considering all the information from the preliminary schedule and Government requirements at the time of Task Order award.

H.3 Contract Level Award Fee Plan

(a) General

1. Definitions:

a. Work Item (WI) – a specific and distinct block of work to be completed; correlates to a single CLIN; can be categorized as SLEP, Maintenance, or Voyage Repair.

b. Annual Task Order – contains all Work Items to be completed in an Annual Availability

Period.

c. Availability Period – interval of time where the Contractor is able to work on the vessel;

commences with Availability Start and concludes with the Availability End Date.

d. Availability Start – when the Coast Guard turns over the vessel to the Contractor shipyard thus allowing work to commence, and is set at the Task Order level.

e. Availability End Date – the award fee scheduled date to be “on time;” concludes at midnight local time. The date is set at the Task Order level.

2. Each task order will contain a set of work items. To calculate the maximum award fee amount for a task order, add up the award fee value (AFV) for any of the work items ordered from the table found in

(c)5 below. For example, assume a task order includes work items 74 – 80; the sum of those AFVs is

$1,710,800.

3. Any award fee portion not earned, will not roll over or be available for any subsequent period, event or milestone.

(b) Purpose

This award fee plan sets forth specific criteria and procedures to be used to evaluate Contractor performance under contract 70Z02320DAPS00200 for the POLAR STAR Service Life Extension

Program (SLEP) and to determine the amount of award fee earned during the performance of this contract’s Task Orders. The government may modify this award fee plan through unilateral modification at any time.

(c) EVALUATION PERIODS

Task Orders, which order Contract Line Items (CLINs) associated with the award fee pool as described in

Section 5.1, will establish an award fee evaluation period. The evaluation periods established and identified in the award fee plan for each of the contract’s Task Orders in the table below. The specific dates of the evaluation period are set at the Task Order level.

Task Order Evaluation Period

Start Date Finish Date Weight

Task Order Award

Period of

Performance

See Section 5

(e) EVALUATION PROCEDURES

A determination of the award fee amount earned will be made by the Fee Determining Official at the end of each evaluation period.

The evaluation factor identified as Criterion 1: Availability Incentive in Section 6 of this award fee plan will be used to evaluate the Contractor’s performance in regards to receiving the award fee.

a. The Contractor will be apprised by the Contracting Officer of a general assessment of its performance on a bimonthly schedule.

b. No later than 7 days after the conclusion of each evaluation period, the Contractor may submit a self-evaluation report to the Contracting Officer.

c. The KO will provide the Award Fee Determination to the contractor within 21 days after the end of the evaluation period.

(d) AWARD FEE PROCESS

5.1 Total Available Award Fee

The Award Fee Pool is $5,200,000 and is the maximum discretionary fee the Government may award to the Contractor based on the Contractor’s performance. The total award fee value for each

Task Order will be determined in each Task Order depending on which Contract Line Item

Numbers (CLINs) associated with the award fee pool are incorporated into the applicable Task

Order. The only CLINs associated with the award fee pool at the Indefinite-Delivery Indefinite-

Quantity contract level are the CLINs associated with the Service Life Extension Program work items. All Service Life Extension Program (SLEP) work item CLINs will be funded only by

Procurement, Construction and Improvements (PC&I) funds. Award fee may only be earned if

SLEP CLINs are ordered in the Task Orders. Therefore, the available award fee obligated on each

Task Order shall also be PC&I funded.

The award fee monetary value for each evaluation period will be determined as follows:

1. Select SLEP Work Item (WI) CLINs from the contract will be assigned an Award Fee value as outlined in the Award Fee Value table below.

2. For each Task Order, the maximum award fee available shall be the sum of the ordered CLINs’ award fee values from the Award Fee Value Table below.

3. In the event of a contract modification that adds or removes a Work Item that has an associated award fee value incorporated into the subject Task Order, the maximum available award fee shall be increased or decreased by the associated Award Fee Value Table dollar amount.

4. A maximum of 100% of the total award fee pool per Task Order can be earned under Criterion 1-

Availability Incentive.

5. The final amount of the award fee due to the Contractor shall be completed in accordance with

Section 4 of this document and the contract’s HSAR Clauses 3052.216-71, -72 and -73.

(e) PERFORMANCE CRITERIA, WEIGHTS AND STANDARDS

Criterion 1- Availability Incentive (100% of Overall Award Fee Pool)

This criterion evaluates the ability of the Contractor to make the ship available ahead of schedule as defined in this section.

The Contractor must complete all of the task order work items such that the USCG Cutter Polar Star is fully prepared to get underway. One hundred percent (100%) of all work items awarded under the Task

Order must be successfully installed, tested, and accepted by the Government prior to the availability end date in accordance with the Criterion 1 Ratings table. For the purposes of earning the award fee associated with Criterion 1 Availability Incentive, a completed work item is considered to have been accepted upon the cognizant Government representative’s signature on the Conditions Found Report (CFR).

Additionally, any and all post availability end requirements must be completed and accepted by the

Government per the timeline set forth in the applicable task order.

Criterion 1 Ratings

(f) OVERALL AWARD FEE RATINGS AND AWARD FEE EARNING

The overall percentage of the award fee earned by the contractor is based on the weighted evaluation of criteria 1 for each evaluation period. An overall rating will be assigned for each period using the table below IAW FAR 16.401 (e) (3) (iv). Any unearned award fee amounts for each evaluation period are considered lost and will not be available in future evaluation periods.
