About this file
This is a Direct Bill Notice of Responsibilities for a pet insurance group program involving the Franklin County Board of Commissioners in Ohio and MetLife Pet Insurance Solutions LLC. Under the program effective December 1, 2024, eligible U.S.-based employees and retirees of Franklin County Board of Commissioners with eligible pets may apply for individual pet insurance policies at discounted rates. MetLife Pet will provide advertising and enrollment materials for distribution to employees, retain sole underwriting authority and the right to renew or issue policies according to applicable guidelines, and may offer policies from insurance carriers outside the MetLife family. The account agrees to facilitate ongoing communications from MetLife Pet, promptly report employee status changes affecting eligibility through eligibility files using agreed-upon formats and timing, provide thirty days' prior notice if engaging or switching third-party administrators, and refrain from offering or promoting competing pet health insurance products to employees without written notification to MetLife Pet.
The agreement establishes that Franklin County Board of Commissioners remains liable for any third-party administrator performance and assumes responsibility for all related payments and acts or omissions. The account must notify MetLife Pet within thirty days of terminating relationships with insurance agents or brokers, and must provide at least sixty days' advance written notice before engaging a new broker of record. MetLife Pet retains all ownership rights to MetLife marks and advertising materials regardless of customization. The program contains no specific pricing terms, set-asides, funding sources, or amounts detailed in this notice document, which primarily addresses the administrative responsibilities and obligations of both parties regarding enrollment management and non-compete restrictions.

MetLife Pet Group Direct Bill Notice of Responsibilities
Group Insurance Program (“Program”).
• Under the Program, as of the 1st day of December, 2024 (“Effective Date”), the U.S. based eligible employees and retirees (if applicable) who have U.S based eligible pets (“Employees”) of Franklin County
Board of Commissioners, an Ohio corporation (“Account”), will be able to apply for individual policies of pet insurance at discounted rates through MetLife Pet Insurance Solutions LLC, a Kentucky limited liability company (“MetLife Pet”). If agreed upon by Account and MetLife Pet, Account will provide MetLife
Pet eligibility files for Employees on the Effective Date and thereafter as agreed.
• MetLife Pet:
(a) will be solely responsible for deciding whether to issue or renew a policy under the relevant insurer’s underwriting guidelines and applicable law.
(b) reserves the right to offer pet insurance policies underwritten by insurance carriers outside of the MetLife family.
(c) will provide Account with advertising and enrollment materials for distribution to its Employees.
Customized materials must be pre-approved by MetLife Pet prior to use. Distribution of these materials is solely for the limited purpose to facilitate promotion of the MetLife Pet services and for no other purpose, and ownership of the MetLife Pet marks shall at all times remain vested with MetLife.
• Account agrees:
(a) to allow and facilitate ongoing communications promoting the Program by MetLife Pet to all Employees.
(b) if an “Eligibility File” is being sent, to promptly report to MetLife Pet changes in Employee status affecting eligibility via such Employee “Eligibility File”, with such data fields and according to the timing, method, and format as agreed to by the parties.
(c) if Account intends to use a third party administrator or any other third party (“TPA”) or if it currently uses a TPA and intends to switch the TPA, it will notify MetLife Pet of such intent with thirty (30) days prior notice.
(d) if Account uses a TPA in connection with its obligations, Account shall remain liable to MetLife Pet for the performance of the TPA. The TPA shall work under the control and direction of Account. Account shall be solely responsible for the payment, acts and/or omissions of the TPA. MetLife Pet shall have no liability with respect thereto. Account’s obligations under this subsection shall apply, without limitation, if MetLife Pet provides personal information of Employees directly to the TPA at the direction of Account.
(e) that during the term of this Agreement, it will not offer or promote to its Employees pet health insurance products that compete with those offered through the Program, without written notification to MetLife Pet of such. Account agrees that this is a material term of this Agreement.
(f) If Account is represented by an insurance agent or broker for purposes of the Program, MetLife Pet may enter into a separate agreement with such agent or broker pursuant to which MetLife Pet may pay commission. Account agrees to inform MetLife Pet within thirty (30) days of the termination of its relationship with such agent or broker. If Account terminates the broker of record status, Account agrees to give MetLife Pet at least 60 days’ advance written notice prior to giving a new broker or agent broker of record status.
