About this file
This document comprises the Terms and Conditions for Construction Services from the Town of Palm Beach, Florida's Invitation to Bid (ITB) process, applicable to the Seaview Park Landscaping maintenance and enhancement project. The Town seeks qualified contractors to maintain and enhance hedges of various heights and types located in common areas and adjacent to Town buildings at Seaview Park Recreation Center. A non-mandatory pre-bid meeting will be held virtually via Microsoft Teams, with the specific date and time listed in the solicitation events section. The contract will commence October 1, 2026, coinciding with the start of the Town's 2027 fiscal year, and will terminate September 30, 2027, with four optional one-year renewal periods available based on satisfactory performance and budget authorization. All bids must be submitted electronically through the Town's eProcurement platform (Bonfire), and pricing must remain valid for ninety days from the bid closing date. Award will be made to the lowest responsive and responsible bidder meeting all requirements and criteria.
The Terms and Conditions establish comprehensive requirements governing contractor performance, including mandatory compliance with federal, state, and local laws; submission of proof of insurance and bonding; adherence to OSHA standards; and maintenance of adequate quality control measures. Contractors must obtain all necessary licenses and permits, with permit fees waived by the Town, though business tax requirements remain the responsibility of the contractor. The document outlines detailed provisions for change orders, progress payments with ten percent retainage, liquidated damages, warranty obligations for one year following final completion, and indemnification protecting the Town from claims arising from contractor negligence or default. Progress payments are subject to satisfactory work completion and approval, invoiced monthly with net thirty-day payment terms via ACH or purchasing card. The Town reserves the right to terminate contracts for convenience or default, withhold payments for non-compliance, and pursue alternative suppliers if delivery requirements are not met or work quality is deficient.

c) Permit fees, sales or other similar taxes, and any increased costs of bond premiums or insurance premiums directly attributable to the work described in the Change Order.
d) Additional costs of field supervision and field office personnel, but only to the extent attributable to the change in the work described in the Change Order.
e) Payments made by the Contractor to subcontractors for the work of subcontractors encompassed in the Change Order. In the event the Contractor selected the subcontractor by other than competitive bidding, the Contractor must provide the Engineer with supporting documentation showing that the amount paid to subcontractor was reasonable and consistent with then applicable market conditions for the same or substantially similar work.
f) Contractor’s overhead and profit not to exceed an aggregate of _10_ percent on items A through D above.
g) Contractor’s overhead and profit on portions of the Change Order work performed by subcontractors (item F above) for which the aggregate percentage of overhead and profit shall be limited to _5_ percent.
h) All of the provisions hereto relating to Change Orders and Construction Directives are subject and subordinate to the provisions of this Contract regarding No Damages For Delay. b) The Engineer shall investigate the site conditions promptly after receiving the notice. If the conditions do materially differ, such that an increase or decrease in the Contractor’s cost of, or the time required for, performing any part of the work under this contract, whether or not changed as a result of the conditions, an equitable adjustment of the contract price shall be made by written Change Order.
c) No request by the Contractor for a Change Order under this clause shall be allowed, unless the Contractor has given the written notice required, provided that the time prescribed in (27) above for giving written notice may be extended by the Town.
