Fair Opportunity Proposal Request (FOPR) Instructions to Offerors/Basis of Award
1. Proposal Submission A. This is a competitive selection conducted in accordance with (IAW) Federal Acquisition
Regulation (FAR) Part 16.505(b)(1). Orders placed under FAR 16.505 IDIQ contracts are not source selections and are not subject to FAR 15.3 procedures. Accordingly, issuance of an order under this Fair Opportunity Proposal Request (FOPR), should an award be made, shall follow the ordering procedures outlined in FAR 16.505, as supplemented.
B. The proposal submitted in response to this FOPR must be in compliance with the terms and conditions of the Power Conditioning Continuation and Interfacing Equipment multiple award Indefinite-Delivery Indefinite-Quantity (IDIQ) contract, requirements as stated in the FOPR and attachments. All claimed capabilities to meet the requirements shall be realistic and are subject to verification by the Government. Non-conformance with these instructions may result in rejection of the proposal, an unfavorable proposal evaluation, or being deemed ineligible for award.
C. Offerors shall clearly identify any exception to the terms and conditions and shall provide complete supporting rationale. The Government reserves the right to determine any such exceptions are unacceptable. Any exception determined unacceptable by the Government may result in the Offeror’s proposal being determined unacceptable and ineligible for award. This information shall be provided in the format and content of the table below within the Offerors proposal cover letter. If no exceptions are taken, include a statement stating so within the proposal cover letter.

D. The proposal shall be clear, concise, and shall include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but, rather, shall provide convincing rationale to address how the Offeror intends to meet these requirements. Offerors shall assume that the Government has no prior knowledge of their facilities or experience and will base its evaluation on the information presented in the Offeror's proposal.
E. Discrepancies. If an Offeror believes the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror shall immediately notify the Contracting Officer (CO) in writing with supporting rationale as well as the remedies the Offeror is asking the CO to consider as related to the omission or error.
2. Basis of Award:
A. Award will be made in accordance with the basic contract ordering procedures, the procedures specified in the FOPR and on the basis of the lowest priced proposal meeting the acceptability standards for non-price factors. An order may be awarded to the contractor who is deemed responsible IAW FAR 9.1, as supplemented, whose proposal conforms to the FOPR’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by the FOPR instructions) and is judged, based on the evaluation factors and subfactors, to represent the technically acceptable proposal with the lowest complete and reasonable price.
B. The Government will evaluate the technical approach of the offers, and determine if the proposal is technically acceptable. If the lowest priced proposal is technically acceptable, that offer represents the best value for the Government. The award shall be made to that offeror.
C. The Government intends to make award based on the initial proposal submissions without conducting interchanges. Therefore, each offer should contain the Offeror’s best terms from a price and technical standpoint. However, the Government reserves the right to hold interchanges if, during the evaluation, it is determined to be in the best interest of the Government. Interchanges are fluid interaction(s) between the Contracting Officer (CO) and the contractors that may address any aspect of the proposal and may or may not be documented in real time. However, the Government reserves the right to conduct interchanges using Interchange Notices (IN). Offeror responses to INs will be considered in making the order selection decision. The Government may conduct Interchanges with one, some none, or all Offerors at its discretion, if determined to be part of the FOPR process.
3. Evaluation Factors
A. Responses to this FOPR will be evaluated against the following factors and subfactors:
Factor 1: Technical Proposal:
The technical proposal should be specific and complete. The offeror’s responses to the factors and elements listed in the below chart will be evaluated in accordance with the ‘Evaluation Criteria’ listed in this FOPR. The offeror shall provide a technical solution that addresses the requirements listed in the FOPR, addendum and site drawings and provides the actual methodology for accomplishing/satisfying the sub-factors and elements listed below.
Sub-Factor 1: UPS Equipment
Meets requirement for sizing of UPS equipment IAW load measurements and UPS equipment specifications, new technology advancements, etc.
Sub-Factor 2: Batteries, Capacitors, Ancillary Equipment Meets requirements for batteries, capacitors and ancillary equipment and considerations including but not limited to batteries, battery monitoring system (BMS), maintenance bypass, automatic transfer switch (ATS), hydrogen detection, transformer sizing, etc.
Sub-Factor 3: Other Equipment Meets requirements for other equipment considerations including but not limited to Shelters, HVAC system considerations and proper sizing of generator and compatibility with UPS system equipment.
Other equipment considerations as provided in the requirements listed in the site addendum.
Sub-Factor 4: Design Survey Report & Installation Plan (CDRL B002) Meets requirements for installation plan (TRD) including but not limited to addressing compatibility with new and existing equipment/infrastructure, duration of installation, number of power outages, performance and completion of schedule, illustrating a turn-key system installation, etc. as noted in elements below:
Element 1 – Site information -Introduction - Cover page with general information about site, location, bldg #, etc.
-Date of plan/design -Project Manager Information -Site POC information (all) complete -PCCIE POC information (all) complete -Contract information (all) complete
Element 2 - Survey/Design Summary -Purpose -Summary of existing equipment
-Observations to include existing facility modification requirements (eg spill containment, pads poured, sound wall, etc.
-Building characteristics (room #, etc.)
-Recommendations
Element 3 - Facility Data/Information -Load readings, room measurements, door widths, raised floors, etc.
- Metered Critical Loads -Charted by phases & KVA -Formulas & calculations
Element 4 - New Equipment Summary
- Bill of Materials and lead times for arrival at site, installation completion, etc.
- Warranty: warranty period explained and response times for warranty work Element 5 - New Installation Summary
-Inside Delivery -Set-up/Start-up (installation sequence of all equipment to include UPS, ancillary, other) -Sign-off
- Installation Scope of Work to include: Schedule (waterfall timeline), Details of work to be performed through mobilization, de-installation, demolition, work, disposal of batteries, UPS, punch list items and demobilization of site. Include desired installation date if specified by site
- Environmental Conditions, etc. (i.e. EPA, air quality regulations, such as in Colorado and California, seismic requirements such as in Alaska and California)
- Special Notes, Assumptions, Clarifications to include: Davis Bacon Act applicability, work done during regular duty hours, etc., escorts provided by site if necessary, IAW NFPA 70, NEC, UBC, etc. (all standards as applicable), free of asbestos verbiage, etc.
Sub-Factor 5: Electrical One-Line Drawings/Diagrams Meets requirement for one-line drawings, proposed system layout and floor drawing. Drawing shall correspond with proposed installation plan.

4. One-lines shall properly identify all equipment to include kVA ratings, Amperages, titles, etc.
5. Floor layout shall include room measurements to include equipment measurements, etc
6. Conduit & Cable (both power & control)
The following ratings will be utilized:
Factor 2: Price.
A. Price proposal should include all necessary detail and breakdown of pricing as outlined in this ITO and FOPR for evaluation of reasonableness. Information included should address all requirements listed in the ‘Evaluation Criteria’ of this FOPR. Price proposals will be evaluated by the contracting office independent of technical evaluations. Under no circumstances shall price information be included elsewhere in the proposal.
B. Price proposals should support the proposed technical approach and will be evaluated for (1) Total Evaluate Price, (2) completeness, (3) reasonableness, and (4) unbalanced pricing.
C. The TEP will be calculated as the sum of the CLINs, to include options, unit/extended prices, etc.
D. Completeness. The proposal will be reviewed to determine the extent to which all the price elements have been addressed. The contractor’s proposed price and other information will be

evaluated to ensure continuity and traceability of prices to the technical volume and between the initial proposal and any revisions thereto. The review will determine the adequacy of the contractor’s proposal in addressing and fulfilling the FOPR requirements.
E. Reasonableness. For a price to be reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The Government will determine prices fair and reasonable through the use of one or more of the price analysis techniques at FAR 15.404-1(b)(2).
F. Unbalanced pricing. Offerors are cautioned against submitting an offer that contains unbalanced pricing. Unbalanced pricing may increase performance risk and could result in payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one (1) or more contract line items is significantly over or understated. The Government shall analyze offers to determine whether they are unbalanced with respect to separately priced line items or sub-line items. An offer that is determined to be unbalanced may be rejected if the Contracting Officer determines that the lack of balance poses an unacceptable risk to the Government.
G. Offeror shall provide Basis of Estimate (BOE) within the Price proposal. The BOEs shall provide, in sufficient detail, the basis and rational used to derive the proposed labor and material costs for each of the CLINs associated with this effort. Ensure delineation and cost breakdown of all applicable items including but not limited to the following:
1. CLIN 0001 Engineering Design Services (A0004). Ensure proposed rate is in accordance with the allowable contract rate.
2. CLIN 0002 Static Uninterruptible Power Supplies Equipment & Freight, cards & software. Ensure proposed CLIN 0002 equipment is in accordance with the contract price list. If the best solution for a particular site involves equipment that is not on the contract price list, ensure rationale is included for selection of such equipment and provide the price evaluation team with other than cost or pricing data.
3. CLIN 0003 Ancillary Equipment, Batteries, Capacitors and Freight, HVAC, generators, ATS, EPO, PDU, BMS, panels, breakers, batteries, battery cabinets, battery racks etc.
Ensure any proposed markup is within allowable rate.
4. CLIN 0004 Equipment installation & Related Services and Travel – PRIME, to include materials to complete the project such as (installation/de-installation, removal of old, to include but not limited to wiring, conduit, trenching, forklift, crane, etc.), manuals, training, travel etc.
(A0004). Ensure proposed rates are in accordance with the allowable contract rates.
5. CLIN 0005 Equipment installation & Related Services and Travel – SUBCONTRACTOR, to include materials to complete the project such as (installation/de-installation, removal of old, to include but not limited to wiring, conduit, trenching, forklift, crane, etc.), manuals, training, travel etc.
