SECTION 01 26 00
CONTRACT MODIFICATION PROCEDURES
PART 1 GENERAL
1.01 PROPOSAL REQUESTS
A. DBO Contractor may, in anticipation of ordering an addition, deletion, or revision to the work, request Subcontractor to prepare a detailed proposal of cost and time to perform contemplated change.
B. Proposal request will include reference number for tracking purposes and detailed description of and reason for proposed change, and such additional information as appropriate and as may be required for Subcontractor to accurately estimate cost and time impact on Project.
C. Proposal request is for information only; Subcontractor is neither authorized to execute proposed change nor to stop Work in progress as result of such request.
D. Subcontractor’s written proposal shall be transmitted to DBO Contractor promptly, but not later than 14 days after Subcontractor’s receipt of DBO Contractor’s written request. Proposal shall remain firm for a maximum period of 90 days after receipt by DBO Contractor.
E. Subcontractor’s failure to submit such proposal within the required time period will not justify a claim for an adjustment in Contract Price or Contract Times (or Milestones).
1.02 SCHEDULE COORDINATION
A. The Work Breakdown Schedule (WBS) will be incorporated into the Project Schedule.
B. The Project Schedule will be in strict accordance, as defined in Section 01 32 00, Construction Progress Documentation. No changes, additions, or deletions will be allowed, unless approved by the DBO Contractor in accordance with Section 01 32 00, Construction Progress Documentation.
C. Changes, changed conditions, or project issues will all be submitted to the DBO Contractor for review and approval before acceptance to be added to the Project Schedule. All issues must be submitted in accordance with Section 01 32 00, Construction Progress Documentation.
01 26 00 - 2
1.03 INTENT OF DRAWINGS AND SPECIFICATIONS
A. The intent of the Drawings and Specifications is to prescribe the details for the construction and completion of the Work which the Subcontractor undertakes to perform in accordance with the terms of the Subcontract.
B. Where the Drawings or Specifications describe portions of the Work in general terms, but not in complete detail, it is understood that only the best general practice is to prevail and that only materials and workmanship of the first quality are to be used.
C. Unless otherwise specified, the Subcontractor shall furnish all labor, materials, tools, equipment and incidentals, and do all the Work involved in executing the Subcontract in a satisfactory and workmanlike manner.
1.04 CHANGES
A. The DBO Contractor reserves the right to make such alterations, deviations, additions to or deletions from the Drawings and Specifications, including the right to increase or decrease the quantity of any item or portion of the Work or to delete any item or portion of the Work, as may be deemed by the DBO Contractor to be necessary for the proper completion or construction.
B. Any such changes will be set forth in a Subcontract Change Order which will specify, in addition to the Work to be done in connection with the change made, adjustment of Subcontract Time, if any, and the basis of full compensation for such Work. A Subcontract Change Order will not become effective until approved by the DBO Contractor.
C. Upon receipt of an approved Subcontract Change Order, the Subcontractor shall proceed with the ordered Work.
D. If ordered in writing by the DBO Contractor, by letter of intent to perform extra Work, the Subcontractor shall proceed with the Work so ordered prior to actual receipt of an approved Subcontract Change Order therefor.
E. In such cases, the DBO Contractor will, as soon as practicable, issue an approved Subcontract Change Order for such Work.
F. When the compensation for an item of Work is subject to adjustment, the Subcontractor shall, upon request, furnish the DBO Contractor with adequate detailed cost data for such item of Work.
G. If the Subcontractor requests an adjustment in compensation for an item of Work, such cost data by full detail, shall be submitted with its request.
01 26 00 - 3
H. If DBO Contractor proposes to Subcontractor that Subcontractor perform Work by way of Subcontract Change Order, and the DBO Contractor and Subcontractor cannot agree upon a price for performing such Subcontract Change Order Work, DBO Contractor has the right to issue to Subcontractor a "Directed Change Order" requiring Subcontractor to perform Work at the price and on the terms which DBO Contractor, in its sole discretion, shall deem reasonable. Subcontractor will thereafter perform Work for the price and on the terms set forth in such “Directed Change Order.” The Subcontractor shall not have the right to terminate the Subcontract based upon the issuance of a "Directed Change Order." Subcontractor may then make a claim as provided for in this Subcontract for any additional compensation, or time extension, or both which the Subcontractor believes is due and owing to them for performing such Work.
I. The compensation provided for in each and every Subcontract Change Order shall include all costs and taxes applicable thereto.
J. The overhead and profit markup on each and every Subcontract Change Order shall include full compensation for all costs incurred by the Subcontractor for any additional time required to complete the Subcontract Change Order.

C. The protest shall state the points of disagreement, and, if possible, the Subcontract and Specification references, quantities, and costs involved.
D. If a written protest is not submitted, payment will be made as set forth in the approved Subcontract Change Order and such payment shall constitute full compensation for all Work included therein or required thereby. Such
01 26 00 - 4 unprotected approved Subcontract Change Orders will be considered as executed Subcontract Change Orders as that term is used, inclusive.
E. Where the protest concerning an approved Subcontract Change Order relates to compensation, the compensation payable for all Work specified or required by said Subcontract Change Order to which such protest relates will be determined as provided, inclusive.
F. The Subcontractor shall keep full and complete records of the cost of such Work and shall permit the DBO Contractor to have such access thereto as may be necessary to assist the DBO Contractor in making determination of the compensation payable for such Work.
G. Where the protest concerning an approved Subcontract Change Order relates to the adjustment of Subcontract Time for the completion of the Work, the time to be allowed therefor will be determined as provided in Section 01 32 00, Construction Progress Documentation.
H. Proposed Subcontract Change Orders may be presented to the Subcontractor for consideration prior to approval by the DBO Contractor.
I. If the Subcontractor signifies acceptance of the terms and conditions of such proposed Subcontract Change Order by executing such document and if such Subcontract Change Order is approved by the DBO Contractor and issued to the Subcontractor, payment in accordance with the provisions as to compensation therein set forth shall constitute full compensation for all Work included therein or required thereby.
J. A Subcontract Change Order executed by the Subcontractor and approved by the DBO Contractor is an executed Subcontract Change Order as that term is used, inclusive.
K. An approved Subcontract Change Order shall supersede a proposed, but unapproved, Subcontract Change Order covering the same Work.
L. The DBO Contractor may provide for an adjustment of compensation as to a Subcontract item of Work included in a Subcontract Change Order determined as provided, inclusive, if such item of Work is eligible for an adjustment of compensation thereunder.
1.06 INCREASED OR DECREASED QUANTITIES
A. Increases or decreases in the quantity of a Subcontract item of Work will be determined by comparing the total pay quantity of such item of Work with the DBO Contractor’s Estimate therefor.
01 26 00 - 5
B. If the total pay quantity of any item of Work required under the Subcontract varies from the DBO Contractor’s Estimate therefore by more than 25 percent, in the absence of an executed Subcontract Change Order specifying the compensation to be paid, the compensation payable to the Subcontractor will be as determined by the DBO Contractor.
