Special Contract Requirements:

1) FAR provision 52.229-11 and FAR clause 52.229-12

FAR provision 52.229-11 and FAR clause 52.229-12 are included in this solicitation. This provision and clause concern the imposition of a 2 percent Federal excise tax withholding on any resultant contract award or payment request. This rule applies to Federal Government contracts for goods or services that are awarded to foreign persons - such as foreign contractors. It implements the Department of the Treasury's final regulations published in the Federal Register at 81 FR 55133 on August 18, 2016, under section 5000C of the Internal Revenue Code relating to the 2 percent tax on payments made by the U.S. Government to foreign persons pursuant to certain contracts.

Pursuant to the FAR 52.229-3 Federal, State, and Local Taxes, taxes imposed under 26 U.S.C. 5000 C may not be included in the contract price or reimbursed.

Exemptions from this excise tax must be claimed by an Offeror when it submits, with its offer, a U.S. Department of Treasury Internal Revenue Service (IRS) Form W-14, Certificate of Foreign Contracting Party Receiving Federal Procurement Payments, available via the internet at www.irs.

gov/W14. If not submitted with the offer, exemptions will not be applied to any resulting contract and the Government will withhold a full 2 percent on each contract payment. Failure to submit an IRS Form W-14 with each payment request will also result in an automatic withholding of 2 percent from the payment request.

When filling out the IRS Form W-14 the following information may be used to complete Part I, Lines 6 and 7.

Line 6 Contract/reference number: W9127N26RA004

Line 7 "Name and address of the acquiring agency":

USACE Portland District

333 SW First Avenue

Portland, Oregon 97204-3440

503-808-4616

Any exemption claimed and self-certified is subject to audit by the IRS. Any disputes concerning this tax are adjudicated by the IRS because the Section 5000C tax is a tax matter not a contract issue.

Offerors are encouraged to seek guidance from their own tax professionals for advice concerning the provision, clause, and exclusions exclusion /submission of IRS Form W-14. Additional information is also available at:

Notwithstanding the above, the USACE does not have a means of withholding this excise tax at this time. As a result, contractors are expected to comply with the instructions above and to properly complete and return the W-14 at proposal submission, and with each pay application. The amount due for each withholding will be confirmed by USACE, BUT WILL NOT BE WITHHELD. It is the contractor's responsibility to set aside, or remit to the IRS, the amount confirmed by USACE. Whether the contractor sets the money aside for future payment to the IRS, or makes payment to the IRS, is the contractor's discretion, based on its analysis of the regulations regarding the excise tax. In the event that USACE is able to withhold during contract performance, it will notify the contractor and make such a withholding (including any catch up withholdings); no advance notice is required to the contractor prior to the withholding. Under no circumstances is USACE liable for any tax not paid by the contractor. The contractor is liable for the tax, to the extent required by law, regardless of whether USACE makes a withholding.

FAR 29.204 expressly states that "[a]gencies merely withhold the tax (section 5000C tax) for the Internal Revenue Service (IRS). All substantive issues regarding the underlying section 5000C tax, e.g., the imposition of, and exemption from the tax, are matters under the jurisdiction of the IRS."

NOTICE TO LARGE BUSINESS FIRMS

Please see FAR Clauses 52.219-8, "Utilization of Small Business Concerns (SEP 2023)" and 52.219-9, "Small Business Subcontracting Plan (SEP 2023)." Large business concerns submitting offers of $750,000 or more for supplies or services or $1,500,000 for construction are required to submit a subcontracting plan upon request by the Contracting Officer. The plan must express goals in terms of percentages of total planned subcontracting dollars and must be comparable to the dollar commitments in the small business participation plan, if applicable.

DEFINITIONS:

Subcontract means any agreement (other than one involving an employer-employee relationship) entered into by a Government prime contractor or subcontractor calling for supplies and/or services required for performance of the contract, contract modification, or subcontract.

Small Business Concern means a concern, including its affiliates that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria and size standards in FAR 19.102. Such a concern is "not dominant in its field of operation" when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged.

Floor is the term the U.S. Army Corps of Engineers uses to replace goal. It represents the minimum level for small business performance.

Electronic Subcontracting Reporting System (eSRS) means the Government wide, electronic, web-based system for small business subcontracting program reporting. The eSRS is located at http://www.esrs.gov.

The following floors are considered reasonable and achievable during the performance of the contract resulting from this solicitation and are included for information purposes. Final floors will be reviewed prior to contract award, and the subcontracting plan will then become a material part of the contract.

a. of the total subcontracted dollar value will be placed with all small business concerns. For the purpose of this subcontracting plan, Small 12% Disadvantaged Business (SDB), Women-owned Small Business (WOSB), HUBZone Small Business, Veteran-owned Small Business, and Service Disabled Veteran-owned Small Business concerns are subsets of small business concerns.

b. 5 of the total subcontracted contract dollar value will be placed with small disadvantaged business concerns or Historically Black Colleges and .0% Universities or Minority Institutions. To be considered a small disadvantaged business concern, business must be certified by the Small Business Administration in addition to meeting the definition under FAR Clause 52.219-8(c)(3).

c. of the total subcontracted contract dollar value will be placed with small women-owned business concerns. Women-owned business concerns 1% may meet the definition of a small disadvantaged business. If so, it will also be considered a subset of a small disadvantaged business concern.

d. of the total subcontracted contract dollar value will be placed with HUBZone small business concerns. To be considered a HUBZone small 0.25% business concern, business must be certified by the U.S. Small Business Administration in addition to meeting the definition under FAR Clause 52.219-8(c)(3).

e. of the total subcontracted dollar value will be placed with Veteran-owned small business concerns.1%

f. of the total subcontracted dollar value will be placed with Service Disabled Veteran-owned small business concerns.0.25%

Floors included in any proposed plan should be at least equal to the recommended floors. If lesser floors are proposed, include an explanation for how those floors and the overall plan represent best efforts to comply with the policy outlined in the contract clauses.

The proposed subcontracting plan must address how the offeror will maximize subcontracting opportunities within the small business communities of the project location. Demonstrated outreach efforts through conference attendance, use of SAM.gov, and corporate support of the Small Business Program Liaison Officer and Small Business Program must be addressed in the proposed subcontracting plan.

Subcontracting plans will be evaluated using Appendix DD to the Army Federal Acquisition Regulation Supplement (AFARS) 5119.705-4(d) to determine the offeror's ability to carry out the terms and conditions set forth in the contract clauses. If discussions during this review raise doubts regarding intentions or ability to comply with contractual obligations, it could result in disqualification for award. Failure to receive a subcontracting plan rating of Acceptable could jeopardize the offeror's selection for contract award.

BASIS FOR AWARD

1. This is an unrestricted (full and open) competitive acquisition using Best Value Tradeoff (BVTO) source selection procedures in accordance with FAR Part 15. The Government intends to award a single, firm-fixed-price construction contract to the responsible offeror whose proposal represents the best value after evaluation in accordance with the evaluation factors in the solicitation. Offerors shall submit a technical proposal and a price proposal. The evaluation results of the technical and price proposals will determine an awardee. The Past Performance factor is more important than the Small Business Subcontracting Commitment factor. The technical factors combined are approximately equal to price.

2. The Government intends to evaluate proposals and make an award without discussions. However, the Government reserves the right to conduct discussions if determined necessary or in the Government's best interest. Because the Government anticipates awarding without discussions, offerors must submit their best and final pricing, terms, and conditions in their initial proposal. The government reserves the right to accept other than the lowest-priced offer or to reject all offers.

3. All proposals will be evaluated as complete and final upon submission. Proposals must provide clear, direct, and comprehensive responses to the evaluation factors. The evaluation board will not consider information incorporated by reference, external materials, or non-responsive content. Elaborate formatting, color brochures, or extraneous details are discouraged. The successful offeror will be selected exclusively based on the evaluation criteria below, and the technical proposal will be incorporated into the awarded contract.

4. A joint venture is a legally binding business entity formed between two or more companies to jointly perform contract activities. Other arrangements (e.g., teaming agreements, strategic alliances) are not recognized as valid joint ventures under this solicitation.

Submission Requirements for Joint Ventures

Legally Binding Agreement: Include a signed joint venture agreement by authorized officers from all member firms, identifying each CEO.

Past Performance: The joint venture entity may submit past performance from any member firm, subject to page and project limits for the entire joint venture.

Entity Stability: Firms (including proposed subcontractors or joint venture members) may not be altered after proposal submission, including during Final Proposal Revisions (FPRs), if applicable.

A. EVALUATION FACTORS

FACTOR 1 - Past Performance

1. Each offeror's past performance will be reviewed to determine relevancy and confidence assessment. Submit information for four (4) substantially complete projects that demonstrate the offeror's experience performing projects similar in size, scope, and complexity to the work required by this solicitation. Each project must be completed or be substantially completed within the last ten (10) years from solicitation issue date.

a) "Substantially complete" is defined as having achieved all critical path milestones, including major equipment installation, and completion of 75% of work items (e.g., structural, mechanical, electrical) as documented in the project schedule. Offerors must provide a contractor-certified progress report or owner-validated percentage completion statement. Projects lacking verifiable documentation (e.g., signed progress reports, milestone payment records) will not be evaluated for relevancy.

W9127N26RA004

b) Offerors must demonstrate direct management and execution of core project tasks (e.g., sitework, structural systems, mechanical/electrical installation). Self-performance is verified through payroll records, certified payrolls (e.g., Davis-Bacon), or labor-hour logs for key personnel.

Failure to provide verifiable documentation of hands-on work in critical scopes will result in the project being deemed non-similar.

2. A maximum of will be evaluated. four (4) projects If an offeror submits more than four projects, only the first four listed in the proposal will be reviewed. For each project, provide sufficient detail to enable the Government to assess how the work aligns with the evaluation criteria below in section C(1)(a).

3. Offerors may submit past performance for proposed subcontractors. To use subcontractor past performance, the following is required:

- Letter of Commitment: A signed letter on the subcontractor's official letterhead, confirming their role and responsibilities in the proposed work.

- Authorized Signature: The letter must be signed by an individual with authority to legally bind the subcontractor (e.g., CEO, Contracting Officer).

- Subcontractor projects count toward the four-project maximum.

Non-Compliance:

Past performance references for subcontractors will not be considered if the letter of commitment is omitted, unsigned, or fails to meet the above requirements.

FACTOR 2 - Small Business Subcontracting Commitment. The Government will evaluate the amount of work proposed to be performed by small business in relation to the total value of the project, as well as the types of work small business will be performing and the extent of commitment in using the identified small business firms.

FACTOR 3 - Price: The Government will award a firm-fixed-price contract. Proposed prices will be evaluated for reasonableness using FAR 15.404-1(b)(2) techniques, including comparison to competitive bids and independent cost estimates.

B. EVALUATION FACTORS

1. Past Performance . The Government will evaluate the offeror's record of past and current Factor performance to ascertain the probability of successfully performing the required efforts.

a) The past performance evaluation assesses the offeror's probability of successfully meeting the solicitation requirements through three primary factors: recency, relevancy, and quality. These factors are analyzed collectively to establish a single performance confidence assessment rating for each offeror.

The first aspect is to evaluate the recency of the offeror's past performance. Projects completed within the last ten years from the proposal due date or ongoing projects demonstrating 75% completion with verifiable progress reports (e.g., certified payrolls, milestone payment records) are considered recent.

The second aspect is to determine how relevant the submitted project is. This includes analysis of project description for alignment with the scope, complexity, and requirements in this solicitation. There are four levels of relevancy as shown in the table below.

Table 2 - Past Performance Relevancy Ratings

Rating Definition

Very Relevant Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.

Relevant Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.

Somewhat Relevant Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.

Not Relevant Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.

In , the Government will consider the following:assessing the relevancy of the offeror's past performance

The extent to which a submitted project involved installation of electronic networking equipment including, at a minimum, fiber optic and ethernet systems.

Experience with:

- control enclosures,

- annunciation,

- 125VDC controls,

- PLC installation, and

- PLC integration.

The extent to which a submitted project involved installation, calibration, and commissioning of oil metering instruments, such as oil pressure and level instrumentation and specialized oil sensing or leak detection work.

The extent to which a submitted project involved mechanical installation of piping and tubing systems of pressurized oil or hydraulic systems of at least 300 psi.

Additional consideration:

Any of the above elements having been performed within a power generating facility.

The third aspect of the past performance is to determine how well the offeror performed on its past performance projects. If any performance issues are identified, the Government will consider the number, type and severity of the problems and effectiveness of corrective actions taken.

Based on a consideration of those three aspects for each project, the Government will assign a final Performance Confidence Assessment Rating for this factor. The Government will review the past performance information and determine the quality and usefulness as it applies to performance confidence assessment. In conducting a performance confidence assessment, each offeror shall be assigned one of the ratings using the table below.

TABLE 3 - Performance Confidence Assessments

Rating Definition

Substantial Confidence Based on the offeror's recent/relevant performance record, the Government has a high expectation that the offeror will successfully perform the required effort.

Satisfactory Confidence Based on the offeror's recent/relevant performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort.

Neutral Confidence

No recent/relevant performance record is available, or the offeror's performance record is so sparse that no meaningful confidence assessment rating can be reasonably assigned. The offeror may not be evaluated favorably or unfavorably on the factor of past performance.

Limited Confidence Based on the offeror's recent/relevant performance record, the Government has a low expectation that the offeror will successfully perform the required effort.

No Confidence Based on the offeror's recent/relevant performance record, the Government has no expectation that the offeror will be able to successfully perform the required effort.

2. Small Business Subcontracting Commitment Factor . The purpose of this criterion is to evaluate the amount of work proposed to be performed by small businesses in relation to the total value of the project, as well as the types of work small businesses will be performing and the extent of commitment in using the identified small business firms.

NOTE: Per 13 C.F.R. (S) 125.3(g)(3), small business Offerors need not submit any information in connection with this factor and shall receive the maximum rating under this evaluation factor.

Other than small business Offerors will be evaluated on the level of proposed participation by U.S. small businesses in the performance of this project relative to the objectives and goals established herein, as well as Offerors' past performance complying with the requirements of FAR 52.219-9, Small Business Subcontracting Plan.

Other than small business Offerors will be rated using the small business rating method table below.

NOTE: In accordance with 13 C.F.R. (S) 125.3(g)(3), small business Offerors shall receive the maximum rating under this evaluation factor without having to submit any information in connection with this factor.

The extent of the Offeror's past compliance with the requirements of FAR 52.219-9, Small Business Subcontracting Plan.

3. Price Factor . Adjectival ratings shall not be used for offerors' Price proposals. The Government will fully evaluate all priced Contract Line Item Numbers (CLINs) for award. For award purposes, the total proposed price for all CLINs will be added together into a total sum (contract value). The evaluation of all option CLINs will not obligate the Government to exercise any option. The offeror's Price proposal will be evaluated as follows.

a) FFP Evaluation. For a price to be fair and reasonable, it must represent a price to the Government that a prudent person would pay in the conduct of competitive business. The offeror's proposed fixed-price CLINs may be evaluated using one or more of the techniques described in FAR 15.404-1 to determine if they are fair and reasonable.

b) Overall Price Proposal Evaluation: The overall Price proposal will be evaluated for the following:

(1) Compliance: The Price proposal submitted by the offeror will be evaluated for compliance based upon the submission requirements contained in the Price Volume instructions.

(2) Unbalanced Pricing: The offeror's overall Price proposal will be evaluated for unbalanced pricing as defined in FAR 15.404-1(g). An offer may be rejected if the contracting officer determines that the lack of balance poses an unacceptable risk to the Government (see FAR 15.404-1(g)(1) through FAR 15.404-1(g)(3)).

(3) Errors: The offeror's Price proposal will be reviewed for errors. The offeror may be given an opportunity to clarify certain aspects of their proposal at the sole discretion of the Contracting Officer. Such clarifications will be conducted pursuant to FAR 15.306(a).

(4) Total Evaluated Price: The Total Evaluated Price consists of summing the offeror's proposed firm-fixed-price CLIN prices to include all option CLINs.
