21. Contract performance:

Purpose. IAW with FAR Subpart 42.1500 contractor past performance information (PPI) is relevant information for future source selection purposes regarding a contractor’s actions under previously awarded contracts. It includes, for example, the contractor's record of conforming to contract requirements and to standards of good workmanship; the contractor's record of forecasting and controlling costs; the contractor's adherence to contract schedules, including the administrative aspects of performance; the contractor's history of reasonable and cooperative behavior and commitment to customer satisfaction; and generally, the contractor's business-like concern for the interest of the customer. Contractor past performance information is one of the tools that support Army efforts to acquire best value and is used to evaluate performance risk in source selection. The feedback provided by the government to the contractor in collecting PPI, and the knowledge that PPI will be used in future source selection decisions, should result in improved performance and a greater contractor focus on customer satisfaction.

Contractor Performance Assessment Reports System (CPARS): CPARS shall be prepared IAW AFARS Subpart 42 upon physical completion of the contract. If the period of performance will exceed 18 months, an “interim” assessment report shall be prepared at the completion of 12 months performance and annually thereafter until the contract is physically complete. An out-of-cycle or “addendum” report may be prepared if there is a need to record an extraordinary event prior to the next regularly scheduled evaluation or if it is necessary to report a meaningful occurrence during the period between physical completion of the contract and contract closeout. Additionally, addendum reports may be prepared to record contractor’s performance relative to contract closeout and other administrative requirements (e.g.

final indirect cost proposals, technical data, etc.).

Completion Due Date. The government will complete the CPARS within 60 days after the end of the assessment rating period (if applicable).

Evaluators. The Contracting Officer and the Contracting Officer’s Representative will jointly complete the performance assessment.

Contracts Performance Elements. The contractor’s performance shall be assessed in accordance with elements and rating system set forth in AFARS Subpart 42.

Contractor Review. The Contracting Officer will furnish a copy of the CPARS to the contractor requesting that the contractor submit comments, rebutting statements, and/or additional information to the Contracting Officer within 30 calendar days of receipt. Failure to respond within the designated timeframe will be taken as agreement with the assessment.

Contract Concurrence. Where a contractor concurs with, or takes no exception to a CPARS, such report shall be considered final and releasable for use in source selection and other deliberative purposes.

Contractor Rebuttal. Where a contractor takes exception to a performance report, the Contracting Officer will review the contractor’s rebuttal or comments and make appropriate changes. If the Contracting Officer makes changes, the changed rating will be reflected in the narrative. The Contracting Officer will make all reasonable efforts to reconcile the report and the contractor’s comments. However, it is not necessary that they reach agreement on the report where such is clearly impracticable. The contractor’s rebuttal or comments shall be made part of the CPARS.

Resolving Disagreements between the Government and the Contractor. In the event disagreements between the parties regarding the CPARS occur, the Contracting Officer will review the rebuttal and make appropriate changes. If no agreement is reached, the CPARS is forwarded to the Reviewing Official (Director of Contracting) along with the Contracting Officer’s Findings and Recommendation and supporting documentation. The decision of the Reviewing Official is final. Copies of the CPARS and the contractor’s response and review comments, if any, shall be retained as part of the evaluation.

Release of Contractor Performance Evaluation Information. The evaluation will not be released to other than government personnel and the contractor whose performance is evaluated. The performance evaluation information will be input into the applicable module within Contractor Performance Assessment Reporting System (CPARS) database (or Government system in use at time of the evaluation).

Source Selection Information. Departments and agencies will electronically access the CPARS information to support future award decisions.

22. Alternate disputes resolution: In furtherance of Federal policy and the Administrative Dispute Resolution Act of 1990 (ADR Act), Public Law 101-552 and FAR Clause 52.233-1, Subparagraph (d) (2) (1) (B) (2), the Contracting Officer will try to resolve all post award acquisition issues in controversy by mutual agreement of both parties. Interested parties are encouraged to use alternative dispute resolution procedures to the maximum extent practicable, in accordance with the authority and requirements of the ADR Act.

L-4.3 Part 3 Factor 2 Past Performance: L-4.3 Part 3 Factor 2 Past Performance: The Past Performance evaluation will be accomplished by reviewing aspects of an Offeror's recent and relevant Past Performance, focusing on and targeting performance which is relevant to the work being procured under this solicitation and as defined in Section M., Evaluation Criteria. The offeror shall include documentation regarding their relevant past performance as it directly relates to the work being procured under this solicitation. The offeror SHALL NOT go back any farther than 5 years for services for the submitted data. The past performance data shall document a successful history of past contract performance. In conducting the Past Performance evaluation, the Government reserves the right to use both the information provided in the offeror’s Past Performance Volume and information obtained from other sources, such as the Contractor Performance Assessment Reporting System (CPARS) or similar systems, Defense Contract Management Agency (DCMA) and commercial sources. Offerors are reminded that both independent data and data provided by offerors in their proposals may be used by the Government to evaluate offeror past performance.

However, the burden of providing thorough, complete, and current past performance information as requested in this paragraph remains with the offerors. Proposals that do not contain the information requested by this paragraph risk rejection or a less than acceptable performance rating by the Government. All past performance comments received will be taken into account and could affect the overall rating. The overall past performance evaluation is a subjective decision based on the whole of all data received. In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

Submission requirements: The offeror shall submit a Past Performance Volume containing the following:

Specific Relevant Contracts Format. Sheets are limited to 10 pages total. The offeror shall provide documentation outlining the offeror’s past performance with contracts, as a prime or major subcontractor, which is the same or similar in nature, size, and complexity to the services being procured under this Solicitation. The submittal shall include rationale supporting your assertion of relevance and how it was determined that the work performed previously was the same or similar in nature, size, and complexity to the work specified by this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate. The past performance information provided will be evaluated to determine the extent of:

- Business Relations

- Quality of Service

- Schedule

- Cost Control

- Customer Satisfaction

- Management of Key Personnel

L-4.4. Part 4 Factor 3 Price: The Offeror shall complete the Price Schedule (which is included with the solicitation as Attachment 1), in its entirety. The unit prices and CLIN totals for each line item listed in the Price Schedule shall be carried over to the SF 1449. The Offeror will need to return both completed documents as part of their proposal package. Please note: Use only two decimal places in the pricing on the price schedule.

Service Contract Reporting (SCR): Contractors shall report manpower data relating to the performance of service contracts into the system for Award Management (SAM) (https://sam.gov) consistent with existing service contract reporting requirement under the Defense Federal Acquisition Regulation Supplement (DFARS) 204.17- Service Contracts Inventory. SAM will only enable reporting for entities with contract that meet the SCR threshold at DFARS 204.1703. SCR will not be separately priced line item.

The Government reserves the right to require the submission of Other Than Certified Cost or Pricing Data as is deemed necessary to arrive at a fair and reasonable price determination, in accordance with FAR 15.403-3.

EVALUATION CRITERIA

SECTION M - EVALUATION FACTORS FOR AWARD (ADDENDUM TO FAR 52.212-2 EVALUATION OF

COMMERCIAL ITEMS

M-1. Basis for Contract Award

M-1.1. This section outlines the criteria the Government will use in evaluating the offeror’s capabilities and proposals for the Management, Repair, Administration, Logistics and Training Support Services requirement.

M-1.2. A Technical Evaluation will be conducted in accordance with the Federal Acquisition Regulation (FAR), as supplemented by the Defense Federal Acquisition Regulation Supplement (DFARS), and the Army Federal Acquisition Regulation Supplement (AFARS). Award will be made to a single offeror who is deemed responsible in accordance with the Federal Acquisition Regulation (FAR), whose proposal conforms to the solicitation requirements, and whose proposal, judged by an overall assessment of the evaluation criteria and other considerations specified in this solicitation, represents a Technically Acceptable offer.

M-1.3. Award will be based on the lowest evaluated price of proposals received that meet, or exceed, the acceptable standards of the non-price factors identified in the solicitation IAW FAR 15.101-2(b)(3). All proposals received will be evaluated for technical acceptability. Trade-offs between cost/price and non-cost/price factors are not permitted.

Unbalanced, inaccurate or incomplete price proposals, may be the grounds for entering discussions. The Government will evaluate proposed prices for reasonableness using price analysis techniques, in accordance with FAR 15.404-1(b). Pricing will also be evaluated for fair and reasonableness and for fair market price. Proposed prices evaluated as unreasonable may be grounds for eliminating a proposal from competition.

M-1.4. Award for All of the Work. The Government intends to award one contract as a result of this solicitation.

Offers received for less than the stated number of items listed in the Price Schedule and incomplete offers will be considered ineligible for award. As set forth in FAR 52.212-1, the Government intends to evaluate proposals and award a contract without discussions with offerors (except clarifications as described in FAR 15.306(a), Clarifications and award without discussions). Therefore, the offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be necessary.

M-2. Evaluation Criteria

Evaluation criteria consists of three factors. The proposals will be evaluated under the following evaluation factors:

Factor 1: Technical Key Personnel Factor 2: Past Performance Factor 3: Price

M-2.1. Factor 1: Technical.

The Technical Factor evaluation provides an assessment of the offeror’s capability to satisfy the Government’s minimum requirements.

The Technical Evaluation will be conducted using a common set of adjectival ratings (Acceptable or Unacceptable) to evaluate the Technical factor (to include subfactors); keeping in mind that mere promises to comply with contractual requirements are an insufficient basis for an Acceptable rating; evidence is required in support of any statements relating to promised performance. The chosen adjectival rating of Acceptable or Unacceptable, must be supported by the evaluator’s narrative reason(s) for the choice. Each subfactor will be assigned an adjectival rating of Acceptable or Unacceptable, based upon these collective findings. The compilation of these subfactor adjectival ratings, of Acceptable or Unacceptable, will form the basis of the factor rating. The proposal will be evaluated in accordance with the information set forth in the RFP.

Based on the information provided pursuant to the instructions for content proposal, the Government will evaluate the Technical Proposal and assign a rating of Acceptable or Unacceptable. Offeror must be found acceptable on all bullets in order to be found acceptable for the factor.

The Technical Factors will receive one of the adjectival ratings defined below.

Rating Description

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation.

Factor 1: Technical - Key Personnel

In order to be considered acceptable, the offeror shall provide the following:

Project Managers: Offeror shall provide the following qualifications for any proposed Project Managers:

o Shall have a minimum of seven years’ experience working Logistical Management, in the areas of maintenance, property, supply, budget, and transportation.

o Shall possess the skills to manage all resources specific to the tasks assigned to include supervision, scheduling, budget control, research, report preparation and customer deliverables.

o Shall possess experience in managing 50-100 personnel within and outside of primary workspace.

Site Supervisors (Lead): Offeror shall provide the following qualifications for any proposed Supervisors:

o Shall have a minimum of five (5) years of experience working with Army Reserve Command or other DoD equivalent, including experience in logistical and maintenance programs.

o Shall possess the experience in supervising 10-15 personnel within and outside of primary location workspace.

M-2.2. Factor 3: Past Performance.

The Past Performance evaluation will assess the offeror’s probability of meeting the solicitation’s requirements as indicated by that offeror’s record of past performance. Past Performance is assessed at the factor level after evaluating aspects of the offeror’s recent past performance and focusing on performance that is relevant to the services being procured under this solicitation.

The Past Performance evaluation will assess offeror's relevant and recent past performance record to determine the offeror’s ability to perform as proposed. Potential sources of data are sources such as the Contractor Performance Assessment Reporting System (CPARS), Federal Award Performance and Integrity Information System (FAPIIS), contracting officer’s knowledge of previous experience with the service being acquired, and any other reasonable sources. In assessing past performance, the Government will assess the offeror’s overall past performance, and will examine how well the offeror performed in the following areas:

- Business Relations

- Quality of Service

- Schedule

- Cost Control

- Customer Satisfaction

- Management of Key Personnel

The Past Performance Factor will be assigned one of the assessment ratings as defined in the following chart:

Rating Description Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown.

Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

Recency Assessment. An assessment of the past performance information will be made to determine if it is recent.

To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the date of issuance of this solicitation. Past performance information that fails this condition will not be evaluated.

Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature of work, size, and complexity to the services/products being procured under this solicitation.

A relevancy determination of the offeror’s (including joint venture partner(s) and major and critical subcontractor(s)) past performance will be made. In determining relevancy for individual contracts, consideration will be given to the effort, or portion of the effort, being proposed by the offeror, teaming partner, or subcontractor whose contract is being reviewed and evaluated. In establishing what is relevant for the acquisition, consideration will be given to an offeror’s contract history which gives the most confidence that the offeror will satisfy the current procurement. The past performance information provided in the proposal and obtained from other sources will be used to establish the relevancy of past performance.

Offerors without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.”

M-2.3. Factor 3: Price.

Price will not be scored or rated. Price will not be assigned an adjectival rating. Evaluation of price will be performed using one or more of the price analysis techniques in FAR 15.404-1(b). Through these techniques the Government will determine whether prices are fair and reasonable, a fair market price, complete and balanced.

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s). As part of price evaluation, the government will evaluate its option to extend services (see FAR Clause 52.217-8) by adding one-half of the offeror's final option period price to the offeror's total price. Thus, the offeror's total price for the purpose of evaluation will include the phase-in, base period, 1st option, 2nd option, 3rd option, 4th option, 1/2 of the 4th option. Offerors shall not submit a price for the potential six month extension of services period. The Government may choose to exercise the Extension of Services at the end of any performance period (base or option periods), utilizing the rates of that performance period.

Unbalanced Pricing: Offerors are cautioned against submitting a proposal that contains unbalanced pricing.

Unbalanced pricing exists when, despite an acceptable total evaluated price, the price of one or more contract line items is significantly over or understated as indicated by the application of price analysis techniques. Unbalanced Pricing will be evaluated in accordance with FAR 15.404-1(g), as applicable, to assess potential performance risk which could result in unreasonably high prices. The Government shall analyze offers to determine whether they are unbalanced with respect to separately priced line items or subline items. Discussions may commence if proposals is determined to be unbalanced.

Definitions.

Reasonableness. A price is reasonable if, in its nature and amount, it does not exceed that which would be incurred by a prudent person in the conduct of competitive business.

Completeness/Accuracy. The offeror’s proposal is in compliance with the pricing instructions in the solicitation.

PERFORMANCE WORK STATEMENT (PWS)

Maintenance, Repair, Administrative, Logistic and Training Support Services

81st Readiness Division United States Army Reserve Command (USARC) Part I

General Information

1. GENERAL: This is a firm fixed non-personal services contract to provide Maintenance, Repair, Administrative, Logistics, and Training Support labor Services (MRAL-TSS) for 81st Readiness Divisions (RDs) within USARC.

The Government shall not exercise any supervision or control over the contract service providers performing the services herein. Such contract service providers shall be accountable solely to the Contractor who, in turn is responsible to the Government. The Contractor, in turn, shall be accountable to the Government for Contractor or subcontractor personnel.

1.1. Description of Services/Introduction: The Contractor shall provide all personnel, equipment, supplies, facilities, transportation, tools, materials, supervision, and other items and non-personal services necessary to perform MRAL- TSS Services at identified Area Maintenance Support Activity (AMSA), Equipment Concentration Sites (ECS), Army Reserve Facilities, and 81st Headquarter Building 1525 fort Jackson South Carolina, as defined in this Performance Work Statement (PWS) except for those items specified as government furnished. The Contractor shall perform in accordance with (IAW) the terms and conditions of the contract and consistently with the established standards in this PWS, PRS and contract.

1.2. Background: Stored equipment in the United States Army Reserve (USAR) readiness model has undergone dramatic transformations over the past two decades. To support the National Military Strategy, the Army Reserve developed a model to prepare for future conflicts that requires equipment to be maintained at a higher level of readiness at all times and to be prepared to deploy in days or weeks instead of months. The objective of materiel maintenance and management is to provide maximum availability of safe, serviceable assets to customers and supported units through efficient, effective field level maintenance, and application of Modification Work Orders (MWO) on Government owned tactical and non-tactical (commercial) equipment. Most positions in USAR maintenance facilities and Equipment Concentration Sites (ECS) are designated as dual status, Military Technician (MILTECH) positions. Currently, these positions are staffed at approximately 50% of required authorizations. This staffing level has remained the same year after year for more than a decade. To meet mission requirements, temporary hires have been authorized but must be members of the Army Reserve as condition of employment; this makes it extremely difficult to hire temporary personnel. The services to be performed from this PWS focus on density beyond the capability of authorized strength and services outside the resources of the 81st RD thus enhancing customer USAR unit equipment readiness as the objective to the Army Reserve.
