Statement of Work

Construction Indefinite Delivery/Indefinite Quantity (IDIQ) Multiple Award Task Order Contract (MATOC) Wilmington Veteran Affairs Medical Center (WVAMC), DE And Coatesville Veterans Affairs Medical Center (CVAMC), PA

Contractor shall perform maintenance, repair, and construction services in support of the Department of Veterans Affairs (VA) Medical Centers located in Wilmington, DE and Coatesville, PA. This MATOC may not be used to purchase non-construction supplies or services. After MATOC contracts are awarded, individual task orders will then be awarded based on the competition requirements for each task order solicited. Typical task orders awarded under this contract will range from $2,000 - $5.5 million. [Task Orders exceeding $5.5 million may be awarded IAW FAR 16.505(b)(iv)]. Work associated with these task orders may require work from all construction trades and disciplines. Work shall be performed in accordance with the VA CMF technical information library (TIL), and specifications will be tailored for each project. The task order request for quote/proposal and resulting task order will define the scope of work, provide all significant quantities, describe the methods of construction, state the period of performance, and state the quality levels required, and the appropriate Construction Wage Rates Requirements (previously Davis-Bacon) rates. The NAICS code associated with this contract are 236 Construction of Buildings and 238 Specialty Trade Contractors. While in is anticipated that the majority of the task order projects will be under the 236220 Commercial and Institutional Building Construction NAICS, the MATOC will have the flexibility to also be used for specialty construction projects.

Task Order Statement of Work (SOW) Coatesville Veterans Affairs Medical Center (CVAMC) Flooring Replacement Phase 1 June 22, 2017

SEED PROJECT #542-18-107: Flooring Replacement Phase 1 PURPOSE: This project will entail replacing the sub-flooring and floor with floor self-leveler and an INTERLOCKING Luxury Vinyl Plank floor respectively. The design will be based on the Office of Construction and Facilities Management guidelines for a hospital environment. Any underlying problems or necessary deviations from the contract must be told to the Contracting Officer’s Representative (COR) PRIOR to proceeding with the contract or risk withheld payment.

DEPARTMENT: Facilities Engineering Service (FES) CVAMC, Coatesville, PA BACKGROUND: Throughout multiple locations of the CVAMC, carpet remains within multiple locations. This carpeting has become a health hazard by exceeding its lifespan with excessive traffic causing a vast decomposition and creating airborne dust fibers which can be inhaled. Most of the locations of this carpet are within basement spaces. Over the years ad hoc offices were created and carpet was installed. This facility has multiple hydronic heat, steam, chiller, and water pipes which have broken over the years causing water to rest in the carpeted spaces. Add to this scenario hydraulic water pressure from under the concrete, leaking walls below grade, etc., and this creates an extensive mold habitat. The amount of maintenance to combat visible mold is extensive, but the invisible mold throughout carpeted area is a more concerning threat. This will cause sickness in healthy employees and serious complications in prone employees as well as patients.

All newer VA, Joint Commission, national, and international healthcare facility guidelines stress the importance of hygiene, maintenance, and sustainability. This is confirmed with Planetree design parameters as cited throughout VA Design Guides. In order to comply with health, welfare, and hygiene standards, abide by sustainability and maintenance criteria, and to comply with Planetree and VA Design Guides, this must be a priority.

REQUIREMENTS: Contractor shall have knowledge of all aspects pertaining to this SOW and shall perform per the specifications as outlined in the Master Construction Specifications.

Contactor shall:

1) Provide all labor, tools, materials, quality supervision, etc. required to replace approximately 17,128 square feet (ft2) of existing flooring materials including sub-base preparation and cove base.

The contractor shall be mindful of their surroundings due to the fact that this project is located in a high traffic area of the building. Contractor shall be aware of where all their workers are at all times as well as make sure that no tools or equipment are left unattended in the construction area.

Contractor shall make sure that the construction work does not impede on any normal employee and patient traffic patterns during normal working hours (between 7:00 am – 4:30 pm). Portions of this project must be conducted after-hours. Due to the high traffic area, the contractor shall complete a substantial amount of the work after hours and with extensive coordination with the COR.

Work shall begin within ten (10) days of Notice to Proceed (NTP) and completed within ninety (90) days of NTP.

Payment and Performance Bonds are required and the penial sum of each shall be One-hundred percent (100%) of the order price.

2) Contractor is responsible to verify all site conditions prior to performing any work. Contractor shall follow all guidelines and standards, applicable to the task, as described in the Construction Safety Standards (CVAMC specific document) and Master Construction Specifications (VA Technical Information Library https://www.cfm.va.gov/til/spec.asp).

3) Flooring: The flooring replacement shall occur in six (6) buildings, as indicated below, which are throughout the CVAMC campus. Submittals shall be approved by and Contracting Officer (CO) and COR prior to commencing work. Submittals shall consist of detailed materials cut-sheets detailing manufacturers specifications, warranties, recommendations, installation and maintenance instructions, etc.

No installation shall commence until all products are submitted for review and approved by the COR. This floor will not include an integral cove base. Existing rubber cove base will be replaced. All flooring shall be installed in the proper directional pattern if applicable. Appropriate transition strips will be installed throughout where necessary. Minimum standards of workmanship shall be adhered to.

Extensive and compatible sub-floor preparation will include removal of old floor and sub-base where required, install new subfloor repairs and/or level, seal, and warranty for three (3) years. Per the manufacturer’s specifications, the proper transition strips will be installed between different types of flooring. Caulk where necessary. The maximum size of gaps in material is ¼ inch.

Building 1 Executive Suite shall consist of removing the carpet at the first fire door west of the main entrance to building one and continue west until the ‘T’ of the executive offices and continue throughout the remainder of the T’s corridor only. This area is approximately 1,050 ft2. The existing subfloor will be properly scraped, prepared, primed, leveled and underlayment to manufacturer’s specification for installation of the new plank flooring. Approximately 300 linear feet of cove base shall be removed and replaced with a 6” cove base as approved by submittals to the COR. The subfloor shall be leveled for adhering qualities and proper level. A Luxury Vinyl Plank shall be installed approximately 48” x 6” and shall be interlocking with the appropriate underlayment sheeting as required by the manufacturer. Selection of the flooring colors shall be approved by the COR and CO of the CVAMC. Floors shall be interlocking vinyl plank, low maintenance, 10 year commercial warranty. Floors shall be installed in a directional pattern if appropriate.

Task Orders will vary in size from $2,000.00 to $5.5 million and will be awarded and issued by the individual Task Orders awarded and administered by duly appointed federal contracting officers.

SCR 2 PERIOD OF SERVICE

2.1. MATOC period of service shall be up to the maximum value of all projects awarded under the MATOCs and will be limited to $100 million in Task Orders or five years.

2.2. Only the Contracting Officer (CO) executing these contracts and any successor CO has the authority to modify the terms and conditions of these contracts.

2.3. Maximum Order. The maximum Task Order limitation is $5.5 million, excluding subsequent in-scope modifications. The Government may combine several projects, as indicated by separate Statements of Work and individual line items, in one Task Order, as required. The Contractor is not obligated to honor:

2.5. This is not a requirements contract.

SCR 3 ORDERING PROCEDURES FOR COMPETITIVE TASK ORDERS

3.1. Requests for Quotation/Proposals

3.1.1. When the Government requires work under the MATOC, an RFQ or RFP will be issued, as appropriate, normally in the form of a letter “NOTICE OF PROPOSED PROJECT”. Projects will be of varying size and complexity. The request will include information such as a statement of work, guide specifications, drawings, attachments, information pertaining to a site visit and any other requirements for submission (e.g., proposal requirements, price schedule, etc.). Projects may include, but are not limited to, complete plans and specifications for all elements of work or limited specifications. When complete plans and specifications are not provided the VA Master Specifications which can be found at https://www.cfm.va.gov/til/spec.asp will apply for elements of work not addressed by a project specific specification.

3.1.2. The basis of award will be a conforming offer, the price or cost of which may or may not be the lowest. Past performance may be evaluated on work completed under Task Orders under this contract. The basis for award of each Task Order will be stated in the RFQ/RFP. Historically Underutilized Business (HUB)-Zone preference does not apply to Task Orders.

3.1.3. When necessary option line items will be included in the Task Order RFQ/RFP. The task order proposal/quote process is not an Invitation for Bid (IFB). Therefore, additive bid items (ABI) are not applicable to this process. However, work defined in the options of the Task Order RFP/RFQ is normally similar to ABI’s common in the IFB process.

3.1.4. Response to “NOTICE OF PROPOSED PROJECT”

3.1.4.1. Upon receipt of the notification from the CO, the MATOC Contractors shall respond by attending the project on-site conference. The project on-site conference is normally scheduled within five (5) days from issuance of the “NOTICE OF PROPOSED PROJECT”, or two (2) hours under emergency conditions.

3.1.4.2. Notification will be by email. MATOC Contractors shall keep an up-to-date email address on file with the CO at all times. Backup addresses are encouraged. Upon notification the Contractor shall acknowledge receipt of the offering by return email. A CO shall make only one (1) attempt to email a proposal offering to a MATOC Contractor. No other means of notification will be used. The Government will not be responsible for lack of notification(s) for Contractors who fail to maintain current email addresses, or acknowledge offerings.

3.1.4.3. MATOC Contractors will not be reimbursed for proposal preparation, attendance during negotiations, site visits, walk-through or other pre-Task Order costs.

3.1.4.4. In the event that a Task Order is offered in excess of $5.5 million, the Government will follow the guidance with regards to Fair Opportunity to Compete for the Task Order.

SCR 4 TASK ORDER COMPETITION

4.1. Under this contract a wide variety of construction, repair and/or maintenance projects, determined by the CO to be within the scope of this contract, shall be offered to MATOC Task Order Contractors for the purpose of providing a best price or best value proposal. Individual Task Order awards on those projects will be based on competitive bids and proposals received exclusively from MATOC Contractors.

4.2. All eligible MATOC Contractors will be provided a fair opportunity to compete for each project offered under this contract unless the following exceptions apply:

a) The agency’s need for the services or supplies is of such urgency that providing such opportunity to all such Contractors would result in unacceptable delays;

b) Only one such Contractor is capable of providing the services or supplies at the level of quality required because the services or supplies ordered are unique or highly specialized;

c) The task or delivery order should be issued on a sole source basis in the interest of economy or efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity pursuant to the procedures in this clause to be considered for the original order; or

d) It is necessary to place an order to satisfy a minimum guarantee.

e) The CO may consider such factors that the CO, in the exercise of sound business judgment, believes are relevant to the placement of orders.

4.3. Timely performance by a MATOC Contractor is very important. Failure to prosecute the work diligently in accordance with (IAW) the approved construction schedule for any currently awarded Task Order, will be cause for the CO not to include the Contractor in the competitive fair-opportunity pool for future Task Orders. When the Contractor’s delinquency has been cured, they will be considered for competition in future Task Orders.

SCR 5 SITE VISITS

5.1. Offeror’s attendance at site visits (walk-throughs) is considered vital to preparation of competitive and cost-effective offers, and to understanding the total results desired by the Government. However, failure to attend walk-throughs may not be used as an excuse for omission or miscalculation in offers, and may be taken into consideration in determining a Contractor’s eligibility to participate in future Task Orders.

SCR 6 PROPOSAL CONTENTS

6.1. The basis of award of each Task Order will be stated in the RFQ/RFP. Depending upon the requirements of each Task Order, the Contractor will typically provide a price proposal in response to an RFQ/RFP. Contractors shall respond within the number of calendar days stated in the RFQ/RFP by submitting a proposal to the CO IAW requirements stated in the RFQ/RFP.

6.2. Proposal Pricing Schedules. The Government's payment for the items listed in the Pricing Schedules of individual Task Orders will constitute full compensation to the Contractor for (1) Furnishing all plant, labor, materials, equipment, services, appliances, and supervision necessary, and (2) Performing all operations required to complete the work in conformity with the drawings and specifications. The Contractor shall include in the prices for the items listed in the Pricing Schedule all costs for work in the specifications, whether or not specifically listed in the Pricing Schedule.

6.3. Deviations and Alternate Proposals. Offerors shall specifically identify all deviations from the minimum RFQ/RFP requirements in a cover letter in a section entitled "Alternate Proposal” or “Deviations." This requirement applies for all proposal revisions and Final Proposal Revisions. Proposed alternates/deviations shall specifically address in detail the alternate and rationale for proposing. Alternate solutions and deviations shall include separate pricing information. If an alternate/deviation is proposed, the work as specified in the solicitation must also be priced, and all proposed alternates shall be specifically addressed and expanded upon in the proposal submissions to include separate pricing information.

6.4. The non-price factors and price factors will vary depending on the unique requirements for each Task Order. In addition to price the RFP/RFQ may indicate in the offering other factors (Past Performance and/or Technical Considerations) that will be considered in the evaluation offer.

6.5. Past Performance, within a five (5) year period, on previously awarded Task Orders under the WVAMC and CVAMC MATOC or work on any awards completed for the WVAMC and CVAMC. Past performance will be evaluated in terms of quality, timeliness, management effectiveness or other factors that the CO determines to be relevant to award on a particular Task Order. Technical factors may be considered.

SCR 7 TASK ORDER EVALUATION METHOD AND PROCEDURES

7.1. The Government (CO) in making their decisions in award of any individual Task Order, may consider factors such as Past performance on previously awarded Task Order(s) under the MATOC, and take into consideration, quality and timeliness of work performed, and/or other factors that the CO determines to be relevant to the award of a particular Task Order. The primary non-price factors and price factors will vary depending on the unique requirements for each Task Order. The Government intends to select the most advantageous, responsive, and responsible proposal, price and other factors considered. Each RFQ/RFP will describe the criteria to be utilized in evaluating Task Order proposals.

7.2. Discrepancies in the Evaluation of Offers Submitted in Response to RFQ/RFP’s for Individual Task Orders

7.2.1. For the purpose of initial evaluations of offers proposed for individual Task Orders, the following will be utilized in resolving arithmetic discrepancies found on the face of pricing schedule as submitted by the Offeror: (1) Obviously misplaced decimal points will be corrected; (2) Discrepancy between unit price and extended price, the unit price will govern; (3) Apparent errors in extension of unit prices will be corrected; (4) Apparent errors in addition of lump-sum and extended prices will be corrected.

7.2.2. For purposes of price evaluation, the Government will proceed on the assumption that the Offeror intends the proposed price to be evaluated on basis of the unit prices, the totals arrived at by resolution of arithmetic discrepancies as provided above.

7.2.3. The government has the right to reject any and all offers.

SCR 8 TASK ORDER AWARD DECISION

8.1. Whenever possible, award will be made without discussions.

8.2. If discussions are required, each MATOC Contractor will be requested to provide a final proposal revision, unless eliminated from discussions through the establishment of a competitive range.

8.3. Task Order award will be made based on the best value to the Government IAW the criteria described in the RFQ/RFP. When price is the only factor considered, award will be based on the lowest reasonable price received. Proposals unrealistically high or low in price, when compared to the Government estimate, and market conditions evidenced by other competitive proposals received, may be indicative of an inherent lack of understanding of the solicitation requirements and may result in proposal rejection without discussion.

8.4. The award will be firm fixed-priced Task Order with a specific completion date or performance period.

SCR 9 TASK ORDER ISSUANCE

9.1. Task Orders will be issued on a SF 1442 or other VA specified form. Orders will normally be issued electronically by email but may be placed via mail, telephone, facsimile, or electronic means. If mailed, a Task Order is considered "issued" when the Government deposits the order in the mail. The appropriate issuing, administration, and payment offices will be cited on each Task Order.

9.2. Plans and Specifications: The Contractor will be provided either an electronic copy of the Statement of Work (SOW) or one (1) paper copy of the SOW (with pertinent supplemental specifications and construction drawings as applicable) upon issue of each Task Order. All further reproduction shall be at the Contractor's expense. The Government may provide these as hard copy or as electronic media, such as web postings, email or CD-ROM, at its option.

9.3. Notice to Proceed (NTP) will be issued separately after receipt of acceptable performance and payment bonds. Contractor shall not begin work until the NTP is received.

9.4. Ombudsman: If the Contractor believes it was not fairly considered for a particular Task Order, the Contractor may present the matter to the CO. The Contractor may appeal the explanation or decision of the CO to the Ombudsman. 10.1.1. An urgent need exists and seeking competition would result in unacceptable delay; or

10.1.2. Only one Contractor is capable at the level of quality required because the requirement is unique or highly specialized; or

10.1.3. A sole source is in the interest of economy and efficiency as a logical follow-on to an order already competed.

10.2. An RFQ/RFP will be issued requiring a Contractor response consisting of a detailed cost proposal. Task Order negotiations may be conducted if required.

10.3. Requirement for Cost and Pricing Data (10 U.S.C. § 2306a and 41 U.S.C. § 254b) (Sole Source Task Orders)
