SECTION B – SUPPLIES OR SERVICES AND PRICES/COST
B.1 PURPOSE
The purpose of this contract is to acquire performance-based services for the provision of Managed Web Portal services for the Internal Revenue Service (IRS). This effort supports the framework and functionality of the IRS portals services utilized by the American Taxpayer, IRS Employees and Registered Users.
B.2 TYPE OF CONTRACT
This is a single, Indefinite Delivery, Indefinite Quantity (IDIQ) contract with a ten (10) year ordering period (5-year base period, 5 one-year options). The IRS has chosen to pursue an IDIQ contract to reduce lead time to award task orders and maximize the flexibility of selecting contract types appropriate to the specific tasks under consideration.
At the discretion of the Contracting Officer, the Government may use a variety of contract types under this contract, including: Firm Fixed Price (FFP), Fixed Price plus Award Fee (FPAF), and Time and Materials (T&M), or a combination thereof.
Each Request for Task Order Proposal (RFTOP) issued under this contract will identify the Government’s determination of contract type.
B.3 OVERVIEW OF PRICING
The Contractor shall submit a Price book completed with pricing schedules for Labor, Assets and Other Direct Costs (ODC). Section J, Attachment B.1 contains the excel spreadsheet to complete the rate book. The rate book shall serve as a list of the ceiling prices that the Government shall pay for any particular CLIN in any of the task orders issued under this contract.
At the request of either the contractor or the Government, the contractor may throughout the life of the contract propose additional labor categories, rates and descriptions, assets and ODCs that are necessary to support requirements of this contract. These additional CLINs will be negotiated on a case-by-case basis. The additional CLINs proposed, upon determination by the Government that they are fair and reasonable, will be incorporated into the Price Book, Attachment B.1, by modification to this contract.
B.4 MINIMUM OBLIGATED AMOUNT
The IDIQ contract includes an initial obligation of funds in the amount of $25,000 to cover the minimum order guarantee. IRS is required to order and the Contractor is required to furnish the minimum order amount of services.
B.5 MAXIMUM CONTRACT CEILING
This is a single award IDIQ contract with an overall ceiling price of $320,000,000. The maximum aggregate dollar value of task orders awarded to the successful contractor cannot exceed the established contract ceiling.
B.6 DISCOUNTS
The offeror is encouraged to offer any and all discounts for supplies and services provided under future task orders for the managed web portals. The type or amount of discount may vary based on the circumstances of each particular task order and should be proposed in accordance with the Contractor’s pricing policies.
B.7 Most Favored Customer and Price Reductions
All prices under this contract shall be equal to or lower than the Contractor’s, including teaming partners’, and subcontractors’ most favored customer (unless otherwise agreed upon by the Government and the Contractor) as follows:
a) The Contractor shall reduce all CLIN prices included in this contract to be equal to or lower than prices paid by other commercial and Government customers for the same or similar line items.
b) The Contractor shall reduce prices for products and labor services under this contract to be equal to or lower than those paid by other commercial or Government customers for the same or similar services. At a minimum, all prices must be equal to or less than prices established under the General Services Administration (GSA) Federal Supply Schedule Program.
Price reductions shall be subject to the following conditions:
a) The Contractor shall propose all price reductions to the Contracting Officer and Program Management Office.
b) The proposed price reduction shall be effective on the first day of a given invoicing period following the government’s approval.
c) The proposed price reduction shall be applicable to all task orders.
d) Price reduction proposals shall include all contract pricing tables, and the effective date(s) of the price reduction. The Contractor shall provide all revised pricing tables in an electronic format (or formats) to be specified by the Government at the time of submission.
e) Should the Government execute a price reduction modification on a date after the proposed price reduction effective date, the price reduction shall be deemed to have occurred on the first day of the next invoicing period for that service, following the proposed price reduction effective date.
Price reductions will become effective beginning the billing period after the Government makes a written “Notice of Price Adjustment.” This written notice will be followed by a price reduction modification to the contract.
All contractor proposed price reductions must be agreed to by the Government. In some instances, the Government may not agree to the price reduction, especially if the proposed price reduction may result in incompatibility with other IRS systems. If the Contractor does not agree with the Government’s “Notice of Price Adjustment”, they shall provide a “Notice of Disagreement” to the Government within 30-days of receipt of the price adjustment notice. If agreement cannot be reached within five (5) business days after issuance of the “Notice of Disagreement,” the disagreement will be resolved in accordance with the provisions of the “Disputes” clause in Section I.1 (FAR 52.233-1).
B.8 CONTRACTOR BENCHMARKING
The IRS will apply program benchmarking methods in order to evaluate that: (a) program service levels are no less favorable than industry's best practices; and (b) program fees are no less favorable than the industry's best rates. The Contractor shall propose a programmatic benchmarking framework and process with the following minimum requirements:
Upon contract award, the Contractor shall retain an independent contractor to conduct an annual program benchmark study that shall enable the IRS to compare fees and service levels and to ensure IRS fees and service levels are comparable to current market rates and service levels for such services.
The program benchmark shall be conducted by an independent industry-recognized benchmarking service provider proposed by the Contractor and agreed to by the IRS. The benchmarking service provider shall: (i) be independent, (ii) have demonstrable and substantial experience in performing information technology benchmarks, (iii) have ready access to suitable peer level fee and service level data sources, (iv) agree to maintain the confidentiality of all data, and (v) have no conflicts of interest with respect to the contractor or IRS.
The program benchmark shall be conducted in a manner that is fully transparent to the IRS.
The benchmark service provider will suitably adjust all IRS data to facilitate relevant peer level fee and service level comparisons including factors such as: (i) geographic location of the peer companies, (ii) industry differences affecting information technology costs, (iii) economies of scale, (iv) workload and complexity aspects, (v) service level objectives, (vi) duration and nature of the contractual commitment, and (vii) overhead costs. Once peer level fee and service level data are adjusted and approved by the IRS, the adjusted peer data will be considered the programs accepted market-based standard for comparable services.
If the benchmark service provider reports that the Contractor’s aggregate fee is greater than 105% of the accepted market-based standard for comparable services (after adjusting for peer differences), then the Contractor shall incorporate reduced fee elements into all current and subsequent task order cost schedules such that IRS aggregate fees are at 100% of the accepted market-based standard for comparable services.
If the benchmark service provider reports that IRS service level standards, provided by the contractor based on the price charged for that service level, are materially below prevailing market standards (after adjusting for peer differences), IRS service level standards will be increased for all current and subsequent task order service level agreements to match applicable service levels contained in the benchmark results.
Prior to commencing a program benchmark, IRS and Contractor shall agree on the specific services to be included within the scope of the study. At a minimum, a benchmarking report covering the requirements identified above must be provided.
At IRS’ sole discretion, IRS may opt to forego the annual benchmark or some portion of the annual benchmark. Exercising this option in no way relieves the Contractor from providing future program benchmarks. All costs associated with the identified benchmarking process will not be separately priced within issued task orders.
B.9 FEES
Award Fees will be up to 10% of the aggregate total of all designated fixed price award fee (FPAF) task orders issued during an evaluation period.
