3.2.2.8-2 Variation in Quantity (October 2019)

(a) A variation in the quantity of any contract item will not be accepted unless the variation has been caused by conditions of loading, shipping, or packing or allowances in manufacturing processes, and then only to the extent, if any, specified in paragraph (b) below.

(b) The permissible variation must be limited to: 10% increase and 10% decrease. This permissible variation must be limited to Fabricated Racks and Mod Kits

3.8.2-22 Substitution or Addition of Personnel (October 2006)

(1) The Contractor must assign only those individuals whose resumes, personnel data, or personnel qualification statements have been submitted and determined by the Contracting Officer to meet the minimum requirements of the contract. The Contractor must not substitute or add personnel except in accordance with this clause.

(2) Substitution of Personnel.

(a) For the first [CO to insert information] days of contract performance, the Contractor must not substitute personnel for the individuals whose resumes or other personal qualification were submitted with its offer and that were determined by the Contracting Officer to be acceptable at the time of contract award, unless such substitutions are because of an individual's sudden illness, death, or termination of employment. In any of these events, the Contractor must promptly notify the Contracting Officer and propose substitute personnel as required by paragraph (4) below.

(b) If an individual becomes, for whatever reason, unavailable for work under the contract for a continuous period exceeding thirty (30) working days, or is expected to devote substantially less effort to the planned work, the Contractor must propose a substitute personnel as required by paragraph (4) below.

(3) Addition of Personnel. If an FAA requirement will increase the specified level of effort for a designated labor category, but not the overall level of effort of the contract, then the Contractor must notify the Contracting Officer to add personnel to the designated labor category. The Contractor must request added personnel as required by paragraph (4) below.

(4) Request and Review. The Contractor must submit the request for substitute or added personnel in writing to the Contracting Officer at least [CO to insert information] days (if a security clearance must be obtained, at least [CO to insert information] days) before the proposed date of substitution or addition.

The Contractor's request must provide a detailed explanation of the circumstances causing the proposed substitution or addition, a complete resume for the proposed substitute or added personnel, and any additional information required by the Contracting Officer. Proposed substitutes and added personnel must have qualifications equal to or higher than those stated in the contract for the labor category. The Contracting Officer will evaluate the Contractor's request and promptly notify the Contractor of the decision to accept or reject the qualifications of the substitute or added personnel.

(5) The Contracting Officer may terminate the contract if the Contractor has not made suitable, timely, and reasonably forthcoming replacement of personnel who have been reassigned or terminated or otherwise become unavailable to work under the contract or the resulting loss of productive effort would impair the successful completion of the contract. Alternatively, if the Contracting Officer finds the Contractor to be at fault for the condition, then the Contracting Officer may equitably adjust (downward) the contract price or fixed fee to compensate the Government for any delay, loss or damage as a result of the Contractor's action.

F.2 PERIOD OF PERFORMANCE

This contract is for a base period of four (4) years, two (2) two-year option periods and two (2) one-year option periods.

F.3 TYPE OF CONTRACT

This is an Indefinite Delivery, Indefinite Quantity (IDIQ) contract for Firm Fixed Price (FFP) Contract Line Item Numbers (CLIN) and Time and Material (T&M) CLINs.

F.4 DELIVERY SCHEDULE

The FAA will provide specific delivery schedules within each task order issued. For CLINs X001A, X001B, X001C, and X001D, the Contractor must provide, within seven (7) calendar days from the date of task order, a schedule that identifies the first delivery date and quantity and provides the quantity of units that it is able to be delivered each month thereafter. The Contractor must deliver First Article Examination Racks, Fabricated Racks, Mod Kits, Site Kits and Rack Subassemblies in accordance with Table F-2.

F.5 PLACE OF DELIVERY (DOCUMENTS AND EQUIPMENT)

F.5.1 DELIVERY OF DOCUMENTS

The Contractor must submit all deliverable documentation items in accordance with instructions identified in the Contract Data Requirements List (CDRLs). All CDRLs must be delivered by electronic mail as specified in Attachment J2, CDRLs and DIDs or other documentation.

The Contractor must submit and post CDRLs and other documentation electronically to the FAA Air Ground Voice Communications (AGVC) Knowledge Services Network (KSN) as instructed by the CO.

The Contractor must limit access to the FAA KSN to employees who are responsible for documentation submission. The Contractor must notify the Government immediately if any Contractor employee who has access to the FAA KSN site is no longer employed by the Contractor, changes functions, or otherwise no longer requires access to the FAA KSN.

The Contractor must notify the COR and the CO by email when copies of the documentation have been submitted and posted to the FAA AGVC KSN site.

F.5.2 SHIPMENT AND DELIVERY OF EQUIPMENT

Unless otherwise specified in Form 4500-1 Project Material Shipping Notice/Receiving Report, or as directed by the Contracting Officer’s Representative (COR), equipment must be shipped in place. The Contractor must adhere to the following requirements:

1. Unless otherwise specified in a task order or by the COR, the Contractor must coordinate with the FAA Headquarters Material Management Representative to obtain Form 4500-1. This form must be included with the shipment. Coordination must occur prior to shipment.

2. IAW with FAA guidelines, the Contractor must generate and complete FAA Form(s) 4650-12, Material Requisition/Issue/Receipt, for all locations being provided fabricated racks, mod kits, site kits and subassemblies, and include copies with shipment. The Contractor must provide copies of the form(s) to the AGVC Materiel Manager prior to shipment. The AGVC Materiel Manager will provide the Contractor with a unique Project Control Number (PCN) for each location receiving a rack, mod kit, site kit or subassembly shipment. The Contractor must include the PCN on each FAA Form 4650-12. The AGVC Program Office (PO) will advise the Contractor if inside delivery is required for the shipment.

3. The Contractor must select a shipping company, approved by the CO, and make the necessary shipping arrangements to provide for timely delivery.

4. Partial shipments are not authorized unless approved in advance by the CO. The CO will only authorize a partial shipment if the CO determines that a partial shipment is necessary or will benefit the FAA.

F.6 PLACE OF PERFORMANCE (SERVICES)

Each task order will specify the place of performance for the services in scope of that task order.

However, performance of work related to the SOW Sections C.4 (CONTRACT MANAGEMENT), C.5.1 (PROPERTY/WAREHOUSE MANAGEMENT), and C.6 (FABRICATED RACKS, MOD KITS, SITE KITS AND RACK SUBASSEMBLIES) and will occur at:

Ontario SSC 1130 S. Archibald Avenue Ontario, CA 91761

Operational hours at this facility consist of 4-days per week (Monday – Thursday) from 6:00 a.m. until 4:00 p.m.PST/PDT unless otherwise stated.

The construction/installation support effort will be at government facilities in various locations throughout the United States. The Duty Station of each construction/installation support floating crew will be identified to the FAA prior to the start of work. All work on this contract will be at Government property, facilities operated by the Government, and facilities that house Government equipment, but are not operated by the Government. The only exception to this may be a Program Management Review or other meetings scheduled at a Contractor or other (e.g., hotel) facility.
