SECTION C - DESCRIPTIONS AND SPECIFICATIONS

The following have been modified:

I. GENERAL

a. USS LEWIS B. PULLER FISCAL YEAR 2025 (FY-25) VOYAGE REPAIR AVAILABILITY (VRA): The Contractor shall prepare for and accomplish the FY-25 VRA of the USS LEWIS B.

PULLER at the Contractor’s facility. The scope of work will consist of repair and maintenance packages from the Military Sealift Command (MSC) and Forward Deployed Regional Maintenance Center

(FDRMC):

Attachment J-2(a): MSC Work Package (consisting of 8 work items); and Attachment J-2(b): FDRMC Work Package (consisting of 27 work items).

b. PLACE OF PERFORMANCE: Taranto, Italy

c. TASKS. The tasks include, but are not limited to the following:

1. Provide the management, procurement, production, testing, quality assurance, technical capability, and resources necessary to prepare for and accomplish the repairs and alterations in accordance with the requirements stated herein, the contract work specifications, and the additional work specifications, if necessary, within the availability time period specified in Section F of this contract.

2. Accomplish planning and scheduling to ensure timely procurement of Contractor Furnished

Material/Contractor Furnished Property (CFM/CFP) and receipt, storage, and installation of Government Furnished Property (GFM/GFP) (in accordance with FAR 52.245-1, 52.245-9, DFARS 252.245-7003 and 252.245-7004) and cited in Attachments J-2(a) & (b) (Work Specification Package), Attachment J-3(a) & (b) (References) and Attachment J-4 (Government Furnished Material (GFM) List).

3. Apply U.S. Government (NAVSEA and/or MSC Standard depending on the work item) approved quality control procedures as required by this contract and the work specification package to ensure procured material and performed production work conform to the required quality standards. If a European equivalent standard is authorized, the specification package will specify.

d. PERIOD OF PERFORMANCE: 09 April 2025 – 23 April 2025.

e. WORK ITEM CATEGORIES: There are three (3) categories of work items in this requirement:

1. Category A/Base Work Items includes all base work items for which firm fixed pricing was established at Contract Award.

2. Category B/Optional Work Items includes “optional” work items earmarked for potential additional repairs, labor, materials, or services, whereby the firm fixed price established at Contract Award may be invoked by the Government through option exercise up to the Delivery Date. The Government may exercise the option for the total amount of work item or for a lesser amount depending on the unit quantity and nature of the work item.

3. Category NSP Work Items identifies work items without an associated fixed price that provide procedures and/or regulations which must be followed by the Contractor and subcontractor(s) in the accomplishment of all work requirements. Only Category A/Base and Category B/Optional work items are to be priced. NSP items shall not be priced.

f. RECONCILIATION: Any package work item (Category A or B) priced based on or with an estimated quantity/scope component with a remaining balance based on the estimate at the completion of the availability shall be subject to recoupment via a contract modification.

g. MARAV AGREEMENT CLAUSES: Throughout the contract, mandatory FAR clauses have been included; however, Section I includes comparable clauses that apply specifically to holders of Master Agreement for Repair and Alteration of Vessels ship repair efforts (‘Master Agreement’). These include, but are not limited to:

h. VOYAGE REPAIR WORK ITEMS description: The work items to be accomplished during the availability are provided within Attachment J-2(a) & (b) (Work Specification Package).

i. ADMINISTRATION OF WORK SPECIFICATION PACKAGES (MSC and FDRMC):

a. Attachment J-2(a) & (b) – Work Specification Packages: Attachment J-2 consists of work specification packages from MSC (Attachment J-2(a)) and FDRMC (Attachment J-2(b)). These packages may invoke different references and standards (e.g., MSC, NAVSEA)). The Contractor is responsible for performing the contract in accordance with all MSC and FDRMC work items and supporting references and standards.

b. Contracting Officer Representative (COR): MSC and FDRMC will each have a designated COR to manage performance of their respective work package.

j. ADDITIONAL REPAIRS DISCOVERED DURING CONTRACT PERFORMANCE: If additional Government Requirement (AGR) work is discovered during performance of the contract, the Contracting Officer will determine if it is considered growth or new work after following the required contracting procedures as outlined below:

a. Growth Work: Growth work is defined as additional work discovered during contract performance that is associated with an existing work item and determined necessary to accomplish the original scope of that work item successfully. The AGR Labor Rate and Subcontractor/Material Burden Rate proposed are ceiling rates, which will be applied to all growth work issued under the contract. The Contractor may propose lower rates, however, its proposed AGR Labor Rate and Subcontractor/Material Burden Rate shall not exceed the rates proposed in Attachment J-1 Pricing Worksheet ‘J-1 Summary’ Tab.

b. New Work: New work is defined as additional work that cannot be reasonably tied to an existing work item in the specification package, but is still necessary for the satisfactory completion of the vessel overhaul effort. The AGR Labor Rate and Subcontractor/Material Burden Rate are ceiling rates, which will be applied to all new work issued under the contract. The Contractor may propose lower rates, however, its proposed AGR Labor Rate and Subcontractor/Material Burden Rate shall not exceed the rates proposed in Attachment J-1 (Pricing Worksheet) ‘Summary’ Tab. New work will be negotiated and agreed to by both parties utilizing rates not higher than the AGR Labor and Material/Subcontractor Burden Ceiling Rates. The Contractor may request consideration of a higher rate, however, the Contractor bears the burden of proving the higher rate is justified and shall submit supporting documentation demonstrating the basis for its request. Application of a higher rate will be made at the sole discretion of the Government based on the Contracting Officer’s review of the Contractor’s provided substantiating documentation in accordance with FAR 15.404-1.

k. CONDITION FOUND REPORT (CFR) SUBMITTAL: As a result of a discrepancy found between a work item requirement and the current conditions of the vessel, or a needed repair found during the Open and Inspect (O&I) phase, the Contractor shall identify needed repairs and recommend corrective action during contract performance for work/deficiencies discovered which are not covered by the existing work package. The CFR must be submitted within three (3) working days of discovery of the condition and shall include a description of the condition/deficiency and timeframe for resolution. The Contractor shall submit a CFR to the MSC/FDRMC CORs (who will be designated in Section G following Contract Award) and the Contracting Officer. The Government team will review the CFR. If the CFR is inadequate or incomplete, it will be rejected with time continuing to accrue (relative to the three (3) day requirement). Accuracy of CFR submissions may be evaluated in CPARS and utilized for past performance ratings on future requirements.

l. CONTRACT CHANGE ORDERS (CCOs) / REQUESTS FOR CONTRACT CHANGE (RCC) -

REQUIRED RESPONSE DOCUMENTATION: In the event a CFR is evaluated and approved, a CCO (if MSC work item) or RCC (if FDRMC work item) will be generated and issued to the Contractor.

The Contractor shall submit a price proposal within three (3) working days of the receipt of the Government's request for a proposal, or within such time as provided in writing by the Contracting Officer. A Contractor’s proposal shall remain valid for a minimum of 14 calendar days, unless otherwise specified by the Contracting Officer; if another timeline is specified by the Contracting Officer, the Contractor’s proposal shall remain valid for that amount of time.

a. Required Documentation:

1. The Contractor shall furnish a proposal in response to each CCO/RCC. Each proposal must include:

a. Prime Contractor Labor Hours. Proposal shall include Labor Hours with Total Labor Cost, utilizing the AGR Labor Rate incorporated into the contract via Attachment J-1 (Pricing Worksheet).

b. Subcontractor Price Breakdown. If the proposal includes subcontractor labor/materials, it shall include, but not be limited to: Number of Labor Hours, Total Labor Cost, any other costs associated with personnel (Travel and Per Diem) and Material/Equipment information including Part Number, Order Quantity, Unit Price and Total Price.

c. Material/Equipment Price Breakdown. The Contractor must provide pricing for all required material/equipment with the following information: Part Number, Order Quantity, Unit Price, and Total Price.

A. The Contractor shall apply its Subcontractor/Material Burden Rate to the subcontractor and/or material costs (as applicable), as incorporated into the contract via Attachment J-1 (Pricing Worksheet).

2. In accordance with FAR 15.402(a)(2), the Contracting Officer reserves his/her right to request labor breakdowns by CCO/ RCC paragraph and trade, as well as all supporting subcontractor and material quotes or invoices.

b. Late Submissions: The Contractor's failure to submit its proposal within the three (3) working day period, or such period of time as directed by the Contracting Officer, may be considered a failure of the parties to negotiate a fair and reasonable price for the work. The Contracting Officer may take any of the following three (3) options:

1. Have the work performed by the Government;

2. Issue a unilateral authorization/not to exceed; or

3. Cancel the requirement.

The Contractor knowingly and voluntarily waives all claims against the Government and/or other third-party contractors for delay, disruption, loss of efficiency, or other impact arising out of or related to the presence of Government or other third-party contractor employees performing additional repairs discovered during contract performance at the Contractor's facility. Furthermore, in cases described in subparagraphs “1” and “2” above options, the Contractor waives any right to claims of interference under the DFARS 252.217-7011 - Access to Vessels.

m. DESCOPING OF REQUIREMENTS: The Government reserves the right to descope this contract at any time and for any reason. Descopes are incorporated into the contract via descoping CCO(s)/RCC(s) and can either be a partial deletion of paragraph(s) from the work specification or deletion of a work item in its entirety. The Government will rely on the labor rates and prices entered in Attachment J-1 (Pricing Worksheet) for negotiating and settling CCO(s)/ RCC(s).

1. Deletion of Work from Basic Work Package: Partial or full work item deletion CCOs/RCCs from the basic work package will be deleted at the basic labor rate and material rates as entered for that individual work item in the ‘Summary’ tab of Attachment J-1 (Pricing Worksheet).

2. Deletion of Settled Growth/New Work: Partial or full work item deletion CCOs/RCCs from settled growth work or new work will be deleted at the AGR rates proposed in response to the applicable CCO/RCC, not exceeding the AGR Labor and Material/Subcontractor Burden ceiling rates as entered in the AGR Section in the ‘Summary’ tab of Attachment J-1 (Pricing Worksheet).

n. CRITICAL WORK AUTHORIZATIONS: The Contractor shall accept any form of electronic media or verbal Authorizations to Proceed (ATP) and NTE obligations from the Contracting Officer during and after normal hours, including weekends and holidays. Any verbal authorization will be followed up by written confirmation by the Contracting Officer within 48 hours.

a. The Contracting Officer may require the Contractor to proceed with growth/new work before a firm-fixed price can be mutually agreed upon. In these cases, the Contracting Officer shall provide a NTE amount and a date by which parties will finalize pricing. The Government will use the Contractor’s AGR rate(s) when establishing the NTE amount. The Contractor shall promptly begin work after receiving verbal or written direction by the Contracting Officer. The Contractor shall then submit a proposal in accordance with the Contracting Officer’s provided schedule. The contract will be modified to adjust the ceiling amount after evaluation and acceptance of the Contractor’s proposal. The Contractor is responsible for any delay in completing work due to failure to comply with the Contracting Officer’s direction.

o. AUTHORIZED CHANGES ONLY BY THE CONTRACTING OFFICER: Except as specified in the paragraph directly below, no order, statement, or conduct of Government personnel who visit the Contractor's facilities or in any other manner communicate with Contractor personnel during the performance of this contract shall constitute a change under FAR 52.243-1/DFARS 252.217-7003 clauses of this contract.

1. The Contractor shall not comply with any order, direction, or request of Government personnel unless it is issued in writing and signed by the Contracting Officer, or is pursuant to specific authority otherwise included as a part of this contract.

2. The NAVSUP Fleet Logistics Center Sigonella (FLCSI) Code 200 Contracting Officers are the only persons authorized to approve changes in any of the requirements of this contract and notwithstanding provisions contained elsewhere in this contract, the said authority remains solely with the NAVSUP FLCSI Code 200 Contracting Officers. In the event the Contractor effects any change at the direction of any person other than the Contracting Officer, the change will be considered to have been made without authority and no adjustment will be made in time required for performance or the contract price to cover any increase in charges incurred as a result thereof.

3. If the Contractor believes it was directed to perform work outside the scope of the contract, it shall notify the Contracting Officer immediately.

p. FOREIGN NATIONAL ACCESS TO NAVAL VESSELS:

1. No person known to be a foreign national shall be eligible for access to naval vessels, work sites and adjacent areas when said vessels are under construction, conversion, overhaul, or repair, except upon a finding by the COR or his designated representative that such access should be permitted in the best interest of the United States. The Contractor shall establish procedures to comply with the requirements of this clause in effect on the date of this contract or agreement. Pursuant to SECNAV M-5510.1, ‘Foreign Disclosure Manual’ dated June 2019, Appendix A, ‘Foreign National’ is defined as a person who is not a citizen or national of the United States.

2. If the Contractor desires to employ foreign nationals in the performance of work under this contract, approval must be obtained prior to access. To request such approval, the Contractor shall submit, as part of its proposal to NAVSUP FLCSI, an Access Control Plan (ACP) (Attachment S-3) which shall contain as a minimum, the following information:

- A badge or pass oriented identification, access, and movement control system for foreign national employees with the badge or pass to be work on or displayed on outer garments at all times while on the contactor’s facility and when preforming work aboard ship.

i. Badges must be of such design and appearance that permits easy recognition to facilitate quick and positive identification.

ii. Access authorization and limitations for the bearer must be clearly established and in accordance with applicable security regulations and instructions.

iii. A control system, which provides rigid accountability procedures for handling lost, damaged, forgotten, and no longer required badges, must be established.

iv. A badge or pass check must be performed at all points of entry to the Contractor’s facilities or by the COR or his designated representative for work performed on vessels outside of the Contractor’s plant.

3. The Contractor’s plan for ascertaining citizenship and for screening employees for security risk.

4. Data reflecting the number, nationality, and positions held by foreign national employees, including procedures to update data as foreign national employee data changes, and pass to NAVSUP FLCSI.

5. The Contractor’s plan for ensuring subcontractor compliance with the provisions of the Contractor’s

ACP.

6. These conditions and controls are intended to serve as guidelines representing the minimum requirements of an acceptable ACP. They are not meant to restrict the Contractor in any way for imposing additional controls necessary to tailor these requirements to a specific facility.

a. To request approval for foreign national employees, the Contractor shall include in its ACP the following employee data: name, place of birth, citizenship (if different from place of birth), number of years employed by the Contractor, position, and stated intent, if any, concerning U.S.

citizenship. The COR or his designated representative will make individual determinations of desirability of access for the above group. Until written approval is received, the Contractor must deny access to vessels for employees who are foreign nationals.

b. The Contractor shall fully comply with approved ACPs. Noncompliance by the Contractor or subcontractor shall cancel any authorization previously granted, in which case the Contractor shall be precluded from the continued use of foreign nationals on this contract until such time as compliance with an approved ACP is demonstrated and upon a determination by NAVSUP FLCSI that the Government’s interests are protected. Further, the Government reserves the right to cancel previously granted authority when such cancellation is determined to be in the Government’s best interest. Use of foreign nationals, without an approved ACP or when a previous authorization has been cancelled, will be considered a violation of security regulations.

Upon confirmation by NAVSUP FLCSI of such violation, this contract may be terminated for default.

c. Prime Contractors have full responsibility for the proper administration of the approved ACP for all work performed under this contract regardless of the location of the vessel and must ensure compliance by all subcontractors, technical representatives and other persons granted access to U.S. Navy vessels, adjacent areas, and work sites.

d. In the event the Contractor does not intend to employ foreign nationals in the performance of work under this contract, but has foreign national employees, such employees must be precluded from access to the vessel and its work site and those shops where work on the vessel’s equipment is being performed. The ACP must spell out how non-U.S. citizens are excluded from access to contract work areas.

e. The same restriction as in paragraph (d) above applies to other foreign nationals who have access to the Contractor’s facilities, (e.g., for accomplishing facility improvements, from foreign crewed vessels within its facility, etc.).

II ADDITIONAL GOVERNMENT REQUIREMENT (AGR) – LABOR RATE & SUBCONTRACTOR /

MATERIAL BURDENED PERCENTAGE:

a. The Contractor agrees to absorb up to 2,133 labor hours and $46,720.94 in materials/subcontracts, fully burdened, to complete expected, within scope growth and new work on the USS LEWIS B PULLER FY-25 VRA work package.

b. The Contractor agrees that the growth work identified in paragraph (a) above, if tasked, shall be performed, purchased, and installed concurrently with the work items, without impacting, accelerating, or causing delay or disruption to the work required by the CAT A/Base and CAT B/Optional work items, to any other Government contract, or to any other work in progress for the Government.

c. The Contractor’s proposed AGR Labor Rate, which represents the complete and full for all the direct labor costs, (e.g. straight time, overtime, premium time, shift differential, holiday time, and standby time) and the proposed Subcontractor and Material burden percentage are used for pricing changes negotiated during the contract. The Contractor’s proposed AGR Labor rate and Subcontractor and Materials burdened percentage (if proposed) shown in the Attachment J-1 are not subject to FAR 52.243-1 ‘Changes – Fixed Price’ or DFARS 252.217-7003 ‘Changes’ clauses and are considered within the scope and pricing of this contract and shall be used for negotiating all growth and new work to be performed during the availability, irrespective of whether the AGR tasked exceeds the estimate in paragraph (a) above. In accordance with FAR 52.217-7, Option for Increased Quantity, the Contracting Officer will notify the Contractor in writing, when invoking AGR with the submission of the first Contract Change Order (CCO). The Contractor may propose lower rates; however, its proposed AGR Labor Rate and Subcontractor and Material Burden Rate shall not exceed the rates proposed in Attachment J-1. In the event of an extension, the AGR Labor Rate and Subcontractor/Material Burdened Rate shall be utilized for up to three (3) months after the Delivery Date reflected at Contract Award.
