i. Current Employees: Provide a time and date stamped screen capture (or equivalent) from the employer’s payroll system dated within 60 days of proposal submission for each current named employee. Fully explain all pertinent data on the screen capture. The Government must be able to derive the direct rate from the screen capture information provided by the offeror. If proposed direct labor rates vary from actual wages of personnel, explain the basis for those rates.

ii. Contingent Hires: Any proposed contingent hires shall be identified and provide justification for the wage rate. The proposed direct labor rates shall trace to supporting justification. Proposed rates for contingent hires will only accepted if they are supported by a letter of intent. Letters of intent must specify the position/labor category the employee will fill. Letters of intent must be signed by both the employer and the employee within 60 days of proposal submission.

iii. Unnamed/TBD Labor Rates: If neither payroll data nor a signed letter of intent is available, Offerors shall list the individual as “TBD”. The basis for all "TBD" employee rates proposed shall be detailed with specificity to include providing sufficient information necessary to enable the government to understand why the proposed rates are what the Offeror could realistically expect to pay to attract and retain qualified personnel. Offerors shall also consider the labor rates for the Bureau of Labor Statistics (BLS) equivalent categories identified in the table below. These BLS rates reflect the Government’s best approximation of the wage for each labor category considering the level of complexity and experience necessary for the associated eCraft labor categories identified.

iv. For Service Contract Act (SCA) covered labor categories, Offerors shall propose direct labor rates that, at a minimum, meet the specified minimum rate applicable to the employee.

Annual labor hours by labor category – Use the Government estimated annual labor hours delineated below to develop the proposal and prepare the Cost Summary Format Section J Attachment.

Annual labor escalation: Labor escalation should reflect all factors that would increase an employee’s direct hourly rate to include promotion, other merit increases, and cost of living increases. Offerors (Prime and subcontractors) shall provide the following information for analysis of the offeror’s proposed escalation of direct labor costs:

i. Offerors shall provide a narrative explanation of the escalation percentage(s) proposed and how/when the escalation rate is applied in the base period and each option period.

ii. Offerors shall describe the offeror’s corporate raise policy (e.g. raises are given on individuals’ anniversary dates, or all employees receive raises on the same date each year. If the answer is the latter, provide the date).

iii. Offerors shall provide three years of historical documentation supporting the labor escalation proposed.

Indirect expense rates: The Offeror shall provide a written narrative describing the basis of estimate for all proposed indirect expense rates. The Offeror shall submit any information reasonably required to explain the estimating process, including actual indirect expense rates for the last three years. Information should include, the judgmental factors applied and the mathematical or other methods used in the estimate. Offerors shall not propose rates reflecting unapproved reduced indirect rates based upon speculation of becoming the successful Offeror of this contract. Offerors shall provide their most recent three-year history of actual rates incurred for each proposed indirect rate. In addition, this history shall include the Offeror’s most recently completed fiscal year even if the rates are considered preliminary and have not yet been submitted to DCAA for audit. Note whether the actual rates have been audited by DCAA or any other independent organization.

Specifically state which indirect rates have been approved by DCAA for provisional billing . Explain individual rate fluctuations greater than 10%. In addition, if the Offeror uses rates in developing its proposal that are at variance from its historical rate data, the Offeror shall provide a justification for the difference, including sufficient supporting cost data.

Provide an overview of the company’s indirect cost rate structure used for estimating purposes. The Government suggests that Offerors’ proposals include a schedule similar to the one below, which identifies the name of each cost burden center and related allocation base. Offerors must describe each indirect cost pool. Describe or list the major cost components that make up the indirect cost pool. Offerors must describe the allocation bases used in the computation of indirect cost rates. Describe or list the cost elements that comprise each allocation base.

Name of Burden Center Allocation Base

(i.e. the cost base to which the rate is applied)

If formal forward pricing rate agreement (FPRA) has been negotiated and is the basis for proposed indirect expense rates, provide a complete copy of the FPRA. If in the Offerors opinion, the FPRA is too voluminous to include in its Price/Cost volume, then so state and identify the company’s cognizant Defense Contract Management Agency (DCMA) and Defense Contract Audit Agency (DCAA) office and provide current contract information for each.

If the Offeror proposes an indirect rate caps, it shall propose a clause to be incorporated into Section H of the resulting contract which enforces such cap(s). Rate caps may not be accepted if the government determines they poise undue risk to the government. . A composite cap or maximum including all burdens applied to direct labor is preferable to individual rate caps or maximums. The following draft rate cap clause is acceptable to the Government. Should the

Offeror elect to propose an alternate, it shall cover the same substance as is contained in the draft clause.

PROPOSED INDIRECT COST RATE CAPS

(a) Pursuant to FAR 42.707, indirect cost rate caps may be proposed. "Indirect cost" is defined at FAR 2.101 and 31.203. "Indirect cost rate" is defined in at FAR 2.101.

(b) Notwithstanding the clause of this contract entitled "ALLOWABLE COST AND PAYMENT" (FAR 52.216-7), the allowable indirect costs under this contract shall be obtained by applying limitations on indirect cost rates to bases agreed upon by the parties, as specified below.

(d) For the duration of this contract, the indirect cost rate caps contained in the Contractor's accepted contract proposal shall be incorporated into the contract schedule as limitations on indirect cost rates for each Contractor fiscal year of contract performance. The bases to which the indirect cost rates apply shall be those contained in the Contractor's accepted contract proposal and incorporated into the contract schedule, in accordance with the Contractor's accounting system upon which its proposal was based.

(e) Pending establishment of indirect cost rates for any subsequent Contractor fiscal year (or other period agreed to by the parties), the Contractor shall be reimbursed either at the rates fixed for the previous fiscal year or at billing rates acceptable to the Contracting Officer, subject to appropriate adjustment when the final indirect cost rates for that period are established.

(f) The Government will not be obligated to pay any additional amount should any final indirect cost rates for any Contractor fiscal year of contract performance exceed the indirect rates incorporated into the contract schedule. In the event any of the Contractor's final indirect cost rates are less than the indirect cost rates incorporated into the contract schedule, the incorporated rates shall be reduced to conform with the lower rates.

(g) Reserved

(h) The limitations on indirect cost rate shall not change any monetary ceiling, contract obligation, or specific cost allowance or disallowance provided for in this contract. If facilities capital cost of money is proposed as an allowable cost, the rates proposed shall be subject to the limitations imposed by this requirement.

(i) The limitations on the indirect cost rate shall apply to all work performed under the contract, and to all change orders and supplemental agreements, including changes due to growth, supplemental, emergent and new work.

(j) Notwithstanding any of the terms of this requirement, should the Contractor initiate a change to its accounting systems which would alter the composition of any overhead base or pool effected by this requirement, the Contracting Officer and Contractor shall negotiate to determine the rate ceilings to be applied to the new overhead pools, provided that no agreement shall be made which would increase the costs paid by the United States under this contract.

(k) The limitation on indirect cost rates specified in the Contractor's cost proposal shall be the rates used to compute the costs in the Contractor's cost proposal upon which the award is based.

Labor Tripwire. Offerors shall identify any individual (prime and subcontractor) whose fully burdened labor rates exceed $183 per hour. If the individual is a subcontractor, the fully burdened hourly rate includes the prime contractor’s pass thru and fee rates. The build-up (i.e. employee direct labor rate, indirect rates, fee, etc.) of the individual’s fully burdened hourly labor rate shall be provided. Offerors shall fully justify why the proposed individual is required for contract performance and the specific benefit to be derived from the individual’s participation.

Subcontractor/Consultant Costs, if any: The Offeror shall state the planned subcontract type and pricing arrangement for each proposed subcontractor. Subcontractors’ proposals shall include subcontract cost data in the SAME LEVEL OF DETAIL as provided by the Prime Offeror. All subcontracting costs shall be fully supported.

FAR 15.404-3(b) requires the prime contractor to conduct appropriate cost or price analysis to establish the reasonableness of proposed subcontract prices. This data shall be included in Prime Offeror’s proposal. Offerors shall note that analysis based solely on a comparison to GSA rates will not be considered adequate because such rates are frequently discounted.

Facilities capital cost of money (FCCOM): If FCCOM is proposed, provide the supporting CASB-CMF form Facilities Capital Cost of Money Factors, DD Form 1861 - Contract Facilities Capital Cost of Money and supporting calculations. The Offeror shall submit any information reasonably required to explain the average net book values and judgmental factors applied and the mathematical or other methods used in the estimate.

If formal FPRA has been negotiated and is the basis for proposed FCCOM factors, provide a complete copy of the FPRA. If in the Offeror’s opinion, the FPRA is too voluminous to include in its Price/Cost volume, then so state and identify the company’s cognizant DCMA and DCAA office and provide current contract information for each. Provide copies of recent DCAA correspondence that approves proposed indirect rates, if any.

Fixed Fee: The Offeror shall propose a fixed fee amount for the schedule of estimated total CPFF (reference the attachment in Section J of the solicitation).

ii. For FFP CLINs 0006 through 0025 and 0031 through 0155: Offerors shall complete the schedules for the total estimated FFP CLINs (reference the attachments in Section J of the solicitation) and enter pricing into Section B of the submitted SF 33.

iii. For cost-reimbursable ODC (Travel) CLINs 0026 through 0030: Offerors shall use the

Government estimated burdened maximum amount delineated in the attachment in Section J of the solicitation. Insert the burdened maximum prices into Section B of the submitted SF 33.

iv. For CLIN 9998: Offerors shall use the Government estimated burdened maximum amount delineated in the attachment in Section J of the solicitation. Insert the burdened maximum prices into Section B of the submitted SF 33.

v. For CLIN 9999: This CLIN will not be evaluated for award.

c) Current and forecasted company operating financial budget

The price/cost proposal shall include a copy of the company i) financial operating budget for the current fiscal year and (ii) the forecasted operating budget for the next fiscal year. Each budgetary report shall include the company’s name and the applicable accounting/operating year.

d) Pre-award survey of prospective contractor accounting system checklist

Offeror shall submit with their price/cost proposal a completed pre-award survey of prospective contractor accounting system checklist or the information requested in subparagraph ii or iii, where applicable.

i. If subparagraphs ii or iii do not apply, the Offeror must complete the pre-award survey of the prospective contractor accounting system checklist (see attachment in Section J of the solicitation).

(FAR 16.301-3 states that a cost-reimbursement type contract may be used only when the contractor’s accounting system is adequate for determining costs applicable to the contract. If no information is available in the DoD activity files to make this determination an SF-1408 can be requested from DCAA. Before DCAA begins such an audit, the Offeror must complete this checklist to ensure they understand the requirements of the SF-1408, and to ensure they are ready for DCAA to come in and perform an audit.)

ii. If DCAA performed an audit or review of the adequacy of the Offeror’s accounting system design and for performing on cost reimbursable contracts within the past 36-months, then Offeror need only so state and provide the DCAA audit report information as follows:

DCAA Audit Report Number:

DCAA Audit Report Date:

DCAA office that performed the accounting system audit or review (office name, address, city, state, zip code):

iii. If a DCAA accounting system audit or review is currently in-process, then Offeror need only so state and provide the following DCAA office information:

DCAA office that performed the accounting system audit or review (office name, address, city, state, zip code):

SECTION M - EVALUATION FACTORS FOR AWARD

EVALUATION FACTORS FOR AWARD

1.0 GENERAL

1.1 The Government intends to award a contract to the Offeror whose proposal offers the “best value” to the Government, using the trade-off method. “Best value” means the expected outcome of an acquisition that, in the Government’s estimation, provides the greatest overall benefit to the governmentthe lowest price proposal meeting the solicitation requirements may not be selected for an award if award to a higher priced Offeror is determined to be more beneficial to the Government.

2.0 BASIS FOR AWARD

2.1 The following conditions must be met in order to be eligible for award:

a. The proposal must comply in all material respects with the requirements of the law, regulation and conditions set forth in this solicitation;

b. The proposal must meet all solicitation requirements.

2.2 Offerors are advised that technical proposals may be evaluated without consideration of any proposed subcontractor which is deemed to have an organizational conflict of interest.

2.3 The Government anticipates a single contract award resulting from this solicitation. However, the Government reserves the right to award no contract, depending on the quality of the proposals received and the availability of funds. The Government intends to evaluate proposals and award a contract without discussions with Offerors. The Government reserves the right to conduct discussions if the Contracting Officer later determines them to be in the Government’s best interest. If the Government determines that the number of proposals that would otherwise be in the competitive range exceeds the number at which an efficient competition can be conducted, the Government may limit the number of proposals in the competitive range to the greatest number that will permit an efficient competition among the most highly rated proposals. The Government may cease evaluation of any proposals that it determines are unacceptable, or otherwise ineligible for award.

2.4 The award decision will be based on the Government’s evaluation of each Offeror’s proposal against the evaluation factors identified in the solicitation. Award will be made to the Offeror whose proposal demonstrates the best overall value to the Government based on the factors described herein.

2.5 A Total Evaluated Price (TEP) will not be developed and best value analysis will not be performed for any Offerors who are unacceptable or unsatisfactory in any factor and award will not be made to any Offeror who is unacceptable or unsatisfactory in any factor.

2.6 In making its best value determination, the Government will consider the relative importance or weight of the factors.

3.0 EVALUATION FACTORS

3.1 General

a. The Government will apply evaluation factors to identify the best value proposal. As demonstrated in their proposals, prospective Offerors shall be evaluated in terms of their ability to meet or exceed the program’s requirements stated in the SOW and as specified in Section L of the Solicitation. Proposals shall be evaluated in accordance with the factors described below.

3.2 Relative Importance

a. The Government will evaluate the Offeror’s proposal according to the following factors:

Factor 1: Technical Approach (Outstanding/Good/Acceptable/Marginal/Unacceptable) Factor 2: Management Approach (Acceptable/Unacceptable) Factor 3: Past Performance (Acceptable/Unacceptable) Factor 4: Price/Cost (Total Evaluated Price)

b. The relative importance of the factors is as follows: Factor 1 is more important than Factor 4. Factor 2 and 3 will rated as “Acceptable” or “Unacceptable.”

c. The solicitation specifies a set of elements within certain evaluation factors. Elements serve as a means of organizing the proposal structure and streamlining the evaluation process. Elements are not subfactors and, as such, the Government will not assign ratings to individual elements.

3.3 Adjectival Ratings

a. The Government will perform an evaluation of Factor 1 based on the Offeror’s proposal, focusing on strengths, weaknesses, significant weaknesses, deficiencies, and risks of the Offeror’s proposal to assign an adjectival rating.

Factors 2 and 3 will be rated on an “Acceptable” or “Unacceptable” basis. The comparative assessment in FAR 15.305(a)(2)(i) does not apply to Factor 3. Factor 4 will not be assigned an adjectival rating.

b. Factor 1. The Government will evaluate the strengths, weaknesses, significant weaknesses, deficiencies, and risks associated with each Offeror’s proposed Technical Approach. Following the evaluation, a combined technical/risk rating shall be assigned. The combined technical/risk rating reflects the degree to which the proposed approach meets the performance or capability requirements through an assessment of the strengths, weaknesses, deficiencies, and risks of the proposal. In assessing Factor 1, the Government will apply the following adjectival ratings and definitions for the combined technical/risk rating:

Combined Technical/Risk Ratings for Factor 1 Rating Description

Outstanding (O) Proposal indicates an exceptional approach and understanding of the requirements and contains multiple strengths, and risk of unsuccessful performance is low.

Good (G) Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength, and risk of unsuccessful performance is low to moderate.

Acceptable (A) Proposal meets requirements and indicates an adequate approach and understanding of the requirements, and risk of unsuccessful performance is no worse than moderate.

Marginal (M) Proposal has not demonstrated an adequate approach and understanding of the requirements, and/or risk of unsuccessful performance is high.

Unacceptable (U) Proposal does not meet requirements of the solicitation, and thus, contains one or more deficiencies, and/or risk of unsuccessful performance is unacceptable. Proposal is not awardable.

c. Factor 2. Management Approach will be rated on an “Acceptable” or “Unacceptable” basis as follows:

Ratings for Factor 2

Acceptable Proposal clearly meets the minimum requirements of the solicitation.

Unacceptable Proposal does not clearly meet the minimum requirements of the solicitation. Proposal is not awardable.

d. Factor 3. Past performance will be rated on an “Acceptable” or “Unacceptable” basis as follows:

Ratings for Factor 3

Acceptable Based on the Offeror's performance record, the Government has a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror's performance record is unknown.

Unacceptable Based on the Offeror's performance record, the Government does not have a reasonable expectation that the Offeror will be able to successfully perform the required effort.

Proposal is not awardable.

3.4 FACTOR 1: TECHNICAL APPROACH (VOLUME 1)

The Government will evaluate the degree to which the proposal demonstrates understanding of the requirements in Section C and the ability to successfully perform the tasks outlined in the SOW.

Definitions Applicable to Factor 1

Strength An aspect of an Offeror’s proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.

Weakness A flaw in the proposal that increases the risk of unsuccessful contract performance.

Significant Weakness A flaw that appreciably increases the risk of unsuccessful contract performance.

Deficiency A material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.

3.5 FACTOR 2: MANAGEMENT APPROACH (VOLUME 2)

The Government will evaluate the degree to which the proposal demonstrates understanding of the requirements in Section C and the ability to successfully perform the tasks outlined in the SOW.

3.6 FACTOR 3: PAST PERFORMANCE (VOLUME 3)

a. Factor 3 is an assessment of the governments confidence that an Offeror will successfully perform the contract.

This assessment is based on the Offeror’s record of relevant and recent past performance information that pertain to the products and/or services outlined in the solicitation.

Past performance will be evaluated in accordance with FAR 15.305 and DFARS 215.305. However, the comparative assessment in FAR 15.305(a)(2)(i) does not apply. Therefore, past performance will be rated on an “Acceptable” or “Unacceptable” basis as follows:

Past performance will be initially evaluated to determine whether the Offeror’s past performance is recent, and relevant or not relevant, to the effort. For the purposes of this solicitation, recency is defined as projects completed or in process within three years prior to the closing date of the solicitation. Common aspects of relevancy include, but are not limited to, the following: similarity of product/service/support, complexity, dollar value, contract type, and extent of subcontracting/teaming to the solicitation.

Second, the past performance evaluation will determine how well the Offeror performed on the prior contracts. In the case of an Offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the Offeror may not be evaluated favorably or unfavorably on past performance (see FAR 15.305 (a)(2)(iv)). The Offeror shall be determined to have unknown (“Neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “Acceptable.”

FACTOR 4: PRICE/COST PROPOSAL (VOLUME 4)

a. The Government evaluation will entail a price analysis and cost realism analysis. The Total Evaluated Price (TEP) will be the sum of the Offeror’s proposed FFP CLINs and Government determined probable cost (and fixed fee) for the CPFF and cost-reimbursable CLINs. The TEP will be the amount used to determine price reasonableness and best value (trade-off).

b. The Government will arrive at a TEP by utilizing the methodology described below:

The stepladder pricing will be evaluated by comparing the product of a randomly selected evaluated quantity (EQ) for each CLIN and the unit price associated with the randomly selected quantity for the CLIN (reference the attachments in Section J of the solicitation). The randomly selected quantities will be selected prior to evaluation.

The EQ in no way restricts the Government as to the number of units it may order under each line item. It is used solely for evaluation purposes. The Government reserves the right to order any quantity within a stepladder.
