Section B - Supplies or Services and Prices

SECTION B

B-1 GENERAL. The rates for services provided under this contract shall be payable at the applicable, fully loaded, rates stipulated in Section B. Said payments shall be considered payment in full for all services, equipment, supplies and maintenance of Government equipment, and all Contractor personnel under this contract, including all penalty time, bonuses, payments and emoluments payable to Contractor personnel for services under this contract, irrespective of the geographic scope of said services and including the carriage of hazardous cargoes.

B-2 PER DIEM RATE FOR OPERATION AND MAINTENANCE. Per Diem rates shall cover the cost of daily operation, maintenance, equipment, personnel, and service for the SBX-1, unless an expense is specifically listed in the contract as being reimbursable. Payment of the awardee’s per diem rate shall commence upon ship delivery.

B-3 REIMBURSABLE ITEMS. Reimbursable supplies and services are those items specified in the contract as reimbursable, or otherwise pre-approved by the Contracting Officer’s Representative (COR) or authorized Approving Authority. The reimbursement cost shall not include overhead, general and administrative costs, material handling costs, profit, or fees above the actual costs. See Section G for the documentation requirements for reimbursable items. Reimbursables shall not exceed funding expressly obligated to this contract by the Contracting Officer (KO).

B-4 ESTIMATES. All quantities are estimates unless specifically guaranteed.

B-5 CLIN STRUCTURE. The CLIN structure may be unilaterally changed by the Government at award to accommodate the funding format.

B-6 CONTINUING RATE. If a vessel has a voyage in progress on the date of contract expiration, the applicable per diem rate for the period beyond the expiration date shall be the per diem rate that is in effect on the last day of the contract for that vessel.

B-7 REDUCED OPERATING STATUS (ROS). Fixed Reduced Operating Status (ROS) prices shall include costs for training, insurance, other ship expenses, indirect costs, G&A, and profit. Crew size for ROS will be negotiated on a case-by-case basis prior to a ship entering ROS, and will be based on specific crew requirements. The Government will reimburse the contractor for crew wages and fringes based on the wages and fringes negotiated for the FOS price for the corresponding contract period and the required crew size. The Government will also reimburse the contractor for provisions at a fixed rate of $30 per ration (three meals for one person) or a single meal rate of $8.00 for breakfast and lunch, and $14.00 for dinner for all required crew members. In the event the vessel is unavailable to accommodate the crew for messing and berthing, the Government will reimburse the contractor travel and per diem costs in accordance with the DoD Joint Travel Regulations (JTR) in effect at the time of travel.

B-8 REPAIR AVAILABILITY (RAV). Fixed RAV prices shall include direct costs for training, insurance, other ship expenses, indirect costs, G&A and profit. Crew size for RAV will be negotiated on a case-by-case basis prior to a ship entering RAV, and will be based on specific crew requirements. The Government will reimburse the contractor for crew wages and fringes based on the wages and fringes negotiated for the FOS price for the corresponding contract period and required crew size.

B-9 CONTRACTOR’S ACCOUNT. All overtime, penalty time, bonuses, and other additional emoluments, payable for whatever reasons, shall be for the Contractor’s account except as specifically otherwise provided in the contract.

B-10 REIMBURSABLE SERVICES

Following are reimbursable type expenses which may be used if authorized by the contract or as approved by the COR or authorized Approving Authority. Reimbursable expenses are reimbursable at cost only and reflect actual costs. No indirect costs (i.e. overhead and/or general administrative or profit) shall be added to the costs of the reimbursable items in this section.

Section C - Descriptions and Specifications

SECTION C

1. OPERATIONS AND MANNING

1.1 GENERAL. The purpose of this contract is to provide for the operation and maintenance of the SBX-1. The

Contractor will provide qualified vessel officers and crew, operational and technical support (ashore and afloat), equipment, tools, provisions and supplies, to operate, maintain and repair this Government-Owned, Contract- Operated (GOCO) vessel. The following paragraphs describe the general scope of the Performance Work Statement.

1.1.1 Scope of Work. The Contractor shall provide personnel, operational and technical support ashore and afloat, equipment, tools, provisions, and supplies necessary to operate and maintain one X-Band radar equipped self-propelled service craft. This is a public vessel of the United States of America, represented by the United States Navy and is under the operational and administrative control of the Commander, Military Sealift Command (COMSC).

The mission of the vessel is to provide Test Support services to the Missile Defense Agency and is a contingency component of the Ground Based Mid-Course Defense (GMD) element of the Ballistic Missile Defense System (BMDS) for the U.S. Strategic Command (STRATCOM). The vessel may also be used for other Government missions as directed or may be placed in a reduced operating status. The Contractor shall plan, schedule, coordinate and assure effective completion of all services described herein. All mechanical, electrical, and auxiliary systems shall be maintained at an acceptable level throughout the contract performance period. The Contractor is responsible for performing scheduled and unscheduled maintenance and repairs, as necessary, on a 24-hour, 7-day basis.

1.1.2 Control.

1.1.2.1 Operational Control (OPCON). OPCON is transferable command authority by commanders at any echelon at or below the level of Combatant Commander. OPCON is inherent in Combatant Command (Command Authority). OPCON may be delegated and is the authority to perform those functions of command over subordinate forces involving organizing and employing commands and forces, assigning tasks, designating objectives, and giving authoritative direction necessary to accomplish the mission.

OPCON includes authoritative direction over all aspects of military operations and joint training necessary to accomplish missions assigned to the command. OPCON should be exercised through the commanders of subordinate organizations. Normally this authority is exercised through subordinate joint force commanders and Service and/or functional component commanders. OPCON normally provides full authority to organize commands and forces and to employ those forces as the commander in operational control considers necessary to accomplish assigned missions. OPCON does not, in and of itself, include authoritative direction for logistics or matters of administration, discipline, internal organization, or unit training.

1.1.2.1.1 OPCON of the SBX-1 during Test Support Status (TSS) resides with the Missile Defense Agency. Each test-support mission will be the subject of a classified Operational Order (OPORD) or Sailing Order (SAILORD) that specifies how the mission will be accomplished.

During contingency operations, OPCON shall reside with COMMANDER Pacific Fleet (COMPACFLT) who shall promulgate operating instructions specific to the operating area. The operating commander is also responsible for the protection of the vessel within the operating area and will establish anti-terrorism/force protection (AT/FP) and other security requirements for the vessel while at sea and in port. The vessel shall comply with the directions of the Operational Commander. In the event such direction may exceed or be in conflict with the terms of this work statement, the Contractor shall comply within the time required, notifying the Contracting Officer’s Representative (COR) immediately upon the receipt of such direction. The Operational

Commander will obtain clearances to call at foreign ports if required. COMPACFLT will obtain all operational clearances and foreign territorial water diplomatic clearances.

1.1.2.2 Tactical Control (TACON). TACON is Command authority over assigned or attached forces or commands, or Military capability or forces made available for tasking, that is limited to the detailed and, usually, local direction and control of movements or maneuvers necessary to accomplish missions or tasks assigned. TACON is inherent in OPCON. TACON may be delegated to, and exercised at any level at or below the level of Combatant Command.

1.1.2.2.1 Military Sealift Command Pacific will issue sail orders in accordance with the established vessel schedules. Aboard the vessel, the Sponsor Mission Site Lead shall control and have authority over the performance of Sponsor missions.

1.1.2.3 Administrative Control (ADCON). ADCON is direction or exercise of authority over subordinate or other organizations with respect to administrative and support, including organization of Service forces, control of resources and equipment, personnel management, unit logistics, individual and unit training, readiness, mobilization, demobilization, discipline, and other matters not included in the operational mission of the subordinate or other organizations.

1.1.2.3.1 Commander, Military Sealift Command (COMSC) retains ADCON for SBX-1 in all aspects of administration and corresponding support which will be managed through the MSC SBX-1 Program Office. MSC Area Commands will routinely facilitate SBX-1 ADCON in the areas of AT/FP planning and training, and in bunker management through generation of fuel requisitions (1149s). They will collaborate with PM24 to provide other vessel / sponsor support on an Ad Hoc basis.

1.1.3 Concept of Operations. At contract performance commencement, the SBX-1 will be pier side in Hawaii conducting a familiarization period as needed The Contractor shall provide selected crew members to participate in a crew familiarization period. During this familiarization period the Contractor will not be responsible for the operation and maintenance of the SBX-1. Operation and Maintenance of the SBX-1 will be the responsibility of the incumbent contractor. See Section C 1.7.1.3 and Section F for additional details on the familiarization period. SBX-1 is in a ROS-15 status. ROS-15 requires that the vessel be maintained in such a condition that upon COR or authorized Approving Authority notification to transition to FOS the vessel will be fully operational and ready to proceed from port within 15 days. An exception to this activation time period may be when the vessel is threatened by severe weather and ordered to sortie. See also section C1.1.13.6 for specific information about emergency sorties.

1.1.4 Area of Operations. It is intended that the SBX-1 will be layberthed in Joint Base Pearl Harbor Hickam

JBPHH, Hawaii. The vessel, however, may be sited at other locations with sufficient environmental, logistic and security resources. Preferred locations would be at U.S. Naval Stations. Underway operating limits shall be the Pacific Ocean operating area. See SBX-1 Technical Manual (TM), Section 21.

1.1.5 Operational Tempo (OPTEMPO). It is anticipated, without guarantee, that the SBX-1 will spend 67% of its time inport in ROS. The Test Support Status (TSS) OPTEMPO is expected to include nine months of ROS-15 status, two months of mobilization/activation and four months of underway operations per option period. Vessel underway operations consist of test events, transits and maintenance, and are characterized by flexibility, mobility, and reliability to ensure mission readiness. The Government may vary OPTEMPO to meet mission requirements. See SBX-1 TM for further information.

1.1.6 Weather Operations

1.1.6.1 Weather Information and Ship Routing. The Naval Oceanography Centers will provide Optimum

Track Ship Routing (OTSR) for the SBX-1 vessel in accordance with COMSCINST 3121.9

(Series). Routes assigned by the OTSR program shall be followed in accordance with local applicable instructions.

1.1.6.2 Destructive Weather Plan. The Contractor shall exercise destructive weather operations with minimum notice in accordance with local applicable instructions. The Contractor shall request OTSR program routes during destructive weather conditions. When a hurricane condition is set in the AOR, and the vessel is in Port or underway within the storm-related area, the Master shall submit an initial hurricane status report within one hour of notification of the condition being set.

Notification calls from COMPACFLT or COMSC will be considered the same as receiving formal notification via naval message.

1.1.7 RESERVED

1.1.8 Port Services. The Contractor shall arrange for all services in port, which include liberty support, embarking and escorting visitors, employing pilots, and arranging berthing and shore services. The Contractor shall use Government contractors (e.g., Navy Regional Contracting Center) for port or agent services. The Government shall furnish either directly or on a reimbursable basis, all port services specified herein. Port services include tugs, pilots, berthing, potable water, shore power, trash and garbage removal, oily waste removal, sewage removal, hazardous materials removal, line handlers, and liberty launch services.

1.1.8.1 Port Charges and Expenses. The Government shall reimburse the Contractor for costs of loading and unloading equipment, canal tolls, port/local taxes (provided the Contractor exercises due diligence in seeking on behalf of the Government immunity from such dues and taxes), entering/leaving port fees, customs broker fees, pilotage (when customary or required to transit a hazardous or restricted area or body of water), pilotage or towage in connection with bunkering, ballasting or shifting berths pursuant to Government orders and any other similar port charges for ports visited at the Government’s direction, except as any of the foregoing pertains to the Master, officers, and crew. The Government shall reimburse the Contractor for costs of port services associated with supporting Sponsor mission operations including shipment of sponsor material back to CONUS. The Government shall not reimburse the Contractor for expenses incurred by the Contractor for services rendered for the convenience of the vessel, its crew, or in connection with the Contractor’s business such as fees of underwriters, or expenses in moving the vessel about the port to obtain stores or provisions.

1.1.8.1.1 RESERVED

1.1.8.2 Interruption of Shore Services. If, due to ongoing or impending maintenance and repair work to equipment or machinery critical to providing inport services, the Contractor is unable to provide the necessary services to support inport operations (including Sponsor support), the Contractor shall provide written notification to the COR describing the reason for procurement of shore services. This notification shall be sent no later than the day on which the vessel enters port.

1.1.8.3 Port Services In Support Of the OSV. The Contractor shall ensure that SBX-1 agents will provide all necessary port services for the Offshore Supply Vessel (OSV) assigned to support SBX-1 should one be required to support SBX-1 operations.

1.1.9 Diplomatic Clearances. COMPACFLT will secure diplomatic clearances.

1.1.10 Agents Fees. The Government will reimburse the Contractor for customary agent fees in conjunction with the husbanding of the vessel. These agents serve as agents of the Contractor only and are not agents of the Government. The Contractor shall submit to the Government the name of each agent it proposes to employ. The Government retains the right to disapprove proposed agents and to require removal of an agent whose performance the COR finds to be unsatisfactory. The Government shall reimburse the

Contractor up to $150.00 per port call for postage and petty expenses (including photocopies) in foreign ports. Agent fees for the OSV will also be reimbursed by the Government.

1.1.12 Mail.

1.1.12.1 Official Mail. The vessel will be assigned a Navy Fleet Post Office (FPO) address, and forwarding services. Mail forwarding services will be provided by the Government through the U.S.

Postal Service. This FPO address shall be used for official DOD correspondence. The Contractor shall pickup/deliver/forward any correspondence/parcels with respect to this contract

1.1.12.2 Registered Mail. Registered mail shall only be opened by personnel holding SECRET clearances.

1.1.12.3 Non-Official Mail. The Contractor shall provide mail services for all non-official correspondence.

1.1.13 Operate the Vessel.

1.1.13.1 Operate Vessel, General. The Contractor shall operate SBX-1 and related vessel systems and equipment in a quality manner to support all MSC and Sponsor requirements, and in accordance with U.S. Coast Guard and ABS regulations as appropriate, including Standards of Training, Certification and Watchkeeping for Seafarers (STCW) as amended.

1.1.13.2 Vessel in Full Operating Status (FOS). The Contractor shall operate the vessel in a safe and professional manner, and get underway with a full crew (defined in SBX-1 TM Sec. 19) unless authorized to sail short-handed by the COR or authorized Approving Authority. Certificate of Inspection (COI) manning requirements would apply in such case. The Contractor is responsible for complying with operational schedules and other such mission tasking issued by MSC or the operational commander.

1.1.13.3 Vessel in Reduced Operating Status (ROS). The Contractor shall operate the vessel in a safe and professional manner.

1.1.13.3.1 General ROS Duties and Responsibilities. While in ROS-15, the Contractor shall advise ROS crew members that duties aboard a ROS vessel may differ significantly from standard mariner operations. Although officers in FOS have large administrative workloads, ROS status will require “hands-on” duties not normally associated with sea going vessels. ROS crews shall be expected to comply with, but shall not be limited to, these general guidelines:

• General care and custody of the vessel, including tending mooring arrangements and shore power cables, when fitted

• Develop familiarity with shipboard equipment and systems

• Operate, maintain and repair as necessary shipboard equipment and systems, including documentation

• Enforce applicable Federal rules and regulations as may pertain to vessels in various levels of ROS

• Be available for those inspections, audits and status checks as may be appropriate for

ROS vessels

• Inform on status of vessels systems or equipment which may require additional repairs or upgrades

1.1.13.3.2 Work Rules for Unique ROS positions. Contractors shall advise ROS crewmembers that many shipboard duties and responsibilities do not fall under standard seafaring conditions. Due to size and composition of ROS maintenance crew, there will be times when vessel personnel shall be expected to cross normal departmental boundaries for work related to safety, security and habitability of the vessel. Such work will include, but shall not be limited to:

• Secure vessel in prevailing weather conditions

• Keep watch on and adjust gangway or double up mooring lines

• Take on and stow vessel stores/parts

• Operate equipment for storing/testing

• Housekeeping such as maintaining cleanliness and sanitation

1.1.13.3.3 Specific Reactivation Events. It is understood any ROS vessel tasked to perform movements under vessel’s power such as sorties or changing geographic location must man and operate the vessel in accordance with guidance from USCG authorities such as Captain of the Port (COTP).

1.1.13.4 The Contractor shall comply with the Standard Operating Manual (SOM), COMSCINST

3121.9 (Series), which is the primary MSC instruction that addresses the unique mission of the MSC fleet and is applicable to the subject vessel. It provides policies and procedures pertaining to the operation and administration of the MSC fleet and provides a guide to other more definitive instructions. Masters shall be familiar with the instruction’s content. In cases where the SOM and this contract conflict, the Contractor shall notify the Contracting Officer, the COR, and COMPACFLT immediately.

1.1.13.4.1 Master’s Responsibilities. The Master is responsible for the safe navigation, care, and custody of the vessel as well as the safety of personnel embarked. The Master shall comply with SAILORDS, OPORDS, Fleet Commander and Numbered Fleet Commander guidance. The Master shall exercise due diligence to observe all such orders and instructions. The Master shall enforce all laws of the United States and all applicable rules and regulations of the U.S. Coast Guard and Military Sealift Command under his/her purview. In case of emergency, nothing in this contract shall be construed as preventing the Master from taking the most effective action which, in his/her judgment, will rectify the situation causing the emergency, and thereby safeguard life, property, and the vessel. The Master shall have authority to abort operations temporarily, based on clear and present danger to life at sea, and shall inform the Operational Commander, with an information copy to COMSC.
