mailto:coryn.hansell@navy.mil mailto:carolyn.emmart@navy.mil mailto:thomas.stann@navy.mil

The Government expects a significant amount of interplay between three large acquisitions (Irregular Airborne

Platform Engineering (IAPE), Advanced Sensor System Development and Execution (ASSDE) and Advanced

Software, Computer, and Network Development and Integration (ASCNDI)) being procured by Naval Air Warfare

Center (NAWC) Webster Outlying Field (WOLF), Airborne Systems Integration Division (ASID). The demands of the projects and the inherent nature of rapid technological development necessitates cooperative contractor interaction to achieve the successful completion of each individual effort and an overall unified outcome. Therefore, while these efforts represent three distinct contracts, offerors are advised that all awarded contractors and their subcontractors will be expected to collaborate and work with the contractors and subcontractors for the other efforts.

Furthermore, it is anticipated that the ASID will have additional acquisitions other than the three large acquisitions identified above. All awarded contractors and their subcontractors supporting any of the ASID procurements are expected to collaborate and work with the contractors and subcontractors for the other ASID procurements.

Section B - Supplies or Services and Prices

ESTIMATED RATES

B-1 ESTIMATED AND NEGOTIATED LABOR RATES AND STREAMLINED ORDERING

PROCEDURES FOR COST PLUS FIXED FEE (CPFF) (TERM LOE AND/OR COMPLETION) ORDERS

AND FIRM FIXED PRICE (FFP)(COMPLETION) ORDERS:

(a) Composite Labor Rates (provided in the table below)

(1) The below rates consist of composite fully burdened rates for all contract labor categories, inclusive of fee.

i. Fully burdened rates are defined as direct labor rates plus all applicable burdens, to include indirect rates, fee, and subcontractor pass-through costs where applicable.

(2) The below rates are estimates, and invoicing will be based on actual costs incurred.

(b) TOs including Cost Reimbursement CLINs with a total ceiling value equal to or greater than $150,000.00 will be issued under this contract using the following streamlined ordering procedures:

(1) For each proposed order, the contracting officer will provide the contractor with a TO, and an

Independent Government Cost Estimate (IGCE). The IGCE is an estimate of labor hours by labor category utilizing the estimated and negotiated Composite Labor Rates, provided in the table below, to calculate the total estimated cost for the proposed TO.

i. The TO fixed fee is calculated using Section G Clause 5252.232-9510 PAYMENT OF

FIXED FEE (NAVAIR)

ii. Ceiling for Other Direct Costs (ODCs) will be priced in accordance with the Government estimate.

iii. Task Orders (TOs) crossing multiple years will be estimated by the Government using the composite rates for each year in proportion to the period of performance of the TO.

(2) Within three (3) working days of receipt of the TO and IGCE, the contractor shall respond:

i. If the contractor agrees that it can perform the TO within the parameters of the IGCE, they will sign and return the DD 1155 to the contracting officer. If the requirement remains valid, a priced order will be issued to the contractor.

ii. If the contractor does not agree with the TO and/or IGCE, the contractor will respond within three (3) working days of the receipt of the TO and IGCE. Additionally, the contractor shall submit a proposal to the contracting officer within five (5) working days of receipt of the TO and IGCE, addressing only the specific areas of difference in labor categories and/or hours in the IGCE. Once the differences are resolved between the contracting officer and the contractor, and the requirement remains valid, a priced order will be issued to the contractor.

(3) If the contractor fails to respond to the proposed order within five (5) working days of receipt of the

TO, the contracting officer may unilaterally issue the TO or extend the deadlines above when in the best interest of the Government.

(c) TOs including Cost Reimbursement CLINs and/or Firm Fixed Price CLINs with a total ceiling value less than

$150,000.00 will be issued under this contract using the following streamlined procedures:

(1) The contracting officer will issue a unilaterally executed priced order representing a firm order for the total requirement to be incrementally funded.

(2) In the event the contractor cannot perform the TO within the parameters of the IGCE, the contractor shall:

i. Notify the contracting officer within three (3) working days of receipt of the order;

ii. Submit a proposal for the work requested in the order within five (5)working days of receipt of the TO and IGCE, addressing only the specific areas of difference in labor categories and/or hours in the IGCE; and

iii. Not commence performance until such time that the differences between the order and contractor’s proposal are resolved and a modification, if necessary, is issued.

(d) TOs including Firm Fixed Price CLINs with a total ceiling value equal to or greater than $150,000.00 will be issued under this contract using the following streamlined procedures:

(1) For each proposed order the contracting officer will provide the contractor with a TO and IGCE. The

IGCE is an estimate of labor hours by labor category utilizing the applicable estimated and negotiated Composite

Labor Rates, provided in the table below, and application of the B-2 Additional Profit percentage to calculate the total estimated cost for the proposed TO.

(2) Within three (3) working days of receipt of the letter and order, the contractor will respond with the signed DD 1155. If the requirement remains valid, the TO shall be considered negotiated and a bilaterally executed order will be issued to the contractor.

B-2 FEE AND PROFIT:

Labor Non-Performance Based Term (LOE) - For non-performance based level of effort tasks the composite rates from B-1 will be used to develop the total estimated cost plus fixed fee. Fixed fee will be calculated based on fee per hour and in accordance with 5252.232-9510 Payment of Fixed Fee (NAVAIR)(OCT 2005). The fee per hour is the total fee proposed for all periods divided by the total number of hours for all periods (307,485). The non-performance based fee per hour is $_[To be determined at contract award]_.

Labor Performance Based (Completion) - For performance based (completion) tasks the composite rates from B-

1 will be used to develop the total estimated cost plus fixed fee. Fixed fee will be a percentage calculated based on the total fee proposed for all periods divided by the total proposed cost for all periods, and in accordance with

5252.232-9510 Payment of Fixed Fee (NAVAIR)(OCT 2005). The performance based (completion) fee percentage is _[To be determined at contract award]_.%.

CPFF Test Flight Labor - For Test Flight Labor tasks the composite rates from B-1 will be used to develop the total estimated cost plus fixed fee. Fixed fee will be calculated based on fee per hour and in accordance with

5252.232-9510 Payment of Fixed Fee (NAVAIR)(OCT 2005). The fee per hour is the total fee for all periods divided by the total number of hours for all periods (86,280). The Test Flight Labor fee per hour is $_[To be determined at contract award]_.

B-3 MAN-HOURS:

CPFF Non-Performance Based/Term(LOE) (CLIN 0001)

The Government estimate is 307,485 man-hours, inclusive of Overtime, for the entire work effort (5 years) for CPFF

Non-Performance Based/Term (LOE) tasking. A work year is defined as 1,920 hours exclusive of holidays and leave.

CPFF Performance Based/Completion (CLIN 0006) The Government estimate is 130,080 man-hours for the entire work effort (5 years) for CPFF Performance

Based/Completion tasking. A work year is defined as 1,920 hours exclusive of holidays and leave.

CPFF Test Flight Labor (CLIN 0021) The Government estimate is 86,280 man-hours, inclusive of Overtime, for the entire work effort (5 years) for CPFF

Test Flight Hours tasking. A work year is defined as 1,920 hours exclusive of holidays and leave.

FFP Operational Flight Labor (CLIN 0026) The Government estimate is 85,440 man-hours for the entire work effort (5 years) for FFP Operational Flight Labor tasking. A work year is defined as 1,920 hours exclusive of holidays and leave.

All Tasking

The Government estimate (inclusive of CPFF Non-Performance Based/Term (LOE), CPFF Performance

Based/Completion, CPFF Test Flight Labor, and FFP Operational Flight Labor tasking) for the entire effort is

609,285 man-hours.

B-4 CLIN CEILINGS (FIRM FIXED PRICE):

All FFP CLIN ceiling values will be developed utilizing the following methodology.

This language is designed for use in conjunction with H-2 Issuance of Orders Using Streamlined Procedures

NAVAIR 5252.216-9540 (Variation) (MM YYYY). B-1 Estimated/Negotiated Labor Rates and Streamlined

Ordering Procedures for Cost Plus Fixed Fee (CPFF)(Term LOE and/or Completion) Orders and Firm Fixed Price

(Completion) Orders(B1).

For Operational Flight labor tasking, tasks, the fully burdened composite procedures and rates provided in B-1

Estimated and Negotiated Labor Rates for CPFF Test Flight Labor shall be utilized. However, for any FFP

Operational Flight Labor tasking on Orders, in addition to the total labor cost and fee developed utilizing the B-1

Estimated and Negotiated Rates for CPFF Operational Flight Hours, an additional profit percentage will be utilized to derive the FFP Operational Flight Labor CLIN ceiling value. The additional profit percentage noted below in the chart titled B-2 Additional Profit Percentage (FFP) will be multiplied by the total labor cost and fee amount derived using the B-1 Estimated and Negotiated Rates for CPFF Test Flight Labor. That result will be added to the amount derived using the B-1 Estimated and Negotiated Rates for CPFF Test Flight Labor. The resulting total will be the

FFP Operational Flight Labor CLIN ceiling value.
