PART I THE SCHEDULE

SECTION A – SOLICITATION/CONTRACT FORM

A01 - NOTICE TO OFFERORS

1. This Request for Proposal (RFP) is a 100% set-aside for Small Business.

2. This solicitation will ultimately result in award of a five-year Indefinite Delivery Indefinite

Quantity (IDIQ) contract with a guaranteed minimum. There are no option periods. The minimum will be a single overall minimum, i.e., not yearly minimums. Such minimum will be a dollar value, not a quantity. There will, however, be maximum quantities for each item;

these shall consist of a single overall maximum quantity for the contract for each item, not yearly maximums.

3. Orders may be issued up to Five Years from Date of Award.

4. The authorized ordering activity under this IDIQ is the NAVSUP Weapon Systems Support (NAVSUP WSS). Prices will be for repair, overhaul, and/or upgrade (modification) of the items specified in Attachment A – Item List, for a period of 60 months from the date of award. Except for the maximum overall quantity for the contract for each item as referenced above and shown on Attachment A, the quantities shown on Attachment A- Item List and Attachment D- P-8 CCRS Pricing Sheet are the Government's best estimated quantities (BEQs) and are neither minimum nor maximum quantities. All orders placed for repair/upgrade/overhaul during this time period shall be issued as priced orders. Therefore, Offerors shall insert firm-fixed prices for each year of the five- year term on Attachment D - P-8 CCRS Pricing Sheet. See Section L of this RFP for further direction on pricing.

5. All parts necessary to effect repairs shall be furnished by the contractor and shall be included in the price of repairs.

6. Evaluation of offers shall be in accordance with Section M of this RFP.

7. In addition to all other terms and conditions of the RFP, offerors are to pay particular attention to the following Clauses containing provisions and instructions for Indefinite Delivery Indefinite Quantity contracts:

(b) All delivery orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order and this contract, the contract shall control unless expressly stated otherwise in the delivery order.

(c) (1) If issued electronically, the order is considered “issued” when a copy has been posted to the Electronic Document Access system, and notice has been sent to the Contractor.

B01 - SERVICES, MATERIALS, AND PARTS TO BE FURNISHED

(a) The Government may order, in the manner provided elsewhere herein, the following types of effort:

(1) Repair and/or Upgrade and/or Overhaul: The contractor shall furnish effort including labor, material, and facilities as may be required to repair and/or upgrade and/or overhaul the ordered quantities of spare repairable assemblies in support of the delivery order. The spare repairable assemblies to be repaired and/or upgrade and/or overhauled under this contract are set forth by manufacturer's part number in Attachment A- Item List, and constitute “Government Property” as defined in FAR Clause 52.245-1- Government Property or 52- 245-1 Alternate I, as applicable. Repair and/or Upgrade and/or Overhaul will be accomplished in accordance with the Statement of Work (Section C2).

(2) CAV Reporting: The Contractor shall furnish effort including labor, materials, and facilities as may be required to accumulate, format, and transmit the transactions specified in Section B02.

B02 – WEB-BASED COMMERCIAL ASSET VISIBILITY (WEBCAV) STATEMENT

OF WORK (SOW)

The Contractor shall provide electronic visibility of Government-owned inventory in its custody via Web-Based Commercial Asset Visibility (WebCAV). See Attachment B.

B03 - PLACING AND PROCESSING ORDERS

(a) Ordering Period: The Government may during the period commencing on the date of award of this contract and ending sixty (60) months from the date thereof, place orders for articles to be serviced hereunder. Each order placed shall be issued and processed in the manner hereafter provided.

(b) Authorized Ordering Activity

(1) The Procuring Contracting Officer (PCO) shall place orders under this contract in the manner provided elsewhere herein;

(c) Form and Content of Orders:

COMMERCIAL ITEM PROCUREMENT NOTICE

NAVSUP WSS has been granted a class deviation (CL-00-203) that permits NAVSUP WSS to use the award forms currently available in the NAVSUP WSS automated procurement system instead of the SF 1449 when conducting procurements for commercial items. Such substitute automated procurement system award forms have the number SF26 or DD Form 1155. This procurement is being conducted in accordance with Federal Acquisition Regulation (FAR) Part 12, Acquisition of Commercial Items.

REQUEST FOR PROPOSAL N00383-18-R- 012C 10

Orders issued under this Contract shall be prepared on a standard form known as a DD Form 1155. In the event any information appearing on the face of a DD Form 1155 conflicts with any clause or provision contained elsewhere in this RFP or the awarded contract, the clause or provision shall control. (Note: if an exigency so demands, orders may be issued via electronic transmission (e.g. FAX) and will be confirmed by DD Form 1155 as soon as practicable thereafter, and will bear the notation "CONFIRMING ORDER.")

Each DD Form 1155 order shall include the following:

(i) The order number, date, and appropriate reference to this contract;

(ii) Citation of the negotiation authority pursuant to which the order is negotiated;

(iii) Description of services to be performed and identification of specific articles to be serviced including part number and stock number, serial number if available, and quantities thereof;

(iv) Where appropriate, special instructions regarding shipping, place of inspection and delivery, and DoD priority designation;

(v) Applicable appropriation and accounting data and special invoicing instructions, if applicable;

(v) Applicable DO Rating

(d) Obligations of Contractor

(1) The contractor shall, , immediately proceed with the servicing of the articles covered by the order.

(2) If the Contractor receives items to be repaired/overhauled/modified that are not covered by a funded Delivery Order (i.e., DD Form 1155), the Contractor shall notify the PCO and await further instructions on how to proceed. The Contractor is not authorized to induct any item into repair that is not covered under a funded Delivery Order.

(3) Each Delivery Order placed will have a separate CLIN for each of the items included under that order. The quantity for each item on the order will be a Best Estimated Quantity (BEQ). Funding for the order will cover the number of units up to and including each BEQ. The Contractor is only authorized to induct an item for repair, etc. up to and including the BEQ stated for that item on the Delivery Order. If the Contractor receives an item for repair above the BEQ stated on the Delivery Order, the Contractor shall contact the PCO for direction before proceeding with the repair etc. The PCO will respond within five days of receipt of notification with direction on how to proceed.

Note to Contractor: In addition to having a stated BEQ for each item on a Delivery Order, each Delivery Order shall have an induction period. The Induction period is the timeframe that items may be received and inducted against that Delivery Order. There will be one overall induction period for each Order (i.e., there will not be different induction periods for each item on an Order). At the end of the stated induction period, for each item on the Order, the PCO will check whether the number of units shipped to the Contractor and inducted by the Contractor is the same as the BEQ stated on the Order. If it is, no adjustment of the Order is needed. If, however, any actual quantity of an item

REQUEST FOR PROPOSAL N00383-18-R- 012C 11

received as of the end of the induction period falls below the BEQ stated for that item, the Order and its funding will be modified, copy to the Contractor, to reflect the actual quantity for any item. This adjustment, also termed “reconciliation,” is aimed at making sure the Contractor is paid for the actual number of items inducted and repaired against that Order.

B04 – SCHEDULE OF PRICES (Note: This paragraph B04 discusses use of Attachment D - P-8 CCRS Pricing Sheet. Offerors need to also see Section L for additional information on pricing.)

(a) Offerors shall insert their unit prices on Attachment D – P-8 CCRS Pricing Sheets and return it with their proposal as a Microsoft Excel spreadsheet file (.xls or .xlsx). A separate copy in the format of an Adobe Acrobat file (.pdf) may also be included in Volume III. The Microsoft Excel spreadsheet shall be provided to the Government on a CD-ROM or DVD-ROM. Attachment D - P-8 CCRS Pricing Sheets lists the items and the Best Estimated Quantities (BEQs) for each item for each year as well as a column for unit prices to be inserted by the Offerors. The Microsoft Excel spreadsheet automatically extends the unit prices, but the Offeror is nonetheless responsible for ensuring the accurancy of pricing throughout the spreadsheet. NOTE: Notwithstanding use of BEQs as described in this RFP, the Government makes no guarantee that the awardee will receive for repair, etc. the BEQ for each item; the only guarantee for this contract is the minimum dollar amount. This minimu dollar amount may be satisfied by any combination of items sent to the awardee for repair, etc. AND NOTE: Unit prices shall be offered based on the offeror complying with the Repair Turn Around Time (RTAT) which is identified on Attachment A and Attachment D. (Note: Attachment A- Item List takes precedence in the event of any differences in describing items, quantities of items, etc. between Attachment D –P-8 CCRS Pricing Sheets and Attachment A - Item List.)

(b) Notes: 1-Attachment D – P-8 CCRS Pricing Sheets includes some items that require a price for repair and a different price for upgrade and/or overhaul. 2- Prices shall be provided for all items for all contract years, regardless of whether there is a positive quantity or a quantity of zero (0) projected for that year.

(c) Offerors shall insert a price for CLINs B001-B005 entitled Commercial Asset Visibility Reporting identified on Page:8 of this RFP for each of the five contract years. This proposed pricing will be included in the overall evaluation of the proposed pricing of this contract

(d) The Offeror shall insert a price for CLINs C001 – C005 entitled CDRL CM01 Notification of Configuration Change and CDRL LJ01 Notification of Obsolescence/DMSMS identified on Page:8 of this RFP for each of the five contract years. This proposed pricing will be included in the overall evaluation of the proposed pricing of this contract.

(e) CDRL PM01- Small Business Participation Document is NOT to be separately priced.

REQUEST FOR PROPOSAL N00383-18-R- 012C 12

(f) After contract award, Delivery Order pricing will be valid for the year an Order is placed.

For example, if the contract is awarded 30 August 2019 any order placed against the contract from 30 August 2019 through 29 August 2020 will utilize the first year prices.

The second year pricing will be utilized for orders issued starting 30 August 2020 through 29 August 2021 and the same method will be used for the start and end of years 3, 4 and 5. Contractor’s should keep this in mind when pricing this effort.

REQUEST FOR PROPOSAL N00383-18-R- 012C 13

SECTION C – DESCRIPTION/SPECIFICATIONS/WORK STATEMENT

C01 – INPUT OF ARTICLES TO BE REPAIRED AND/OR MODIFIED

Definition notes. Unless otherwise expressly noted, as used in this Request for Proposals (RFP)/contract--

(1) the verb “service” and “repair” shall be read to encompass, as required/permitted under this contract, the repair, overhaul, and/or modification of articles;

(2) the noun “article” shall be synonymous with “item” and “unit” and “part.”

(3) “RFI” stands for Ready For Issue and is generally synonymous with “repaired” or if applicable “modified.” See paragraph 2.2 below for a more specific definition.

(4) “FAR Part 145 repair stations” means facilities certified under 14 CFR Part 145 of the Federal Aviation Regulations (FAR). Care should be taken in reading this RFP/contract to not confuse the Federal Aviation Regulation with the Federal Acquisition Regulation, both of which have the acronym “FAR.” The differing numbering systems should make distinguishing the two an easy matter; for example, the Federal Acquisition Regulation has no Part 145.

(5) the term “the Fleet” shall mean any/all U.S. Navy and/or Royal Australian Air Force operators of P-8A aircraft.

(a) Articles to be repaired, overhauled, and/or modified under this contract, as shown on

Attachment A, will be shipped at the Government’s expense to the plant of the Contractor at:

Contractor Name and Cage Code:

Street Address:

City, State, Zip Code:

The Contractor shall receive for each shipment a list (referencing this contract number) of the articles included in the shipment.

(b) Upon receipt of such articles, the Contractor shall:

(i) Verify that the articles received correspond with the list of articles furnished for such shipment;

(ii) Inspect such articles to assure that they are candidates for servicing under this contract;

(iii) Segregate any which were improperly sent to the Contractor, including any for which the Contractor has not received funding for repair, etc., and request disposition instructions from the NAVSUP Weapons Systems Support PCO;

(iv) Provide adequate storage for articles pending repair, etc., hereunder;

(v) Ensure that every article received is continuously maintained in a "closed loop" system. "Closed loop" means that U.S. Navy and Royal Australian Air Force P-8 articles on Attachment A shall at all times be completely segregated from

REQUEST FOR PROPOSAL N00383-18-R- 012C 14

identical or similar Boeing 737 articles of commercial users such as airlines or other private 737 operators. And it shall also mean that in the event the Contractor or any of its subcontracted Federal Aviation Regulation Part 145 repair stations repairs Boeing C-40 aircraft or aircraft systems for the U.S. Navy, or for any other U.S. government entity and/or foreign government entity, this closed loop requirement shall also apply such that all P-8 articles are segregated from such C-40 articles. This closed loop requirement applies at any/all of the Contractor's warehouse and premises AND at all such warehouses and premises of any subcontracted Part 145 repair stations. In addition, in the event the Contractor employs any subcontractor for any other purpose permitted hereunder, for example, any packaging company, this closed loop segregation requirement shall equally apply there. NOTE: (i) The Contractor shall at all times be accountable for both its actions and those of any subcontracted entity in strictly maintaining this closed loop requirement; and (ii) This closed loop requirement applies not only to P-8 articles received, but also to any/all component, subcomponent, piece part, etc. of such articles, whether RFI or non-RFI including, but not limited to, any scrapped article, component, subcomponent, piece part, etc.

(c) As a part of maintaining the closed loop system referenced in paragraph (b) above, the

Contractor shall establish and demonstrate its system for maintaining 24/7/365 traceability of every article turned in for repair, whether in the Contractor's possession or the possession of any subcontracted entity. The term "24/7/365 traceability" as used here means that, upon an inquiry by the Navy for the physical location of any serial-numbered article turned in for repair, the Contractor shall be able to, within three hours (CONUS) and eight hours (OCONUS), provide the specific location of that serial-numbered article, which specific location shall have been personally verified by an appropriate management official at the location of the article. "Personally verified" shall mean that such management official shall have gone to the physical location of the article and personally via human sight verified the presence of the article and any/all of its disassembled components, subcomponents, piece parts, etc.

2.2.3 Engineering Investigations (EIs) and Product Quality Deficiency Reports (PQDRs): In the event of an accident or incident involving a P-8A aircraft, or a determination by the aircraft prime manufacturer (Boeing) that a 737 safety issue affects the P-8A fleet, the Contractor will support a NAVAIR-generated Engineering Investigation and technical discussions, and will cooperate to identify and provide information that the parties agree are necessary to address a safety issue (or other technical concern) raised in the Engineering Investigation, subject to any limitations on sharing such information imposed by operation of law or contract. Such cooperation and support shall not change or be construed as changing the Government’s statutory or contractual rights in technical data. The Contractor shall also provide all necessary assistance and information to support Fleet Product Quality Deficiency Reports (PQDRs), which

REQUEST FOR PROPOSAL N00383-18-R- 012C 18

result when a part repaired by the Contractor does not operate upon installation in the aircraft.

Such parts that become subject to a PQDR will be returned to the Contractor for investigation and possible repair without additional cost to the Government.

2.3 Beyond Physical Repair (BPR)

2.3.1 Scope. An item is BPR when the item is not capable of being repaired in accordance with the Statement of Work due to the extent of physical damage.

2.3.2 Procedures. When a 145 repair station (either a subcontracted Part 145 repair station or the Contractor awarded this contract) determines that any item received from the Fleet is BPR, the Contractor shall assemble its documentation, or obtain documentation from the Part 145 repair station which made the BPR determination, sufficient to demonstrate the BPR condition such as photographs, test and evaluation reports, maintenance action forms provided by the Fleet, etc.

The Contractor shall then obtain written concurrence from DCMA for the unit determined by the Contractor or the subcontracted Part 145 repair station to be BPR. All such determinations, including the basis for the determination and the DCMA written concurrence, shall be provided by the Contractor to the PCO, with a copy to the NAVSUP WSS Supply Planner. If the DCMA concurs to the BPR, the Contractor shall then proceed to mutilate (destroy item and sub-components so as to preclude restoration or repair to a usable condition) and dispose of the BPR item using the Plant Clearance Automated Reutilization Screening System (PCARSS) and approved Government disposal procedures. The DCMA Plant Clearance Officer (PLCO) will oversee the mutilation and disposal process. The Contractor shall utilize Screener Code 999 and Condition Code HX when inputting the inventory schedule to PCARSS to ensure items are ordered to disposal and are not reutilized or resold. The PCARSS users’ manual can be obtained at http://www.dcma.mil/WBT/PCARSS. The Contractor shall maintain photographic records of items disposed of (both before and after mutilation, with item’s identification plate clearly visible) for the duration of the contract period, and provide such information to the PCO upon request. If the DCMA non- concurs that an item is BPR, then repair shall proceed. In the event DCMA concurs in a BPR determination and an item is disposed of using PCARSS and approved Government disposal procedures, the Contractor may submit a Request for Equitable Adjustment (REA) under the contract’s Changes clause, which shall include documentation demonstrating costs incurred associated with such BPR determination and disposal. The Government will review such REA and documentation under the Changes clause for consideration of a contract price adjustment for such BPR and disposal effort.

2.4 Beyond Economical Repair (BER)

2.4.1 Scope. An item is considered BER when the cost of the repair, including labor and piece parts, is expected to exceed 85% of the replacement price. The replacement price shall be based on the current market price of a new item in the exact same configuration, or a configuration similar to the item being repaired. The Contractor shall provide an Original Equipment Manufacturer (OEM) price quote/parts page image or similar documentation to the PCO to substantiate the replacement price.

http://www.dcma.mil/WBT/PCARSS

REQUEST FOR PROPOSAL N00383-18-R- 012C 19

2.4.2 Procedures. Items determined BER in accordance with the procedures set forth herein will be separately priced if repair, notwithstanding the BER condition, is authorized by the PCO.

When a Part 145 repair station (either a subcontracted Part 145 repair station or the Contractor awarded this contract) determines that any item received from the Fleet is BER, the Contractor shall assemble its documentation, or obtain documentation from the Part 145 repair station which made the BER determination, sufficient to demonstrate the BER condition, such as photographs, test and evaluation reports, maintenance action forms provided by the Fleet, etc. The Contractor shall then obtain written concurrence from DCMA for the unit determined by the Contractor or the subcontracted Part 145 repair station to be BER.

All such determinations, including the basis for the determination, the repair required, the proposed price to repair and the DCMA written concurrence, shall be provided by the Contractor to the PCO, with a copy to the Supply Planner. After receipt of the required documentation, the PCO shall provide the Contractor disposition instructions or contractual authority for repair.

If the Contractor is authorized to continue with the repair of the BER item, a modified repair price, i.e., one reflecting the continuation of repair of a BER item, will be negotiated. The Contractor is not, however, authorized to proceed with the repair until notification is received from the PCO. If the PCO directs the disposal of the BER item, the Contractor shall then proceed to mutilate (destroy item and sub-components so as to preclude restoration or repair to a usable condition) and dispose of the BER item using the Plant Clearance Automated Reutilization Screening System (PCARSS) and approved Government disposal procedures. The Contractor shall maintain photographic records of items disposed of (both before and after mutilation, with item’s identification plate clearly visible) for the duration of the contract period, and provide such information to the PCO upon request.

2.5 Missing on Induction (MOI)

2.5.1. In the event any item on Attachment A is turned in for repair and such item is missing one or more sub-assemblies and such sub-assembly is not itself an item on Attachment A, a Missing on Induction (MOI) situation exists. Contractor replacement of MOI sub-assemblies is not included in the contract price. Items received by the Contractor missing consumable parts are not MOI items. Rather, repair of such items and replacement of the missing consumable parts are included in the contract price and the item shall be inducted and repaired by the Contractor within the contract price. Note that the term “consumable part” as used here (which could also be called an “expendable part”) is a part or subassembly that is normally removed from an item being repaired/upgraded/overhauled and thereafter is replaced by an identical new such part or subassembly, i.e., without such consumable (or expendable) part itself being repaired and reused in the item.”

2.5.2 Procedures. The Contractor shall assemble its documentation, or obtain documentation from the Part 145 repair station which made the MOI determination, sufficient to demonstrate

REQUEST FOR PROPOSAL N00383-18-R- 012C 20

the MOI condition, such as photographs, test and evaluation reports, maintenance action forms provided by the Fleet, etc. The Contractor shall immediately notify the DCMA when an item is received with one or more sub-assemblies missing and shall obtain written verification from DCMA for all Attachment A items determined to have missing sub-assemblies. The Contractor shall provide written notice of all such determinations, including identification of the missing sub-assemblies and the DCMA written verification, to the Supply Planner with a copy to the PCO prior to induction and/or repair of the Attachment A item. The Contractor shall not proceed with repair of the Attachment A item with MOI sub-assemblies until instructions on how to proceed are provided to the Contractor by the PCO. If the PCO instructions direct the Contractor to supply the missing sub-assembly, the Contractor shall do so and may submit a Request for Equitable Adjustment (REA) under the contract’s Changes clause, which shall include documentation demonstrating unanticipated costs incurred associated with supplying the sub-assembly. The Government will review such REA and documentation under the Changes clause for consideration of a contract price adjustment for MOI effort. RTAT shall be placed on hold until PCO disposition instructions are received by the Contractor.

3.0 PARTS AND MATERIAL

3.1 General. The Contractor is responsible for supplying all parts and material necessary to perform the required repairs under this contract. All parts and material used in performance of this contract shall be in accordance with the latest approved revision of the OEM CMM. The Contractor shall ensure it has access for the duration of this contract to all applicable CMMs for all items listed on Attachment A – Item List.

3.2 Spare parts (i.e., components, subcomponents, piece parts, etc.) inserted into/onto the items on Attachment A- Item List during the repair, etc. of such items must be manufactured by, or procured from, the Original Equipment Manufacturer (OEM), or procured from a supplier with a Parts Manufacturing Approval (PMA) based on a licensing contract from the OEM, provided such spare parts are new and properly certificated serviceable. All other non-OEM or non-OEM-licensed PMA spare parts shall not be used in repairs, etc. under this contract. Also, used spare parts shall not be used in repairs, etc. under this contract. Cannibalization of items that have not been inducted (for example to obtain spare parts) is not authorized.

3.3 Purchased Material Control and Parts Control. The Contractor shall establish and maintain a system of control over purchased parts and material, including those at subcontracted FAR Part 145 repair stations. Such controls shall, at a minimum, assure that the parts and material purchased are in compliance with the requirements of this contract.

3.4 Receiving Inspection of Purchased Parts and Material. The Contractor shall ensure, both at its facility and that of any subcontracted FAR Part 145 repair station, that purchased parts and material are inspected by the Contractor and/or the Part 145 repair station upon receipt to assure conformance with…
