About this file
This document is a Request for Proposal (RFP) for a Contractor Logistics Support (CLS) contract for the C-40A aircraft. The Naval Air Systems Command (NAVAIR) is seeking a single Indefinite-Delivery/Indefinite-Quantity (IDIQ) contract to support seventeen United States Navy (USN) and two United States Marine Corps (USMC) aircraft. The contract will encompass comprehensive logistics support services, including material and supply management, commercial line maintenance, depot-level support, aircraft on ground support, and various maintenance and repair activities across multiple locations including Hawaii, Virginia, California, Florida, Texas, and Washington.
The solicitation includes detailed pricing structures across multiple Contract Line Item Numbers (CLINs) covering services such as logistics support labor, commercial line maintenance, support equipment maintenance, material replacement, travel expenses, depot-level maintenance, field team support, and contingency support. Proposals are due by 4:00 PM EST on 28 April 2025, with industry questions accepted until 12:00 PM EST on 31 March 2025. The contract will have a base period of 60 months, with potential extensions, and is structured to provide flexible support for the C-40A fleet worldwide, including maintenance, repair, and operational support services.

Section B - Supplies or Services and Prices
PRICING NOTE B-1
Task orders will be issued utilizing the units of issue reflected in IDIQ Contract Attachment (3), Anticipated Annual Ordering Quantities.
PRICING NOTE B-2
The base Indefinite-Delivery/Indefinite-Quantity (IDIQ) contract Contract Line Item Number (CLIN) values and maximum quantities identified herein are based on the unit prices established in Attachment (2), “Annual Unit Pricing”, the estimated quantities to be ordered as identified in the anticipated ordering schedule set forth in Attachment (3), “Anticipated Annual Ordering Quantities”, and the rates established in Attachment (4), “Annual Burden Rates”.
Anticipated annual ordering quantities and estimated annual expenditures may be reallocated across Contract Years within the same CLIN at the Procuring Contracting Officer’s (PCO’s) discretion and without notice to the Contractor, with the understanding that the total CLIN quantities and values are not exceeded. Additionally, the Government reserves the right to realign the IDIQ Contract values between CLINs at the PCO’s discretion, without notice to the Contractor, and with the understanding that the overall contract value will not exceed the total value established in the base IDIQ contract.
IDIQ Contract Ceiling Values
The value of the Phase-In CLIN (CLIN 0001) has been established based on the Contract Year 1 unit price (Attachment (2)).
The value of the Phase-Out CLIN (CLIN 0002) has been established based on the Contract Year 5 unit price (Attachment (2)).
Total CLIN values of CLINs for pre-priced individual maintenance actions and expedited shipping (CLINs 0018-0028, 0039-0043, 0046-0047, and 0056) have been established for each CLIN by multiplying the highest unit price across all contract years (Attachment (2)) by the total anticipated quantity to be ordered over the life of the contract (Attachment (3)).
Total CLIN values of CLINs for which the Government has set a maximum quantity and are pre-priced on a monthly basis (CLINs 0003-0011, 0013, 0014, and 0051) have been established for each CLIN by summing the product of each Contract Year unit price (Attachment (2)) multiplied by the associated quantity anticipated for that year (Attachment (3)).
The total value of CLIN 0012 has been established by summing the product of each Contract Year unit price (Attachment (2), Appendix (A)) multiplied by the associated quantity anticipated for that year (Attachment (3)) and combining the totals for both sites.
Total CLIN values of CLINs for which the Government has set a maximum quantity and are priced on a daily or hourly basis (CLINs 0029-0030, 0033-0034, 0045, 0048, and 0057) have been established for each CLIN by multiplying the highest unit price across all contract years (Attachment (2)) by the total anticipated quantity to be ordered over the life of the contract (Attachment (3)).
Total CLIN values of CLINs for which the Government has identified an annual dollar amount and are to be negotiated on a task order basis (CLINs 0016-0017, 0035-0038, 0044, 0049-0050, 0052-0055, and 0058) have been established for each CLIN by applying the highest burden rate across all contract years (Attachment (4)) to the sum of the annual dollar amounts identified by the Government (Pricing Note B-3 table) at the time of solicitation release.
Total CLIN values of CLINs priced on a location basis (CLINs 0015, 0031, and 0032) have been established for each CLIN by multiplying the highest unit price across all contract years and locations (Attachment (2), Appendices (B)-(D)) by the total anticipated quantity to be ordered over the life of the contract (Attachment (3), Appendices (A)-(C)).
Unit Pricing and Ordering Quantities
With the exception of CLINs 0001 and 0002, unit prices have been established in Attachment (2) for each Contract Year. Although anticipated annual ordering quantities have been established in Attachment (3) for every Contract Year, should work anticipated to occur in one Contract Year be required during another Contract Year, the price for that effort shall be the unit price established in Attachment (2) for the Contract Year in which performance begins, even where the actual quantity ordered during that year exceeds the anticipated quantity identified in Attachment (3). However, the maximum quantities and total value for each CLIN will not be affected by any change to the anticipated performance schedule.
For application of appropriate pricing, “Contract Years” are as follows:
Contract Year 1: Contract Award – 31 December 2026 Contract Year 2: 01 January 2027 – 31 December 2027 Contract Year 3: 01 January 2028 – 31 December 2028 Contract Year 4: 01 January 2029 – 31 December 2029 Contract Year 5: 01 January 2030 – Contract Expiration
PRICING NOTE B-3
CLINs 0016-0017, 0035-0038, 0044, 0049-0050, 0052-0055, and 0058 –
Dollar amounts provided in the table below provide a basis on which IDIQ contract values are established for each CLIN. Values below are unburdened. These CLINs will be negotiated to a Firm-Fixed-Price (FFP) on a task order basis applying the indirect cost/burden rate identified in Attachment (4) to the negotiated cost. No additional costs or profit may be applied at the task order level.
The table below summarizes the Government estimated direct costs for purposes of the solicitation. Included in the awarded CLIN value is the Government estimated direct costs plus the indirect/burden costs calculated in accordance with the Attachment (4) indirect cost/burden rates.

If utilized by the Government, a Firm-Fixed-Price (FFP) will be negotiated at the task order level. Indirect cost/burden rates will be applied to the negotiated CLIN cost and shall not exceed the rates identified in IDIQ Contract Attachment (4). The applicable rate shall be that identified for the year in which performance begins. No additional costs or profit may be applied at the task order level. All other CLINs are fully burdened.
PRICING NOTE B-5
Each pre-priced CLIN shall include all costs associated with its scope to include labor, material, travel (with the exception of CLM CLINs), packaging, and shipping and handling.

Labor CLIN pricing (composite labor rates/labor unit prices) shall include all overhead, profit, etc.
PRICING NOTE B-7
In accordance with the clause at Federal Acquisition Regulations (FAR) 52.217-8 “Option to Extend Services” , the Contracting Officer may exercise the option by written notice to the Contractor no less than 105 days from contract expiration.
