About this file
This document is a Government Responses to Industry Questions worksheet for the N0001925R0003 solicitation, dated 9 June 2025, addressing technical and contractual inquiries related to a C-40A Contractor Logistics Support (CLS) services contract. The document contains detailed responses from the government to 13 industry questions covering topics such as flight hour data, maintenance task cards, Over-and-Above (O&A) labor and material provisions, shipping estimations, contract pricing, and service action requirements. Key clarifications include that C-Check pricing is a firm-fixed-price covering labor performed during a specified time period, including baseline task card changes, discrepancy repairs, service actions, and O-level work requests, with material covered under specific CLINs. The government emphasizes that contractors should use historical data and their expertise to estimate manning and pricing, and that the total contract value and CLIN quantities will not be exceeded without a contract modification.

Question/Comment Initial Government Response Revised/New Government Response
9 1
Can the Government provide additional years of usage data and flight hours? To assist in proposal development, the Government will provide via DODSAFE additional historical flight hour and usage data to offerors who originally requested and received technical library documents. Others may request this information through the Points of Contact identified in Amendment 0007.
Offerors are to use their business judgment and experience in development of their proposal.
1 80 12.0
Paragraph 12.8 states that O&A defects found, and classified as critical or major shall be negotiated in accordance with O&A above procedures. Please advise if Contractors should include minor defects as part of FFP? If not, will minor defects be accounted for at the task order level, or listed as NBNC. As an example, cosmetic defects (window crazing, carpet wear, seat fabric condition would be considered minor defects)
PWS Paragraph 12.8 has been updated to remove the statement, "Over-and- Above defects found and classified as critical or major shall be negotiated in accordance with Appendix (K), Over-and-Above (O&A) Procedures, and a task order modification issued utilizing CLIN 0048, Over-and-Above Labor.
See Appendix (I), Performance Metrics" based on the following:
C-Check FFPs shall include all labor for the required TAT and O&A labor is warranted only if the Government determines a PoP extension to be appropriate.
Accordingly, the note in PWS Paragraph 12.12.1 has been updated to stipulate that, in order for an OAWR to be approved, the Government must determine a PoP extension is warranted.
With the exception of BFWT circumstances and Service Action Material, all material is covered under CLINs 0013 and 0014 and an O&A for material is not warranted. Accordingly, the note in PWS Paragraph 12.12.2 has been updated to stipulate that, in order for an OAWR to be approved, the Government must determine that the definition of BFWT has been met.
Portions of the Government's response related to Paragraph 12.12.1 are no longer acurate. Please see revisions to PWS Paragraph 12.12.1.
1 82 12.0
Paragraph 12.10 states that the OSGR will determine whether or not a failed FCF is attributable to a non-conformance with a depot task card, and goes on to state that the contractor will correct the deficiency regardless. If issue is not related to a task card, and involves a significant maintenance effort, what CLINs apply?
The Government will determine on a case-by-case basis whether or not a PoP extension beyond the C-Check TAT is warranted and if so, the O&A process would be followed for out of scope work.
Revisions to PWS Paragraph 12.12.1 modify this response regarding the O&A process.
1 83 12.0
Paragraph 12.11 states that the IDIQ FFP includes the Baseline C-check task cards, any additional task cards and O level maintenance tasks required. Will the government provide the additional task cards and specify the O level maintenance tasks required?
Task Cards and maintenance tasks are C-Check-specific and vary between aircraft and over time. Existing depot task cards will be provided in the technical library. Subsequent revisions will not warrant a price change. O- Level maintenance tasks will not be provided as part of the formal RFP.
C-Checks shall be pre-priced all-inclusively and not negotiated on a task-specific basis at the time of task order award. Further, the Period of Performance will not be negotiated at the task order level based on the final task card package provided ahead of a scheduled C-Check.
However, should the Government request an elective major modification to systems be performed during a C-Check, and the Government determines additional time to be required as a result, that effort and additional time required shall be negotiated at the task order level utilizing the Depot-Level Maintenance/Modification/Repair labor, and either the Service Action Material CLIN or the BFWT Material and Government directed shipping CLINs.
Additional O-level tasks, outside the final task card package, are no longer included in the FFP of C-Checks. Please see revisions to PWS Section 12.0.
2 1 N/A 3.0
Can the Government clarify estimation for shipping distances so Offerors may estimate transportation cost for shipping an APU? It is challenging in a FFP environment unless there is an estimated number of shipments and the locations of where the APU is coming from or going to? In every other section of the RFP, it appears that inspection and acceptance of the overhauled APU would/should occur at the subcontractor’s facility therefore this would make the inbound delivery term for this subcontract DDP or FOB Subcontractors Location and the outbound delivery term FCA or FOB Subcontractors Origin. None of the data in the RFP idicates where the APUs originate or where they are to be shipped. Please provide an estimated number of shipments inbound and outbound and estimated locations or consider making this a Cost Reimbursable or NTE Ceiling Plug number CLIN or please clarify that CLIN 0038 will cover the associated shipment costs.
Please use the number of aircraft and locations listed in Tables 1-1 and 1-2 in the PWS to estimate the usage or need. The shipping for use will be from the Government provided storage facilities, listed in Table 1-3 in the PWS to the location at which the item is required. Shipping for unscheduled HVA repairs and Government directed HVA relocation for storage will be negotiated at the task order level utilizing CLIN 0038. Shipping of HVAs required for use is included in the FFP of CLIN 0013; the Offeror will need to estimate those costs using the MOB and detachment locations as a reference. Shipping for scheduled APU repairs is included in the FFP of
CLIN 0039.
The Government will provide aircraft, engine, and APU usage data in the Technical Library.
The Government will provide historical flight hour data by aircraft bureau number and MOB site as well as additional part usage data to assist in price development.
However, the Contractor is responsible for providing all parts for each aircraft at any location to support up to 2,000 FH per aircraft each year.
For clarification, PWS Paragraph 1.5 has been updated to add, "Performance under the contract shall support the maximum flight hours per aircraft per year".

Potential Offeror is respectfully requesting clarification regarding language in the C- 40A draft solicitation.
Specifically, the draft PWS (in Section 12.11 below) contains language that may indicate the C-Check FFP price includes associated repairs. The words “associated repairs” was not included in the prior 2020 PWS and may imply the FFP price includes associated repairs stemming from the C-Check inspection.
Potential Offeror understands the C-Check FFP includes the actual C-Check inspection and requested Service Actions. Potential Offeror does not believe associated repairs (i.e. repairing and/or resolving discrepancies) is included in the FFP - and also does not believe this is the government’s intent. We are kindly requesting clarification to ensure a clear understanding.
Please see below:
Draft PWS: 12.11 C-Check Task Order Execution C-Check Maintenance CLINs shall be executed at the FFP for the year in which performance begins as established at the base IDIQ contract level and documented in IDIQ Contract Attachment (2), Annual Unit Pricing, and in accordance with Appendix (A), Maintenance Inspection Schedule. This requirement includes all labor necessary to complete the C Check inspection, associated repairs and requested Service Actions.
All material necessary for performance are included under CLIN 0013, Support Material Replacement and CLIN 0014, Government Property Replenishment with the exception of the requirements described under CLIN 0044, Service Action Material. In addition to the pre-priced scheduled heavy maintenance itself, C-Check task orders may include the following:
C-Check CLINs will cover all labor performed at the depot during the specified TAT (similar to O-Level maintenance covered under CLM CLINs 0011 and 0012). Included are the inspection, repairs associated with the inspection, service actions, and any maintenace required to return the aircraft to an airworthy condition.
All material is covered under CLINs 0013 and 0014.
Portions of the Government's response related to Section 12.0 are no longer acurate.
Please see revisions to PWS Section 12.0.
3 16 N/A 13.0
Section 13 - O&A clarification. When does this CLIN get exercised? What conditions need to be met for O&A to begin? What is considered unforseeable?
O&A efforts are those that arise during performance of a task order, not included in the awarded scope, and required in order to satisfactorily complete the requirement.
An "unforeseeable" effort would be one that is not related to the scope of the effort and could not have been anticipated.
Note that, pursuant to the PWS, some task orders may not qualify for O&A work unless a PoP extension is warranted and approved.
The last paragraph of the previous response is no longer accurate based on the revisions to PWS Section 12.0.
3 17 B: CLINs 12.0
Section 12.12 calls out "…associated repairs and requested service actions." Does this refer to the Scope of the card, or does this apply to any discrepancies found during the C Check inspection? I.E. Discrepancies found that will incude Engineering Evaluation, parts manufacturing, etc? Will these be charged to the FFP C-Check CLIN or to the
O&A CLIN?
The FFP of C-Checks shall be for the labor performed during the time period specified in the PWS and can be proposed utilizing the historical data provided in the Technical Library. The depot time requirement includes all changes from the baseline task card list, discrepancy repairs, Service Actions, and O-Level Work Requests.
When the Contractor identifies a repair requiring Engineering Evaluation, Parts Manufacturing, etc, that may not be completed within the Turn Around Time, the Contractor may submit an OAWR form in accordance with the O&A clause.
Portions of the Government's response related to Section 12.0 are no longer acurate.
Please see revisions to PWS Section 12.0.
3 63 12.4
Para 12.4, notes "No additional maintenance actions shall be completed without KO Approval". If the KO approves the additional work, how will be funding for these discrepancies be managed?
The FFP of C-Checks shall be for the labor performed during the time period specified in the PWS and can be proposed utilizing the historical data provided in the Technical Library. The depot time requirement includes all changes from the baseline task card list, discrepancy repairs, Service Actions, and O-Level Work Requests.
When the Contractor or Government identifies additional work that may not be completed within the Turn Around Time, the Contractor may submit an OAWR form in accordance with the O&A clause.
Portions of the Government's response related to Section 12.0 are no longer acurate.
Please see revisions to PWS Section 12.0.
3 64 12.1
Para 12.10, states that "Labor required to complete additional FCFs that are necessary because of issues unrelated to the C- Check shall be included in the C-Check FFP price". If the effort is unrelated to the C-Check, shouldn't the work scope be captured as an O&A?
It depends; C-Check pricing is inclusive of all labor performed during the TAT regardless of tasking. However, when the Contractor or Government identifies additional work that may not be completed within the Turn Around Time, the Contractor may submit an OAWR form in accordance with the O&A clause.
Portions of the Government's response related to Section 12.0 are no longer acurate.
Please see revisions to PWS Section 12.0.
3 65 12.1
Paragraph 12.11 states that the IDIQ FFP includes the Baseline C-check task cards, any additional task cards and O level maintenance tasks required. Can the Government provide the additional task cards and specify the O level maintenance tasks required in order to bid into the FFP during the base IDIQ contract RFP?
The Government has provided historical data on the number of additional SAs, O-level actions, and task card changes. The Government is unable to provide all possible task cards.
With regard to O-Level maintenance, portions of the Government's response are no longer acurate. Please see revisions to PWS Section 12.0.

Question/Comment Initial Government Response Revised/New Government Response
3 67 12.12.1
Para 12.12.1 notes that there may be additions or deletions to the baseline C-Check task cards. Can the Government please advise how the additions or deletions will be accounted for at time of task order?
The FFP of C-Checks shall be for the labor performed during the time period specified in the PWS and can be proposed utilizing the historical data provided in the Technical Library. The depot time requirement includes all additions or deletions from the baseline task card list, discrepancy repairs, Service Actions, and O-Level Work Requests.
This is similar to the CLM method of pricing - non-task-dependent labor for a period of time, but in the case of C-Checks, with more spcecifics. Based on experience and expertise, an Offeror should be able to determine the length of time and personnel required for each phase (debrief/inventory, open aircraft, inspect, SAs/TCs/Other, close aircraft, quality, FCF, etc) in order to develop a FFP.
Portions of the Government's response related to Section 12.0 are no longer acurate.
Please see revisions to PWS Section 12.0.
3 68 12.12.2
Para 12.12.2, notes that that if the Contractor identifies O&A tasking that would require additional labor will be negotiated IAW the applicable clauses. Can the Government confirm that material associated with O&A task will be managed the same as labor?
Over-and-Above Labor is applicable to C-Checks only where a PoP extension is warranted. Over-and-Above material is only material beyond that included in the FFP of CLINs 0013 and 0014, and therefore only applicable under very limited circumstances.
PWS Paragraph 12.12.2 has been revised to read, "If the Contractor identifies O&A tasking that would require additional material not within the scope of CLIN 0013, Support Material Replacement, or CLIN 0014, Government Property Replenishment, the Contractor may submit an OAWR in accordance with the applicable clauses" and removes the inadvertent reference to labor in this paragraph.
PWS Paragraph 28.2 has been revised to remove the first sentence.
With regard to O&A labor, the response related to Section 12.0 are no longer acurate.
Please see revisions to PWS Section 12.0.
3 113 B: B-2 N/A Att. L-2
Reference: Section B-2, paragraph 2 states, "Anticipated annual ordering quantities and estimated annual expenditures may be reallocated across Contract Years within the same CLIN at the Procuring Contracting Officer’s (PCO’s) discretion and without notice to the Contractor, with the understanding that the total CLIN quantities and values are not exceeded. Additionally, the Government reserves the right to realign the IDIQ Contract values between CLINs at the PCO’s discretion, without notice to the Contractor, and with the understanding that the overall contract value will not exceed the total value established in the base IDIQ contract."
Question: If the quantities ordered by the Government exceed the Government's anticipated annual ordering quantities in the IDIQ resulting in the overall contract value exceeding the total value established in the base IDIQ contract, will the Contractor be entitled to the recovery of the overage ordered? If not, the Contractor will take on risk that is directly related to if the Government orders quantities greater than the estimated quantities provided in the IDIQ solicitation.
IDIQ Contract Attachment (3) identifies anticipated quantities by year for planning purposes. Each year may be adjusted according to schedule changes and fleet needs. However, the total quantity by CLIN (all years combined) will not be exceeded without a contract modification to increase the quantity and CLIN value.
Any increase in the total value of one CLIN will result in a corresponding decrease in another CLIN to ensure that the Government does not exceed the total price ceiling of the IDIQ. Accordingly, the Contractor would not be entitled to recovery for an overage as the Government will not exceed the IDIQ ceiling.
The Contractor will be paid in accordance with the unit price identified in IDIQ Contract Attachment (2) for the year in which performance begins.
Please see clarifications/revisions made in Section B.

As we have been preparing our pricing for depot events to include the service actions listed in the C-40A Long Range Plan we have determined that additional information is required in order for us to accurately price the depot events.
Specifically, at a minimum, the below ADs/SBs/SLs are required to properly evaluate and estimate the hours required to complete the tasks. Please note that while we acknowledge Section 4 of the Long Range Plan provides estimated hours, the estimates are not always accurate, and hours for several are listed as unknown or blank.
Further, respectfully request a 14 day extension from date of receipt of the requested information to allow time for review and incorporation.

The Contractor shall estimate manning for C-Checks based on the Offeror's historical knowledge of 737 aircraft maintenance. It is not feasable for the Government to provide all Service Actions that may be required for depot efforts. In accordance with prior response #65, the FFP of C-Checks shall be for the labor performed during the time period specified in the PWS and can be proposed utilizing the historical data provided in the Technical Library. The depot time requirement includes all changes from the baseline task card list, discrepancy repairs, Service Actions, and O-Level Work Requests. Specific tasking during that time is irrelevant.
The proposal submission deadline is being extended pursuant to solicitation amendment -0003.
With regard to O-Level maintenance, portions of the Government's response are no longer acurate. Please see revisions to PWS Section 12.0.
6 1 N/A N/A Does the usage data provided in technical library files titled GFP Utilization and/or Parts Utilization contain usage data related to what the contractor is required to priced in CLIN 0013 as described in paragraph 12.12.2 Material?
The usage data provided pertains to items covered by CLINs 0013 and 0014. However, please note that the usage data is not all inclusive of items to be priced under these CLINs
