SECTION F - DELIVERIES OR PERFORMANCE
The following have been modified:
F-1 TERM OF CONTRACT
F-1 TERM OF CONTRACT AND ORDERS
a. Task orders for severable services shall not exceed one year.
b. DFARS Clause 252.216-7006, “Ordering”, is incorporated into this contract; therefore, the period in which the Government can issue orders under the contract will be extended at the exercise of an option, and extended to the end of that option period.
c. The base ordering period (CLINs 00XX) covers the ordering of the Transition Phase-in CLIN 0024, which is required to commence 75-days prior to the beginning of full performance at the price specified in Section B, and the initial 12-month period of full performance.
d. A task order issued to task the Contractor with Transition Phase-in shall be issued separately from task orders placed to task the Contractor with full performance during the base ordering period.
e. Full Performance Ordering Term:
1) Base Period. The initial ordering term of full performance tasks under this contract is TBD upon award (first day of a month) to TBD upon award, 12 months commencing immediately after the Transition Phase-in period. Flight operations shall commence on the fourth day of full performance in accordance with PWS 5.6. Commencement of full performance tasking and associated period of performance covered by the applicable full performance task order(s) includes the initially scheduled no-fly period. The applicable prices and fully burdened hourly rates are specified in Section B (CLINs 00XX) of this contract
2) Option 1. The contract term may be extended for one year. The extension term associated with Option 1 is TBD upon award to TBD upon award at the applicable prices and fully burdened hourly rates specified in Section B (CLINs 01XX) of this contract.
3) Option 2. The contract term may be extended for one year. The extension term associated with Option 2 is TBD upon award to TBD upon award at the applicable prices and fully burdened hourly rates specified in Section B (CLINs 02XX) of this contract.
4) Option 3. The contract term may be extended for one year. The extension term associated with Option 3 is TBD upon award to TBD upon award at the applicable prices and fully burdened hourly rates specified in Section B (CLINs 03XX) of this contract.
5) Option 4. The contract term may be extended for one year. The extension term associated with Option 4 is TBD upon award to TBD upon award at the applicable prices and fully burdened hourly rates specified in Section B (CLINs 04XX) of this contract.
6) Incentive Option I. The contract term may be extended for one year, if the Contractor earns Incentive Option I in accordance with (IAW) clause H-2. The extension term associated with Incentive Option I is TBD upon award to TBD upon award at the applicable prices and fully burdened hourly rates specified in Section B (CLINs 05XX) of this contract.
7) Incentive Option II. The contract term may be extended for one year, if the Contractor earns Incentive Option II IAW clause H-2. The extension term associated with Incentive Option II is anticipated to cover TBD upon award to TBD upon award at the applicable prices and fully burdened hourly rates specified in Section B (CLINs 06XX) of this contract. Per Clause H-2, should the Contractor not earn Incentive Option I, the Contractor is still eligible to earn Incentive Option II. If Incentive Option I is unearned and Incentive Option Year II is earned, the period of performance for Incentive Option II shall be modified so as to occur consecutive to the last potential or exercised Option year of the contract.
f. The maximum full performance period (excluding the 75-day Transition Phase-in period) of this contract is, seven years, or 84 months, which is inclusive of all potential options IAW 52.217-9.
g. If Option 52.217-8 is exercised (CLINs 07XX), the total performance period of full performance would be extended by no more than six (6) additional months, for a maximum potential of 90 months (excluding the 75-day Transition Phase-in period).

SECTION G - CONTRACT ADMINISTRATION DATA
G-1 INVOICING INSTRUCTIONS
a) DFARS PAYMENT INSTRUCTION CLAUSES: DFARS 252.204-0008 and 252.204-0007 are preferred payment instructions for each Task Order, unless 252.204-0003 and 252.204-0004 are inserted into a Task Order for specific reasons.
b) CLINs 0X01 (Flight Hour Generated Maintenance): The contractor shall invoice only as authorized in accordance with clause H-4, “Flight Hour Generated Maintenance and Flight Operations Support Ordering and Invoicing.”
c) CLINs 0X02 and 0X22 (Non-Flight Hour Generated Maintenance and CNATRA PMF Performance Incentive):
1) The ACO will calculate the Performance Metric Framework (PMF) incentive or disincentive amount in accordance with clauses H-1 “Performance Measurement Framework Incentive,” then notify the Contractor of the PMF results via funded Task Order issuance against CLIN 0X22 priced for an amount up to $2.5M as FFP to commensurate with the exact incentive value earned , if earned, or via written correspondence for the disincentive amount to be decremented, if applicable, within 30 working days of completion and after receipt of acceptable submissions associated with CDRLs A015, A016, and A017 of each quarterly evaluation period.
2) The disincentive value to be decremented, if applicable, shall be stated as a Withhold by the Contractor on the applicable quarterly Task Order Final invoice (DD250) at the conclusion of the applicable quarterly evaluation period. The Acceptor shall note acknowledgement of the Withhold amount on the DD250 acceptance document. The Withhold amount shall not be subject to subsequent expenditure or payment and shall be noted on the applicable Task Order as a downward adjustment and the associated funding shall be de-obligated by the ACO via unilateral modification.
d) CLINs 0X02 (Non-Flight Hour Generated Maintenance) – Discrepant Engine Disagreement: In the event the Engine Contractor disagrees with the decision to remove an engine and the discrepant engine is determined to be “A-799” (No Defect) IAW Performance Work Statement (PWS) paragraph 5.4.11.2, the Contractor shall withhold an amount from the invoice of the applicable month in which the engine was removed to account for the cost of the Engine Contractor’s effort to determine the “No Defect”.
1) The Contractor shall adjust CLIN 0X02 of the applicable monthly invoice in which the engine was removed as follows: 48 labor hours X the O and I-Level Over and Above hourly rate (CLIN 0X14) = Withhold adjustment.
2) The Withhold shall not be subject to subsequent expenditure or payment and shall be noted on the applicable Task Order as a downward adjustment and the associated funding shall be de-obligated by the ACO via unilateral modification.
3) In the event of any discrepancy between the invoiced amount and the CNATRA Detachment (Det) A-799 report, the Administrative Contracting Officer (ACO) shall be the final decision authority.
e) CLINs 0X20, 0X21, and 0X25 (Material and Travel): The allowable indirect cost rates for Cost Reimbursement (No Fee) CLINs 0X20, 0X21, and 0X25, shall be capped at the below percentage(s) proposed and shall not be exceeded on submittal of invoices or vouchers.

SECTION H - SPECIAL CONTRACT REQUIREMENTS
The following have been modified:
H-1 PMF PERFORMANCE INCENTIVE
H-1 PERFORMANCE MEASUREMENT FRAMEWORK (PMF) PERFORMANCE INCENTIVE
(1.0) INTRODUCTION:
(1.1) In order to avoid disruption to CNATRA’s mission, the Government has established three areas critical to performance. These three areas are detailed in the Performance Work Statement (PWS). Each area is identified as a component of the PMF, in which the Government has established Contract Minimums it expects from the Contractor’s services. The Government reserves the right to utilize any other remedies available under this contract.
(1.2) Upon conclusion of the transition in period, the Government will evaluate the Contractor’s performance on a quarterly (three-month) basis. All calculations for the PMF shall assume a quarterly evaluation period. The contractor is eligible to earn the Performance Incentive starting in the first quarter of performance; however, no decrement will be applied to CLIN 0X02 during the first two quarters for any metrics not met.
(1.3) Required Contract Minimums:
(1.3.1) Performance Metric: The Contractor shall maintain Mission Completion Rate (MCR) of 90% and Ready for Training (RFT) rate of 90%. The Daily MCR and RFT will be averaged over the quarterly evaluation period and will be calculated at each site as defined in the Performance Calculation paragraph below.
(1.3.2) Sustainment Metric: The Contractor shall maintain a minimum Service Life Maintenance Management (SLMM) of 0.70 during the quarterly evaluation period, as defined in the Sustainment Calculation paragraph below.
(1.3.3) Quality: The Contractor shall have no more than six Level II Corrective Action Requests (CARs), which shall include no Safe for Flight (SFF) Level II CARs and no more than three Safety of Flight (SOF) Level II CARs; no Level III or IV CARs; and no CARREP during the quarterly evaluation period, as defined in the Quality Calculation paragraph below.
(1.4) The Contractor must exceed the required Contract Minimum for one of the three PMF components, while at least meeting the required Contract Minimums of the other two PMF components, to be eligible to earn the performance incentive IAW the following weightings described below:
(1.4.1) The PMF Performance Incentive is in accordance with the following weightings (further described below):
(1.4.1.1) 20% of the total PMF is derived from the Performance Metric.
(1.4.1.2) 20% of the total PMF is derived from Sustainment Metric.
(1.4.1.3) 60% of the total PMF incentive is derived from the Quality Metric
(1.4.2) Positive PMF performance incentives will be paid under the PMF incentive SLIN under CLIN 0X22 pertaining to the associated quarterly evaluation period. If the Contractor meets but does not exceed any of the required contract minimums stated in the PWS and 1.3 above, the Contractor will not earn any incentive or receive a decrement. For any decrement, the contractor agrees to forfeit the amount identified by the Government on the applicable quarterly performance evaluation period’s Task Order Final invoice submission against CLIN 0X02 for each site proportionally IAW Section G.
(1.4.3) The Government agrees to fund up to $2,500,000 per quarterly evaluation period to incentivize performance by the Contractor. Conversely, the Contractor agrees to be decremented $2,500,000, per quarterly evaluation period (with the exception of the first two quarterly evaluation periods after full performance), as a disincentive for not meeting the required contract minimums stated in the PWS and noted above.
(1.4.4) If mishap occurs, due to a safety of flight violation or safe for flight incident, that may have a causal factor relating to maintenance, and the determination of causal factor(s) depends on the results of an Engineering Investigation and/or safety investigation that will not be completed by the end of the evaluation quarter, the Contracting Officer will withhold the contractor's incentive payment until the Government releases the Engineering Investigation and/or safety investigation results. If the Government determines through Engineering and/or safety investigations that maintenance is not a causal factor, the Contracting Officer will remove the withhold. If the Government determines through Engineering and/or safety investigations that maintenance is a causal factor resulting in a SFF violation, the Government will conclude that the contractor did not meet the quality component. As a result, the contractor will not receive the quarterly incentive payment.
(1.5) If the contractor fails to meet any one of the required contract minimums in the PMF during the quarterly evaluation period, the Contractor will not be eligible for any positive incentive during that period.
(1.6) If the Contractor fails to meet any two of the required contract minimums in the PMF during the quarterly evaluation period, the Contractor will not be eligible for any positive incentive during that period and will be decremented $2,500,000 from the SLINs under CLIN 0X02.
(1.7) If the contractor fails to meet any one of the same PMF component's required contract minimum for two or more consecutive quarterly evaluation periods, or the contractor has more than three (3) Safety of Flight (SOF) CARs during the quarterly evaluation period, the Contractor will not be eligible for a positive incentive and will be decremented $2,500,000 from the SLINs under CLIN 0X02. Even though the contractor cannot be decremented during the second quarter of the base period, if the contractor does not meet any one of the same PMF component's required minimum in the second and third quarters of the base period, the contractor will be decremented $2,500,000 from the SLINs under CLIN 0X02 covering third quarter performance.
(2.0) PERFORMANCE CALCULATION: The performance component of the PMF is comprised of the measures in this section.
(2.1) Mission Completion Rate (MCR):
(2.1.1) The following Daily MCR (MCRDAILY) is calculated to determine the impact of maintenance cancellations.
(2.1.2) MCRDAILY is the Missions Flown (MFL) divided by the accumulated difference between Missions Scheduled (MSKED), Missions Cancelled for Weather (MWX), and Missions Cancelled due to Operations (MXO), calculated at each site for each fly day, excluding weekends and holidays.
MCRDAILY =
MFL
MSKED - (MWX + MXO)
(2.1.3) Missions Scheduled (MSKED) are the missions on the originally published flight schedule.
(2.1.4) Missions Add-ons (MAO) are those missions that were not included on the original flight schedule but flown without increasing RFT requirements as additional events.
(2.1.5) Missions Cancelled for Weather (MWX) are those missions cancelled due to weather as determined by the Government.
(2.1.6) Missions Cancelled due to Operations (MXO) are those missions cancelled due to operations as determined by the Government.
(2.1.7) Missions Flown (MFL) are those successfully completed missions with no maintenance related issues aborting the mission, e.g., take off and landing without any maintenance related discrepancy that aborts the mission. This includes successfully completed Missions Add-ons (MAO).
(2.2) Ready for Training (RFT):
(2.2.1) Daily Ready for Training (RFTDAILY) is calculated by Total Availability Times Met (TATM) divided by Total Availability Times Required (TATR) at each site on each fly day, excluding weekends and holidays.
RFTDAILY =
TATM
TATR
(2.2.2) Total Availability Times Met (TATM) is the total number of availability times for which the required number of mission capable aircraft (as defined in COMNAVAIRFORINST 4790.2 series) was provided in accordance with the RFT Band.
(2.2.3) Total Availability Times Required (TATR) is the total number of availability times required by the RFT Band for each fly day.
(2.3) Performance Component: The Daily Mission Completion Rate (MCRDAILY) and Daily Ready for Training (RFTDAILY) will be averaged independently by site over the quarterly evaluation period to determine the quarterly site average MCR and quarterly site average RFT. The lowest site average MCR and the lowest site average RFT rates achieved will be used to then calculate the performance factor as shown below. For calculation purposes, 100% is the maximum value that may be used for MCR and RFT. All calculations shall be rounded to the nearest tenth.
(2.3.1) IF MCR < 90% OR RFT < 90% THEN…
