(1) The contractor shall complete and submit RFQ Attachment 2 – Pricing. To be eligible for the award, contractors shall insert a proposed price in all cells which require a proposed rate IAW the instructions in RFP, Attachment 2, Pricing Rate Table.
(2) Do not attempt to change anything on the spreadsheet. The Government will consider RFQ Attachment 2 as incomplete if any cells are not filled in.
(3) All prices shall be submitted in USD with two decimal places only. If there are any more than two decimal places entered, the quote may not be considered for award.
Contract award and payment will be made in US Dollars.
3. RFQ Evaluation – Commercial Products and Commercial Services (FAR 52.212-2):
a. This acquisition is being conducted under Federal Acquisition Regulation (FAR) Part 13, Simplified Acquisition Procedures, Subpart 13.5 and Part 12, Acquisition of Commercial Items of the Federal Acquisition Regulation. Quotes will be evaluated using the factors identified in FAR 52.212-2, Evaluation – Commercial Products and Commercial Services (Nov 2021).
b. FAR 52.212-2 is tailored as follows:
(1) Paragraph (a): The Government will utilize a best value selection process, as described below, to identify the contractor who represents the best value to the
Government. All technical capability subfactors, when combined, are approximately equal to cost or price considerations. For technical capabilities, subfactors 1 and 3 have equal and higher importance than subfactor 2. Subfactor 4 is pass/fail. Past Performance will be evaluated as Acceptable/Unacceptable. Price will be evaluated but not rated. In order to be eligible for award, the contractor must have a Superior or Acceptable Technical Capability rating in Subfactors 1-3 and a Pass in Subfactor 4, and an Acceptable Past Performance Rating. The Government intends to award to the contractor considered to be the best value, all factors considered, given their relative order of importance.
The following factors shall be used to evaluate contractors:
(A) Factor II – Technical Capability
Subfactor 1 – Device and Transmission Subfactor 2 – RMD Installation Subfactor 3 – Data Management and Interface Capability Subfactor 4 – Contractor Plan for Continuation of Essential Contractor Services
(B) Factor III – Past Performance
(C) Factor IV – Price
(2) Paragraph (b): Options. The Government will evaluate quotes for award purposes by adding the total price for all options to the total price for the basic requirement.
Evaluation of options shall not obligate the Government to exercise the option(s).
(3) Paragraph (c): A quotation is not an offer and, consequently, cannot be accepted by the Government to form a binding contract. Therefore, issuance by the Government of an order in response to a supplier’s quotation does not establish a contract. The order is an offer by the Government to the supplier to buy certain supplies or services upon specified terms and conditions. A contract is established when the supplier accepts the offer.
c. FAR 52.212-2 is supplemented as follows:
(1) The Government will utilize the following evaluation process:
a. The Government will review each quote received for compliance IAW the instructions in paragraph 2 above. To be considered compliant, each quote shall conform to the solicitation requirements (to include all terms, conditions, representations, certifications, and all other information required by the solicitation). Quotes received that are considered incomplete or noncompliant may not be considered eligible for award.
b. The Government will calculate each contractor’s total evaluated price (TEP) IAW paragraph 2.c.(2)c. below. Further, the Government will evaluate quotes in accordance with the policies and procedures of Defense Federal Acquisition Regulation Supplement (DFARS) Part 225 Foreign Acquisition.
c. Next, the Government will evaluate each contractor’s Technical Capability
(Volume II) IAW paragraph 2.c.(2)a. Within technical capability, subfactors 1 and 3 have equal and higher importance than subfactor 2. Subfactor 4 is pass/fail. Upon conclusion of the Technical Capability evaluations, the Government will make a determination of the apparent successful contractor considering technical and price. The quote determined to be the best value will be deemed the apparent successful contractor considering their TEP and Technical Capability rating.
d. Next, the Government will evaluate Past Performance (Volume III) of the apparent successful contractor IAW paragraph 2.c.(2)b. An overall Performance Confidence Assessment rating of “Acceptable” or “Unacceptable” will be assigned. If the apparent successful contractor receives a Past Performance Assessment Rating of “Unacceptable,” the Government will make a determination of the next apparent successful contractor considering TEP and Technical Capability IAW paragraph 2.c.(1)c followed by the Past Performance IAW this paragraph. This process will continue until a contractor is determined to be the apparent successful contractor considering their TEP and Technical Capability rating and receives an “Acceptable” Past Performance Assessment Rating, thereby representing the best value considering all three factors: Technical Capability, Past Performance, and Price.
e. The Government will award this RFQ to a responsible contractor IAW FAR Part 9 whose offer conforms to the RFQ (to include all terms, conditions, representations, certifications, and all other information required by the solicitation) and is judged, based on the evaluation factors, to be most advantageous to the Government. This may result in an award to a higher rated, higher priced contractor, where the decision is consistent with the evaluation factors. However, the Government will not pay a price premium that it considers to be disproportionate to the benefits associated with the proposed margin of service superiority. Therefore, the Government will award to the contractor whose quote is considered to be the best value, all factors considered, given their relative order of importance.
f. The Government reserves the right to award no contract at all depending on the quality of the quotes submitted and availability of funds for the requirement. The Government intends to award without exchanges with the quoter; however, the Contracting Officer may inquire at any time about any quote if additional information or a revised quote is required. The Contracting Officer may inquire about all, none, or as many quotes as needed; however, the Contracting Officer shall treat all quoters fairly and impartially, in accordance with FAR 1.102-2(c)(3). Contractors are advised that their initial quote should contain the most favorable terms and reflect its best possible performance potential.
(2) Each contractor’s quote will be evaluated against the following criteria:
a. Volume II - Technical Capability. The Government will evaluate the contractor’s technical capability for accomplishing the requirements as they relate to each subfactor.
For technical capability subfactors 1 – 3, the Government will evaluate each subfactor and assign one of the following ratings:
RATING DEFINITION
Superior
The quote meets all the requirements identified in the PWS as related to the Technical Capability subfactor(s) and exceeds one or more requirements of the PWS. Such additions provide benefit to the Government.
Acceptable The quote meets all requirements identified in the PWS as related to the Technical Capability subfactor(s).
Reasonably Susceptible of Being Made Acceptable
The quote does not meet all the requirements in the PWS as related to the Technical Capability subfactor(s), based on the initial offer. However, there is reason to believe through minor revisions, an acceptable quote could result. For award without exchanges, these quotes will be considered “unacceptable”.
Unacceptable
Fails to meet one or more requirements in the PWS as related to the Technical Capability subfactor(s). These failures are not correctable without major revisions, significant changes, or complete re-writes of the quote to make it acceptable. Quotes with an unacceptable rating will not be considered for award.
Technical Capability subfactor 4 will be evaluated on a Pass/Fail basis. The technical capability for subfactor 4 will receive one of the following ratings:
RATING DEFINITION
Pass
The quote provides a Contractor Plan for Continuation of Essential Contractor Services ensuring continuation of mission essential functions and contains the required elements of
DFARS 252.237-7024.
Fail
The quote fails to provide a Contractor Plan for Continuation of Essential Contractor Services that does not ensure continuation of mission essential functions nor contains the required elements of DFARS 252.237-7024.
If any technical subfactor is rated as unacceptable or fail, the contractor will not be eligible for award.
(1) Subfactor 1 – Device and Transmission: The contractor’s technical approach demonstrated how the contractor will meet the PWS requirements cited in Paragraph 2.i.(1).
(2) Subfactor 2 – RMD Installation: The contractor’s technical approach demonstrated how the contractor will meet the PWS requirements cited in Paragraph 2.i.(2).
(3) Subfactor 3 – Data Management and Interface Capability: The contractor’s technical approach demonstrated how the contractor will meet the PWS requirements cited in Paragraph 2.i.(3).
(4) Subfactor 4 – Contractor Plan for Continuation of Essential Contractor Services: The Contractor’s Plan for Continuation of Essential Contractor Services (RFP Attachment 3) provided an adequate level of description to ensure continued execution of the mission-essential functions contained in the PWS, and which covers the minimum requirements described in DFARS 252.237-7024.
b. Volume III – Past Performance. The Government will evaluate past performance as Acceptable / Unacceptable related to the contractor’s ability to successfully perform the requirement based on the quality of recent and relevant performance efforts. The Government may also evaluate recent information obtained independently by the Government.
(1) Recency: The Government will first determine the recency of each past performance reference, which is defined as ongoing or performed within three calendar years of the due date for the quote submission.
(2) Relevancy: The Government will then determine the relevancy of each past performance reference. The following definitions will be utilized to determine the relevancy of each past performance effort:
RATING DESCRIPTION
Very Relevant
(VR)
Present/past performance effort involved essentially the same scope and magnitude of effort and complexities this solicitation requires.
Relevant (R) Present/past performance effort involved similar scope and magnitude of effort and complexities this solicitation requires.
Somewhat Relevant (SR)
Present/past performance effort involved some of the scope and magnitude of effort and complexities this solicitation requires.
Not Relevant
(NR)
Present/past performance effort involved little or none of the scope and magnitude of effort and complexities this solicitation requires.
(3) For purposes of this acquisition, scope, magnitude of effort, and complexity are collectively defined as provided services in the following areas:
• Scope – ITV within CONUS
• Magnitude – RMD installation and services for 500 devices
• Complexity – CONUS ITV to include (1) device, (2) device installation, (3) ITV transmissions and data service, and (4) website ability/access
(4) After recency and relevancy ratings have been assigned for each past performance effort being evaluated, one of the following overall Past Performance Assessment Ratings will be assigned to each contractor, which will take into consideration the quality of the contractor’s past performance:

Based on the contractor’s performance record, the Government has a reasonable expectation that the contractor will successfully perform the required effort, or the contractor’s performance record is unknown.
Unacceptable Based on the contractor’s performance record, the Government does not have a reasonable expectation that the contractor will be able to successfully perform the required effort.
(5) In the case a contractor without a record of relevant past performance or from whom information on past performance is not available or so sparse that no meaningful rating can be reasonably assigned, the contractor shall be determined to have unknown (or “neutral”) past performance. In the context of acceptability/unacceptability, a neutral rating shall be considered “Acceptable”.
(6) While each past performance reference does not need to reflect performance in all areas identified in Paragraph 3.c(2)b(3) above, the Government will give more consideration to a reference which reflects relevant performance in multiple areas.
(7) Contractors are cautioned to submit sufficient information and in the format specified above in 2.j. Contractors may be asked to clarify certain aspects of their quote (for example, the relevance of past performance information) or respond to adverse past performance information to which the Contractor has not previously had an opportunity to respond. Adverse past performance is defined as past performance information that supports an unacceptable rating on any evaluation element or any unfavorable comments received from sources without a formal rating system.
(8) Past performance regarding predecessor companies or subcontractors that will perform major or critical aspects of this requirement will be weighted the same (equally as important) as the past performance information for the prime contractor.
c. Volume IV – Price. The Government will evaluate the TEP (as quoted in
RFQ Attachment 2, Pricing excel (.xlsx) spreadsheet) to determine fair and reasonableness using one or more techniques set forth in FAR 13.106-3. IAW FAR 15-404-1(g), the Government may determine an offeror to be ineligible for award if prices proposed are materially unbalanced and pose an unacceptable risk to the Government. Unbalanced pricing exists when, despite a fair and reasonable TEP, the price of one or more line items is significantly overstated or understated.
