Non-Government Advisors are prohibited from rating or ranking Offeror’s proposals as voting members of the Source Selection Evaluation Board (SSEB). Furthermore, disclosure of Offeror’s past performance information (PPI) (e.g., Contractor Performance Assessment Report (CPAR)) to non-Government personnel is strictly prohibited. Non-Government Advisors are organizationally aligned under the following companies and contracts:

L-01.3.1.1 Kepler Research Inc.

Contract: SETA for Business Operations and Source Selection Support Contract #: HQ0006-07-D-0002 13663 Office Place, Suite 202 Woodbridge, VA 22192

L-01.5 Source Selection Methodology

L-01.5.1 Competitive, Best Value Source Selection This is a competitive best value source selection conducted in accordance with (IAW) the Federal Acquisition Regulation (FAR) 15.3, as supplemented by the Department of Defense (DoD) FAR Supplement (DFARS) 215.3 and supplemental DoD and MDA guidance. This requirement is a Total Set-Aside for Service-Disabled Veteran-Owned Small Businesses (SDVOSB), IAW FAR Part 19.14 - Service-Disabled Veteran-Owned Small Business Procurement Program, under North American Industrial Classification System (NAICS) Code 541513 - Computer Facilities Management Services. Offerors will be evaluated using the factors and subfactors identified in Section M. There are four (4) evaluation factors: Past Performance, Technical, Management, and Cost/Price. MDA’s intent is to award a single Cost Type contract. The proposal instructions in this section are designed to assist Offerors in preparing a complete response that reflects a full understanding of all contractual requirements.

Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as factors or subfactors to be eligible for award.

L-01.5.2 Offeror’s Best Terms The Government reserves the right to award without discussions. Therefore, the Offeror’s initial proposal should contain the Offeror’s best terms for Technical, Management, and Cost/Price.

The Government reserves the right to conduct discussions if the CO determines them to be necessary. IAW FAR 15.306, if the Government awards without discussions, the Offerors may be given the opportunity to clarify certain aspects of proposals (e.g., relevance of an Offeror’s past performance information and adverse past performance information to which the Offeror has not previously had an opportunity to respond) or to resolve minor or clerical errors.

L-01.5.3 Competitive Range At the Government's discretion, a competitive range determination may be utilized IAW FAR

15.306. Offerors are hereby notified that IAW FAR 15.306(c)(2), the CO may limit, with Source Selection Authority (SSA) approval, the number of most highly rated proposals to a number at which an efficient competition can be conducted. The CO will promptly notify any Offerors of any decision to exclude them from the competitive range IAW FAR 15.503, whereupon they may request and receive a debriefing IAW FAR 15.505.

L-01.5.4 Final Proposal Revisions Once discussions have been concluded with Offeror(s) determined to be in the competitive range, if utilized, the CO will request that the Offeror(s) provide a Final Proposal Revision (FPR) IAW FAR 15.307. The Offeror is advised that any changes to the proposal in the FPR must be fully addressed and/or explained and reflected in the proposed Cost/Price. Failure to comply with this requirement can adversely influence the evaluation of the proposal. The CO will establish a common due date and time for submission of the FPR.

L-01.5.5 Post Award Debriefing Offeror will have three (3) business days from the date of Government notice of contract award to submit a written request for a post-award debriefing IAW FAR 15.506. An unsuccessful Offeror who fails to submit a timely request will not be entitled to a debriefing. IAW FAR 15.506, the CO may elect to conduct the debriefing orally, in writing, or using any other acceptable method. An Offeror will receive no more than one (1) debriefing.

L-01.5.6 Errors/Omissions If an Offeror believes that the solicitation contains an error, omission, or is otherwise unsound or unclear, the Offeror shall immediately notify the CO in writing, with supporting rationale, no later than five (5) business days after release of this solicitation.

L-01.5.7 Mistakes Mistakes in Offeror’s proposal that are disclosed after award shall be handled IAW FAR 14.407- 4 as referenced in FAR 15.508.

L-01.5.8 RFP Revisions/Amendments The Government reserves the right to revise or amend any portion of this solicitation. Such revisions or amendments will be posted to FedBizOpps. If such amendments require material changes, the proposal due date may be extended at the discretion of the CO and by enough days to enable an Offeror to revise their proposal. In such cases, the amendment will include an announcement of the new proposal due date and time. The Offeror shall provide acknowledgement in Block 14 of the SF 33 (and continuation page if required) of any and all solicitation amendments issued by the Government.

L-01.6 Proposal Preparation Instructions

L-01.6.1 Classification and Presentation Each proposal volume shall be unclassified. Each volume shall be written in Standard English and be complete in itself (e.g., the Government will evaluate technical capabilities IAW Section M based solely on information in the Technical volume). Unless otherwise specified, the Offeror may use any form of presentation, such as narrative, pictures, tables, graphs, schematics, logic, and other functional block diagrams to convey information.

L-01.6.2 Completeness The Offeror's proposal shall include all data and information requested and shall be submitted IAW these instructions. Non-conformance with these instructions may result in an unfavorable proposal evaluation, or rejection of an Offeror’s proposal, rendering it ineligible for award.

The proposal shall be clear, concise, and consistent across all volumes and factors. The proposal shall also include sufficient detail for effective evaluation of the Offeror’s capabilities and for substantiating the validity of stated claims. The Offeror’s proposal shall not simply rephrase, reiterate, or restate the Government’s requirements but rather shall provide convincing rationale to demonstrate an understanding of the requirements and address how the Offeror intends to address the requirements. The Offeror shall assume that the Government has no prior knowledge of their capabilities or experience. The Government will base its evaluation on the information presented in the Offeror’s proposal and other information, including present/past performance information, available to the Government. Offerors should properly mark their proposal documents which contain proprietary or restricted information.

L-01.6.3 Due Date (Ref. Table L-01-1 Volume Organization) Proposal Volume II – Contract, Tab 3 - ORCA and Tab 4 - OCI Plan and Disclosure Forms only and Volume III - Past Performance are due at the location specified in L-01.16 on 26 March 2012, 1500 (Central Time). L-04. VOLUME III – PAST PERFORMANCE

Past Performance References, Past Performance Information (PPI), and Past Performance Questionnaires (PPQ) are required for the Prime Offeror and each proposed Teammate/Subcontractor. Prime Offeror(s) and all Teammates/Subcontractors with no past performance experience shall submit an appropriate explanation of why past performance is unavailable; failure to provide this information may result in the proposal being removed from consideration for award. In evaluating the Offeror’s past performance record, the Government will use past performance information obtained from various sources known or identified by the Government. The Government reserves the right to contact sources other than those provided by the Offeror to assess past performance. Offerors shall consider recency and relevancy (defined in Section M) when preparing the Past Performance Volume. For Indefinite Delivery/Indefinite Quantity (IDIQ) contracts, Offeror’s are limited to a single past performance citation per IDIQ contract.

Volume III – Past Performance (all Tabs) is due on 26 March 2012. The Offeror shall double envelope/wrap the contents and submit Past Performance Tabs 1, 2, 4, and 5 IAW L-01-16.

Note 3: Volume III – Past Performance Tab 3: Past Performance Questionnaires (PPQs) are not deliverable by the Offeror; the PPQs are individually submitted by the POCs.

L-04.1 Tab 1: Past Performance Reference List The Offeror shall provide a completed Past Performance Reference List (PPRL), Section L, Attachment L-1, identifying the contracts to be provided for Past Performance evaluation as PPI and the associated POCs who will be sent PPQs. POCs are limited to two (2) per contract listed.

If deemed necessary, the Government may contact or visit the POCs to verify information provided in completed Past Performance Questionnaires. The Offeror shall ensure the POC data is current and accurate.

NOTE: For contracts that involve delivery/task orders, specify the relevant order number(s).

L-04.1.1 POCs For each referenced contract or delivery/task order, the Offeror shall identify two (2) of the following POCs:

L-04.1.1.1 CO/Contract Administrator with direct oversight of contractor performance;

L-04.1.1.2 Contracting Officer’s Representative (COR)/Contracting Officer’s Technical Representative (COTR)/Quality Assurance Evaluator (QAE);

L-04.1.1.3 Program/Project Manager or equivalent.

L-04.2 Tab 2: Past Performance Information The Offeror shall submit PPI by specific contract or delivery/task order, Section L, Attachment L-2. The PPI shall be limited to those contract references submitted on the PPRL. A maximum of five (5) PPIs for the Prime Offeror and a maximum of three (3) PPIs for each Teammate/Subcontractor shall be submitted if applicable. For delivery/task order contracts, Offerors shall submit only one (1) PPI per contract.

The Offeror should explain what aspects of the contracts or delivery/task orders are deemed relevant to the proposed effort. The Government is not bound by the Offeror’s explanation or opinion of relevancy. This may include an assessment of efforts accomplished by the Offeror to resolve problems encountered on prior contracts/task orders, as well as past efforts to identify and manage program risk. Where problems existed, clearly demonstrate management actions employed to overcome these problems and the effects of those actions in terms of improvements achieved or problems rectified.

If the referenced contract type is Cost Plus Award Fee (CPAF) or Cost Plus Incentive Fee (CPIF), provide copies of all Government narrative fee assessments covering up to the last three

(3) years of performance, including the amount/percentage of fee and the Government Fee Determining Official’s (FDO) assessment of Contractor performance. If the Offeror, Teammate, or Teammate/Subcontractor was a Subcontractor on the contract cited, provide the award fee assessment if available.

L-04.3 Tab 3: Past Performance Questionnaires Within the Offeror’s submitted proposal, this section shall be blank. The completed PPQs, Section L, Attachment L-3, shall be submitted directly from the POCs and will be placed in the Government Source Selection files.

The Offeror shall complete the PPQ Section 1 and then forward the entire questionnaire to the POCs listed in the PPRL, Section L, Attachment L-1, for completion of Section 2. The Offeror shall perform this task in a timely manner so the POC can submit the completed PPQ by the required submission date.

The Offeror shall exert its best effort to ensure the POCs submit the completed PPQs directly to the Government by the due date. To avoid potential conflicts, the Offeror should not send PPQs to other potential competitors of this acquisition. In this situation, it is the Offeror’s responsibility to find an alternative method of providing the Government the same or similar information.

Once the PPQs are completed by the POCs, the information contained therein shall be considered Source Selection Information and shall not be released to the Offeror. Each of the POCs shall e-mail the completed and signed (.pdf format) PPQs to: MICS-PPQ@mda.mil.

L-04.4 Tab 4: Organizational Change History Many companies have acquired, been acquired by, or otherwise merged with other companies and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the period of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult for evaluators to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, Offerors shall submit an Organizational Change History describing all such changes in the organization of the company during the past three (3) years for the Prime and each Teammate/Subcontractor. As part of this explanation, show how these changes impact the relevance of any efforts identified for past performance evaluation. The

Organizational Change History should be both specifically applicable to the efforts identified and general enough to apply to efforts on which the Government receives information from other sources. This information is required for each Offeror and Teammate/Subcontractor submitting past performance references.

L-04.5 Tab 5: Teammate/Subcontractor Consent Letters Past performance information concerning Teammates/Subcontractors cannot be disclosed to a private party without the Teammates/Subcontractors consent. Because the prime Offeror is a private party, the Government requires consent before disclosing Teammate/Subcontractor past performance information to the Prime Offeror during exchanges. In an effort to assist the Government in assessing past performance relevancy and confidence, the Teammate/Subcontractor Consent Letter, Section L, Attachment L-4, shall be completed and submitted by each Teammate/Subcontractor for which past performance references/questionnaires are submitted.

Should the Offeror not submit a signed Teammate/Subcontractor Consent Letter for Teammates/Subcontractors, the Government will only discuss past performance information directly with the prospective Teammate/Subcontractor that is being reviewed. If there is a problem with the proposed Teammate’s/Subcontractor’s past performance, the Offeror can be notified of a problem, but no details may be discussed without the Teammate’s/Subcontractor’s permission.
