14. Para. L.3.3(1) states:
“The offeror shall complete the pricing in the Schedule starting in Section B of the RFP for the Sample Tasks.” (emphasis added).
It is unclear what is intended to be included in the “Max Cost” lines for the non-task order CLINS (i.e. the yearly CPFF completion and LOE CLINS).
No entry is required in the “Max Cost” lines for the non-task order CLINs. Individual Task Orders will be issued under these CLINs after contract award. The Task Orders will be issued and priced IAW the clauses cited under each CLIN in Section B.
15. This same language in L.3.3(1) seems to conflict with L.3.3.4 which states:
“Offerors shall provide a fixed fee that will be applicable to all task orders for the life of the contract. This fixed fee should be based on the estimated amount of total obligations for each year as follows: Base Year $3M...”
It is unclear what is required for Section B where it asks for “Fixed Fee” for the yearly completion and LOE CLINS, and also what is required for ”Net Amount” for the Sample Task Order CLINS.
Offerors must either enter the fixed fee percentage for all CLINs in Section B, AND/or state in the COST Volume the fixed fee percentage to be used for all CLIN’s IAW L-3.3.4. Note: As stated in paragraph L-3.3.4 at the top of page 54, "the fixed fee PERCENTAGE proposed...will be applied to all four sample task orders."
16. Para. L.3.3.4 appears to suggest that a dollar amount rather than a rate should be proposed for the fixed fee for each year. It is unclear as to whether this proposed fee amount is for evaluation purposes only or whether it will become a binding contract amount. If the proposed fee is an amount which becomes contractually binding (as opposed to a rate), it is unclear how this will be applied to individual task orders - the number, scope/complexity, and amounts of which are unknown and could vary widely within a year or between years. It is also unclear how the response to Para. L.3.3.4 is considered in the evaluation based on the formula in M.3.3.1.3.
The proposed fee amount stated by Para. L.3.3.4 should be expressed as a rate. The Offerors are required to propose one fixed-fee rate, which will be binding for all CLINs AND ALL years. The rate will be binding for both completion and level-of-effort type CLINs.
The proposed (binding) fixed-fee rate will be applied to the total cost (less COM) proposed/negotiated for each task order issued under the basic contract. The purpose of having a binding fee, established through competition of this procurement, is to facilitate timely negotiations. This is also the main purpose of having “loaded labor rates” during the base year.
The proposed fee should be based on the average complexity of the tasks contained in the Performance Work Statement (PWS). The tasks in the PWS vary in complexity, however the range in complexity is not very significant. Some Task Orders may be more complex than others. However, the overall risk to the contractor on a cost-type contract is very minor.
The total evaluated cost plus fixed fee is determined using the following steps:
Step 1: Determine the total evaluated cost (TEC) based on the formula in M-3.3.1.3.
Step 2: Apply the Offeror’s proposed fixed fee percentage to the TEC
Note: the Offeror’s proposed fixed-fee rate for all Sample Tasks should be the same as the rate proposed IAW L.3.3.4.
