Step 1 - Section L – Instructions, Conditions and Notices to Offerors – Prequalification of Sources Repair Cadet Chapel, FA8903-17-R-0071
REQUEST FOR PROPOSAL
CONSTRUCTION SERVICES FOR
REPAIR USAFA CADET CHAPEL,
UNITED STATES AIR FORCE
ACADEMY, CO
SOLICITATION NO. FA8903-17-R-0071
STEP ONE
PREQUALIFICATION OF SOURCES
SECTION L
INSTRUCTIONS, NOTICES, AND
CONDITIONS TO OFFERORS (ITO)
1.0 Program Structure and Objectives
(a) This solicitation is for Construction Services for Repair Cadet Chapel for the United
States Air Force Academy (USAFA), Colorado Springs, Colorado (referred to hereafter as the “Repair Cadet Chapel”).
(b) The Government will utilize a two-step evaluation process to award a single contract to the Offeror who provides the best value to the Government considering cost and non-cost factors.
(1) Step 1 will be a prequalification of sources in accordance with DFARS 236.272.
In Step 1, the Government will ask for qualifications/past performance in order to evaluate and prequalify sources to perform the Repair Cadet Chapel. Price will not be evaluated as part of Step 1. The Government will shortlist up to five (5) of the most competitive Step 1 Offerors to compete for contract award in Step 2.
(2) In Step 2 of the two-step selection procedure, the Offerors that were prequalified in Step 1 will receive an Amendment to the RFP. The Amendment will request the prequalified Offerors to submit proposals that include technical and price information. In Step 2, the Contracting Officer will award one contract to the Offeror who is deemed responsible in accordance with the FAR, as supplemented, whose proposal conforms to the solicitation’s requirements (to include all stated terms, conditions, representations, certifications, and all other information required by Section L of this solicitation) and who is judged, based on the evaluation factors to represent the best value to the Government. This may result in an award to a higher rated, higher priced Offeror, where the decision is consistent with the evaluation factors, and the Source Selection Authority (SSA) reasonably determines that the technical and/or overall business approach of the higher price Offeror outweighs the cost difference. Step 2 will be conducted in accordance with Federal Acquisition Regulation (FAR) Part 15, Defense Federal Acquisition Regulation Supplement (DFARS) Source Selection Procedures, Guidance and Information Subpart 215.3, and Air Force Federal Acquisition Supplement (AFFARS) Subpart 5315.3.
1.1 Budget/Funding Information
In accordance with DFARS 236.203, the magnitude of construction for this project is between $25,000,000 and $100,000,000.
2.0 General Instructions
(a) The Offeror's proposal must include all data and information requested by this
Instructions, Notices, and Conditions to Offerors (ITO) and must be submitted in accordance with these instructions. The offer must be compliant with the requirements as stated in the Statement of Work (SOW), Specifications, and Drawings. Non-conformance with the instructions provided in this ITO may result in an unfavorable proposal evaluation.
(b) The proposal must be clear, concise, and must include sufficient detail for effective evaluation and for substantiating the validity of stated claims. The proposal should not simply rephrase or restate the Government's requirements but rather must provide convincing rationale to address how the Offeror intends to meet these requirements.
Offerors must assume that the Government has no prior knowledge of their capabilities and experience and will base its evaluation on the information presented in the Offeror's proposal.
(c) Elaborate brochures or documentation, binding, detailed art work, or other embellishments are unnecessary and are not desired.
(d) In accordance with FAR Subpart 4.8 (Government Contract Files), the Government will retain one copy of all unsuccessful proposals. Unless the Offeror requests otherwise, the Government will destroy extra copies of such unsuccessful proposals.
2.1 General Information
2.1.1 Point of Contact
The Procuring Contracting Officer (PCO) is the sole point of contact for this acquisition.
Address any questions or concerns you may have to the PCO. Written requests for clarification may be sent to the PCO at the address below. The PCO for this acquisition is as follows:
Procuring Contracting Officer:
Mrs. Sally Kite Phone (210) 395-8049 Email: sally.kite@us.af.mil
2.1.2 Notifications/Debriefings
2.1.2.1 Step 1 Prequalification of Sources (DFARS 236.272)
This is a prequalification process only. Up to five (5) Offerors will be prequalified for Step 2.
The PCO will promptly notify Offerors not prequalified for Step 2; such notice will include a written prequalification debriefing. This will be the only debriefing given to Offerors not selected for Step 2. The PCO has determined that there is a need to expeditiously address issues related to an Offeror not being selected to move to Step 2 to avoid unduly disrupting or delaying the procurement process. Resolving any concerns related to an Offeror being excluded from Step 2 prior to starting the Step 2 evaluation will avoid duplication of evaluation effort and delay of the acquisition process. This is fair considering that Step 1 and Step 2 have separate evaluation processes and criteria and that the Step 1 criteria will not be part of the subjective tradeoff in Step 2. At a minimum, the pre-award debriefing will include --
(a) The agency’s evaluation of significant elements in the Offeror’s proposal;
(b) A summary of the rationale for Offeror not being selected for Step 2; and
(c) Reasonable responses to relevant questions about whether prequalification procedures contained in the solicitation, applicable regulations, and other applicable authorities were followed in the process of eliminating the Offeror from the Step 2 competition.
2.1.3 Discrepancies
If an Offeror believes that the requirements in these instructions contain an error, omission, or are otherwise unsound, the Offeror must immediately notify the PCO in writing with supporting rationale as well as the remedies the Offeror is asking the PCO to consider as related to the omission or error. The Offeror is reminded that the Government reserves the right to make a prequalification selection for this effort based on the initial proposal, as received, without interchanges. This reservation includes matters of additional or substitute pages of the initial proposal.
2.1.4 Electronic Reference Documents
All referenced documents for this solicitation are available on the Federal Business Opportunities (FedBizOpps) website at http://www.fedbizopps.gov. Potential Offerors are encouraged to subscribe for real-time e-mail notifications when information has been posted to the website for this solicitation.
2.1.5 Communications
The Government intends to make a prequalification decision based on the initial proposal submissions without conducting interchanges. Therefore, each offer should contain the Offeror’s best terms from a technical standpoint. The Government is not required to conduct interchanges with any or all Offerors responding to the prequalification RFP. Interchanges are fluid interaction(s) between the Procuring Contracting Officer (PCO) and the Offerors that may address any aspect of the prequalification proposal. During the prequalification process (Step 1), the Government may decide to hold interchanges with one, some or none of the Offerors. All such interchanges will be documented in the contract file. Offeror responses to interchanges will be considered in making the prequalification decision. Interchanges with industry may be in written format via password-protected or encrypted email, and/or U.S. Postal delivery or facsimile and controls to preserve the integrity of the competitive process, as described herein, shall be adhered to.
2.1.6 Joint Ventures/Teaming Arrangements and/or Letters of Intent A Joint Venture (JV) will be considered a sole business entity. A Teaming Arrangement (TA) and/or Letter of Intent (LOI) must commit the parties to perform under this contract. Signed JV/TA/LOI documentation must be provided in Volume I, Contract Documentation, and Volume II, Technical. Submit a signed copies of the Joint Venture agreement/Teaming Arrangement and/or LOI indicating the proposed participation of each team member. Failure to submit the required Joint Venture Agreement/Teaming Arrangement and/or Letter of Intent will be considered unacceptable.
2.2 Organization/Number of Copies/Page Limits
The Offeror must prepare the proposal as set forth in the Proposal Organization Table (Table 1/Step 1 below). The titles and contents of the volumes must be as defined in this table, all of which must be within the required page limits and with the number of copies as specified in Table 1/Step 1. The attachments identified in the table must be separately bound in three-ring, loose-leaf binders, as necessary. The contents of each proposal volume are described in the ITO paragraph as noted in the Table 1/Step 1 below:

2.5 Definitions
(a) Deficiency is a material failure of a proposal to meet a Government requirement or a combination of significant weaknesses in a proposal that increases the risk of unsuccessful contract performance to an unacceptable level.
(b) Interchanges are fluid interaction(s) between the Procuring Contracting Officer (PCO) and the Offerors that may address any aspect of the Offeror’s proposal.
(c) Joint Venture (JV) is a business arrangement wherein two or more companies agree to form a partnership to perform a specific function. The JV is a discrete business entity separate from each of its component participants. The Joint Venture Agreement is the controlling document concerning what responsibilities each participant will contribute to the JV. This is different from a teaming agreement in that each participant in a teaming agreement maintains its separate identity and responsibilities.
(d) Performance Confidence Assessment is an evaluation of the likelihood (or Government’s confidence) that the offeror will successfully perform the solicitation’s requirements; the evaluation is based upon the Offeror’s past performance information.
(e) Recency as it pertains to past performance information, is a measure of the time that has elapsed since the past performance reference occurred. Recency is generally expressed as a time period during which past performance references are considered relevant.
(f) Relevancy, as it pertains to past performance information, is a measure of the extent of similarity between the service/support effort, complexity, dollar value, contract type, and subcontract/teaming or other comparable attributes of past performance examples and the solicitation requirements; and a measure of the likelihood that the past performance is an indicator of future performance.
(g) Risk is the potential for unsuccessful contract performance. The consideration of risk assesses the degree to which an offeror’s proposed approach to achieving the technical factor may involve risk of disruption of schedule, degradation of performance, the need for increased Government oversight, and the likelihood of unsuccessful contract performance.
(h) Significant Weakness in the proposal is a flaw that appreciably increases the risk of unsuccessful contract performance.
(i) Strength is an aspect of an offeror's proposal that has merit or exceeds specified performance or capability requirements in a way that will be advantageous to the Government during contract performance.
(j) Team/Team Member(s)/Teaming Partner(s) is the consideration of the Offeror and all subcontractors a “team” when evidence of a signed Teaming Arrangement (TA) or Letter of Intent (LOI) is provided. This solicitation will refer to the Offeror and all identified teaming subcontractors as a “team.” This solicitation will refer to all identified teaming subcontractors as “team members” or “teaming partners.”
(k) Teaming Arrangement (TA) and/or Letter Of Intent (LOI). To be valid under this solicitation, a Teaming Arrangement (TA) or Letter of Intent (LOI) must commit the parties to performance under this contract.
(l) Weakness means a flaw in the proposal that increases the risk of unsuccessful contract performance.

(a) Offeror must complete and print out Attachment L1-1, Contact Information and include in Volume 1.
3.4 Joint Ventures, Teaming Agreements, and/or Letters of Intent Provide all Joint Venture (JV) Agreements, Teaming Arrangements, and/or Letters of Intent (LOI) for specialty scope subcontractors. Failure to submit the required JV Agreement, Teaming Agreement, and/or LOI may result in an unacceptable proposal. Specialty scope subcontractors (Factor 2) are not restricted from forming teams with multiple Offerors.
3.5 Organizational Conflict of Interest (OCI) Analysis and Mitigation Plan
(a) The Offeror shall identify any potential OCI issues or appearance of any potential OCI your company, (including all Teaming Partners, subcontractors, subsidiaries and legacy companies) may have with respect to the scope of effort as outlined in this solicitation.
OCIs may exist at least in the following three (3) ways:
(1) Unequal access to information – access to non-public information that gives a contractor an unfair competitive advantage.
(2) Biased ground rules – when a contractor has in some sense set the ground rules for another procurement action creating the potential that the contractor may have tilted the playing field in the new competition (usually toward its own strengths and away from its weaknesses).
(3) Impaired objectivity – when the contract requires exercise of judgment and the independence of its judgment may be affected (e.g., when the contractor may be required to evaluate its own work in a way that could be adverse to its economic interests).
(b) If your company does identify a potential OCI or appearance of any potential OCI, a mitigation plan shall be submitted in Volume 1, Contract Documentation Volume to show how your company will either satisfactorily mitigate or eliminate any potential OCI issues or appearance of any potential OCI. If your firm, including all Teaming Partners, subcontractors, subsidiaries, and legacy companies, has not identified any OCIs or appearance of OCIs, then the Offeror must so state.
(c) Any submitted OCI analysis and plan will not be evaluated unless the Offeror is considered the apparent successful Offeror to proceed to Step 2 under the evaluation Factors listed in this RFP. OCI determination will be included as part of the responsibility determination conducted prior to the prequalification decision. The Government will determine if an OCI exists and whether adequate mitigation is proposed. If adequate mitigation is not proposed, the Government may engage in interchanges with the Offeror to determine if the problems with the mitigation plan may be resolved. If an OCI exists that cannot be adequately mitigated, the Government may seek waiver of the OCI issue or may select another Offeror who does not have an OCI, or who has an OCI and has submitted a mitigation plan that is adequate or may be made so after interchanges between the Government and the Offeror.
3.6 Financial Responsibility/Bonding
Prime must provide proof of bonding capacity to support this contract.
(a) To be considered, the contractor Offeror must have a letter from a surety on surety letterhead that says the contractor Offeror has a relationship with the company and required bonding capacity has been obtained. If proposing a Joint Venture, the entity must meet minimum bonding requirements.
(b) To be considered, the Offeror must provide aggregate bonding of at least $100 million for this contract.
(c) Provide proof of bonding capacity with bonding capability letters from an approved surety listed with the Department of Treasury. The list of approved sureties can be found at http://www.fiscal.treasury.gov/fsreports/ref/suretyBnd/c570_a-z.htm. Letters must be notarized and signed by someone who can represent the surety. Letter should be dated within 30 days of Step 1 proposal submission date. Letters signed by agents are unacceptable unless accompanied by a Power of Attorney granting proper authority to the agent.
http://www.fiscal.treasury.gov/fsreports/ref/suretyBnd/c570_a-z.htm
(d) Financial responsibility will not be evaluated as a separate Factor. However, it is a basic contract requirement with a pass/fail determination that will be evaluated during the prequalification process. An Offeror may only be shortlisted if they are deemed responsible in accordance with the FAR.
3.7 Exceptions to Terms and Conditions
(a) Exceptions to Terms and Conditions of the model contract are strongly discouraged and may result in the Offeror being removed from consideration for prequalification. Failure to comply with the terms and conditions of the solicitation may result in the Offeror being removed from consideration for prequalification.
(b) Exceptions taken to terms and conditions of the model contract, to any of its formal attachments, or to other parts of the solicitation must be identified.
(c) Each exception must be specifically related to each paragraph and/or specific part of the solicitation to which the exception is taken.
(d) Provide rationale in support of the exception and fully explain its impact, if any, on the performance, schedule, cost, and specific requirements of the solicitation.
(e) This information must be provided in the format and content of Table 2/Step 1.
