1 Purpose 1

1.1 This Ordering Guide establishes the procedures for using the Hemisphere Multiple Award 2 Indefinite Delivery Indefinite Quantity (IDIQ) contract. The procedures for selecting contractors 3 for task order (TO) awards under Hemisphere are governed by FAR 16.505 and supplements. 4 Unless otherwise specified in a Fair Opportunity Proposal Request (FOPR), the following defines 5 ordering instructions and the process of tailoring evaluation criteria to meet requirements. 6

2 General Information 7

2.1 Ordering Period 8

Hemisphere has a ten (10) year ordering period from 1 Febraury 2024 to 30 January 2034. 9 Performance under Task Orders (TO) or associated options may extend beyond the ordering 10 period. However, a TO may not have a period of performance (PoP) that extends beyond 5 years 11 from the date of TO award, IAW FAR 16.505(c). 12

2.1.1 The contract allows for both on-ramps and off-ramps throughout the ordering period. In order 13 to preserve, stimulate, or enhance the Hemisphere competition pool, the Government may re-14 open the original Hemisphere solicitation 5 years from original IDIQ award to on-ramp new IDIQ 15 contract Offerors to the vendor pool. On-Ramps will utilize the same basis for award as the Basic 16 RFP. The ordering period for new contractors, in the case of on-ramps, shall not extend the 17 overall term of the ordering period nor shall it re-establish the basic contract ordering period. In 18 contrast, the Government may utilize off-ramps to remove a contractor from the vendor pool if 19 the contractor (1) submits a written request to the Procuring Contracting Officer (PCO) to be 20 removed, (2) has a TO terminated for cause, or (3) if the contractor ceases business operations. 21

2.2 Order Limitations 22

All qualifying Offerors will be awarded $500.00 to satisfy Hemisphere’s minimum order, the 23 Quality Assurance Plan. The government does not guarantee orders beyond this minimum. 24 Performance cannot be authorized except by a TO issued by the PCO. Hemisphere has a ceiling 25 of $2.5 billion. The ceiling will be monitored by Space Systems Command (SSC). Once the ceiling 26 is reached no new TOs, modifications, or options shall be awarded or exercised. 27

2.3 Task Orders 28

Orders shall be issued in a hybrid contract type manner. Labor Contract Line Item Numbers 29 (CLINs) will be issued on either a Firm-Fixed Price (FFP) Level of Effort (LOE), FFP, or Cost-Plus-30 Fixed-Fee (CPFF), or Cost basis. The CLIN Structure on each order will strictly follow the CLIN 31 structure outlined in the IDIQ contract, with CLINs broken out in one (1) year increments (one 32

(1) year base, four (4) option years). 33

2.4 Decision Authority 34

The task order decision authority will be the PEO for Space Domain Awareness and Combat 35 Power (SDACP) (SSC/SZ), unless delegated. 36

2.5 Small Business Set-Asides 37

In addition to the Small Business procedures found under FAR 19 and supplements, the 38 following procedures will be used for determining the applicability of Small Business Set Asides. 39

2.5.1 The PCO shall perform market research within the IDIQ pool to determine whether there is a 1 reasonable expectation of receiving offers from at least two responsible Hemisphere IDIQ 2 contract small business concerns. If market research reveals that there is a reasonable 3 expectation that two or more small business concerns, who are competitive in terms of market 4 prices, quality and delivery, will submit proposals, then the TO will will be set aside for small 5 business concerns. If a TO is competed among Hemisphere IDIQ contract small business 6 concerns and the PCO receives no acceptable offers, then the FOPR shall be withdrawn and the 7 requirement, if still valid, shall be resolicited on an unrestricted basis to the entire pool of 8 Hemisphere contract awardees. 9

2.5.2 All task orders that require less than 80 full time-equivalent personnel shall be set aside for 10 small busienss unless market research, as described above, reveals that the requirement cannot 11 be fulfilled by small business. 12

3 Ordering Procedures 13

3.1 Proposal Process 14

The Government reserves the right to change these ordering procedures at any time during the 15 period of performance of the Hemisphere MAC IDIQ. The PCO will issue a FOPR to all prime 16 contractors, unless a fair opportunity exception exists, which will include specific requirements 17 and scope of work to be accomplished. The FOPR will also specify associated CLINs and the 18 contract type. Any questions pertaining to the FOPR package shall be submitted to the PCO 19 within three (3) business days of FOPR issuance. If an offeror declines to submit a proposal, the 20 offeror shall notify the PCO in writing (email is acceptable) within 5 business days of the receipt 21 of the FOPR. 22

The FOPR (Appendix A) will include, at a minimum, the following information: 23

• Tracking Number (assigned by PCO) 24

• Issuance Date 25

• Proposal Due Date 26

• Proposal Validity Date 27

• PCO Email address/mailing address of Government contracting office 28

• Instructions to Offerors 29

• Evaluation Criteria and Selection Method 30

• Staffing Matrix 31

3.2 FOPR Tailoring 33

The FOPR will need to be tailored for each TO to select the appropriate evaluation criteria. Each 34 FOPR will at a minimum have the following evaluation criteria depending on the unique 35 requirements of the task order. The Government reserves the right to revise evaluation factors 36 and subfactors to include but not limited to past performance, both on other Government 37 contracts and previous/concurrent Hemisphere TOs. The Offerors will only be evaluated on the 38 criteria listed in the FOPR. This flexible methodology assesses mission requirements using select 39 evaluation factors to determine which proposal is most advantageous to the Government. 40

Technical (Factor 1) 41

Subfactor 1: Staffing 42

Subfactor 2: Small Business Participation Commitment Document 1

Cost/Price (Factor 2) 2

3.3 Evaluation Process 3

Orders will be evaluated on a best value tradeoff basis, relative importance of factors and 4 subfactors shall be identified in each FOPR, based on individual TO needs. The Government 5 reserves the right to use any best-value continuum as dictated by the unique needs of each 6 contemplated TO. The FOPR will identify specific processes for each TO. The Government’s 7 evaluation team consisting of the PCO, Buyer, and program technical team member will 8 evaluate each contractor’s proposal. Solicitations are issued with the anticipation of adequate 9 price competition, therefore certified cost and pricing data are not required. However, if 10 adequate price competition does not exist, the Government reserves the right to request 11 additional cost or pricing data, which may be required to be certified. Upon award of a task 12 order, Offerors may, but are not required to, request a debriefing concerning the evaluation of 13 their proposal. 14

3.4 Use of Non-government Advisors 15

The Government will not be using Non-Government Advisors for the proposal evaluations for 16 Hemisphere, however contractors will be assisting in the verification of clearances described in 17 the Employee Roster Excel File, referenced in paragraph 4.3.4 of these ITO. The contractors 18 performing the reviews are listed in Table 2.5. These reviewers have signed individual 19 nondisclosure agreements with the Government which strictly prohibit any release or disclosure 20 of information outside the source selection team. The Excel file that will be reviewed will be 21 isolated from the rest of the proposal and contractors will not have access to any other parts of 22 the proposal. The Offeror may object to the release of its proposal information to the non-23 Government advisor. Any such objection must be submitted no later than 10 calendar days after 24 solicitation release, and transmitted by email to the PCO. 25

1.5.3 Teaming arrangements, subcontract, affiliate/sister companies/entities are not restricted. 12 Offerors submitting a proposal as the prime Offerors in response to this solicitation are 13 permitted to submit separate proposals under which they would be a subcontractor, or a team 14 member to another prime. 15

1.5.4 The Offeror shall summarize its organization, management, roles, and responsibilities. The 17 Offeror shall indicate agreements that have been executed (e.g. subcontracts, interdivisional 18 efforts) to allow work to begin at contract award. The Offeror shall provide an organization chart 19 that show prime, subcontractors, and includes personnel key to the success of the Hemisphere 20 effort, delineating clear lines of authority across each of the entities or divisions. The Offeror 21 shall provide a separate organization chart the depicts how the Offeror’s program fits within the 22 company, clearly identifies the entire chain of command from the Offeror’s Chief Executive 23 officer to the Program Manager, and include key names, titles, division names, and location. The 24 Offeror will clearly identify personnel likely to charge time to multiple Space Systems Command 25 programs. 26

1.5.5 Proposal Correlation Matrix. The Offeror shall complete the FOPR Proposal Correlation Matrix, 28 Table 1.5.5. The matrix identifies which section of the Offeror’s proposal addresses each 29 particular evaluation criteria. The FOPR Proposal Correlation Matrix shall not contain 30 informational notes, as the content is not evaluated and the Technical Volume provides ample 31 opportunity for discussion and description of the Offeror's approach for evaluation. The FOPR 32 Proposal Correlation Matrix has no page limitation and does not account against the Executive 33 Summary Volume page limit. 34

1.6.1 Subfactor 1: Staffing. The Offeror shall complete columns G, J and P of Attachment 1 – 2 Hemisphere Staffing Matrix. The proposed knowledge and experience shall meet or exceed the 3 requirements stated in the staffing matrix and PWS. 4

1.6.1.1 In a separate Excel file, the contractor shall submit an employee roster corresponding to the 6 employees submitted IAW paragraph 1.6.1, listing the information required for the Government 7 to verify the employees’ security clearances. The document shall be labelled appropriately as it 8 will contain Personally Identifiable Information (PII). The document shall list the information 9 required by Table 1.4.1.2, in tabular format. 10

Table 1.4.1.2 Employee Roster

Employee Name Social Security Number Clearance Level SAP Briefed (Y/N)

Doe, John XXX-XX-XXXX TS/SCI Y

1.6.1.2 The offeror shall complete and submit a Personnel Security Questionnaire (PSQ) and all 13 necessary attachments, found in Attachment 2 of this FOPR, for every employee submitted. The 14 Government will evaluate those submissions to ensure that the proposed individuals are 15 eligible/able to maintain the required security clearances. 16

1.6.1.3 Alternate Location Proposals. If the contractor provides a resume for an individual whose 18 working location differs from that listed in the Staffing Matrix, Offerors shall provide a plan for 19 how that individual will perform classified work from the alternate location. The plan shall 20 address the type and location of the secure facility (address, owner, accreditation) and what 21 type of networks and communications will be available at that location. The plan shall also 22 addressed how the space will be paid for (contractor owned, facilities use agreement, etc.). The 23 alternate location shall at a minimum have network access to Secure Global Network (SGN) and 24 vIPer phones in order to be determined acceptable by the Government. Alternate location 25 proposal plans shall be kept to a minimum of 1 page per individual. The overall page count for 26 alternate location proposal plans will not count against overall page limitations for Volume II. 27

1.6.2 Subfactor 3: Small Business Participation Commitment Document (SBPCD). The SBPCD is a 30 separate document from the Small Business Subcontracting Plan required by FAR 19.7. IAW 31 Defense Far Supplement (DFARS) 215.304(c)(i), the extent to which Offerors identify and 32 commit to small business participation shall be evaluated on other than lowest price technically 33 accepted acquisitions. All Offerors, including small businesses and those Other Than Small 34 Business (OTSB) companies operating under a DoD Comprehensive Subcontracting Plan, shall 35 submit a SBPCD, which specified the Offeror’s level of commitment to small business utilization 36 in performance of this requirement. The SBPCD shall address the following: 37

1. The small business percentage, known as the minimum quantitate requirement 39 (MQR), is based on the total contract price. A MQR of 35% or better of the total 40 contract value must be allocated to small business (including small 1 disadvantaged business, women-owned small business, historically 2 underutilized business zone (HUBZone) small business, veteran-owned small 3 business, and service-disabled veteran-owned small business) for each task 4 order. Small business primes may take credit for their performance in 5 calculating the 35% or better participation. 6

2. Identification of participating small businesses by name, type of business, 7 product/service, dollar value, timeframe, as available. 8

3. The complexity and variety of the work small firms are to perform 9

4. Enforceable commitments to use such firms. Enforceable commitments are 10 more convincing than non-enforceable ones. An enforceable commitment is a 11 bilateral, signed Teaming Agreement between the offeror and subcontractor 12 which includes verbiage that enforces a subcontract if the Government awards 13 the contract to the prime offeror. An enforceable commitment should include a 14 statement of work, the duration of the agreement, and a clear statement that 15 states that the offeror “shall” subcontract with the teammate. The offeror shall 16 provide enforceable commitment(s) which support the Offeror’s 35% or better 17 participation (Note: this information will not be incorporated into the resultant 18 contract). 19

1.6.2.1 The successful Offeror’s SBPCD will be incorporated into the resultant contract. 21

1.7 Volume III – Cost/Price 25

1.7.1 The offeror shall submit price information to support the basis for their proposed Cost/Price for 26 all CLINs. The submitted information should fully support the PWS and Hemisphere staffing 27 matrix requirements. A breakdown should be provided which shows the labor category, labor 28 rate, and position description. Information shall be segregated by CLIN, individual performance 29 locations, and the total price for each CLIN as specified in the solicitation. Information shall also 30 show the consolidated total price for performance. Dollar amounts shall be rounded to the 31 nearest dollar. All loaded labor rates shall be rounded to the nearest penny. Also include at a 32 minimum, the Offeror’s price by CLIN Option and Total as shown in the Table 1.7.1 below. 33

Table 1.7.1 CLIN Price

1.7.1.1 Electronic File Submission. As an appendix to Volume III, the Offeror shall submit all pricing 2 documents in Microsoft Excel Format using formulas instead of just pasted values to preserve 3 any calculation logic within the file, including summaries and totals. The Offeror shall provide 4 electronic copies of all cost/pricing models that are used for developing its estimate. All Excel 5 files shall have working formulas. 6

1.7.1.2 If the model requires multiple excel spreadsheets, the “link cell” feature shall be used. The 8 cost/price proposal submitted shall be consistent with the Offeror’s approved estimating system 9 and shall duplicate the logic and mathematical formulas reflected in the official copy of its 10 proposal. 11

1.7.2 Introductory Section of the Cost/Price Volume. As an introduction, the offeror shall provide 13 comprehensive narrative support for the Cost/Price proposal volume. The narrative shall explain 14 the philosophy, methodology, and assumptions used in proposing the dollar amounts. Any 15 apparent imbalances in the pricing, any unrealistically low amounts, and any apparent pricing 16 abnormalities shall be clearly explained. The Government expects that consistency exists 17 between the Technical and Cost/Price volume; any offeror-intended inconsistency shall be 18 clearly explained and convincingly demonstrate how the promised performance will be achieved 19 at the proposed cost/price. 20

1.7.3 Cost Elements and Supporting Details. The offeror shall provide a Cost Element Summary for 22 each CLIN, to include options. The Cost Element Summary must show at least the following 23 information, as applicable: labor hours and dollars, indirect labor costs (e.g. fringe, overhead, 24 G&A), materials, travel, other direct costs (identify components making up other direct costs), 25 Facilities Capital Cost of Money (FCCOM), and profit/fee. The format should be base times rates 26 equals dollars, by offeror’s accounting year, and consistent with the Offeror’s rate structure. 27 Provide adequate explanation for each proposed cost element. The base upon which the rate is 28 applied should be clearly traceable and explained. Submit the Cost Element summaries in MS 29 Excel with working formulas. Printed copies shall be submitted to the Price Volume. Each CLIN 30 shall be on a separate worksheet in the excel file, with a summary worksheet summing up totals 31 for each cost element at the TO level. 32

1.7.4 Total Evaluated Price (TEP). The TEP shall be calculated as the sum of the Offeror’s proposed 34 prices for the Basic CLIN, the four (4) one-year options. Evaluation of options or optional CLINs 35 shall not obligate the Government to exercise such options or optional CLINs. 36

1.7.5 Completeness. The proposal should be complete to ensure the continuity and traceability of 38 cost/prices to the technical volume, initial proposal, and any revisions thereto. 39

1.7.6 Price reasonableness and Realism. The proposed price should be both reasonable and realistic. 1 For a price to be reasonable and realistic, it must represent a price to the Government that a 2 prudent person would pay in conduct of competitive business. 3

1.7.7 Unbalanced Pricing. Offerors are cautioned against submitting an Offer that contains 5 unbalanced pricing. Unbalanced pricing may increase performance risk and could result in 6 payment of unreasonably high prices. Unbalanced pricing exists when, despite an acceptable 7 total evaluated price, the price of one (1) or more CLINs is significantly overstated or 8 understated. 9

1.7.8 Pricing Matrix. The contractor shall complete the pricing matrix in Attachment 3, which will 11 become an attachment to the TO and will be used to price any future modifications to the TO. 12 The pricing information within the matrix should be consistent with the PWS, Staffing matrix, 13 and pricing submissions mentioned above. 14

1.9 Volume IV – Contract Documentation 18

1.9.1 General Instructions for Model Contract. The Offeror shall complete blocks 16 and 25 on the DD 20

Form 1155 – Order for Supplies or Services. For Block 16 the Offeror shall fill in the name of the 21 contractor, provide a signature from a representative authorized to bind the company, type the 22 signatory’s name, and fill in the date of signature. For block 25, the Offeror shall fill in the 23 contract value (excluding options). Signature by the Offeror on the DD Form 1155 constitutes an 24 offer, which the Government may accept. 25

1.9.2 CLIN Prices. The Offeror shall fill-in prices for all Contract Line Item Numbers (CLINs) except for 27 the Data & Reports CLINs, as they are not separately priced. The CLIN definitions and prices 28 section of the DD Form 1155 continuation pages is a required submittal of the Offeror’s 29 proposal. Signature by the offeror on the DD form 1155 constitutes an offer consistent with the 30 CLIN fill-ins. All dollar amounts shall be rounded to the nearest dollar and shall be consistent 31 with the CLIN prices stated within the Cost/Price Volume. 32

1.9.3 Subcontracting Plan. Other than Small Business (OTSB) Offerors shall submit a Small Business 34 Subcontracting Plan IAW FAR 52.219-9. Offerors shall ensure that the information provided in 35 the Small Business Subcontracting Plan is consistent with the information provided in the 36 SBPCD. The Small Business Subcontracting Plan must be determined to be acceptable by the 37 PCO in order for the Offeror to be eligible for Award. The successful Offeror’s Subcontracting 38 plan will be incorporated into the contract as an attachment. 39

2 EVALUATION CRITERIA 41

2.1 Basis of Award 42

Award will be made in accordance with the basic contract ordering procedures and the procedures 43 specified in the FOPR, to the Offeror whose proposal results in the best value tradeoff to the 44 Government. Relative importance of factors and subfactors are identified below. An order may be 45 awarded to the Offeror who is deemed responsible IAW FAR 9.1, as supplemented, whose proposal 46 conforms to the FOPR’s requirements (to include all stated terms, conditions, representations, 1 certifications, and all other information required by the FOPR instructions) and is determined based 2 on the evaluation factors and subfactors to represent the best value to the Government. 3 Relative Importance: 5 [Insert relative importance of factors and subfactors here] 6

2.2 Interchanges 8

Interchanges are fluid interactions between the PCO and the Offerors that may address any aspect 9 of the proposal and may be documented in real time. The Government intends to make award 10 based on the initial proposal submissions without conducting interchanges. Therefore, each offer 11 should contain the Offeror’s best terms from a price and technical standpoint. However, the 12 Government reserves the right to hold interchanges using Interchange Notices (INs), if, during the 13 evaluation, it is determined to be in the best interest of the Government. Offeror responses to INs 14 will be considered in making the order selection decision. Any proposal revisions are subject to 15 evaluation and may introduce risk that the Offeror’s proposal determined unacceptable and 16 ineligible for award. Interchanges may be conducted with one, some, or all Offerors as the 17 Government is not required to conduct interchanges with any or all Offerors responding to this 18

FOPR. 19

2.3 Decision Authority 21

The Decision Authority will select the best submission which conform to the FOPR requirements (to 22 include all stated terms, conditions, representations, certifications, and all other information 23 required by the submission instructions), and is judged, based on the evaluation factors, to 24 represent the best value to the Government. The Government seeks to award to the Offeror who is 25 best suited to fulfill the Government’s requirements. This may result in an award to a higher rated, 26 higher priced Offeror, where the decision is consistent with the evaluation factors, and the Decision 27 Authority reasonably determined that the technical and/or overall business approach of the higher 28 priced Offeror outweighs the price difference. 29

2.4 Evaluation 31

2.4.1 The Government evaluation team shall evaluate proposals and assign ratings and scores for 32 each of the following factors and subfactors. Th Offerors technical solution will be rated 33 together with the risk associated with its technical capability. The risk rating considers the risk 34 associated with the technical approach in meeting the requirement. The technical capability 35 rating evaluates the quality of the Offeror’s technical solution for meeting the Government’s 36 requirement. Each technical capability criteria will be assigned a score based on the total of 37 associated points. The evaluation of the Price Factor and the technical capability factors will be 38 based on the Government’s assessment of strengths and weaknesses for each factor and 39 subfactor of the Offeror’s proposal. Technical Capability evaluations will utilize the ratings listed 40 in Table 2.4.1 A and 2.4.1 B. 41

Table 2.4.1 A – Technical Rating

Adjectival Rating (Score)

Description

Outstanding (5)

Proposal indicates a thorough approach and understanding of the requirements and contains at least one strength*

Acceptable (3)

Proposal meets requirements of the solicitation

Unacceptable (0)

Proposal does not meet requirements of the solicitation

*Strength is an aspect of an Offeror’s proposal that has merit or exceed specified performance or capability requirements in a way that will be advantageous to the Government during contract performance. For any element in the proposal, the Offeror may nominate a strength for Government consideration. In order to achieve an outstanding rating, the Government must agree the proposed strength is advantageous.

Strengths will be incorporated into the contract award

2.5 Volume II – Technical (Factor 1) Ratings 2

2.5.1 Subfactor 1: Staffing. The Government will compare the proposed experience to the required 4 experience provide by the Offeror’s to Attachment 1 - Staffing Matrix and will also verify 5 clearances. A proposal will be considered “acceptable” and “green” IAW Tables 2.4.1 A and 2.4.1 6 B if it meets all qualifications provided in the Staffing Matrix and meets security requirements 7 associated with the position as listed in Column T, Minimum Security Clearance and PSQs 8 indicate that the individualls are able to maintain the requisite clearance. A proposal will be 9 rated “unacceptable” and “red” if any position does not meet the required security clearance or 10 if the information provided on the PSQ indicates that a clearance cannot be earned/maintained. 11 The Government may assign strengths for hiring incumbent personnel, having personnel on staff 12 currently and proposed to be assigned to the program, or having accepted an offer of 13 employment from the Offeror’s company. The Government will evaluate the Alternate Location 14 Proposal Plan to ensure that the minimum network and communications requirements are met 15 and verify that the plan poses low risk to the Government. 16

2.5.2 Subfactor 2: Small Business Participation Commitment Document. The government will evaluate 18 the document and assign the ratings and scores described in Table 2.4.2 A and 2.4.1 B. 19

2.5.3 Reserved for additional subfactor(s). 21

2.6 Volume III – Cost/Price (Factor 2) 23

2.6.1.1 Total Evaluated Price (TEP). Basic plus Option 1 through 4 total prices will be evaluated. 25

2.6.1.2 Completeness. The proposal will be evaluated to determine the extent to which all the price 27 elements have been addressed. The Offeror’s proposed price and other information will be 28 evaluated to ensure continuity and traceability of prices to the technical volume and between 29 the initial proposal and any revisions hereto. The review will determine the adequacy of the 30 Offeror’s proposal in addressing and fulfilling the FOPR requirement. 31

2.6.1.3 Price Reasonableness and Realism. Price Reasonableness and price realism will be evaluated. For 33 a price to be reasonable and realistic, it must represent a price to the Government that a 34 prudent person would pay in the conduct of competitive business. 35

2.6.1.4 Unbalanced Pricing. Unbalanced pricing will be evaluated using the Offeror’s proposed TEP. An 37 offer may be rejected if the contracting officer determines that the lack of balance poses an 38 unacceptable risk to the Government. Unbalanced pricing exists when, despite an acceptable 39 total evaluated price, the price of one or more CLINS is significantly overstated or understated.
