2.2.1.1.3 The Offeror shall provide a structure depicting organizational lines of authority for teaming partners and subcontractors to include a narrative description of each company’s roles and responsibilities and percent workshare based on hours. In the event of a joint venture, diagram the partners that formed the joint venture.

2.2.1.1.4 How the Offeror will manage personnel changeovers (planned and unplanned) to ensure no interruption in contract execution.

2.2.1.2 The Offeror shall provide and explain a Transition Plan IAW SEWS II

Transition PWS.

2.2.2 SUBFACTOR 2: SYSTEMS ENGINEERING (SE) AND SUSTAINMENT.

2.2.2.1.3 The Offeror’s approach to patch management and configuration management to operational sustainment of the SEW System while ensuring cybersecurity compliance.

2.2.2.2 SE and Sustainment Scenario: Site Tech Refresh. The SEW System requires the Assured Compliance Assessment Solution (ACAS) capability necessary to meet the requirements of DoDI 8500.1 for the SEW System enclave. Provide your approach to the implementation of this requirement based on the current SEW System architecture. Describe how you would incorporate the update into the system baseline configuration. A full answer should include robust systems engineering and configuration management processes, and address specifics such as cybersecurity compliance and patch management.

2.2.3 SUBFACTOR 3: OPERATIONS (TO INCLUDE MAINTENANCE AND

SUPPORT). This subfactor contains two components. The first is a narrative explanation of the Offeror's Operations (to include Maintenance and Support) approach and the second is an application of the Subfactor 3 approach to the Operations (to include

Maintenance and Support) scenario. The Offeror shall not include in the overall cost workbook the proposed Operations Scenario response.

2.2.3.1 Operations Approach. The Offeror shall explain its Operations (to include

Maintenance and Support) approach to operating, maintaining, and supporting the SEW

System to meet the requirements of providing timely and accurate missile event information. The Offeror shall focus on the following areas:

2.2.3.1.1 The Offeror's approach to managing and operating the Centralized

Distribution Facility (CDF) during duty and non-duty hours.

2.2.3.1.2 The Offeror's approach to troubleshooting system outages and follow through to resolution.

2.2.3.1.3 The Offeror shall provide and explain its approach to integrated logistics support specifically addressing Packaging, Handling, Storage, and Transportation

(PHS&T), Obsolescence Management, and Inventory.

2.2.3.2 Operations Scenario. During the course of daily monitoring activities in the CDF, Country X, who is provided data through a primary and secondary commercial circuit, notifies the CDF that they are not receiving SEW data on their operational tactical system. Assume the Government has already confirmed the communication circuits are operational. Provide the Offeror’s approach to troubleshooting this problem, and include how the Offeror would frame that in the larger CONOPS for operations. The response to this scenario shall include a flow chart depiction of the Offeror’s solution.

3.0 Volume II - Past Performance

3.1 Past Performance Factor Overview. The past performance evaluation factor assesses the degree of confidence the Government has in an Offeror’s ability to provide services that meet SEWS II requirements, based on a demonstrated record of performance. The past performance evaluation considers each Offeror’s demonstrated recent and relevant record of performance in providing services that meet the contract’s requirements. One performance confidence assessment rating is assigned for each

Offeror after evaluating the Offeror’s recent past performance, focusing on performance that is relevant to the SEWS II requirements.

3.2 Page Limitations. The Government cannot reasonably limit the number of pages in the Offeror’s past performance volume due to the requirement of submitting a requirements document with each past performance citation. Therefore, specific page limitations are within Paragraph 3.2.2 below as well as the any applicable Section L attachment.

3.2.1 Table of Contents. The Offeror shall include a table of contents for this volume.

3.2.2 Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, submit within the Past Performance volume a roadmap describing all such changes in the organization of the Offeror and its subcontractors/teammates. A pamphlet or other commercial document describing such reorganizations may suffice. As part of this explanation, show how these changes impact the relevance of any efforts the Offeror identifies for past performance evaluation/performance confidence assessment. Since the Government may consider past performance information provided by other sources as well as that provided by the

Offeror, the roadmap should be both specifically applicable to the efforts identified and general enough to apply to efforts on which the Government receives information from other sources. All teaming agreements shall be submitted in this section of the Past

Performance Volume with the Offeror’s proposal. This structure change history section is limited to three (3) pages (does not include teaming agreements).

3.2.3 Consent Letters. Because a prime contractor is a private party, the Government will need a Consent Letter (Section J Attachment 30, Section L Attachment 3) before disclosing subcontractor/teaming/joint venture partner past performance information to the prime during exchanges. Therefore, the Offeror shall submit a consent letter executed by each teaming/joint venture partner and major subcontractor authorizing release of past performance information, including adverse information, to the Offeror, so the Offeror can respond to such information. For the purposes of the Past Performance Volume, a major subcontractor performs ten (10) percent or more of any single TO or ten (10) percent or more of total priced TOs, based on labor hours or total cost.

3.2.4 Client Authorization Letters. For each submitted contract/project for a commercial customer, the Offeror shall submit a Client Authorization Letter (Section J

Attachment 31, Section L Attachment 4) authorizing release to the Government of requested information on the Offeror’s performance.

3.2.5 Past Performance Information Sheets (PPIS).

3.2.5.1 Offerors shall submit no more than four (4) recent and relevant contracts/projects for the prime contractor and no more than two (2) for each major subcontractor. If the prime is a joint venture, the Offeror may submit no more than two

(2) contracts/projects per joint venture partner (not to exceed four (4) total contracts/projects), along with one (1) associated requirements document (e.g., Statement of Work, Performance Work Statement, Technical Requirements Document).

Each contract/project submitted shall include a completed Past Performance Information

Sheet (Section J Attachment 28, Section L, Attachment 1). Offerors are advised that the

Government may use data provided by each Offeror in this volume and data obtained from other sources in the evaluation of past performance.

3.2.5.2 Offerors shall explain aspects of the submitted contracts/projects deemed relevant to the proposed effort and how they relate to SEWS II. This may include a discussion of efforts accomplished by the Offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. The Offeror shall clearly demonstrate management actions employed in overcoming problems and the effects of those actions in terms of improvements achieved or problems rectified.

Categorize the relevant information into the specific Technical Subfactors 1-3 and

Cost/Price factor used to evaluate the proposal.

3.2.6 Past Performance Questionnaires (PPQ). Offerors shall send PPQs on each identified contract/project to the points of contact for that contract/project. If the identified contract/project was a Government effort, send to the Program Manager and Contracting

Officer. This questionnaire is contained at Past Performance Questionnaire (Section J

Attachment 29, Section L Attachment 2). Provide a list of questionnaire recipients to include POCs and phone numbers. Questionnaire recipients should be instructed to return completed questionnaires directly to the SEWS II Contracting Officer.

4.0 Volume III – Cost/Price

4.1 Introduction. These instructions are to assist the Offeror in preparing and submitting information other than cost or pricing data required IAW FAR 15.403-3. The

Government requires this information in order to properly assess the reasonableness, completeness, and accuracy of the Offeror’s proposed cost/price. Compliance with these requirements is mandatory and failure to do so could result in the Government rejecting the Offeror’s proposal. Offerors should provide sufficient detail to demonstrate the reasonableness and realism of their cost/price. The burden of proof for credibility of proposed costs/prices rests with the Offeror. Note that unrealistically low or unreasonably high proposed costs or prices, initially or subsequently, may be grounds for the

Government eliminating a proposal from competition either on the basis that the Offeror does not understand the requirements or has made an unrealistic or unreasonable proposal. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be a reason for the Government to reject the Offeror’s proposal reference FAR

15.404-1(g).

4.1.1 The Contracting Officer has made a preliminary determination of “Adequate Price

Competition.” Therefore, a Certificate of Current Cost or Pricing Data per FAR 15.403-4 will not be required, and any references to this Certificate or to “PL 87-653” elsewhere in this document are not applicable. In the event that adequate competition does not emerge in response to the solicitation, the Contracting Officer may require certified cost or pricing data IAW FAR 15.4.

4.1.2 The Offeror shall include all information regarding cost or pricing documentation in the Cost/Price volume only. Under no circumstances shall Offerors include any cost or pricing documentation elsewhere in the proposal.

4.1.3 IAW FAR 15.403-5(b)(2), the Offeror shall submit data in the format described in this solicitation.

4.2 General Instructions. The Offeror shall provide cost documentation and supporting rationale for all TOs/DOs and CLINs in the solicitation. The Offeror shall provide sufficient detail to demonstrate proposed costs/prices are reasonable for the work required, reflect a clear understanding of the requirements, and are consistent with the unique methods of performance and materials described in its proposal. The Offeror shall base its proposal on the Contractor Fiscal Year (CFY); the Offeror shall also base its proposal on the Government Fiscal Year (GFY), which begins on 1 October and ends on

30 September (e.g., GFY 2018 is 01 October 2017 thru 30 September 2018). The Offeror shall provide an accounting calendar covering all periods of performance and delivery dates included in its proposal, including showing the start and end of its CFYs.

4.2.1 Estimating Techniques and Methods. When responding to the Cost/Price volume requirements, the Offeror and associated subcontractors, may use any generally accepted estimating technique, including contemporary estimating methods (such as

Cost-to-Cost and Cost-to-Non-Cost Estimating Relationships (CER), commercially available parametric cost models, in-house developed parametric cost models), to develop their estimates. The Offeror shall only use estimating techniques and methods that are in accordance with their Cost Accounting Standards (CAS) Disclosure

Statements, if applicable. If necessary, the Offeror may use reasonable and supportable allocation techniques to spread hours and or costs to lower levels of the WBS. The

Offeror shall identify all ground rules and assumptions used in developing the cost documentation. These assumptions shall include, at a minimum, any conditions, constraints, and or expectations upon which the Offeror’s cost/price proposal is based.

4.2.2 Cost/Price Information. The Offeror shall not submit data beyond that required by the solicitation, unless the Offeror considers such data essential to document or support its cost/price position.

4.2.3 Cost or Pricing Information Requirements. The Contracting Officer, IAW FAR

15.403-1(b) and 15.403-3(a)(1)(ii), requires the Offeror to submit data other than certified cost or pricing data to support price reasonableness and cost realism. Offerors shall provide this information IAW FAR 15.403-5. If, after receipt of proposals, the Contracting

Officer determines there is insufficient information available to determine price reasonableness, and none of the exceptions in FAR 15.403-1 apply, the Contracting

Officer may require Offerors to submit additional cost or pricing data.

4.2.4 Subcontractor/Interdivisional Transfer Cost Proposals

4.2.4.1 For each TO in the solicitation, each major subcontractor and interdivisional transfer (IDT) (including subsidiaries) that exceeds a dollar threshold of 10 percent (10%) of the Total Proposed Price for that TO, shall submit separate Cost/Price volumes, including a Cost/Price Workbook (IDIQ Model Contract, Section J, Attachment 26, Cost/Price Workbook). Note: if the BOEs for a subcontractor or IDT exceeding the 10% threshold are included in the Offeror’s consolidated BOEs, the subcontractor/IDT proposal(s) does not need to include a separate BOE submission, as long as there is a one-to-one match between the BOEs and the subcontractor/IDT proposal(s).

4.2.4.2 If a subcontractor considers any portion of its cost information proprietary, it may submit that portion of the documentation under separate cover directly to the SEWS

II Contracting Officer or under seal in the Offeror’s proposal. The Offeror shall ensure the

Government receives all required subcontractor data by the proposal submission deadline. However, the Offeror’s proposal shall uniquely identify major subcontractor, IDT, and other subcontractor labor hours and total burdened costs. The Offeror is responsible for the consistency of the cost data between its submission and the subcontractor/IDT submission(s).

4.2.4.3 The prime contractor shall provide a cost/price evaluation for all subcontractors/IDTs (per FAR 15.404-3(b) and 15.401. The prime contractor shall perform cost or price analyses on IDTs if such are transfers of commercial items - cost or price analyses on IDTs are not required if such are transfers of non-commercial items).

The evaluation must describe the evaluation rationale that leads to the Offeror’s conclusion that the subcontract price is realistic and reasonable. The Offeror shall identify and explain any price adjustments made to the proposed prices of the major subcontractors/IDT submission(s), other subcontractors and vendors that the Offeror has included in its proposal. These price adjustments shall include discounting or expected decreases to be achieved in negotiations. The Offeror shall include its indirect burden

(e.g., G&A or handling burden) on all subcontract and vendor costs included in its proposal.

4.2.5 Rounding. The Offerors shall round all dollar amounts to the nearest dollar, except for labor rates; the Offeror shall round all labor rates to the nearest penny.

4.2.6 Government Established Profit, Fee and Share Ratios

4.2.6.1 CPIF CLINs. (CLINs 0001, 0003, 0005, 1005, 2005, 3005 and 4005): The

Target Fee will be set by the Government at six percent (6%) and shall not be modified by the Contractor in the Cost/Price Workbook. The maximum fee shall be no more than nine percent (9%). The minimum fee shall not be less than three percent (3%) with the exception of No Fail items, which are specified in the Incentive Plan. The overrun/underrun share ratio is 80/20 (Gov/Ktr). The Performance Incentive will be eighty percent (80%) of the Incentive Fee. The Cost Incentive is independent of the

Performance incentive, and shall be twenty percent (20%) of the Incentive Fee.

4.2.6.2 CPFF CLINs. (CLINs 0008, 1008, 2008, 3008, 4008, 0022, 0026, 0030, 0034, 0038, 0042, 0046, 0050, 1022, 1026, 1030, 1034, 1038, 1042, 1046 and 1050: The

Fixed Fee will be proposed by the Offeror; however, the Fixed Fee rate shall be no more than seven percent (7%) and not less than three percent (3%).

4.2.6.3 CR Travel, Materials, Equipment and Surge (Emergency FMS

Equip/Materials) CLINs. Travel, Material, Equipment and Surge (Emergency FMS

Equip/Materials) CLINs are not subject to profit, but may include allowable indirect costs.

4.2.7 Government-Established Amounts

4.2.7.1 Because there may be significant differences in the required Travel in a given period during contract execution and such Travel is against a Cost Reimbursable

CLIN, the Government decided to specify the amount for Travel the Offeror shall use in preparing its proposal. In developing the cost proposal for the CR Travel CLINs, the

Offeror shall use the amounts shown below. The Offeror shall ensure that Travel CLIN totals match the Government-provided amounts.

1. Transition Travel – (CLINs 0002 and 0004) – $0 and $0

4.2.8 Time-and-Materials (T&M)/Labor-Hour Proposal Requirements

4.2.8.1 The Government intends to establish two (2) Time and Material (T&M)

CLINs (0020 and 0021) to be used for emergency and other urgent requirements. IAW

FAR 16.601, the Offeror must specify fixed hourly rates in its proposal that include wages, overhead, general and administrative expenses, and profit. The Offeror must specify whether the fixed hourly rate for each labor category/fiscal year applies to labor performed by: the Offeror, Subcontractors, and/or Divisions, subsidiaries, or affiliates of the Offeror under a common control. The Offeror must provide a complete labor rate table for all labor categories to be used on the contract. The proposed fully-burdened rates for the

Offeror and any Subcontractor(s)/Interdivisional Transfers will be incorporated into the contract at time of award. The Government is specifying the Not-to-Exceed amount as

$500,000 for CLIN 0020 and $1,500,000 for CLIN 0021. The Offeror shall use these amounts as the Total Item Amounts for CLINs 0020 and 0021 in Section B of this solicitation.

4.2.9 Delivery of Cost Proposals. In addition to submitting the cost proposal as specified in Table 2.1, the Offeror shall ensure subcontractor(s) and interdivisional organizations deliver, by the date and time specified in Section A of the RFP, copies of each proposal required in Section L to the Contracting Officer.

4.3 Volume Content. The Offeror shall provide comprehensive narrative support for its cost proposal. The Offeror shall provide a consolidated Cost/Price volume that includes all required data, formats, Bill of Material (BOM) elements, BOE elements, etc.

The Offeror shall provide a summary description of the standard estimating system and methods used. This summary description shall cover separately each major cost element

(e.g., Program Management Labor, Engineering Labor, Indirect Costs and Other Direct
