SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
The following have been modified:
GENERAL PROPOSAL PREPARATIONS
1.0 GENERAL PROPOSAL PREPARATION INSTRUCTIONS
1.0 Offerors are required to meet all solicitation requirements, such as terms and conditions, representations and certifications, and technical requirements, in addition to those identified as evaluation factors or subfactors. Failure to meet a requirement may result in an offer being ineligible for award. Offerors must clearly identify any exception to the solicitation terms and conditions and provide complete accompanying rationale.
1.0 SUBMISSION OF PROPOSAL: Faxed proposals will NOT be accepted. Proposals will be accepted by mail or hand carried delivery to: 27th Special Operations Contracting Squadron, ATTN: SSgt Kendra Strnad, 110 E. Sextant Ave, Cannon AFB, NM 88103. The sealed envelope or package used to submit your proposal must show the time and date specified for receipt, Solicitation Number and name address of the offorer. Offerors are cautioned that Cannon AFB, NM has visitor control procedures requiring individuals not affiliated with the installation to obtain a visitor pass prior to entrance. SOME DELAY SHOULD BE ANTICIPATED WHEN HAND CARRYING PROPOSALS. Offerors should allow sufficient time to obtain a visitor pass and to deliver the proposal PRIOR to the time specified for receipt. To obtain a visitor pass, the offeror shall contact the office in block 7 of Standard Form 1442, PRIOR to the date specified for receipt.
1.0 This is an all-electronic solicitation release. Hard copies are not available. The Government will post amendments to the solicitation to Electronic Posting System (EPS). It is the responsibility of each offeror to review the web page for notice of amendments, updates or changes to current information. Federal Business Opportunities: http://fbo.gov/
1.0 Pre-Proposal Conference: A pre-proposal conference is To Be Announced. All prospective offerors are highly encouraged to attend this conference. In order to make the conference as productive as possible, offerors should submit, no later than one week before the conference, any questions they may have in writing to kendra.strnad@cannon.af.mil. The submission of written questions will not preclude anyone from posing questions during the conference. Failure of a prospective offeror to submit any questions or attend the conference will be construed to mean that the prospective offeror fully understands all requirements of the solicitation. Prospective offerors are advised that the preproposal conference will be held solely for the purpose of explaining the concepts involved in the project and the specifications, terms, and conditions of this solicitation. Answers to questions will be posted to Fed Biz Ops within seven (7) workdays following the conference. All prospective offerors are advised that this solicitation will remain unchanged unless it is specifically amended in writing. If an amendment is issued, normal procedures relating to the acknowledgment and receipt of any such amendment as described in contract clause 52.215-1, Instructions to Offerors-Competitive Acquisition, of this RFP shall apply.
Notice to Offerors: Offerors are encouraged to submit all questions and requests for clarifications in writing no later than ten (10) business days prior to the RFP closing date. The decision whether to respond to questions and requests for clarification made less than ten (10) business days prior to the RFP closing shall be at the sole discretion of the contracting officer.
1.0 Joint Venture Offerors: If the offeror is a joint venture, the offeror shall provide all required solicitation information for all parties including a copy of the signed joint venture agreement with proposal. The agreement shall include information, which identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationships and authorities to bind each entity of the joint venture. If the joint venture is comprised of 8(a) firms, the Small Business Administration (SBA), prior to award, must approve the Joint venture agreement.
1.0 Teaming/Partnering Offerors: If the offer is based on a teaming/partnering relationship, the offeror shall provide all required solicitation information for all parties including a copy of the teaming/partnership agreement. The agreement shall include information, which identifies the responsibilities for each entity under this contract. The agreement shall demonstrate the relationship between firms and identify contractual relationships and authorities to bind each entity of the teaming/partnering relationship.

1.0 Incurred Expenses: The Government is not responsible and will not reimburse for any costs incurred or associated with preparation and submission of a proposal in response to this solicitation.
1.0 The offeror is required to submit an offer on the “seed project” by providing a price schedule on AF Form 3052, Attachment 24. Failure to do so may disqualify the proposal.
1.0 In compliance with FAR Subpart 4.8, the Government will retain one copy of all unsuccessful proposals and will destroy all extra copies. No destruction certificate will be provided.
1.0 All proposals must be complete, self-sufficient, and respond directly to the requirements of this solicitation. Any commitments made in the proposal shall become a part of the resultant contract. In no case shall words like "we will comply with the requirements of the contract," or equivalent statements, be acceptable to meet the requirements of this RFP. Failure to comply with these instructions may result in the Government summarily rejecting the offeror's proposal.
1.0 The technical proposal (Factor 1, Subfactor 2, Volume I) shall be prepared in accordance with these instructions and shall be evaluated in accordance with the evaluation criteria and evaluation standards in Section M, Evaluation Factors for Award. Technical proposals shall include necessary information to enable the evaluators to form a definitive conclusion concerning the offeror's ability to perform the required construction and design-build services. Offerors shall submit 1 original, 2 paper copies, 1 redacted paper copy, 1 (virus free) electronic copy, and 1 redacted (virus free) electronic copy of Volume I. Information to be redacted includes all references to the offeror’s company (name, logo’s, etc.). Reference paragraph 1.1.1 for address.
1.0 The past performance proposal (Factor 2, Volume II) shall be prepared in accordance with these instructions and shall be evaluated in accordance with performance confidence assessments in Section M, Evaluation Factors for Award.
1.0 The price proposal/contract forms (Factor 3, Volume III) shall be prepared in accordance with these instructions. The price proposal must be based on the offeror's own technical proposal for the Seed project and the Government's specifications as set forth herein. The Government will evaluate the price proposal in accordance with Section M. Offerors shall submit 1 original plus 3 paper copies of Volume II plus 1(virus free) electronic copy. Offerors shall submit 1 original plus 3 paper copies of Volume III plus 1 (virus free) electronic copy.

1.0 The contracting officer has determined there is a high probability of adequate price competition in this acquisition. Therefore, only a limited amount of pricing information is required in the initial proposals. Upon examination of the initial proposals (offers), the contracting officer will review this determination. If, in the contracting officer's opinion, there is adequate price competition, no additional price information, except for final proposal revisions, will be elicited and certification under FAR 15.406-2 will not be required. However, if at any time during this competition the contracting officer determines that adequate price competition no longer exists, offerors may be required to prepare, submit, and certify cost or pricing data in accordance with FAR 15.403-4.
1.0 Submitted materials will be fully responsive to and consistent with the following:
· Requirements of the RFP and SOW contained therein;
· Government standards and regulations pertaining to the SOW; and
· Evaluation factors and subfactors for award in Section M of this RFP.
· No material shall be incorporated by reference or reiteration of the RFP. Any such material will not be considered for evaluation. Materials shall be presented in a manner which allows it to stand-alone without need for evaluators to reference other documents.
· Format of the proposal volumes (and any resulting responses to Evaluation Notices (ENs)) shall be as follows:
· All typing (including that on charts, graphs, and tables, etc.) shall be no smaller than 12
Pitch, Times New Roman font.
· Two columns of text per page are acceptable.
· Elaborate format, color representations, and bindings are not desirable. Three ring binders are preferred.
· Mission Capability proposals shall be limited to 40 pages excluding the Executive Summary, the Seed project drawings and specifications. The Government will remove pages in excess of 40 and will not evaluate them.
· Past Performance shall be limited to 30 pages; the government will remove pages in excess of 30 pages and will not evaluate them.
· Page limit includes (for past performance and price and contract forms): All appendices, charts, graphs, diagrams, tables, photographs, etc. The covers for each volume, tables of contents, indices, title pages, cross reference indices, and section dividers/tabs will not be included in the page count if they are inserted solely to provide ease to the reader in locating parts/sections of the proposal. They will be counted if they contain any other information (i.e. diagrams, extraneous data, etc). Pages marked “This page intentionally left blank” will not be counted.
· A page shall be an 8 ½ x11” sheet of paper (minimum of ½” margins). Foldouts will be counted as the appropriate number of pages based on an 8 ½ x 11” sheet of paper. The Offerors shall number each page in order to eliminate any confusion. In the event an offeror creates an ambiguity, the Government may exercise its own discretion in counting pages. Two pages may be printed on one sheet of paper, but will count as 2 pages.
· Offerors are encouraged to number proposal paragraphs consistent with the instructions and measures of merit contained in Section M.
· Additionally, electronic copies of the required proposal information for each volume shall be submitted on CD ROM using Microsoft Word. Electronic copies for the cost information must be submitted on CD ROM using either Microsoft Word and/or Excel. “Read Only” files are acceptable for files other than the redacted copy. Electronic copies of drawings shall be submitted in a format readable by Adobe (.PDF) and also in an AutoCAD (.DWG) format that is compatible with the 27 SOCES version. Drawings submitted electronically will be stand alone and complete files, X- referenced information will not be accepted.
· The contractor shall determine the size of hard copy drawings submitted in support of the Statement of Work. All disks shall be virus checked before submission. Replacement CD ROM will be required to update the final proposal resulting from any discussions. Cross-references should be utilized to preclude unnecessary duplication of data between sections.
2.0 SPECIFIC PROPOSAL PREPARATION INSTRUCTIONS:
2.0 Executive Summary Section: Each offeror shall submit an Executive Summary of no more than 3 pages total which summarizes the key points from the offeror’s Mission Capability, Past Performance, Cost/Price, and Small Business Subcontracting Plan and SDB Participation Targets areas. The Executive Summary Section is not included in the Volume I page limitation.

2.0 FACTOR 1 - MISSION CAPABILITY - VOLUME I
2.0 SUBFACTOR 1 - Organizational Structure and Staffing
2.0 Key Project Management Staff: Provide an organizational chart clearly identifying management, design, and engineering/construction partnerships as well as key positions in the organization. Show lines of authority depicting communication and interface between and within the design and construction teams and key personnel from design through construction. Include a legend identifying key positions.
2.0 Describe the minimum qualifications for the key positions depicted on the organizational chart. Qualifications shall describe the minimum level of education, any professional licenses, technical certification and/or qualifications, minimum experience and/or background, minimum skill levels, and required training necessary to hold the position described. Specifically define the project manager’s responsibility and authority on a project under stand-alone construction and under design-build scenario. Do not provide resumes.
2.0 Describe overall management approach with regard to organization, coordination, development, monitoring and control of construction and design-build projects. Describe interface with home office, subcontractor operations, and design and construction teams. Describe interface and partnering with government project managers, contracting officials, inspectors, and users. Describe methods and criteria used to screen and select quality subcontractors and design consultants to ensure an appropriate level of experience and expertise for the job.
2.0 SUBFACTOR 2 - Technical Capability/Execution and Completeness of the Seed Project
2.0 Provide a design proposal for the seed project as defined in the MACC General Provisions, Attachment 1, and Statement of Objectives for the Seed Project, Repair Building 206 for CV-22 MRSP, Project# CZQZ090013, Attachment 16. Include all required drawings, written discussions, supporting engineering and planning documents, and project schedule. Describe procedures, processes and methods for tracing the progress of the project and interface with the Government and contractor team from beginning to end.
2.0 Describe the design/build process that shall be used to carry the project through design and construction phases. The process described should include, but not be limited to, a discussion of the overall performance time for both the design phase and the construction phase, taking into consideration all required design development and review levels. Describe the composition of the design-build team, their involvement throughout the process (including intended major subcontractors) and include a discussion of their commitment to quality, timeliness, and cost control throughout the process. Proposal will provide AF Form 3064 Project Schedule or equal.
2.0 Completeness of Seed Project CZQZ090013: Provide a price schedule on AF Form 3052, Attachment 24. For construction on the AF Form 3052, show material, labor and equipment quantities subtotaled by the 48 division specification format as developed by the Construction Specification Institute (CSI).
2.0 SUBFACTOR 3 - Change and Cost Control Management
2.0 Describe process for reviewing prime or subcontractor change requests or multiple change requests in the work to provide best solution for proceeding with the work. Describe process for ensuring reasonableness of cost for a change or changes prior to submitting the cost proposal to the Government. Describe actions taken when change solution or prime/subcontractor proposed costs are unreasonable. Describe process and content for providing supporting cost documentation to the Government with submission of change proposal(s). Describe offeror’s evaluation process for subcontractor overhead and profit rate assignable to changed work. Describe offeror’s determination of its own overhead and profit assignable to changed work.
2.0 SUBFACTOR 4 - Quality Control Program
2.0 Describe the design quality control process, whether accomplished by a separate consulting firm or other entity, or within the prime offeror’s organization, and the construction quality control process applicable to on-site construction including specific methods proposed which shall ensure only high quality materials and workmanship are installed and accepted.
2.0 Describe the tools/methods the offeror shall use to identify poor performing subcontractors and/or in-house personnel to include surveillance and follow-up procedures the offeror shall use to ensure poor performance is not repeated.
2.0 Describe processes, or checklists, the offeror will use to ensure designs are reviewed for architectural compatibility, system capability, operability, maintainability and sustainable features before submissions to the government.
2.0 FACTOR 2 - PAST PERFORMANCE - VOLUME II
2.0 Contents of Past Performance Volume: The offeror shall submit a Past and Present Performance Volume containing the following:
· Table of Contents
· Summary Page describing the role of the offeror and each major subcontractor, teaming partner, and /or joint venture partner that the offeror is required to provide Past Performance Information Sheets on in accordance with paragraph 2.3.2. below.
· Past Performance Information Sheets in accordance with Attachments 37 and 38, in Section J.
· Organization Structure Change History—See paragraph 2.3.5. below.
2.0 Past Performance Information Sheets: Submit information on contracts you consider most relevant in demonstrating your ability to perform the proposed effort. Each relevant contract shall have been performed during the past 3 years from the date of issuance of this solicitation. The offeror shall submit Past Performance Information sheets in accordance with the format contained in Attachments 37 and 38, Section J, Past Performance Information. The offeror shall provide experience data for itself and for any proposed division, major subcontractor, consultant, or teaming contractor or partner or key personnel whose effort on this contract will significantly influence performance of the proposed construction and/or design-build effort. The offeror shall submit three (3) to five (5) Past Performance Information sheets identifying active or completed contracts, either Government or commercial, for each prime, teaming partner, and/or joint venture partner (within the same division or cost center). Offerors are cautioned that the Government will use data provided by each offeror in this volume and data obtained from other sources in the evaluation of past and present performance.
2.0 Relevant Contracts: Relevant past performance information must demonstrate design/build and construction experience with multiple projects, such as new construction, renovation, alteration and repair, with associated architectural and engineering work, with multiple disciplines, such as airfield, pavement, renovation, repair, additions/upgrades, along with specific work in heating, ventilation and air conditioning (HVAC), electrical, mechanical and other major trades. Projects should be similar in size, scope, and complexity as those anticipated under this contract, i.e., having a project value between $500,000 and $5,000,000 and include projects with the Federal Government, state and local government agencies, and commercial customers.
Submit information on contracts that you consider relevant in demonstrating your ability to perform the proposed effort. Provide data for three (3) to five (5) relevant contracts held within the last three years for each entity the offeror wants the Government to consider. Performance Information Sheets for each contract is limited to 3 pages. Include rationale supporting your assertion of relevance. Note that the Government will not consider performance on an effort that concluded more than 3 years prior to the issuance date of this solicitation. Offerors are required to explain what aspects of the contracts are deemed relevant to the proposed effort, and to what aspects of the proposed effort they relate. To clearly link the past performance information to the mission capability subfactors, the offeror should identify which contracts are relevant indicators of performance against a mission capability subfactor.
Categorize the relevance information into the specific evaluation subfactor(s) used to evaluate the proposal:
Subfactor 1 - Organizational Structure
Subfactor 2 - Technical Capability/Execution and Completeness of the Seed Project
Subfactor 3 - Change and Cost Control Management
Subfactor 4 - Quality Control
2.0 Specific Content: Offerors may include a discussion of efforts accomplished by the offeror to resolve problems encountered on prior contracts as well as past efforts to identify and manage program risk. Merely having problems does not automatically equate to a Little Confidence or No Confidence rating, since the problems encountered may have been on a more complex program, or an offeror may have subsequently demonstrated the ability to overcome the problems encountered. The offeror is required to clearly demonstrate management actions employed in overcoming problems and the effects of those actions, in terms of improvements achieved or problems rectified. This may allow the offeror to be considered a Substantial Confidence or Satisfactory Confidence candidate. For example, submittal of quality performance indicators or other management indicators that clearly support that an offeror has overcome past problems is required.
2.0 Organizational Structure Change History: Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a "roadmap" describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for past performance evaluation/performance confidence assessment. Since the Government intends to consider present and past performance information provided by other sources as well as that provided by the offeror(s), your "roadmap" should be both specifically applicable to the efforts you identify and general enough to apply to efforts on which the Government receives information from other sources.
2.0 Past Performance Evaluation Questionnaires: Questionnaires are not to be included as part of a proposal. The offeror shall send out Past Performance Evaluation Questionnaires to each of the Points of Contact (POCs) identified in the Past Performance Volume. In turn, the evaluating agencies shall submit the completed questionnaire to SSgt Kendra Strnad at by email (preferred) kendra.strnad@cannon.af.mil or Fax (575) 784-1148. Evaluators shall send questionnaires directly to the Government no later than 9 August 2010. No questionnaire submittals will be accepted received directly from the offeror being evaluated. Once the evaluator completes the questionnaires, the information shall be considered sensitive and shall not be released to the offeror.
2.0 Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide completed form SF 294, Subcontracting Report for Individual Contract, Attachment 34, and SF 295, Summary Subcontract Report, Attachment 35, from all subcontractors/teaming partners that will perform major or critical aspects of the requirement, consenting to release of their past performance information to the prime contractor.
2.0 FACTOR 3 - PRICE AND CONTRACT FORMS - VOLUME III
2.0 Price: Offerors have been provided a form, Attachment 24, AF Form 3052, on which to submit a price proposal for evaluation for the Seed Project. The Government will evaluate the Seed project to determine whether price is realistic for the work described, reflects a clear understanding of the requirement, and is consistent with the various subfactors of the offeror’s mission capability proposal.
2.0 Bonds: Offeror shall provide proposal guarantee (bid bond) in the amount of 20% for the seed project as stated in Section H.
2.0 Financial Resources: Offerors shall address a fiscal plan for covering phase-in, unexpected and/or emergency situations, and initial performance costs prior to recoupment in the form of progress payments. Offerors shall submit a financial capability letter from their financial institution and a letter from the bonding company confirming bonding capability. Offerors shall submit income statement and balance sheet for the previous 5 fiscal years. The letter from the bonding company must indicate the offeror’s bonding capacity. This letter will be used in the Contracting Officer’s determination of responsibility.
2.0 Contract Forms: Include the following data in this volume in the format indicated. Designate on the volume cover, which proposal package contains the original, executed copy of the proposal (RFP).
· Section 1: Proposal forwarding letter, if any.
· Section 2: A complete copy of this RFP (through Section M, less attachments) with the original signature of an official authorized to contractually bind the offeror in block 20B of the SF 1442. The offeror must complete the following sections within the RFP:
· Part I, Section A (SF 1442, Blocks 19-20C).
· Part I, Section G – Persons Authorized to Negotiate or Conduct Discussions
· Part IV, Section K, Representations, Certifications, and other Statements of Offeror. In addition to the on line representation and certifications the provisions at 52.204-8, 52.222-22, 52.219-19 & 252.247-7022, and Competitiveness Demonstration Program certification will need to be completed and submitted. (See directions for Online Representations and Certifications Application (ORCA) in section K)
· Section 3: Any exceptions to or deviations from, any of the clauses or special contract requirements along with justification therefore.
· Section 4: Any information, excluding price, which does not properly belong within the other proposal volumes.
2.0 FACTOR 4 – SMALL BUSINESS SUBCONTRACTING PLAN AND SDB PARTICIPATION TARGETS – VOLUME IV (FOR LARGE BUSINESSES ONLY)
2.0 FAR 52.219-9 and DFARS 252.219-7003 are included in this solicitation and will be incorporated into any resultant contract. A subcontracting plan is required from all offerors other than small business concerns for proposals exceeding $1,000,000 which contain subcontracting opportunities. The plan shall be submitted with the initial proposal and will be concurrently negotiated. If a cost proposal is required by this solicitation, it must relate to, and substantiate, the submissions under FAR 52.219-9(d). The offeror's submission must provide sufficient information to support the contracting officer's review of the subcontracting plan to determine if it is acceptable (otherwise an offeror will be ineligible to receive the contract award). Contractors who have been selected for participation in the DoD test program authorized by Section 834 of Public Law 101-189 who have approved comprehensive subcontracting plans are not generally required to negotiate subcontracting plans on an individual contract basis. However, if the Air Force has developed subcontracting criteria, and/or performance evaluation processes specific for this acquisition, any offeror/contractor participating in the Comprehensive Subcontracting Test Program or utilizing a Master or a Commercial Subcontracting Plan shall submit with their proposal a Subcontracting Performance Plan (SPP) or equivalent to specifically address this acquisition’s/contract’s requirements. The contractor’s SPP or equivalent shall include a copy of its approved subcontracting plan and adequate documentation to demonstrate in detail how the existing subcontracting plan (Comprehensive, Master or Commercial) will be amended to incorporate the scope and breadth of the MACC contract subcontracting requirements and overall objectives. Any contract resulting from this solicitation which includes a comprehensive subcontracting plan will include the clause at 252.219-7004, Small Business and Small Disadvantaged Business Subcontracting Plan (Test Program), in lieu of the clauses at FAR 52.219-9 and DFARS 252.219-7003.
2.0 Past Performance Information regarding Small Business Subcontracting
Offerors shall provide the following past performance information:
a. Subcontractor Consent: Past performance information pertaining to a subcontractor cannot be disclosed to the prime offeror without the subcontractor’s consent. Provide completed form SF 294, Subcontracting Report for Individual Contract, Attachment 34, and SF 295, Summary Subcontract Report, Attachment 35, from all subcontractors/teaming partners that will perform major or critical aspects of the requirement, consenting to release of their past performance information to the prime contractor.
b. Provide one year history (within the past 12 months from RFP issuance) demonstrating your corporate commitment to meet your subcontracting goals/targets by providing SF 294s, Subcontracting Report for Individual Contracts, and SF 295s, Summary Subcontract Report, for those contracts/projects which you are submitting under Past Performance.
c. If goals were not met on the SF 294/295s, provide an explanation as to why.
d. This applies only to the full and open competition for offerors that are required to submit subcontracting plans in accordance with FAR 19.7.
2.0 Small Business Subcontracting Plan
If a subcontracting plan is required by FAR 19.7, offerors must:
Describe their corporate commitment in providing subcontracting opportunities for small business, small disadvantaged business, women-owned small business, HUBZone small business, veteran-owned small business and service disabled veteran-owned small business concerns and Historically Black Colleges and Universities and Minority Institutions (HBCU/MI). Describe the strength and specificity of each corporate commitment (i.e., what type of commitment, how binding is the commitment, how specific is the commitment to this proposed effort, and what types of tasks are included in these subcontracting opportunities).
2.0 Goals/Targets.
Describe how your subcontracting plan for your current/past Construction proposal compares to Air Force goals (e.g. meets, exceeds, or does not meet). Any failure to meet a goal specified below, must have complete rationale explaining why the specific goal(s) cannot be met.
