A. Project Title: (MACC) Multiple Aw ard Construction Contract- Indefinite Delivery/Indefinite Quantity (IDIQ) B. This acquisition is set aside for four (4) SBA-certif ied Section 8(a) and five (5) small business general construction contractors.
Government anticipates aw ard of up to nine (9) contracts under this solicitation.
C. Competition w ill be limited to 8(a) firms located w ithin the geographical area serviced by the Illinois and Missouri District Offices and the other 8(a) construction f irms w ith a bona fide place of business w ithin the geographical competitive area, and the assigned NAICS code.
D. Project performance period is scheduled for a Base Year plus four (4) one-year Option periods.
E. The guaranteed minimum amount of the life of this contract is $500 payable follow ing attendance at a mandatory post-aw ard conference.
F. The total aggregate maximum amount expendable under all MACC contracts aw arded shall not exceed $60 million for base and all option years.
G. The "seed project" magnitude is betw een $100,000-$250,000.
H. A Pre-proposal conference/site visit is scheduled for 9 April 2014 @ 1:00 P.M. (CST) at the Base Auditorium, Scott AFB. The conference w ill include a visit to the seed project location.

The Contractor shall be required to (a) commence work under this contract within 10 calendar days after the date the Contractor receives the notice to proceed, (b) prosecute the work diligently, and (c) complete the entire work ready for use not later than the performance period identified in each task order. The time stated for completion shall include final cleanup of the premises.

52.211-12 LIQUIDATED DAMAGES--CONSTRUCTION (SEP 2000)
(a) If the Contractor fails to complete the work within the time specified in the contract, the Contractor shall pay liquidated damages to the Government in the amount of $* for each calendar day of delay until the work is completed or accepted.
(b) If the Government terminates the Contractor's right to proceed, liquidated damages will continue to accrue until the work is completed. These liquidated damages are in addition to excess costs of repurchase under the Termination clause.

Section H - Special Contract Requirements
SPECIAL CONTRACT REQUIREMENTS
1.0 Geographical Restriction
Reference 13 CFR part 124.507 (c)(2), it has been determined that competition will be limited to 8(a) firms located within the geographical area serviced by the Illinois and Missouri District Offices and the other 8(a) construction firms with a bona fide place of business within the geographical competitive area, and the assigned NAICS code.
All other 8(a) BD Participants are deemed ineligible to submit offers. The is cited in 13 CFR part 124.507 (c) (2)
1.1 Minimum/ Maximum Contract Amounts
The contract minimum guarantee will be satisfied with a payment of $500 for contractor attendance and participation in a MACC post-award orientation seminar sponsored by Scott AFB 375th CONS and 375th CES.
The seminar is an open forum discussion on the MACC program. Some of the topics covered in the orientation may include identification of base security requirements, relationship/partnering, bid build specific requirements and expectations, and construction management. The government makes no representation as to the number of task orders or actual amount of work to be ordered in excess of the minimum guarantee specified herein. The maximum aggregate amount of the Multiple Award Construction Contract (MACC) program, inclusive of all awarded MACC contracts, task orders, and option periods, shall not exceed $60,000,000.
1.2 Proposal Preparation
All costs for preparation of task order proposals, whether funded or unfunded, shall be the contractor’s responsibility. At no time shall the government provide reimbursement for the preparation of proposals.
1.3 Required Insurance (IAW FAR 28.306(b))
Reference FAR clause 52.228-5 -- Insurance -- Work on a Government Installation, "the contractor shall, at its own expense, procure and thereafter maintain the following kinds of insurance with respect to performance under the contract.
(a) Workmen's Compensation and Employers Liability Insurance as required by law except that if this contract is to be performed in a State which does not require or permit private insurance, then compliance with the statutory or administrative requirements in any such State will be satisfactory. The required Workmen's Compensation insurance shall extend to cover employer's liability for accidental bodily injury or death and for occupational disease with a minimum liability limit of $100,000.
(b) General Liability Insurance. Bodily injury liability insurance, in the minimum limits of $500,000 per occurrence shall be required on the comprehensive form of policy.
(c) Automobile Liability Insurance. This insurance shall be required on the comprehensive form of policy and shall provide bodily injury liability and property damage liability covering the operation of all automobiles used in connection with the performance of the contract. At least the minimum limits of $200,000 per person and $500,000 per occurrence for bodily injury and $20,000 per occurrence for property damage shall be required.
(d) The Certificate of Insurance shall provide for thirty (30) days written notice to the contracting officer by the insurance company prior to cancellation or material change in policy coverage. Other requirements and information are contained in the aforementioned “Insurance” clause.
1.4 Subcontracting Responsibilities
The contractor shall be responsible for the management and performance of all subcontractors. The contractor shall ensure Task Orders are completed within the stated requirements.
1.5 Competition
(a) Contractors awarded IDIQ contracts as a result of this RFP will compete for subsequent task orders. Contractors are encouraged to participate in all site visits and submit proposals.
Exception to Paragraph (a); The Government will decide prior to issuance of the RFP which projects will be set-aside for competition amongst 8(a) contractors only. In the event the Government determines that there is insufficient competition based on the proposals received, a new RFP may be issued to all MACC contractors.
1.6 Description Of Subsequent Task Orders
Task orders will typically range from $2,000 to $5,000,000. Task order projects may require single discipline or multi-disciplined construction services to deliver general building construction for sustainment, renovation and maintenance-type projects. Projects may also require interior design, lead and asbestos abatement, and incorporation of sustainable features.
1.7 Task Order Evaluation Criteria
Task orders may be awarded on the basis of price, past performance, technical tradeoff process or lowest price, technically acceptable basis. The following factors may be evaluated, in addition to price or cost:
(a) Past Performance - Task Order past performance or prior past performance on other contracts
(b) Quality of Deliverables
(c) Ability to Meet Schedule Requirements
(d) Relevant Experience
(e) Cost Control
(f) Potential impact on other orders placed with the contractor
(g) Current workload
(h) Experience
(j) The contractor’s technical understanding of the work
(k) The most efficient and effective plan to accomplish the work
(l) Rationale for proposed materials, type and quantities
1.8 Performance And Payment Bonds – Applicable To Individual Task Orders Over $30K Contractor shall furnish Performance and Payment Bonds (Standard Form 25/25A) from authorized sureties only;
the list can be obtained at http://fms.treas.gov/c570/c570_a-z.html#i. A notice to proceed shall not be issued and no work shall begin until good and sufficient surety has been received and accepted by the contracting officer.
Contractors shall refer to 52.228-13 Alternative Payment Protections and 52-228-15 Performance and Payment Bonds – Construction for further guidance.
1.9 Proposal Guarantee (BID BOND)
SUBSEQUENT TASK ORDERS: Individual proposal guarantees (bid bonds) of at least 20% of the proposed price may be required from all offerors competing for award of all subsequent Task Orders. The requirement for a guarantee will be specified in task order solicitations.
1.10 On/Off Ramp Process (375 CONS, Dec 2013)
ON/OFF RAMP PROVISION:
(a) This provision prescribes the process by which the government will ensure an adequate number of contractors are available at all times to achieve effective competition on all task orders. The government intends to maintain a pool of 8(a) and small business contractors with proven track records for competing and delivering quality construction projects.
(b) Contract holders are expected, in good faith, to participate in the task order competitions, and if successful, to deliver quality projects on time and on cost, to include management and supervision of subcontractors. If for any reason, a contractor cannot participate in a competition, the contractor shall provide written notice to the government of the reason(s) for non-participation prior to proposal due date. Before the exercise of any option period(s), the government will evaluate all contractors’ participation rates, reason(s) for non-participation, and performance evaluations for task orders completed or in effect. Failure to participate in good faith and/or an overall performance assessment rating of Marginal or Unsatisfactory may result in the contractor being off-ramped from the multiple award program. An off-ramp decision results in contract expiration on the anniversary date of the basic contract and no remaining option period(s) being exercised.
(c) In the event contractor(s) are off-ramped within 24 months of initial contract award, the government will reserve the right to on-ramp contractor(s) to maintain a pool of 8(a) and small business contractors. On-ramp contractors will be selected based on initial evaluation results from the basic multiple award solicitation in order of ranking. Selected on-ramp contractors will be subject to a performance validation review. Contractor(s) must be active in SAM and otherwise in compliance with the original multiple award solicitation. If found in compliance, on-ramp contractors may be offered a bi-lateral IDIQ contract with original guaranteed minimum and allowed to compete on task order projects.
(d) The government will not use on-ramp procedures beyond the 30-month mark from initial awards. The original performance period for contract holders is 1 base year plus 4 option years; no contract will extend beyond this limitation regardless of when a basic contract is awarded.
1.11 Installation Rules And Regulations
The rules and regulations of the installation where services are performed shall apply to the contractor and his employees while on the premises of such installation. These regulations included but are not limited to: presenting valid identification for base entrances, state registration and covered insurance for contractor-owned and/or privately owned vehicles, obeying all posted directives, and providing strict adherence to security police direction in instances where security police have been dispatched to a particular location.
1.12 Utility Services (IAW FAR 36.514)
The contractor will be required to participate in Air Force energy and water conservation programs. Utility services are normally furnished to the contractor at no cost; however, see contract clause titled FAR 52.236-14, “Availability and Use of Utility Services.” All connections are the responsibility of the contractor. At construction sites where utilities are not available, the contractor is responsible for furnishing temporary utilities (portable generators, etc.).
1.13 Designation Of Government Inspector
The Base Civil Engineer or his authorized representative is designated as the representative of the contracting officer for the purpose of performing construction contract quality assurance for the government, which includes performing technical surveillance, monitoring workmanship, verifying compliance with plans and specifications, and tracking progress. This provision in no way authorizes anyone other than the contracting officer to commit the government to changes in the terms of this contract.
1.14 Contractor Consent To Background Checks
The contractor and, as applicable, subcontractor shall not employ persons for work on this contract if such employee is identified as a potential threat to the health, safety, security, general well being or operational mission of the installation and its population, nor shall the contractor or subcontractor employ persons under this contract who have an outstanding criminal warrant as identified by Law Enforcement Agency Data System (LEADS) through the National Crime Information Center. LEADS checks will verify if a person is wanted by local, state, and federal agencies. All contractor and subcontractor personnel must consent to LEADS background checks. Contractor and subcontractor personnel who do not consent to an LEADS check will be denied access to the installation.
Information required to conduct an LEADS check includes: full name, driver’s license number, and/or social security number, date of birth of the person entering the installation, and completion of a background check questionnaire. The contractor shall provide this information using the Scott AFB Form 21, Contractors Consent for Background Check, and shall submit it in conjunction with the contractor’s request for either base or vehicle passes.
Completion of a successful LEADS check does not invalidate the requirement for an escort when contractor or subcontractor personnel are working within controlled or restricted areas.
Contractors shall ensure their employees and those of their subcontracts have the proper credentials allowing them to work in the United States. Persons later found to be undocumented or illegal aliens will be remanded to the proper authorities. The contractor shall not be entitled to any compensation for delays or expenses associated with complying with the provisions of this clause. Furthermore, nothing in this clause shall excuse the contractor from proceeding with the contract as required.
1.15 Contractor Registration of Vehicles on Scott AFB
All contractor or contractor employees’ vehicles used for the performance of this contract shall comply with all local, state and federal regulations. Additionally any pass shall be surrendered to Security Forces upon demand to positively identify a person’s need to be on Scott AFB.
1.16 Access to Installation During Force Protection Conditions (FPCONs) Contractors will be assigned a mission essential designation IAW requirements contained in SAFBI 31- 101/Installation Security Instruction. Only the installation commander or the unit commander requesting contract support will assign the mission essential designation.
1.17 Property Protection
Property protection for facility where the contractors’ primary work center is located will be the responsibility of the local facility manager and local Government Security Manager, or their duly authorized representative IAW AFI 31-401, Security Program Management and command/local directives. The contractor shall safeguard all government-owned equipment and materials in his/her possession or use.
1.18 Safeguarding Classified or Unclassified Information
The contractor shall meet Air Force standards for storing, processing, and handling classified information and systems. Additionally, all resources (e.g. maps, publication/instructions, photos) provided by the government to assist the contractor in the performance of their contract will be surrendered upon termination of employment or the end of the contract performance period.
1.19 Non-Disclosure Agreements
To safeguard information, the contractor shall enter into non-disclosure agreements with the responsible local security manager.
1.20 Privacy Act
Work on this project requires that personnel may have access to Privacy Information. Personnel shall adhere to the Privacy Act, Title 5 of the U.S. Code, Section 552a and applicable agency rules and regulations.
1.21 Base Passes
In accordance with (IAW) FAR 52.232-5(e) and AFFARS 5352.242-9000, all issued base passes shall be returned upon contract completion to the Contracting Officer. Questions regarding payment and base pass collection may be directed to the Contract Specialist. Failure to comply with incorporated clauses, as well as local policy pass collection procedures, may result in withholding of final payment.
1.22 Contractors Working in Controlled or Restricted Areas
The unit requesting contract support will provide escort (s) for contractors’ at all times when within a controlled area. Contractors shall not escort other contractor employees within controlled or restricted areas. In addition, contractors shall fulfill, maintain, and comply with all security requirements IAW AFI 31-401, Security Program Management, and command/local directives.
1.23 Contractors Responsibilities while Working within Controlled or Restricted Areas Only contractor personnel with proper authority and qualifications shall enter a controlled or restricted area. Certain facilities require the issuance of an AF Form 1199. The government, at any time, may revoke the AF Form 1199.
Contractors shall not escort other contractor employees within controlled or restricted areas. In addition, contractors shall fulfill, maintain, and comply with all security requirements contained in AFI 31-401, Security Program Management.
1.24 Access To Government Facilities with Controlled or Restricted Areas The contractor shall comply with security regulations imposed by the installation commander and/or the agency responsible for the project location. Due to specific mission requirements inherent in the nature of controlled or restricted areas on Scott AFB, the government may direct the contractor to leave the controlled or restricted areas at any given time.
1.25 Access To Government Facilities with Controlled or Restricted Areas for Replacement Contractors The unit requesting contract support will continuously escort replacement contractors, not initially possessing the proper clearances and requiring entry to controlled or restricted areas. Replacement contractors shall submit paperwork within 30 days of being assigned to obtain an approved security clearance or favorable review.
Replacement contractor personnel shall obtain a security clearance prior to working with, or having direct access to, classified material. In addition, replacement contractor personnel shall obtain a “Favorable review” prior to having access to a Controlled Area. The above information shall be submitted to 375 SFS/SFA.
1.26 Green Procurement Program (GPP)
Green Procurement is a federal acquisition policy that promotes preferred purchasing of environmentally sound products and services that have a reduced effect on human health and the environment. In order to comply with the affirmative procurement requirements of Section 6007 of the Resource Conservation and Recovery Act (RCRA) and Executive Orders 13101 and 13148 (Green Procurement Program (GPP)), the Contractor shall use recycled and recovered materials and products identified in the USEPA's Comprehensive Procurement Guidelines (CPG).
1. The latest CPG product list, and the specific recycled-content requirements for each product, can be found on the USEPA’s website (www.epa.gov/cpg).
2. The Contractor shall provide EPA-designated products containing recovered material unless the item cannot be acquired:
a. Competitively within a reasonable time frame.
b. Meeting the appropriate performance standards.
c. At a reasonable price.
3. Items identified in the USEPA's CPG shall be viewed as the minimum that can be considered when evaluating recycled/reused materials. Other materials and products not listed, but commonly used in industry outside of the government, shall also be considered.
4. Material and product submittals for all recycled-content items shall list the recycled and recovered materials used and the percentage content listed.
5. Additional program elements include:
a. Energy Star products and energy-efficient standby power devices
b. Bio-based products as defined by USDA
c. Non-ozone-depleting substances
d. EPA priority chemicals

52.203-14 DISPLAY OF HOTLINE POSTER(S) (DEC 2007)
(a) Definition.
United States, as used in this clause, means the 50 States, the District of Columbia, and outlying areas.
(b) Display of fraud hotline poster(s). Except as provided in paragraph (c)--
(1) During contract performance in the United States, the Contractor shall prominently display in common work areas within business segments performing work under this contract and at contract work sites--
(i) Any agency fraud hotline poster or Department of Homeland Security (DHS) fraud hotline poster identified in paragraph (b)(3) of this clause; and
(ii) Any DHS fraud hotline poster subsequently identified by the Contracting Officer.
(2) Additionally, if the Contractor maintains a company website as a method of providing information to employees, the Contractor shall display an electronic version of the poster(s) at the website.
(3) Any required posters may be obtained as follows:

(i) Appropriate agency name(s) and/or title of applicable Department of Homeland Security fraud hotline poster);
and
(ii) The website(s) or other contact information for obtaining the poster(s).)
(c) If the Contractor has implemented a business ethics and conduct awareness program, including a reporting mechanism, such as a hotline poster, then the Contractor need not display any agency fraud hotline posters as required in paragraph (b) of this clause, other than any required DHS posters.
(d) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (d), in all subcontracts that exceed $5,000,000, except when the subcontract--
(1) Is for the acquisition of a commercial item; or
(2) Is performed entirely outside the United States.
52.216-19 ORDER LIMITATIONS. (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $2,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor:
(1) Any order for a single item in excess of $5 million;
(2) Any order for a combination of items in excess of $5 Million; or
(3) A series of orders from the same ordering office within 30 days that together call for quantities exceeding the limitation in subparagraph (1) or (2) above.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) above.
(d) Notwithstanding paragraphs (b) and (c) above, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within five (5) days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.
52.216-22 INDEFINITE QUANTITY. (OCT 1995)
(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.
(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum". The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum".
(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.
(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after 2 July 2019.
52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 6 months.
52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 15 days;
provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years.
52.219-13 Notice of Set-Aside of Orders (Nov 2011)
The Contracting Officer will give notice of the order or orders, if any, to be set aside for small business concerns identified in 19.000(a)(3) and the applicable small business program. This notice, and its restrictions, will apply only to the specific orders that have been set aside for any of the small business concerns identified in 19.000(a)(3).
52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)
(a) Definitions. As used in this clause--
Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.
Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. In determining whether dominance exists, consideration shall be given to all appropriate factors, including volume of business, number of employees, financial resources, competitive status or position, ownership or control of materials, processes, patents, license agreements, facilities, sales territory, and nature of business activity.
(b) If the Contractor represented that it was a small business concern prior to award of this contract, the Contractor shall rerepresent its size status according to paragraph (e) of this clause or, if applicable, paragraph (g) of this clause, upon the occurrence of any of the following:
(1) Within 30 days after execution of a novation agreement or within 30 days after modification of the contract to include this clause, if the novation agreement was executed prior to inclusion of this clause in the contract.
(2) Within 30 days after a merger or acquisition that does not require a novation or within 30 days after modification of the contract to include this clause, if the merger or acquisition occurred prior to inclusion of this clause in the contract.
(3) For long-term contracts--
(i) Within 60 to 120 days prior to the end of the fifth year of the contract; and
(ii) Within 60 to 120 days prior to the date specified in the contract for exercising any option thereafter.
(c) The Contractor shall rerepresent its size status in accordance with the size standard in effect at the time of this rerepresentation that corresponds to the North American Industry Classification System (NAICS) code assigned to this contract. The small business size standard corresponding to this NAICS code can be found at http://www.sba.gov/content/table-small-business-size-standards.
(d) The small business size standard for a Contractor providing a product which it does not manufacture itself, for a contract other than a construction or service contract, is 500 employees.
(e) Except as provided in paragraph (g) of this clause, the Contractor shall make the representation required by paragraph (b) of this clause by validating or updating all its representations in the Representations and Certifications section of the System for Award Management (SAM) and its other data in SAM, as necessary, to ensure that they reflect the Contractor's current status. The Contractor shall notify the contracting office in writing within the timeframes specified in paragraph (b) of this clause that the data have been validated or updated, and provide the date of the validation or update.
(f) If the Contractor represented that it was other than a small business concern prior to award of this contract, the Contractor may, but is not required to, take the actions required by paragraphs (e) or (g) of this clause.
(g) If the Contractor does not have representations and certifications in SAM, or does not have a representation in SAM for the NAICS code applicable to this contract, the Contractor is required to complete the following rerepresentation and submit it to the contracting office, along with the contract number and the date on which the rerepresentation was completed:

52.223-2 AFFIRMATIVE PROCUREMENT OF BIOBASED PRODUCTS UNDER SERVICE AND
CONSTRUCTION CONTRACTS (JUL 2012)
(a) In the performance of this contract, the contractor shall make maximum use of biobased products that are United States Department of Agriculture (USDA)-designated items unless--
(1) The product cannot be acquired--
(i) Competitively within a time frame providing for compliance with the contract performance schedule;
(ii) Meeting contract performance requirements; or
(iii) At a reasonable price.
(2) The product is to be used in an application covered by a USDA categorical exemption (see 7 CFR 3201.3(e)).
For example, all USDA-designated items are exempt from the preferred procurement requirement for the following:
(i) Spacecraft system and launch support equipment.
(ii) Military equipment, i.e., a product or system designed or procured for combat or combat-related missions.
(b) Information about this requirement and these products is available at http://www.biopreferredgov.
(c) In the performance of this contract, the Contractor shall--
(1) Report to the environmental point of contact identified in paragraph (d) of this clause, with a copy to the Contracting Officer, on the product types and dollar value of any USDA-designated biobased products purchased by the Contractor during the previous Government fiscal year, between October 1 and September 30;
(2) Submit this report no later than--
(i) October 31 of each year during contract performance; and
(ii) At the end of contract performance; and
(3) Contact the environmental point of contact to obtain the preferred submittal format, if that format is not specified in this contract.
