SPECIAL CLAUSES
H-1 SECURITY SERVICES ASSOCIATE CONTRACTOR AGREEMENTS (ACAs)
a. During the life of this contract and upon direction of the Contracting Officer, the contractor may be asked to execute a written associate contractor agreement with other contractors performing work on Cape Canaveral Air Force Station. The agreements shall include the basis for sharing information, data, technical knowledge, expertise, and/or resources essential to the integration of the security services contract, which shall ensure the greatest degree of cooperation for the development of the program to meet the terms of the contract. The protection of proprietary data, if any, is the total responsibility of the contractor and the associate contractor(s).
b. Include the following information in the ACAs: (a) Identify the associate contractors and their relationships; (b) Identify the program involved and the relevant government contracts of the associate contractors; (c) Describe the associate contractor interfaces by general subject matter; (d) Specify the categories of information to be exchanged or support to be provided; (e) Include the expiration date (or event) of the ACA; (f) Identify potential conflicts between relevant government contracts and the ACA; (g) Include language on protection of proprietary data and restrictions on employees.

The contractor is not relieved of any contract requirements or entitled to any adjustments to the contract terms because of a failure to resolve a disagreement with an associate contractor.
d. Liability for the improper disclosure of any proprietary data contained in or referenced by any agreement shall rest with the parties to the agreement, and not the government.
e. All costs associated with the creation of agreements are included in the negotiated cost of this contract.
f. The Eastern Range Technical Services (ERTS), Launch Operation Support Contract (LOSC), Technical Engineering & Spacelift Services (TESS), Fire Protection, Emergency Management & Emergency Medical Services (FEMS), Infrastructure Operations and Maintenance Services (IOMS), NASA/AF Installation Support, and UNICOMM contracts are designated as associate contracts with Security Services and require ACAs. H-2 COLLECTIVE BARGAINING AGREEMENTS PROTECTIVE SERVICES
When negotiating collective bargaining agreements applicable to the work force under this contract, the Contractor shall use its best efforts to ensure such agreements contain provisions designed to assure continuity of services. All such agreements entered into during the contract period of performance should provide that grievances and disputes involving the interpretation or application of the agreement will be settled without resorting to strike, lockout, or other interruption of normal operations. For this purpose, each collective bargaining agreement should provide an effective grievance procedure with arbitration as its final step, unless the parties mutually agree upon some other method of assuring continuity of operations. As part of such agreements, management and labor should agree to cooperate fully with the Federal Mediation and Conciliation Service. The contractor shall include the substance of this clause in any subcontracts for protective services.
H-3 FOREIGN DISCLOSURE
(a)The Contractor shall refer all requests for military information or material from foreign governments or nationals to the local Foreign Disclosure Officer (FDO) (45 SW/FDO).

The traveler must obtain FDO approval for disclosure of classified or unclassified and controlled information, and/or documents before travel overseas. Information/documents to be disclosed to a general audience will require release by 45 SW/PA (Public Affairs) instead of FDO.
