(End of clause)
The following have been modified:
52.212-1 INSTRUCTIONS TO OFFERORS--COMMERCIAL ITEMS (NOV 2007)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block 10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show--
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(l) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions or commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) Late submissions, modifications, revisions, and withdrawals of offers:
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is “late” and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and--
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of the closing date, the time specified for receipt of offers will be deemed to be extended to the same time of day specified in the solicitation on the first work day on which normal Government processes resume.
(5) Offers may be withdrawn by written notice received at any time before the exact time set for receipt of offers. Oral offers in response to oral solicitations may be withdrawn orally. If the solicitation authorizes facsimile offers, offers may be withdrawn via facsimile received at any time before the exact time set for receipt of offers, subject to the conditions specified in the solicitation concerning facsimile offers. An offer may be withdrawn in person by an offeror or its authorized representative if, before the exact time set for receipt of offers, the identity of the person requesting withdrawal is established and the person signs a receipt for the offer.
(g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.
(h) Multiple awards. The Government may accept any item or group of items of an offer, unless the offeror qualifies the offer by specific limitations. Unless otherwise provided in the Schedule, offers may not be submitted for quantities less than those specified. The Government reserves the right to make an award on any item for a quantity less than the quantity offered, at the unit prices offered, unless the offeror specifies otherwise in the offer.
(i) Availability of requirements documents cited in the solicitation. (1)(i) The GSA Index of Federal Specifications, Standards and Commercial Item Descriptions, FPMR Part 101-29, and copies of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained for a fee by submitting a request to--GSA Federal Supply Service Specifications Section, Suite 8100, 470 East L'Enfant Plaza, SW, Washington, DC
20407, Telephone (202) 619-8925, Facsimile (202) 619-8978.
(ii) If the General Services Administration, Department of Agriculture, or Department of Veterans Affairs issued this solicitation, a single copy of specifications, standards, and commercial item descriptions cited in this solicitation may be obtained free of charge by submitting a request to the addressee in paragraph (i)(1)(i) of this provision. Additional copies will be issued for a fee.

(i) ASSIST (http://assist.daps.dla.mil).
(ii) Quick Search (http://assist.daps.dla.mil/quicksearch).
(iii) ASSISTdocs.com (http://assistdocs.com).
(3) Documents not available from ASSIST may be ordered from the Department of Defense Single Stock Point (DoDSSP) by--
(i) Using the ASSIST Shopping Wizard (http://assist.daps.dla.mil/wizard);
(ii) Phoning the DoDSSP Customer Service Desk (215) 697-2179, Mon-Fri, 0730 to 1600 EST; or

(4) Nongovernment (voluntary) standards must be obtained from the organization responsible for their preparation, publication, or maintenance.
(j) Data Universal Numbering System (DUNS) Number. (Applies to all offers exceeding $3,000, and offers of $3,000 or less if the solicitation requires the Contractor to be registered in the Central Contractor Registration (CCR) database. The offeror shall enter, in the block with its name and address on the cover page of its offer, the annotation “DUNS” or “DUNS +4” followed by the DUNS or DUNS +4 number that identifies the offeror's name and address. The DUNS +4 is the DUNS number plus a 4-character suffix that may be assigned at the discretion of the offeror to establish additional CCR records for identifying alternative Electronic Funds Transfer (EFT) accounts (see FAR Subpart 32.11) for the same parent concern. If the offeror does not have a DUNS number, it should contact Dun and Bradstreet directly to obtain one. An offeror within the United States may contact Dun and Bradstreet by calling 1-866-705-5711 or via the internet at http://www.dnb.com. An offeror located outside the United States must contact the local Dun and Bradstreet office for a DUNS number.
(k) Central Contractor Registration. Unless exempted by an addendum to this solicitation, by submission of an offer, the offeror acknowledges the requirement that a prospective awardee shall be registered in the CCR database prior to award, during performance and through final payment of any contract resulting from this solicitation. If the Offeror does not become registered in the CCR database in the time prescribed by the Contracting Officer, the Contracting Officer will proceed to award to the next otherwise successful registered Offeror. Offerors may obtain information on registration and annual confirmation requirements via the Internet at http://www.ccr.gov or by calling 1-888-227-2423 or 269-961-5757.
(l) Debriefing. If a post-award debriefing is given to requesting offerors, the Government shall disclose the following information, if applicable:
(1) The agency's evaluation of the significant weak or deficient factors in the debriefed offeror's offer.
(2) The overall evaluated cost or price and technical rating of the successful and the debriefed offeror and past performance information on the debriefed offeror.
(3) The overall ranking of all offerors, when any ranking was developed by the agency during source selection.
(4) A summary of the rationale for award;
(5) For acquisitions of commercial items, the make and model of the item to be delivered by the successful offeror.
(6) Reasonable responses to relevant questions posed by the debriefed offeror as to whether source-selection procedures set forth in the solicitation, applicable regulations, and other applicable authorities were followed by the agency.
(End of provision)
ADDENDUM to 52.212-1 -- Instructions to Offerors -- Commercial Items (Nov 2007)
1. Submit signed and dated offers to:
Mr. John A. Warner, Contracting Officer
1201 Edward H. White II, Street, MS 7200
Patrick AFB, FL 32925-3238
2. Hand carried proposals must be delivered to Bldg 423, Rm. N-204, Patrick AFB, FL 32925. The sealed package used to submit your proposal must show the solicitation number, time and date specified for receipt of offers, the name, address and telephone number of the offeror. Offeror’s need to submit the name, type of vehicle and tag number of the individual and vehicle that is going to be utilized for Request for Proposal to the Contracting Officer five days prior to offer delivery date for access to the base. SOME DELAY SHOULD BE ANTICIPATED WHEN HANDCARRYING PROPOSALS. Offerors should allow sufficient time to obtain a visitor pass and arrive at Patrick AFB, PRIOR to the time specified for receipt. Late proposals will be processed in accordance with 52.212-1 paragraph (f) above.
3. To ensure consideration, Offerors must follow the instructions contained herein. The response shall consist of two (2) separate volumes; Volume I – Present and Past Performance and Volume II – Price and Model Contract Information.
A. VOLUME I – PRESENT/PAST PERFORMANCE (FACTOR 1) - Submit original and four (4) copies.
(45 page limitation)
(1) This portion of the evaluation will consider the Offeror's performance including prime contract and subcontractor experience, and the Offeror’s proposed subcontractors, teaming partners, key personnel and predecessor companies.
(2) Provide not more than ten (10) recent and relevant performance citations for the Prime Team (includes citations for both prime and subcontractors) in the format requested below. Submit present/past performance information in accordance with the format and instructions contained in Attachment L-4 on all efforts included in the Relevancy Matrix.
(3) Relevancy. Relevant means the performance being considered must have logical connection to the work, described in the solicitation. Normally, relevance would include such aspects as the product or service similarity, product or service complexity, contract type, program or lifecycle phase, contract environment, division of company proposing, subcontractor interaction and magnitude. Offeror must explain why each past performance citation is relevant to this acquisition. Identify the role of each proposed subcontractor, teaming partner and key personnel to permit the evaluation team to appropriately attribute relevance to the past performance.
(4) Organizational Structure Change History. Many companies have acquired, been acquired by, or otherwise merged with other companies, and/or reorganized their divisions, business groups, subsidiary companies, etc. In many cases, these changes have taken place during the time of performance of relevant present or past efforts or between conclusion of recent past efforts and this source selection. As a result, it is sometimes difficult to determine what present/past performance is relevant to this acquisition. To facilitate this relevancy determination, include in this proposal volume a “roadmap” describing all such changes in the organization of your company. As part of this explanation, show how these changes impact the relevance of any efforts you identify for present/past performance evaluation/performance confidence assessment. Since the Government intends to consider present and present/past performance information provided by other sources as well as that provided by the Offeror(s), your “roadmap” should be both specifically applicable to the efforts you identify and general enough to apply to efforts to which the Government receives information from other sources. Include Commercial and Government Entity (CAGE) codes for any predecessor companies to facilitate Government research
(5) Consent Letters. Consent letters executed by each joint venture partner and/or subcontractor, authorizing release of adverse present/past performance information so the Offeror can respond to such information. A sample consent letter is in Attachment 212-1-1
(6) Client Authorization Letters. Client authorization letters for each identified effort for a commercial customer authorizing release to the Government of requested information on the Offeror’s performance (see sample letter at Attachment 212-1-2).
(7) Relevancy Matrix. Provide a completed relevancy matrix including each teaming contractor and/or joint venture partner and proposed subcontractor (see format in Attachment 212-1-3). Do not identify present/past performance for proposed team members in areas they are not proposed to perform.
(8) Questionnaires. Offerors are responsible for sending out Past Performance Questionnaires, Attachment L-6 for each citation. Completed questionnaires should be submitted directly to the Contracting Officer by 19 Feb 08. Once the Past Performance Questionnaires are completed, the information contained therein shall be considered sensitive and shall not be released to you, the Offeror. A sample cover letter for transmitting the questionnaire is provided at Attachment 212-1-5. Questionnaire recipients (Customer POC’s) shall be listed as required in Attachment L-6. Offeror shall verify the POC information is current and valid.
(9) Contractor Performance Assessment Reports (CPARs). Offerors are requested to indicate in the Present/Past Performance Volume whether this information exists (and in which database it resides) and are encouraged to provide additional information regarding the work effort to clearly describe how it relates to the PWS requirements. If a CPARS or other evaluation form has been accomplished on the Offeror’s existing work, but has not yet been posted to an automated system, the Offeror is requested to advise the CO and provide a point of contact and phone number from which the information may be obtained. This information should be provided to the CO at the same time the Present/Past Performance Volume is submitted. Also include information on cited contracts that have been captured in a database other than those used by DoD or other federal agencies.
B. VOLUME II – COST/PRICE (FACTOR 2) AND MODEL CONTRACT INFORMATION - Submit original and three (3) copies. No page limitation.
(1) Complete blocks 12, 17a, and 30a, b, and c of the SF 1449. In doing so, the offeror accedes to the contract terms and conditions as written in the SOLICITATION, with attachments. The SOLICITATION constitutes the model contract.
(2) Insert proposed unit and extended prices in the Pricing Schedule. The proposal(s) must be submitted for the base year plus all four (4) Option Years.
(3) Complete the necessary fill-ins and certifications in provisions.
4. Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 180 calendar days from the date specified for receipt of offers.
5. Product samples are not required.
6. Data Universal Numbering System (DUNS) Number applies.
Attachment 212-1-1, Subcontractor/Teaming Partner Consent Letter for the Release of Past and Present Performance Information to the Prime Contractor
Past performance information concerning subcontractors and teaming partners cannot be disclosed to a private party without the subcontractor’s or teaming partner’s consent. Because a prime contractor is a private party, the Government will need that consent before disclosing subcontractor/teaming partner past and present performance information to the prime contractor during exchanges. In an effort to assist the Government’s Performance Confidence Assessment Group (PCAG) in assessing your past performance relevancy and confidence, we request that the following consent letter be completed by the major subcontractors/teaming partners identified in your proposal. The completed consent letters should be submitted as part of your Present/Past Performance Volume.

Attachment 212-1--2, SAMPLE CLIENT AUTHORIZATION LETTER Past performance information concerning private sector contractors, subcontractors and joint venture partners cannot be disclosed to the government without their consent. Client authorization letters are required for each identified effort for a commercial customer. This letter will authorize release to the Government of requested information on the offeror's performance. ADDENDUM to PROVISION 52.212-2 EVALUATION -- COMMERCIAL ITEMS (Jan 1999)
(a) The Government will award a contract resulting from this solicitation to the responsible offer or whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
FACTOR 1: Present/Past Performance
FACTOR 2: Cost/Price
(b) BASIS FOR CONTRACT AWARD. This is a competitive best value source selection in which competing Offerors’ past performance history will be evaluated on a basis approximately equal to cost or price considerations. The government will trade-off price and past performance and may select a contractor with a higher price that provides a higher confidence rating in the area of past performance. By submission of its offer, the Offeror accedes to all solicitation requirements, including terms and conditions, representations and certifications, and technical requirements, in addition to those identified below as evaluation factors. The evaluation process shall proceed as follows:
1. Present/Past Performance (FACTOR 1). The Performance Confidence Assessment represents the evaluation of Offeror’s present and past work record to assess the Government’s confidence in the Offeror’s likelihood of successfully performing as proposed. The Government past performance evaluation team, known as the Performance Confidence Assessment Group (PCAG) will accomplish the past performance evaluation by reviewing the quality of an Offeror’s recent and relevant present and past performance, focusing on and targeting effort that is relevant to the Past Performance and Cost/Price Factor of this solicitation; however, all aspects of performance that relate to this acquisition may be considered.
a. To assess the Past Performance Confidence Rating the government is not limited to information provided by the Offeror and will consider a variety of sources to obtain past performance information. Each Performance Citation submitted by the Offeror and each additional citation obtained by the Government will be reviewed and recency determined. Each recent citation will be assessed and assigned a relevancy rating. All aspects of performance that relate to this acquisition may be considered. Past performance information will be obtained through the Past Performance Information Retrieval System (PPIRS), similar systems of other Government departments and agencies, questionnaires tailored to the circumstances of this acquisition and provided as an attachment to the RFP, Defense Contract Management Agency (DCMA), interviews with program managers and contracting officers, and other sources known to the Government, including commercial sources. The Government intends to use both data provided by the Offeror and data obtained from other sources.
b. Recency. An assessment of the past performance information will be made to determine if it is recent. For purposes of this source selection, recent past performance is defined as contracts performed within three (3) years of the date of the issuance of this solicitation.
c. Relevancy. Relevant performance includes performance of efforts involving vehicle operations and maintenance services that are similar or greater in scope, magnitude and complexity than the effort described in this solicitation.
