Space Fence Organizational Conflict of Interest
An Organizational Conflict of Interest (OCI) means that because of other activities or relationships, entities are unable or potentially unable to render impartial assistance or advice to the Government, or the entities objectivity in performing the contract work is or might be otherwise impaired, or entities have an unfair competitive advantage
OCI Considerations
There are potential organizational conflicts of interest (see FAR Subpart 9.5, Organizational and Consultant Conflicts of Interest). One is with the Maintenance of Space Situational Awareness Integrated Capabilities (MOSSAIC) contract. The Space Fence Operations and Maintenance contractor will be responsible for testing or providing technical evaluations of products delivered from the MOSSAIC program.
1) Restrictions are needed to ensure that the Contractor is not testing or providing technical evaluations on its own products delivered to the Space Fence program.
OCI Considerations
2) As a part of the proposal, the offeror shall provide the Contracting Officer with complete information of previous or ongoing work that is in any way associated with the contemplated acquisition. Prime or subcontract work related to MOSSAIC contract may represent an OCI that cannot be mitigated, and which may disqualify an offeror from award.
3) If award is made to the offeror, the resulting contract may include an organizational conflict of interest limitation applicable to subsequent Government work, at either a prime contract level, at any subcontract tier, or both.
OCI Considerations
4) In order to determine whether or not an OCI actually exists, offerors with potential for an OCI shall provide enough concrete detail so the Government can evaluate the actual nature of the work being performed, in order to determine whether or not the contractor’s perceived OCI is actually mitigated to an acceptable level. Plans shall address all potential OCI’s, including for the contractor’s divisions, affiliates and subcontractors/teammates. If the offeror does not have any OCI related to Space Fence, submit a letter/email stating so.
5) The Contracting Officer reserves the right to discuss a potential or actual OCI with any offeror at any time. Such discussions do not constitute “discussions” as that term is defined in FAR Part 15.
OCI Considerations
Recent GAO Decision – File B-417107-4 Protest that the awardee had an impaired objectivity organizational conflict of interest is sustained where the record shows that the agency unreasonably concluded that there was no possibility of any potential conflicts arising from the awardee’s performance of a related task order.
Protest that the agency unreasonably evaluated the protester’s past performance is dismissed as untimely where the protester was advised of the agency’s interpretation of the solicitation in connection with the initial award.
GAO sustained the protest.
