Compensation is structured through either fixed fees or time-and-material arrangements with not-to-exceed caps, with all-inclusive hourly rates covering labor, equipment, materials, supplies, local and long-distance travel, communications, computer costs, salaries, fringe benefits, overhead, and profit. Pass-through items pre-approved by HHSC are reimbursed at actual cost without indirect charges or profit allocation. Invoices must be submitted to HHSC AP with specific naming conventions including contractor name, invoice number, amount, purchase order number, contract number, and service dates; invoices require detailed descriptions of services and deliverables with supporting documentation and must comply with Texas Administrative Code Title 34, Part 1, Chapter 20, Subchapter F, Division 1, Rule 20.487. Payments are made in accordance with the all-inclusive pricing provided in Exhibit D, with undisputed amounts processed while disputes are resolved in good faith; HHSC receives products before approving payment for invoices. All payments must comply with Texas Government Code Chapter 2251 and applicable administrative code rules, with final invoices submitted within two weeks of contract purchase order completion and HHSC initiating payment upon certification of costs and work order objectives.

Contractor must provide information specified in the Work Order Request, including a detailed recital of Contractor’s proposed expenditures for each Deliverable or task. HHSC will evaluate Contractor’s Work Order Response and, if selected, will request that Contractor execute the Work Order. Submission of a Work Order Response by Contractor does not guarantee funding or assignment to Contractor unless and until the Contract Purchase Order and Purchase Order are issued by HHSC.
Contractor must have completed the requested campaign Services prior to invoicing. Contractor may submit invoices as tasks are completed. If Contractor seeks to invoice for specific tasks on any Work Order that it has fulfilled prior to completion of a campaign Service, Contractor must email HHSC’s Contract Manager or designee identified in the Work Order for approval. HHSC will reimburse Contractor for successfully performing each individual Deliverable or task not to exceed the total amount authorized on the associated Work Order. 3.4.1 Issuing Work Order Requests
The procedure for the Work Order process that will be issued to the Contractor pool for each Project is as follows:
a. Upon identifying a specific campaign Service, HHSC will issue a Work Order Request to the Contractors describing the Project, Services required, proposed schedule, and method of compensation selected by HHSC. Each Work Order Request will include, but is not limited to, the following:
1. Scope of Work;
2. Requirements/Deliverables;
3. Period of performance of Work Order;
4. Anticipated type of Work Order;
5. Proposal instructions and submission timeline;
6. Evaluation factors for award; and
7. Work Order Response template.
b. All Contract clauses contained in this Contract will be incorporated in the Work Order
Request and the resultant Contract. If any conflict exists between the Contract clauses and the information outlined in the Work Order Request, the Contract language will control and govern.
c. Contractors are not required to submit a Work Order Response pursuant to a Work
Order Request. Those eligible Contractors that decide not to submit a Work Order Response shall advise the Contract Manager, in writing, of their intention not to submit a Work Order Response on or before the closing date and time established in the Work Order Request. An election not to respond to a Work Order Request will not negatively affect or prohibit a Contractor from responding to future Work Order Requests. However, it may affect the Contractor’s eligibility for continuations or extensions of the resultant Contract.
3.4.2 Competitive Process
a. Contractors will receive an e-mail from HHSC advising of the availability of each proposed Work Order Request.
b. Contractors will be provided adequate time to prepare and submit responses based on the complexity of the proposed Work Order Request, and Historically Underutilized Business (HUB) Subcontracting Plan (HSP) modifications, if applicable. A Work Order Response received after the specified due date and time will not be accepted.
c. HHSC will screen each Work Order Response for required forms and signatures. An unsigned Work Order Response or a Work Order Response that does not include all fully completed required forms is subject to rejection without further evaluation.
d. Each Work Order Request will include the Work Order Response evaluation criteria. The Work Order Response must demonstrate capability for each criterion to be evaluated.
Generally, Contractor will be asked to demonstrate the following:
1. Understanding of the service requirements;
2. Experience and capability on similar tasks;
3. Technical approach, methods and procedures for satisfying the requirements with a discussion of potential problems to be encountered and proposed solutions and/or risk mitigation strategies;
4. Assuring quality of Work, products, and Deliverables;
5. Plan for managing the Work Order, including meeting requirements and schedules, and performance measures (if applicable);
6. Staffing plan with skill levels for all personnel proposed to be assigned to the Work Order; and
7. Total proposed expenditures to complete the campaign Services identified in the Work Order.
3.4.3 Work Order Response
After receiving a Work Order Request, Contractor may submit questions, in writing, regarding the Work Order Request to the Work Order point of contact. Questions must be received by the due date specified in the Work Order Request. The Work Order point of contact will email responses to the questions to all Contractors receiving the Work Order Request. Contractor must provide a Work Order Response for HHSC’s review by completing Section II of Exhibit I, Work Order Request-Response Form.
3.4.4 Work Order Response Evaluation and Work Order Award
HHSC will evaluate all Work Order Responses that meet the screening requirements set out in Subsection (C) of Section 3.4.2 (Competitive Process), and select the Work Order Response offering the best value using the evaluation criteria identified in the Work Order Request. See Section (E)(1) of Exhibit I, Work Order Request-Response Form, for an example of WO evaluation criteria.
Upon completion of evaluations, the Work Order point of contact will notify Contractor of the selection decision in writing. The Work Order point of contact will notify Contractor if the Work Order Response is accepted as originally submitted or if Contractor must prepare to participate in a Contract negotiation meeting(s) to further discuss the terms of the Work Order (see Section I(E)(2) of Exhibit I, Work Order Request-Response Form). If accepted, Contractor’s Work Order Response will be attached to the Work Order and may include revisions to the Scope of Work, if any and agreed upon compensation. HHSC reserves the right to cancel, make partial award, multiple awards, or decline to award a Work Order under a Work Order Request at any time at its sole discretion.
All Work Orders will be in writing and will include a Purchase Order, Work Order Scope of Work, a list of tasks to be performed by Contractor, a schedule, a not-to-exceed amount payable and any other information or special conditions as may be necessary for the Work requested. Each authorized Work Order will be incorporated as an amendment to the Contract, all Work Orders will be signed by both Parties and must include a list of Deliverables if any.
3.4.5 Project Implementation
Contractor agrees to start work within seven (7) calendar days from the date of the Purchase Order, which constitutes a Work Order agreement. Contractor agrees to complete the phases of Services in accordance with the applicable standard of professional care, the approved proposal(s), and the proposal and resource allocation plan, which describes the major tasks to be performed and Work Products to be delivered by Contractor, the estimated time to complete the tasks and Work Products, the amount of compensation allocated for the respective tasks and Work Products, and an estimated allowance for reimbursable expenses. After one of the Contractors is awarded a Project proposal for HHSC’s specific project, the awarded Contractor will provide all of the
Services that are applicable to the specified in the Project proposal Contract executed between HHSC and the Contractor.
3.4.6 Change Management Process
In the event there are changes to the term or budget, a request for review and approval must be submitted to HHSC’s assigned Contract Manager identified in the Work Order for review and approval. HHSC reserves the right to request a revised Work Order Response. All changes must be in writing and signed by the Parties.
4. COMPENSATION AND PRICING STRUCTURE
4.1 Overview and General Requirements
Prices offered, as part of the Solicitation Response, must be firm, fixed prices for the initial Contract Term.
Payment for goods and Services described in the Solicitation will be based on several payment structures, depending on the specific Services and/or Deliverables expressly authorized in subsequent Work Orders and whether Contractor performed the required Services and/or Deliverables correctly and on time. At HHSC’s sole discretion, the methods by which Contractor will be paid for Services and/or Deliverables under the authorized Work Order include:
Fixed Fee. Payable upon acceptance of all required Deliverables, and/or Time and Material, with a not-to-exceed cap specifying the maximum HHSC will pay for the work regardless of the actual time and materials spent.
Contractor will identify potential means of reducing the cost to HHSC, including utilizing Subcontractors to the extent appropriate.
Any expenses incurred by Contractor to correct any defects will not be considered an allowable expense.
4.2 Determination of Work Order Value
The value of any Work covered by a Work Order will be determined by one or more of the following methods:
a. By application of the unit prices contained in the Contract to the quantities of the items authorized under a Work Order;

No costs will be included in the Work Order(s) for time spent preparing the Work Order Response, nor will costs be included for an estimate of time to negotiate the Work Order.
4.3 All-Inclusive Hourly Rates
For all personnel in authorized Work Order(s), payment will be based on the all-inclusive hourly rates provided on Exhibit D, Cost Proposal for each hour or fraction of hour authorized under a Work Order that said personnel are actually engaged in such Work.
The pricing is considered all-inclusive, and no other pricing may be included on an invoice.
The all-inclusive unit prices must include all Solicitation requirements, including, but not limited to, labor, equipment, materials, supplies, and all related expenses.
The all-inclusive hourly labor rates proposed by Contractor must contain all costs related to performing the required functions, including but not limited to local travel, long-distance travel, long-distance telephone communications, computer depreciation and/or computer usage costs, salaries, fringe benefits, indirect overhead charges, and the allowable profit.
No additional costs will be paid for any other items unless HHSC, in its sole discretion, determines that any additional cost(s) requested by Contractor are extremely unique to the specific project such that Contractor would not have anticipated those additional costs as part of the required all-inclusive hourly labor rates.
The invoices submitted to HHSC for Services payable on an all-inclusive hourly rate basis will be based on the actual number of hours worked by Contractor’s staff or the staff of Contractor’s Subcontractor multiplied by the explicit fixed all-inclusive hourly labor rates included in the Contract.
Contractor will also employ the all-inclusive hourly labor rates proposed in developing cost proposals for the performance of new or modified Services and Deliverables that are required after the Contract Effective Date.
4.4 Payment for Pass-Through Items
