About this file

This is a Form 700 legal determination document from the Orange County Transportation Authority (OCTA) General Counsel regarding the Newport Transportation Center and Fire Station No. 3 Relocation Feasibility Study RFP. The document contains an email chain initiated by the Contracts Administration and Materials Management (CAMM) section requesting legal review to determine whether personnel performing work under this solicitation would be required to file California Form 700 (Statement of Economic Interests) in accordance with OCTA's Conflict of Interest Code. The feasibility study project involves assessing the relocation of Newport Beach Fire Station No. 3 to the Newport Transportation Center and the relocation of the Newport Transportation Center to suitable alternative site(s). The contract will be procured on a firm-fixed price basis with a budget of $500,000 and a one-year term.

OCTA General Counsel James M. Donich provided written determination that Form 700 filing is not required for consultant personnel under this RFP and Scope of Work. The determination was based on the finding that consultant personnel would not authorize or direct actions, votes, appoint personnel, obligate or commit OCTA to any course of action, or enter into contractual agreements on behalf of OCTA. Additionally, the General Counsel concluded that no personnel provided under this RFP would provide information, opinions, or recommendations intended to affect decisions without significant intervening substantive review by OCTA personnel, counsel, and management. This Form 700 analysis was performed as part of compliance procedures required following a recent internal audit of CAMM's procurement processes.

Feasibility Study

I have reviewed the RFP for the Newport Beach Transit Center Relocation study as to whether the personnel performing these duties would be required to file Form 700's under OCTA's Conflict of Interest Code. Based upon my review, it is the opinion of General Counsel that this RFP and the SOW would not require the filing of Form 700's. The consultant personnel anticipated by this RFP would not authorize or direct any actions, votes, appoint any person, obligate or commit OCTA to any course of action or enter into any contractual agreement on behalf of OCTA. Moreover, no personnel provided for by this RFP would provide information, an opinion or a recommendation for the purpose of affecting a decision without significant intervening substantive review by OCTA personnel, counsel and management.
