text: ****NOTE**** This DD254 is for SOLICITATION PURPOSES ONLY an is NOT VALID FOR PERFORMANCE. An updated DD254 MUST be completed by the COR PRIOR TO CONTRACT AWARD. This is because some information may be missing on the DD254 and some Security Requirements MAY have changed during the course of this SOLICITATION. ****NOTE****

Ref 1a: The Contractor shall possess and maintain a facility clearance granted by the Defense Counterintelligence and Security Agency (DCSA). The Contractor's employees, performing work in support of this contract (not technicians as stated below) will require security clearance/eligibility determination based on a favorably adjudicated T3 or T3R investigation; be within investigation scope and/or currently enrolled in Continuous Evaluation (CE) / Continuous Vetting (CV) at the time of contract award and throughout the life of the contract to include all potential option years identified in this PWS. The DD 254 will be housed within the NCCS through the life of the contract. The Contractor shall be registered within NCCS at time of award to gain access to the DD 254. It is incumbent upon the Contractor to ensure that the necessary security paperwork is submitted in sufficient time to enable each individual to be cleared prior to beginning work on this contract. In the event that the NCCS is superseded by another System of Record, the same requirements apply. The Contracting Officer will maintain the DD254 in the Official Contracts Records. Additional security guidance:

1. Contractor is not authorized to subcontract on this effort without an approved subcontracting plan with written GCA/COR authorization.

2. All Common Access Cards (CACs), building access badges, and parking passes must be returned immediately at the end of the period of performance date.

3. The Contractor shall comply with (1) Security Agreement (DD Form 441/DD Form 441-1), including the DoDM 5220.32, National Industrial Security Program Operating Manual (NISPOM), Vol 1 and 2 and any revisions, 32 CFR, Part 117.Provisions of the Privacy Act apply to all records and reports maintained by the contractors.

4. All programs and materials developed at government expense during the performance period of this contract are the property of the US Government.

5. Prior to granting an employee access to classified information and/or materials, the contractor shall brief employees with regard to their obligation to comply with the NISPOM, to include any changes and/or amendments, and 32 CFR, Part 117. The contractor’s employees shall be debriefed when access to the material is no longer needed or is terminated. A list of all employees who have had access to classified information during the period of this contract shall be maintained by the contractor company and be available for Defense Counterintelligence and Security Agency inspection.

6. Access to General Protection/Security Policies and Procedures. All contractor employees, including subcontractor employees stationed or assigned on a US Government facility shall comply with applicable installation, facility access procedures and local security policies (provided by the US Government security personnel). The contractor workforce shall comply with all personal identification verification requirements as directed by local policy. In addition to the changes otherwise authorized by the changes clause in this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the US Government may require changes in the contractor security processes or procedures.

7. Contractors requiring access to US Government Information Technology (IT) systems must adhere to all US Government requirements. All contractor employees and any associated subcontractor employees shall annually complete the DoD Information Assurance Training and sign an Acceptable Use Policy (AUP). The training certificate and AUP must be provided to the designated personnel at US Government facilities before issuance of network access and annually thereafter.

8. Contactor employees shall abide by US Government Security Regulations and Security Standard Operating Procedures when working on-site at US Government facilities/installations and shall annually attend Government mandatory training including Operational Security, Security Awareness, Subversion and Espionage, Ethics and Prevention of Sexual Harassment, and any/all other training as directed by the US Government.

9. Common Access Cards (CACs) are authorized for contractor employees that work on-site at Government facilities. CACs are the property of the US Government and shall be giving to the Contractor Facility Security Officer upon termination of employment with the company, expiration of the CAC, replacement of a CAC, or upon contract completion. The FSO shall immediately return the CACs to the Government Security Office, Government Contracting Officer, or Contracting Officer Representative. The loss of a CAC shall be reported on the first business day following the discovery of the lost CAC to your chain of command and to the issuing agency. Unauthorized possession of a CAC can be prosecuted criminally under section 701, title 18, United States Code. Photocopying of US Government Identification (CAC) is a violation of Title 18, US Code Part 1, Chapter 33, Section 01 and punishable by both fine and imprisonment. Although the asking for military/government identification is totally permissible by commercial establishments, there is a prohibition on duplication of government identification. A state issued driver license or other form of photo identification should be provided to be photocopied if an establishment insists on a photocopy of the traveler’s identification. Contractor is required to ensure that all employees are aware of this law.

10. Contractor personnel shall utilize US Government or official company e-mail for transmitting official US Government business. Official US Government business shall NOT be transmitted via personal, private, and/or commercial e-mail accounts, i.e., YAHOO, HOTMAIL, GMAIL, VERIZON, etc.

11. Contractor is prohibited from using reference to this contract, classification, clearances, accesses (collateral and/or SCI), even by unclassified acronyms, in advertisements, websites, capabilities fliers, promotional efforts, or recruitment of employees.

Ref 10j: Controlled Unclassified Information (CUI) / Receive, Store, or Generate Controlled Unclassified Information (CUI): Contractor will be provided and will abide by DoD Regulation 5400.7, DoD Freedom of Information Act Program, and DoD 5200.01-M, Information Security Program. Guidance provided under separate cover. In accordance with DoD Instruction 5200.48 (DoDI 5200.48) dated March 6, 2020, Contractors are required to ensure all personnel receive and complete Initial and Annual Refresher CUI education and training and maintain documentation of this training for audit purposes. Initial and Annual Refresher CUI security education, training and awareness on the required topics identified in Section 2002:30 of Title 32 CFR, including protection and management of CUI, to DoD personnel and contractors through the Center for Development of Security Excellence (CDSE). CUI Courses and Resources Created for Industry:

• The Center for Development of Security Excellence (CDSE) has developed an eLearning course titled “DoD Controlled Unclassified Information (CUI) Training for Contractors (IF141.06.FY21.CTR). The course fulfills CUI training requirements for industry.

• Additionally, CDSE has a CUI Toolkit available at https://www.cdse.edu/toolkits/cui/current.html. The Toolkit includes training, policy documents, resources, and an FAQ video.

• Review the DoD CUI Registry at https://www.dodcui.mil to become familiar with CUI organizational index groupings and CUI categories. Policy documents addressing CUI oversight:

Ref 10k: Contractor is authorized access to and an email account to SECRET Internet Protocol Router Network (SIPRNet) at US Government facilities only. Contractor access to SIPRNet is restricted to sites directly related to meeting the requirements of this contract as validated by the Contracting Officer (KO)/Contracting Officer Representative (COR) and the Scope of Work. The contractor will not access INTELLINK-S, while on SIPRNet without formal access authorization of the COR. If subcontracting is permitted, the contractor *may* be authorized to subcontract access to SIPRNet at US Government facilities to subcontractors *Only* with an approved subcontracting plan and Government Contracting Officer written approval. Contractor shall not access, download, or further disseminate any information or data that falls outside the scope of execution of the defined contract requirements. All SIPR Token Holders are required to complete initial and annual Derivative Classification Training at: https://securityawareness.usalearning.gov/derivative/index.htm. All completed Derivative Classification certificates must be sent to the COR and to Security. Email to Security is: usarmy.belvoir.peo-soldier.list.peo-soldier-security-office@army.mil. Actual knowledge of, generation, or production of NATO information is not required for performance on the contract. However, all contract personnel are required to have a NATO awareness briefing since SIPRNET access is required for contract performance.

Ref 11c: The contractor requires access to classified source data in support of the work effort. Any extracts or use of such data requires the contractor to apply derivative classifications and markings consistent with the source documents. Use of “Multiple Sources” on the “Derived From” line necessitates compliance with the 32 CFR 117, NISPOM. If all multiple sources cannot fit on the “Derived From” line than a separate page must be provided listing all derived sources.

Contractor personnel must have a favorably adjudicated SECRET security clearance (at minimum) through Department of Defense (DoD)/Defense Counterintelligence & Security Agency (DCSA) channels, IAW 32 CFR 117, be a U.S. citizen, and have a valid need-to-know for authorization for access to classified information, material, or systems as related to this contract agreement.

2. Subcontractor personnel must have a favorably adjudicated, in scope, SECRET security clearance at minimum, through DoD/DCSA channels before gaining access to classified information in connection with this contract.

3. FCL requests for subcontractor facilities will be submitted by the Prime Contractor.

4. Cleared Contractors accessing classified information or material at Government Activities or other FCL cleared contractor facilities must adhere to all means to control classified information established at those facilities. This will include maintaining receipts and accountability logs for all classified material shipped or received in association with this contract agreement.

5. Meetings where classified information will be discussed is required to be held either on a federal/government installation or cleared contract facility only.

6. In the event of a possible compromise or loss of classified information under the control of the contractor, the contractor will immediately notify the Contracting Officer’s Representative (COR) for this contract agreement, and the Program Executive Office (PEO) Soldier Security Manager at 571-515-3153, or via mailing address with unclassified content only, at: Program Executive Office Soldier, 5901 Putman Road, Building 328E, ATTN: Security Manager/SFAE-SDR, Ft Belvoir, VA 22060.

7. Processing classified information on secure computer systems is restricted to Government Activities, and Contract facility identified in Item 8a. of this DD254 form and must be in a secure environment under continuous supervision to ensure inadvertent access to classified information does not occur. All personnel with access to the classified computer processing system must have at minimum a SECRET clearance, and a valid need-to-know.

8. Cell phones, iPads, or any other electronic imaging or recording devices will not be operated in areas approved for classified system processing.

9. Contractor must establish procedures to ensure prompt management action and reporting in accordance with: DODM 5200.01, Volume 3, for an actual or potential compromise of classified information; DODI 5200.48, for an actual or potential unauthorized disclosure of CUI (for example, proprietary information, law enforcement information); 32 CFR 117, when such losses occur on cleared contractor systems; and DODD 5400.11 for a loss or unauthorized dis-closure of PII or other Privacy Act information.

10. Contractor personnel may be subject to administrative and/or judicial sanctions if they knowingly, willingly, or negligently compromise, damage, or place information technology (IT) or information at risk by violating the user agreement. Individuals involved with the misuse of IT or prohibited activities may be subject to suspension of computer account access for a defined period of time and/or required to complete the appropriate remedial training.

Ref 11g: IAW AR 380-5, SCGs, as amended, will be distributed to those commands, contractors, or other activities expected to be derivatively classifying information covered by the guide. Whereas SCGs will be indexed in an online accessible index maintained by DTIC, contractor access to DTIC information is restricted to contractual subject matter and the Statement of work (SOW) performance requirements. Technical information on file at the DTIC will be made available to the contractor if the contractor requires such information. The Government Contracting Officer or Government Program Project Manager will verify contractor need-to-know via the registration process which can be found at https://discover.dtic.mil/dtic-registration-benefits/dtic-registration/ and selecting the appropriate option.

Ref 11l: Controlled Unclassified Information (CUI) / Receive, Store, or Generate Controlled Unclassified Information (CUI): Contractor will be provided and will abide by DoD Regulation 5400.7, DoD Freedom of Information Act Program, and DoD 5200.01-M, Information Security Program. Guidance provided under separate cover. In accordance with DoD Instruction 5200.48 (DoDI 5200.48) dated March 6, 2020, Contractors are required to ensure all personnel receive and complete Initial and Annual Refresher CUI education and training and maintain documentation of this training for audit purposes.

Ref 11m: Contractor personnel performing or assigned under this contract must be U.S. persons. Security Classification Guide requests should be presented to the Government Sponsor, if required, subsequent to contract award. All classified information received or generated under this contract is the property of the U. S. Government. The U. S. Government shall provide disposition instructions. No release of classified information or controlled unclassified information under this contract is authorized. All requirements for control and accounting of original documentation and copies apply. All applicable provisions of the NISPOM and its supplements and 32 CFR, part 117 apply. Any classified information shall be transmitted IAW DOD 5200.1-R, DOD Information Security Program Regulations. The contractor shall adhere to Chapter 8, NISPOM, which applies to non-DoD IT systems.) SCGs, as amended, are required for this contract.

BBLOCK 13 Required Extra Verbiage

BLOCK 13a: A Threat Awareness and Reporting Program (TARP) briefing is required for contractor personnel working under a contract for PEO Soldier. The link to the TARP training is lms.army.mil. The contractor shall submit certificates of completion initially and annually to their PM/COR who will forward to the PEO Soldier Security Office. Persons employed by Army contractors will be aware of and report threat related incidents, behavioral indicators, and other matters of Counterintelligence (CI) interest as specified in AR 381-12, Threat Awareness and Reporting Program, Chapter 3. Incidents will be reported to DCSA, PEO Soldier Security Office and nearest military CI office.

BLOCK 13b: Critical Program Information (CPI) is defined as information/technologies resident in a particular system or program which if divulged to unauthorized persons, would likely result in the reduction of a critical U.S. military technological advantage. In as much, CPI may be identified by the government during a contracted effort and if identified must be protected by the contractor in accordance with guidance outlined in an Implementation Program Protection Plan (IPPP) IAW PEO Soldier’s Program Protection Plans (PPPs), written in collaboration with the contractor. The aforementioned IPPP or PPP will establish policy and procedures for the protection of CPI.

BLOCK 13c: Antiterrorism (AT): All contractor employees, to include subcontractor employees, requiring access to government installations, facilities and controlled access areas shall complete AT Level l awareness training within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion initially and annually to their PM/COR who will forward to the PEO Soldier Security Office. AT Level 1 training is an annual requirement for contractor and subcontractor employees. AT Level I awareness training is available at the following website: https://jkodirect.jten.mil

BLOCK 13d: Information Security: Contractor and all associated sub-contractors employees shall comply with applicable installation, facility and area commander installation/facility access and local security policies and procedures. The contractor shall also provide all information required for background checks to meet installation access requirements to be accomplished by installation Provost Marshal Office, Director of Emergency Services or Security Office. Contractor workforce must comply with all personal identity verification requirements as directed by DOD, HQDA and/or local policy. In addition to the changes otherwise authorized by the changes clause of this contract, should the Force Protection Condition (FPCON) at any individual facility or installation change, the Government may require changes in contractor security matters or processes.

BLOCK 13e: Operations Security: All contractor employees, to include subcontractor employees, shall complete OSPEC awareness training within 30 calendar days after contract start date or effective date of incorporation of this requirement into the contract, whichever is applicable. The contractor shall submit certificates of completion, initially and annually, to their PM/COR who will forward to the PEO Soldier Security Office. OPSEC awareness training is an annual requirement for contractor and subcontractor employees. OPSEC awareness training is available at the following website: https://securityawareness.usalearning.gov/opsec/index.htm. The Prime contractor shall coordinate with the government OPSEC Officer and comply with the government’s OPSEC Plan.

BLOCK 13f: Information Assurance. Contractor Employees Who Require Access to Government Information Systems (IS). All contractor employees that require access to government IS must successfully complete the DoD Information Assurance Awareness prior to access to the IS and then annually thereafter.

Contractors will also take all other security related training, initially and annually, to include but not limited to, Information Security Awareness, Derivative Classification, and Cyber Awareness training.

Cyber - All Army data, information and software will be cyber protected in accordance with AR-25-2.

FARs and Defense FARs (DFARs) Clauses as required:

FAR Clause 52.204-2, “Security Requirements,” Contract involves access to information classified Confidential, Secret or Top Secret. Compliance with the 32 CFR 117, NISPOM.

FAR Clause 52.204-21, “Basic Safeguarding of Covered Contractor Information,” Information not intended for public release that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government.

DFARS Clause 252.204-7012 (This is required for all Solicitations and Contracts), “Safeguarding Covered Defense Information (CDI) and Cyber Incident Reporting,” Requires a company to safeguard CDI and to report to the DoD the possible exfiltration, manipulation, or other loss or compromise of unclassified CDI.

DFARS 252.204-7000, “Disclosure of Information,” Prohibits the contractor from releasing any classified information pertaining to the contract or any program related to the contract, unless they have CO approval.

DFARS 252.204-7008 (Only required in all Solicitations), “Compliance with Safeguarding Covered Defense Information Controls,” Requires contractors and subcontractors to safeguard covered defense information that resides in or transmits through covered contractor information systems by applying specified network security controls as identified in NISTSP 800-171.

DFARS 252.204-7009 (This is required in all Solicitations and Contracts), “Limitations on the use or disclosure of Third-Party Contractor reported Cyber Incident Information,” Required for contractor services that include support for the Government’s activities related to safeguarding covered defense information and cyber incident reporting.
