SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

INSTRUCTIONS

2. Proposal Submission: Instructions, Conditions and Notice to Offerors (Section L)

2.1. General Instructions

i. To be considered for award, each Offeror shall submit its proposal IAW the following instructions which will be provided within the Request for Proposal (RFP).

ii. Each Offeror shall submit a single, complete proposal that contains the Offeror’s best terms.

Failure to adhere to these instructions may result in rejection of the offer without evaluation or consideration for award. The Offeror shall not simply rephrase or restate the Government’s requirements in its proposal. The Offeror shall include sufficient details to permit a complete and accurate evaluation of the proposal. It is the Offeror’s responsibility to ensure its proposal demonstrates its understanding of the requirements and feasibility of its approaches to meet those requirements. Proposals that merely offer to perform work in accordance with the solicitation without sufficient elaboration shall be deemed unacceptable and not considered further.

iii. Offerors shall submit any questions for clarification or explanation via email to both:

iv. The cutoff date for submitting questions is ten (10) business days after the solicitation has been posted on

SAM.gov. Note: If the 10th calendar day falls on a holiday or weekend, then it will be the first working day after the 10th calendar day. Offerors shall use Attachment 7 Question and Answer Template for submitting questions.

v. The Offeror’s proposal shall remain valid for 180 days from the proposal due date. Offerors shall

NOT submit any CLASSIFIED information as part of this proposal. Offerors may encrypt and/or password protect proprietary information as they see fit. However, if the Government is unable to access the documents, the proposal will not be considered for award.

vi. Offerors that include in their proposals data that they do not want disclosed to the public for any purpose, or used by the Government except for evaluation purposes, shall follow the instructions per FAR 52.215-1(e).

vii. Offerors shall NOT include any pricing information in any section of their proposals except within Volume 1: Section B of the Standard Form 33 and Volume 5: Cost/Price.

viii. Proposals shall be submitted electronically in the format specified herein. The proposals shall be divided into seven (7) volumes. Table 1 - Proposal Volumes lists the title for each volume and specifies the page limit for each volume.

ix. Offerors are permitted to submit more than one goggle variant of their products as the baseline hardware; however, each goggle variant baseline hardware submission by any one Offeror shall be accompanied by a full, complete, and separate proposal submission compliant with the solicitation submission instructions herein. Additionally, no Offeror will receive more than one award.

2.1.2 Page Limits

The number of pages specified in the above table is the firm page limit for that volume. The Cover Page, Table of Contents, List of Figures, and Acronyms pages are not included in the page count. Any pages exceeding the limits specified will be removed and not considered part of the proposal; information contained on any excess pages will not be evaluated. Supporting documentation will not be considered in the page limits and its applicability is denoted in the paragraphs below. Supporting documentation shall be submitted as annexes to the applicable Volume. Examples of supporting documentation that is not considered part of the page count, include the completed “BiNOD Performance Compliance Roadmap” spreadsheet and any independent test reports not generated by the Offeror. The Government will accept 11”x 17" pages to support tables, charts, and graphics: each such page will be counted as one (1) page.

Note: The Offeror may opt to include an Adobe Portable Document Format (PDF) version of its proposal in addition to the formats specified above. A PDF-only proposal submission is NOT acceptable and will be rejected. The only exception to this rule is for the letter of transmittal by which the proposal is officially submitted. This signed letter shall be contained in Volume 1 and may be in PDF format.

File Naming Convention: Offerors shall use the following naming convention for all files.

2.1.5 General Appearance

Offerors shall adhere to the parameters below for formatting Microsoft Office products. The intent is to facilitate the Government evaluation by having a uniform, easy to read, easy to display, and uncluttered proposal to evaluate.

Proprietary information shall be clearly marked and, proposal submission documentation shall be marked

UNCLASSIFIED.

2.1.6 Compliance with Instructions

The Government reserves the right to reject any proposal that does not comply with these proposal preparation/submission instructions. Information requested and submitted in one volume will not be considered for purposes of evaluation of information contained in another volume. Cost/price proposal submissions must reflect what is submitted in the technical volume. Offerors should ask the Contracting Officer for clarification or explanation of any part of these instructions that they do not understand.

2.1.7 Written Proposal Submission Instructions

After compiling all required information, Offerors shall submit all volumes via email to both Gerald Simmons, gerald.a.simmons2.civ@army.mil and Michael James, michael.c.james78.civ@army.mil by the due date and time specified on SAM.gov. If deemed necessary, Offerors may request DoD Safe.

The size limit for the email and combined attachments cannot exceed 30 MBs. Thus, you may need to send multiple emails that must be labeled 1 of 3, 2 of 3 etc., and include a list of documents included for each email. A reply email confirming receipt will be provided for each email received.

The email subject line shall follow this example: W91CRB-25-R-0007 BiNOD Proposal / Email 1 of __ / “Your Company Name”

Proposal are required to be received by the date and time specified in SAM.gov. If a proposal is received late for reasons not attributable to the Government, the Contracting Officer may declare the proposal late and remove it from consideration. Offerors should allow sufficient time for potential delays with internet speeds and reliability.

2.1.7.1 Production Hardware Baseline Submission Instructions

All baseline goggle hardware submissions shall be received no later than the proposal due date indicated in SAM.gov. If an acceptable baseline goggle sample is not submitted by the specified closing time, the Offeror’s proposal will not be considered for award. An acceptable baseline goggle submission shall meet the minimum entrance criteria as specified in the RFP Technical Factor 1: Sub-factor 1. If the Offeror does not receive confirmation of receipt, it is the Offeror’s responsibility to contact the PCO and KS identified above to confirm their proposal has been received.

The Offeror shall provide return shipping instructions and shipping cost for the return of its baseline goggle. Returns will be coordinated through the PCO and KS after evaluations are completed. Please email the PCO and KS within two business days after receipt of this RFP, should a bailment agreement be required by your company. The Government estimates the return of sample hardware to the Offeror will be within 60 days after proposal due date.

2.1.7.2 Non-government Evaluators

Offerors are advised that employee(s) of the firms identified below may serve as advisors in the source selection process. These individual(s) will be authorized access only to those portions of the proposal data and discussions that are necessary to enable them to perform their respective duties. Such firms are expressly prohibited from competing on the subject solicitation.

In accomplishing their duties related to the source selection process, the above stated firms may require access to proprietary information contained in the Offerors’ proposals. Therefore, pursuant to FAR 9.505-4, these firms must execute an agreement with each Offeror that states that they will (1) protect the Offerors’ information from unauthorized use or disclosure for as long as it remains proprietary and (2) refrain from using the information for any purpose other than that for which it was furnished. To expedite the evaluation process, each Offeror must contact the above firms to effect execution of such an agreement prior to the submission of proposals. Each Offeror shall submit copies of the agreement with its proposal.

2.1.8 Volume 1 – Cover Letter / Offer

Offerors shall include the following:

At least two points of contact for this solicitation with names, titles, phone numbers, and email.

A statement the proposal is valid for 180 days from the proposal due date.

A statement that the Offeror consents to the use of Non-government Evaluator pertaining to proposal and proprietary proposal information.

Include the CAGE Code for company and place of performance.

Standard Form 33, "Solicitation, Offer and Award," with blocks 12 through 18 completed and signed by the Offeror.

o RFP Section B, "Supplies or Services and Prices/Costs," with the Offeror’s proposed line-item prices inserted in the appropriate spaces.

o RFP Section K, Other Representations and Certifications required for this solicitation shall be completed by the Offeror. Additional Representations and Certifications may be required if deemed necessary, that are not currently included in the System for Award Management (SAM).

A statement specifying agreement with all terms, conditions, and provisions included in the solicitation. Any exceptions or assumptions taken to the attachments, exhibits, enclosures, or other terms, conditions, or documents shall be fully explained; however, any such exceptions may be grounds for the Contracting Officer to reject the proposal from further consideration in the source selection process before initial evaluation.

A statement that the Offeror has ensured the Representations and Certifications in the System for Award Management (SAM) are current and complete. Per FAR 52.204-19, Representations and Certifications will be incorporated by reference into the contract.

Pursuant to Statement of Work Data Rights Assertions, the Offeror shall include and complete as an attachment Table 2 from Statement of Work.

2.1.8.1 Property Management Plan

Offeror’s shall submit a Property Management Plan as an attachment to the Cover Letter/Offer – Volume 1. The Offeror shall describe its approach to managing Government property (GP), Government-furnished property (GFP) and/or contractor-acquired property (CAP), throughout the performance of this contract, per FAR 45.202(b). This plan shall address each of the following ten outcomes per FAR 52.245-1(f)(i)-(x) and provide a brief overview of how it is addressed within the Offeror’s written Property Management System Procedures.

The Offeror shall address the use of the GFP Module in Procurement Integrated Enterprise Environment (PIEE) for Property Loss, Plant Clearance and Property Transfer in accordance with DFARS 252.245-7005.

The Offeror shall describe the use of the CAP Pre-Screening of the GFP Module in PIEE for any Contractor inventory (as defined in FAR 52.245-1) during the performance of the contract and for contract closeout.

Offeror’s submission shall also include a description of the Property Management System and any customary commercial practices, voluntary consensus standards, or industry-leading practices and standards to be used in managing Government property. Offeror’s submission will include how they will manage different property types if applicable (i.e. sensitive, hazardous, scrap).

It is recommended that Offeror’s incorporate specific Statement of Work requirements into their GP Property Management Plan. For example, GP deliverables (e.g. CDRL) would be included in Reports.

The PMP is not part of the evaluation but will be reviewed for adequacy, meets the requirements of FAR 52.245- 1, and is appropriately tailored to complexity, sensitivity, and value of the property proposed to be provided and/or acquired.

2.2 Volume 2 – Technical Factor 1

Note: While there is a focus on cost reduction strategies for the Technical Factor and Sub-Factors, do not include any specific CLIN pricing information in the Technical Factor/Sub-Factors information.

2.2.1 Technical Factor 1: System Cost Reduction Strategy

The Offeror’s system cost reduction strategy shall contain a detailed narrative that addresses the approach to minimize system cost in three primary areas grouped into the following sub factors:

Kit Price Reduction Strategy, Sustainment Cost Reduction Strategy, and Cost Neutral Soldier Burden Reduction Strategy.

2.2.1.1 Sub-Factor 1: Kit Price Reduction Strategy

The Kit Price Reduction Strategy shall contain a narrative describing the Offeror’s approach to achieve a cost-reduced Production & Deployment (P&D) phase system by engineering development and improved production efficiencies. This narrative shall provide a viable strategy for system cost reduction and include a bottom-line estimate of the expected system kit price percent reduction with respect to the offeror’s baseline production system unit cost. The presented strategy and reduction estimate shall be accompanied by a thorough risk analysis of the approach and the achievement of the estimated percent reduction. The complete narrative shall, at a minimum, provide justification and rationale for the cost reduction strategy by addressing cost reduction in the following topic areas: 1) material costs, 2) manufacturing costs, 3) quality assurance/test costs, and 4) performance specification cost trades of benefit to the Government.

2.2.1.2 Sub-Factor 2: Sustainment Cost Reduction Strategy

The Sustainment Cost Reduction Strategy Reduction Strategy shall contain a narrative describing the Offeror’s approach to achieve reduced system sustainment costs through near-term engineering development and long-term planning and preparation for technology insertion opportunities. This narrative shall provide a viable strategy for sustainment cost reduction and at a minimum include a narrative describing the approach to replacement part cost reduction and an approach that addresses at least one of the following: increased mean time before failure (MTBF), reduction in maintenance labor, or reduction in operation and maintenance training. The presented sustainment cost reduction strategy shall be accompanied by a thorough risk analysis of the approach.

2.2.1.3 Sub-Factor 3: Cost Neutral Soldier Burden Reduction Strategy

The Cost Neutral Soldier Burden Reduction Strategy shall contain a narrative describing the Offeror’s approach to reduce the Soldier physical load through near-term engineering development and long-term planning and preparation for technology insertion opportunities. This narrative shall provide a viable strategy for reducing the Soldier physical load without increase to the system cost. The narrative describing an approach shall address the approach to manage all the interrelated mass properties, including head borne mass, moment of inertia, and center of gravity. The presented soldier load reduction strategy shall be accompanied by a thorough risk analysis of the approach.

2.3 Volume 3 – Technical Factor 2

2.3.1 Technical Factor 2: Technical Maturity

The Offeror’s proposal shall address the technical maturity of the proposed production hardware baseline through two Technical Maturity sub factors. The Technical Maturity sub factors are: 1) the current state of the technical maturity of the baseline hardware submission performance measured against the baseline hardware entrance criteria and 2) the Offeror’s road map from the current baseline hardware to achieve 100% compliance with the BiNOD Performance Specification.

2.3.1.1 Sub-Factor 1: Baseline Hardware System Maturity

The Offeror shall submit for Government assessment at least one (1) functioning night vision goggle system which is Technology Readiness Level 6 (TRL6) and would be ready for production without modification. The program office identified the entrance criteria below as the minimum required for the baseline hardware submission. These minimum criteria represent the baseline technical maturity for this product.

1) Binocular architecture with IPD adjustment from 55 to 70 mm

2) Monocular channel FOV of at least 38° at an eye relief of 24 mm with no less than 5mm pupil offset from center.

3) Adjustable diopter from +1 to -2D.

4) High-light visual acuity =>20/25 for a 100% contrast target illuminated by a 2856K source spectrum at no more than 3.4e-3 nt.

5) Low-light visual acuity =>20/60 for a 100% contrast target illuminated by a 2856K source spectrum at no more than 3.4e-5 nt.

6) Battery life > 8 hours on no more than 2 AA Li batteries

7) Helmet shroud mount interface with at least one of the following: vertical/fore/aft adjustment, binocular stow/deploy auto off/on, and/or emergency helmet breakaway

8) Written operating instructions.

2.3.1.2 Sub-Factor 2: BiNOD Performance Specification Compliance Roadmap The BiNOD Performance Specification Compliance Roadmap shall include submission of the completed BiNOD Performance Specification Compliance Growth Matrix along with an accompanying narrative describing the compliance growth plan, rationale for compliance assertions, and a compliance confidence and risk assessment. BiNOD Performance Specification Compliance Growth Matrix is supplied in Attachment 3. The baseline hardware performance compliance status for every BiNOD performance specification shall be included in the matrix, with the specific values expected for each parameter, whether compliance is achieved or not, and the method by which the expected value provided was validated. This matrix shall also include the compliance growth plan for the proposed progression from non-compliance through the developmental effort to compliance for every parameter listed and the anticipated timeline for achievement of compliance. An Offeror may insert as many iterations in the compliance growth timeline for compliance achievement as required by the developmental effort they are proposing.

The accompanying narrative to the compliance growth matrix shall address all baseline hardware non-compliant characteristics with a clearly articulated strategy to achieve compliance and a risk analysis. If non-compliance is expected for any characteristic, the Offeror may include in the narrative, the rationale for non-compliance of that characteristic, explaining the detrimental impact of compliance to other performance characteristics and why non-compliance would be in the Government’s best interest.

2.4 Volume 4 – Technical Factor 3

2.4.1 Technical Factor 3: Technical Program Management

Technical Program Management Approach shall describe in detail how the BiNOD combined development/pre-qualification and production/qualification phases will be managed to ensure the requirements of the SOW and RFP will be met. The Technical Program Management Narrative subfactors are: 1) Offeror’s proposed Schedule and 2) Offeror’s available engineering and production facilities and human resources

2.4.1.1 Sub-Factor 1: Schedule

The objective of the schedule narrative is to provide complete and sufficient information for the Government to verify compliance with the project schedule outlined in the SOW, to assess the Offeror’s understanding of the critical paths, the reasonableness of the Offeror’s project management, and internal/external consistency of the Offeror’s estimates of task durations, and dependencies with anticipated task resource loading.

Offerors shall provide a master schedule. The master schedule shall contain: 1) proposed project duration with assumed start date and projected end date; 2) major milestones including all SOW-required project milestones and Offeror’s proposed milestones and proposed decision points clearly indicated; 3) deliverable ship dates including the SOW-required deliverables and additional Offeror-proposed deliverables clearly indicated; 4) test and demonstration events and tasks as required in the SOW and Offeror-proposed test events and tasks with start and end dates indicated;

5) next level predecessor tasks leading up to the milestones, deliverables and test events with event dependencies and proposed resource loading associated with the listed tasks clearly indicated; 6) proposed frequency of intermediate program status updates and technical interchange meetings;

and 7) task and decision point critical path(s) identified to achieve the proposed delivery dates, test events and project milestones.

The schedule narrative shall include a description in paragraph or tabular format for each milestone, decision point, deliverable, test/demonstration event, and next level supporting task listed in the master schedule. The narrative descriptions shall include: the purpose, objective, inputs, outputs, and the metric or criteria for measuring progress and confirming completion. The schedule narrative also shall include a risk assessment of the proposed schedule.

2.4.1.2 Sub-Factor 2: Facilities and Resources

The facilities and resources section of the proposal shall include a narrative describing the proposed facility and resourcing plan which demonstrates a clear linkage to SOW schedule from development/pre-qualification through production/qualification. This narrative shall also address the Offeror's current engineering and production facilities and/or a facilitization plan to achieve full rate production with substantiated expectations for production capacity. The Offeror shall also provide a risk assessment for achieving the proposed facilitization and human resourcing plan.

2.5 Volume 5 – Cost/Price - Factor 4

Offerors shall submit the following for this Volume:

1) Each Offeror shall submit a signed SF Form 33, a completed and totaled Section B, and a completed Attachment #5 "BiNOD CLIN Structure Step Ladder Pricing" as part of its cost/price proposal, Volume 5. The Offeror’s proposed step ladder Attachment #5 will be incorporated in the awarded contract.

2) Offeror shall provide documentary evidence which supports the adequacy of its purchasing system in accordance with DFARS 252.244-7001.

3) Offeror shall submit a narrative that demonstrates the balance and reasonableness for its proposed price. If an offeror’s prices appear unbalanced , the Offeror will be requested to provide documentation, including calculations and supporting rationale, explaining the apparent unbalanced pricing.

4) The following Normalized CLIN identifies a CLIN where the pricing has been stated by the

Government. Offerors shall not propose an amount for these CLINs. Offerors shall include in Section B the Government-provided normalized amount. These CLINs are normalized for evaluation purposes. No price/cost analysis for these CLINS will occur until after a base award is made and a delivery order need is identified for work to be performed under these CLINs.

Normalized CLINs 0017, 0018, and 0019.

5) Each prime Offeror shall conduct the price and/or cost analysis necessary to determine the reasonableness of intercompany or subcontractor proposals IAW all the provisions of FAR 15.404-

3. If an Offeror is unable to conduct price/cost reasonableness of a subcontractor, the Offeror shall provide a statement why and ensure that the required data is provided to the Contracting Officer directly by the subcontractor.

Adequate competition is anticipated in response to this solicitation. Therefore, IAW FAR 15.403- (1)(b)(1), certified cost or pricing data may not be required. Further, IAW FAR 15.403-3, data other than certified cost or pricing data is required, and additional information other than what’s stated above may be requested.

If the Contracting Officer determines that adequate competition does not exist, the Government reserves the right to request and evaluate certified cost or pricing data in a format prescribed in FAR 15.408, Table 15-2 prior to award. In accordance with FAR 15.403-5(b), the Contracting Officer may specify the format of cost or pricing data or data other than certified cost or pricing data.

2.6 Volume 6 - Past Performance (Factor 5)

The information gathering process may include telephone interviews and questionnaires, sent to all Points of Contact (POCs) listed in the Offeror’s proposal.

Offerors are advised that the Government may utilize past performance information from sources other than those identified by the Offeror. Further, if an Offeror’s company is divided into severable segments, the Government will only evaluate the past performance of those segments of the company that that will actually perform the work.

Offeror shall submit a minimum of three (3) past performance references. The maximum shall not be greater than five (5). Whether you chose 3, 4 or 5, past performance references, only one (1) of these may be a major subcontractor. The Offeror shall include a letter of commitment signed by the subcontractor and Offeror to consider the subcontractor’s past performance.

The contracts submitted must be Recent and Relevant defined as follows:

Recent: The past performance information includes a minimum of six months of contract performance within the past five years from the proposal due date.

Relevant: Present/Past contract efforts involved development and/or production contracts with similar scope, magnitude of effort, and complexities to those required by this solicitation.

In this context, “major subcontractor” is defined as a subcontractor performing 10% or more of the total effort (by contract value) , or who will be providing critical services or components, or who are part of a contractor team arrangement (as defined by FAR 9.601). For the purposes of this procurement, "critical service or components" is defined as: the loss of the service or components would result in disrupting the delivery of the BiNOD.

New Corporate Entities may submit data on prior contracts involving its current officers and employees.

However, in addition to the other requirements in this section, the New Corporate Entities shall discuss, in detail, the role performed by such persons in the prior contracts cited. Information shall be included in the files described in the sections above.

Volume 6 shall be organized into the following sections:

Section 1 – Recent and Relevant Contract Past Performance Information

For each contract that the Offeror references for past performance, the Offeror shall include the following information:

Contract Description

1) Offerors shall make clear within the submitted reference whether their role in the performance of the contract was the Prime contractor or a Subcontractor.

2) Contractor’s name, Point of Contact(s), address, place of performance, CAGE Code and DUNS number.

3) Subcontractors’ addresses, place of performance (if different from their address), CAGE Code, and DUNS number.

4) Name of the Government contracting activity and the name, telephone number; address and e-mail address for the Government Contracting Officer, Government Administrative Contracting Officer (if different than Government Contracting Officer), and Government technical representative.

5) Contract Number (to include delivery order numbers) and Contract Type.

6) Total Contract Award Amount (Total quantity ordered and total dollar value).

7) Delivery Schedule (initial and final).

8) Contract and/or Delivery Order dates of award, and provide system/item dues dates with percent on-time delivery.

9) Contract Performance Assessment Reporting System (CPARS) information shall be submitted for the contracts referenced (if available).

Relevance to Solicitation Requirements

The Offeror shall provide a narrative explanation describing the objectives achieved and detailing how the effort is relevant, as defined above, to the requirements of the solicitation.

The Offeror's narrative for each contract shall provide information that addresses all of the questions and information that are requested in the attached Past Performance Questionnaire, including Items 1-8 in Part III of the Questionnaire:

1) Conforming to specifications and standards of good workmanship

2) Adherence to contract schedules, including the administrative aspects of performance

3) Maintaining program execution within contract cost

4) Ability to resolve technical and manufacturing problems quickly and effectively

5) Establishing and maintaining adequate management of subcontractors

6) Business-like concern for the interest of its customers

7) Meeting program quality objectives (e.g., producibility, reliability, maintainability, inspectability, testability, system safety and controlled the overall manufacturing process)

8) Meeting the requirements of FAR 52.219- 8 and 52.219-9 for Small Business

For any contracts that did not or do not meet original cost, schedule or performance requirements, the Offeror shall provide a detailed explanation of the reason(s) for the shortcomings and any management actions taken to resolve the issues and avoid recurrences. The Offeror shall list each time the delivery schedule was revised and provide a rationale of why the revision was necessary. The Offeror shall also provide a copy of any cure notices or show-cause notices received on each contract listed and a description of any corrective action taken. The Offeror shall indicate if any of the contracts listed were terminated and the type and reasons for the termination.

Offerors are cautioned that the Government may use information provided in the Offeror's proposal and information obtained from other sources, including the Contractor Performance Assessment Reporting System (CPARS). Since the Government may not interview all of the sources provided by the Offerors, it is incumbent upon the Offeror to explain the relevance of the data provided. The Offerors are reminded that while the Government may elect to consider information obtained from other sources, the burden of proving acceptable past performance rests with the Offerors. The Offeror must explain the relevance and recency of the information provided.

Note: CPARS data, Cure Notices, and Show-cause Notices do not count toward the Volume 6 page limit.

Section 2 – Subcontracts

The Offeror shall provide an outline of how the effort required by the solicitation will be assigned for performance by its corporate entity and among the proposed subcontractors. The Offeror shall provide the same information required in Section 1 above for any proposed major subcontractor.

The Government requires prospective subcontractor consent before disclosing past performance information for prospective subcontractors to the Offeror during a potential source selection exchange. Therefore, for any subcontractor cited as a reference POC, the Offeror shall discuss this requirement with the subcontractor and request consent in the form of a letter which cites the solicitation number and reference contract number and, provides a written statement providing permission for the Government to discuss the company’s past performance information with the prime contractor, if necessary, during the source selection process.

If the Offeror does not submit a consent letter for a subcontractor or a subcontractor denies consent, the Government will only discuss past performance information directly with the subcontractor being reviewed.

If a subcontractor has adverse past performance information, an Offeror may be notified of the situation but will not be provided details related to the issue.

Small Business Participation Past Performance. All Offerors shall submit information substantiating the Offeror’s past performance in complying with FAR 52.219- 8, “Utilization of Small Business Concerns”, and maximizing opportunities for U.S. small business subcontractors. Offerors shall also provide a statement indicating whether any negative information has been reported in the past six (6) years concerning the Offeror’s past compliance with FAR 52.219-8 and/or 52.219-9 Small Business Subcontracting Plan. If any such negative information has been reported, the Offeror may submit explanations or comments responding to such negative information.

Offerors with no prior contracts containing FAR 52.219-8 and/or 52.219-9 shall state this.

Section 3 - Submission of Past Performance Questionnaire

The Past Performance Questionnaire, provided as Attachment #8 of the RFP, is required for evaluation. The Offeror shall send the questionnaire electronically to the points of contact (POCs) for each contract/subcontract cited. Instructions are included with the questionnaire requesting that each Respondent/Agency POC complete its response and send it electronically directly to the Procuring Contracting Officer (PCO) responsible for this acquisition no later than 30 calendar days after release of the RFP, or amended proposal due date.. The questionnaire is NOT to be submitted back to the Offeror, either as an original or as a copy. Any response submitted back through the Offeror for submission to the PCO will not be evaluated. The Respondent/Agency POC should send completed questionnaires via electronic mail to the PCO and KS. For this section, the Offeror shall provide a list of the organizations and POCs, to include telephone numbers and e- mail addresses to whom the questionnaires were provided. As a minimum, the questionnaires shall be provided to the PCO, KS, or others that the Offeror references in Section 1 of each contract above. It is the Offeror's responsibility to ensure that the questionnaire is provided to the representatives most knowledgeable (personnel involved during contract execution) about the subject contract.

2.7 Volume 7 - Small Business (Factor 6)

All Offerors (both large and small businesses) are required to complete a Small Business Participation Commitment Document (SBPCD) in Attachment 9. Offerors shall propose the level of participation of small businesses (as a small business prime and/or small business subcontractors) in the performance of the acquisition relative to the objectives/goals set forth in the evaluation of this area. The SBPCD will be incorporated into the base contract vehicle as binding commitments and are considered enforceable contractual requirements.

NOTE: The SBPCD outlines the "specifics" or the "how" or the "details" of the Offeror’s firm intentions to maximize the utilization of small businesses within this acquisition. The Offeror shall articulate small business contributions to contract performance at the Prime contract through first tier subcontract levels. Second and low tier small business subcontractors will not be considered towards the total small business participation percentage.

Small Business Participation annotated in the Offeror’s SBPCD is a separate requirement from the FAR

19.704 Subcontracting Plan Requirements, which will only be reviewed for acceptability for the Offeror deemed to be the apparent awardee.

The Offeror shall provide the Prime Offeror’s Size as outlined in the SBPCD.

Pursuant to FAR Part 19, the Government’s objective is that Small Business Concerns (SBCs) are used to the maximum extent practicable in the Offeror’s proposed approach to satisfy the requirements of this solicitation for the entire performance period. The Offeror shall identify SBCs that are to be used in its proposed approach to satisfy the requirements. As outlined in the SBPCD, the Offeror shall:

• Identify the type, variety, and complexity of work to be performed by small business firms.

• Describe and demonstrate a substantive commitment to small business firms.

The Offeror shall provide the participation percentage of small businesses in terms of the Total Contract Ceiling Value, as outlined in the SBPCD.

For this requirement, the Government’s market research shows that a minimum of 13% of the work can be performed by small business concerns; therefore, the minimum quantitative requirement has been established at 13% of the Total Contract Value: Small Disadvantaged Business {0.50%}; Women-Owned Small Business {0.50%};

HUBZone Small Business {0.50%};and Service-Disabled Veteran-Owned Small Business {0.50%}.

The Offeror shall provide explanation and documentation to support small business participation percentages.

Binding commitments shall become enforceable, contractual requirements.

Large business contractors may achieve the small business participation requirements through subcontracting to small business. Small business contractors may achieve small business participation requirements through their own performance/ participation as a prime or through a joint venture, teaming arrangement, and subcontracting to other small businesses.

Only Other Than Small Businesses (OTSB) shall provide a separate Small Business Subcontracting Plan that contains all of the elements required by FAR 52.219-9. The Small Business Subcontracting Plan shall be submitted separately from the information required above and in the SBPCD that both OTSB and small businesses are required to submit. The plan, at a minimum, shall address the elements set forth in FAR Clause 52.219-9(d)(1) through (15).

Subcontracting Plans shall reflect and be consistent with the commitments offered in the SBPCD. OTSB Firms shall submit acceptable subcontracting plans to be eligible for award. Subcontracting plans will only be reviewed for acceptability for the Offeror deemed to be the apparent awardee.

The work to be performed directly by a small business Prime Offeror shall be evaluated as Small Business Participation. Small business Prime Offerors shall include their information in the above requested subparagraphs and SBPCD as required.

The SBPCD, which is an enforceable contractual requirement, shall require periodic progress reporting to facilitate government monitoring in the event of an award. The Offeror shall propose annual reporting of the requirements set forth in the SBPCD paragraphs 1-3 (contractor format is acceptable) in accordance with CDRL B002 – Small Business Participation Report.

Offerors that have enforceable agreements shall provide fully executed copies (i.e., the entire agreement and not just first and last pages). An enforceable commitment is defined as a written and signed agreement (by both parties) detailing that all parties have agreed to a business relationship for this procurement; the agreement shall be specific in nature. The agreement shall be clear that both parties have defined and agreed to the extent of the relationship to include the type or types of work the subcontractors/partners shall perform. These agreements are excluded from the small business page count limit.

A small business joint venture offeror must submit, with its offer, the representation required in paragraph (c) of FAR solicitation provision 52.212-3, Offeror Representations and Certifications-Commercial Products and Commercial Services, and paragraph (c) of FAR solicitation provision 52.219-1, Small Business Program Representations, in accordance with 52.204-8(d) and 52.212-3(b) for the following categories:

(A) Small business;

(B) Service-disabled veteran-owned small business;

(C) Women-owned small business (WOSB) under the WOSB Program;

(D) Economically disadvantaged women-owned small business under the WOSB Program; or

(E) Historically underutilized business zone small business.
