This is Amendment 5 to the Request for Proposal entitled CompreHensive Aircraft Readiness, Lifecycle, Engineering, and Support (CHARLES). The purpose of this amendment is to issue a second set of Questions and Responses for the CHARLES Request for Proposal. Attached is the (1) Detailed List of Revisions, (2) Change pages L-802, L-811, L-812, and M-824. In addition, an Attachment includes an updated version of Attachment L-4 CHARLES EPM Version M.

Except as provided herein, all terms and conditions of the document referenced in Item 9A or 10A, as heretofore changed, remains unchanged and in full force and effect.

CHARLES RFP Questions and Responses

# Reference Page No. Question Response 43 L.33.5 (d) L-791 L.33.5 (d) instructs offerors that certain information shall be provided. The final bulleted item states, “Consent letters executed by each subcontractor, teaming partner, proposed key personnel (Executive Manager), and/or joint venture partner, authorizing the release of past performance information so the offeror can respond to such information”. In other Federal solicitations recently reviewed, in lieu of providing executed Consent letters authorizing the release of principle entity past performance information to the offeror, the Government allowed the offeror to provide point of contact information (including a name, address, phone number, and email address) for each principal entity (including principle subcontractors), with whom the Government could coordinate concerning any past performance issues and obtain responses as needed. Offerors are advised that if it does not submit the Consent Letters, then the Government will address any past performance issues directly with the principal entity (including principal subcontractors and JV team members), and the Offeror forfeits the opportunity to participate in any related discussions. Will NASA allow the offeror to provide point of contact information in the stead of executed Consent letters authorizing the release of past performance?

Consent letters are needed to ensure the most meaningful discussions possible with the legal entity with whom the government may enter into a contract. Should discussions become necessary, the government may require the ability to discuss past performance including past performance of any subcontractor or Joint Venture partner. Therefore, the solicitation language will not be changed.

The proper category name is "Aircraft Electronics Technician". The Amendment 3 EPM has standardized this category for all worksheets.

The Government has included the following categories in the JSC portion of the IRAP and FBR worksheets but excluded them from the TOPT-SR (JSC) worksheet:

Production Control Clerk, Production Control Supervisor. These categories are additionally unlisted & undefined within Section C Appendix C, Section L Table L-2, and Section B. Question 1: Will the Government clarify if these categories are to be included or excluded within the EPM? Question 2: Will the Government update the EPM and/or Sections B, C and L based upon the desired inclusion or exclusion of these categories?

The Production Control Clerk and Production Control Supervisor were removed from the EPM and replaced with Production Controller in the TOPT-SR (JSC). An updated EPM included with Amendment 3 updates this worksheet to include these SLCs.

Within both Section C Appendix C Personnel Requirements, Section L Table L- 2 JSC Specified Resources, and Attachment L-4 CHARLES EPM in the TOPT-SR (JSC) worksheet the Government identifies a Subject Matter Expert and hours to be estimated within the EOM; however this category is excluded from the TRST-TA2 and TOPT-TA2 worksheets. The Government indicates within Section L that for proposal pricing and evaluation purposes, "Offerors shall assume that all work is performed at JSC."Question 1: Will the Government clarify whether the listing of categories included on the TRST-TA2 and TOPT-TA2 worksheet is specific to the TA2 worksheets? Question 2: Will the Government clarify if the TRST-TA2 and TOPT-TA2 categories are intended to mirror the TOPT-SR (JSC) or other EPM worksheets?

In the EPM and Section L Cost and Price Instructions, Table L-1, and Section L 33.4 within the Mission Suitability Subfactor 2 TA2 Resources the Government identifies a Forward Operating Location Manager;

However this category is not included within the TRST-TA2 and TOPT-TA2 worksheets of the EPM. Additionally, within the Cost/Price Volume the Government states that Offeror; shall assume that all work is performed at JSC.

Within the EPM the Forward Operating Location Manager is only identified within the EPM in the TOPT-SR (El Paso) worksheet. Will the Government clarify if the seven Forward Operating Managers in the El Paso location are a requirement of the TOPT-TA2 & TRST-TA2 Pricing?

EPM IRAP Tab "The EPM IRAP Tab includes the following instruction: The Escalation or Other Adjustment Applied to Pre-Contract Year 1 Direct Labor Rate"" (Column L) is used to reflect the proposed escalation, or other adjustments, applied to the ""Unadjusted Base Direct Labor Rate (Pre-Contract Year 1 Direct Labor Rate)"" (Column K) to derive the proposed ""Direct Labor Rate (Contract Year 1)"" (Column M) direct labor rate.”

EPM FBR Tab includes instruction: “The out-year direct labor rates should be escalated at the out-year rates of escalation identified in the IRAP template.”

Outside of the Escalation to derive the proposed Contract Year 1 Direct Labor Rates in Column M, there is no additional ""out-year rates of escalation"" input location identified within the IRAP Template.

Question: Will the Government please clarify the Escalation instruction included on the FBR Tab and the location of out-year escalation inputs within the IRAP tab of the EPM?

The table to input the proposed out-year rates of escalation can be found at the very top of the ITAP template. The range is cells M3 - N9.

Section B.3.5 states FBR rates shall be exclusive at the top of each respective location / SOW Table. Section L states that “Fully Burdened Rates (FBR) per SLC used in the development of the Offeror's cost proposal shall match exactly with the FBR per SLC proposed in Section B.3 of the Model Contract”. Within the EPM the FBR worksheet builds all rates to a Cost + Fee Rate (Column K) and then develops a composite inclusive of fee by NASA SLC and team composition with no separate location within the FBR worksheet identifying a column identifying a FBR excluding fee. Question: As the FBR worksheet builds to a FBR inclusive of Fee, and Section B requests a rate exclusive of fee, but yet the offeror is expected to make them “match exactly” will the Government update the EPM to identify a location within the FBR worksheet in which the FBR is identified excluding fee?

The FBR template builds a team composite rate exclusive of fee, as columns I and J are for major subcontractors only. All locations are covered in the FBR template; however they are stacked vertically. The cell reference that begins each location is as follows:

For ease of evaluation, would it be acceptable to number pages in Volume I sequentially by subfactor (e.g., MA 1 - MA

Per L.32 JPI 52.215-113(a)(3), "All pages in each volume shall be numbered sequentially with Arabic numerals (1, 2, 3, etc.) for contents subject to page limitations."

58 Table L-2 L-786 With the exception of Attachment L-2-1 in

Excel and Past Performance Environmental Data, Safety and Health Data, Insurance Information, Consent Letters provided in Native Format, does the Government anticipate all remaining Vol II content to be submitted in one file?

All files should include descriptive and clear titles of the included content. The Offeror can elect to submit multiple files within each volume folder.

The Government's response to question 20 instructs that each DRD in Volume I ""shall be placed as separate, self-contained, and standalone document within the folder, appropriately named per submission instructions."

Should offerors provide items such as the title page, table of contents, table of figures and tables, etc. in a separate, self-contained, and standalone document as well? Or should those items be included in each document required as part of Volume I?

Title pages and table of contents may be contained within the corresponding volume but shall be numbered with lower case Roman numerals (i, ii, iii, etc.). The sections that have no page limitations ("none") shall be placed at the end of the corresponding volume. For example, the Safety and Health Approach file should be at the end of Volume I.

60 M-5, FFP

Phase-In and Proposed and Probable Costs and Price for Selection Purposes

M-823 In FFP Phase-in, the Government states "the proposed and probable costs, respectively, of the IDIQ Task Order effort and the IDIQ RFP Specified Resources, and Phase-in effort will be summed and presented to the SSA."

The incumbent contractor has a distinct competitive advantage in pricing phase-in.

Will the Government consider excluding the FFP Phase-In cost from its evaluation of the cost/price factor?

No, the government will not exclude the Firm Fixed Price Phase-in cost from the evaluation of the cost/price factor.

61 Table L-2 L-787 Table L-2 lists the electronic format for

Volume V, Model Contract as MS Word.

The CHARLES RFP is in a PDF format. Is it the Government's intention for offerors to convert the CHARLES RFP PDF to Word for submittal or is it acceptable to submit the Government's original PDF file with all fill-ins completed as a separate file to accompany the MS Word document with title page, table of contents, etc.?

The Government does not intend to change the solicitation’s requirements regarding the Model Contract format.

62 I.50 and L.33.8

I-374 and L-

L.33.8 lists I.50 as an area of the contract offerors are required to complete. I.50 lists FAR 52.222-2, which states "Insert either "zero" or the dollar amount agreed to during negotiations." Is it the Government's intent for this clause to be completed during contract negotiations and not as part of the initial proposal submission?

Because CHARLES is 100% IDIQ, this will be filled in after the issuance of task orders.

L.33.8 will be updated by Amendment 3. The I.50 fill-in for FAR 52.222-2 will be updated post-award during contract administration to reflect actual amounts negotiated as part of task orders to be issued under the anticipated contract.

63 Table L-2 L-786 The Management Approach and Technical Approach are limited to 45 pages and 10 pages respectively. Given the 12pt. Arial font requirement and amount of information required to properly respond to Management Approach DRDs and Technical Approach, will the Government consider increasing the page limits for these two sections?

The government does not anticipate increasing the page limits.

The TOPT-TA2 worksheet has been updated in the amended EPM to properly calculate productive hours for all Contract Years. The updated EPM is part of RFP Amendment 3.

65 Table L-2 L-786 Volume II, Attachment L-2-3 Past

Performance Narrative, DRD-M17 Key Personnel Resume (Executive Manager), and Organizational Chart responses are limited to a total of 20 pages. Given the 12.pt Arial font requirement and the amount of information requested, will the Government consider increasing the page limit for Volume II?

Some personnel resources are less than 1,860 hour per year. For instance, Table L-2 shows Accountant I as 250 hours per year for Contract Years 1 to 7. Do the 250 hours per year represent a part time employee, shared labor with another resources, or some other staffing arrangement? Would NASA please provide information about the anticipated staffing arrangements for less-than-full time positions?

The specified resources provided in the TOPT- SR tabs are for evaluation purposes only, and do not represent any assumptions regarding anticipated staffing arrangements for any SLC.

No information regarding staffing arrangements will be provided at this time.

67 EPM TRST-TA2 The instructions for the TRST-TA2 Tab in the Extended Pricing Workbook state, "This template is required from the Prime Offeror only. It is used to summarize all proposed labor and non-labor resources (NLRs) resources for the scenario in TA2.

Offerors are required to address all cells highlighted in blue. These cells address the Offeror's intentions regarding incumbent retention, the percentage of incumbents that the Offeror intends to compensate at the incumbent's current direct labor rate, and the requirement for the Offeror to indicate the number of WYEs necessary to perform the scenario in TA2."

In Volume I, TA2, offerors are instructed to “propose the specific skills it will use to perform these technical management and oversight requirements.”

Question: Should offerors complete the incumbent retention percentages (Columns B and C) for every position or only for those it deems "technical management and oversight" positions?

Since the instructions state that every blue cell needs to be addressed, is it NASA's intent for offerors to enter zero in the FTE column (Column D) for any position it deems is not required for "technical management and oversight?”

Offerors may enter "0" for any position that they deem not necessary to perform the work requested in the TA 2 scenario.

68 L.33.5.h, i, Past Performanc e Factor - Volume II

L-792 For Past Performance contract and key personnel references with existing CPARS, recommend the Government allow CPARs to be submitted in lieu of the Past Performance Questionnaire, Attachment L- 3.

Per L.33.5 each Offeror shall submit the Past Performance Questionnaire, Attachment L-3, to all the point of contact references required.

The Contracting Officer will request a Property Management Plan (DRD-L03) from all Offerors in the competitive range or only from the apparent successful Offeror or from Offerors deemed as necessary to support an efficient responsibility decision. J. Describe how the offeror will ensure compliance with FAR 52.219-14, Limitations on Subcontracting. For the purposes of this RFP, JSC defines “costs of contract performance incurred for personnel” to mean direct labor, labor overhead (including payroll taxes and benefits), and G&A. “Employees of the concern” means actual direct employees identified on the Offeror’s payroll records for which social security taxes are matched. JSC considers “cost of contract performance” to include all costs throughout contract completion (the full contract period of performance).

Note: For purposes of this requirement, major subcontractor is defined by this solicitation as a company that the offeror anticipates providing $2.5 million or more annually of contract value in support of the Statement of Work effort.

b. Organizational Conflict of Interest (OCI) Mitigation Plan (DRD-M20)

The Government will perform an analysis to ensure an Organizational Conflict of Interest (OCI) that cannot be mitigated does not exist. If after proposal receipt the Government becomes aware of one or more OCI issues that may exist, the Government will carefully evaluate any OCI plan(s) submitted with the proposal to determine if all the identified OCIs have been mitigated. If a proposal did not include an OCI plan and the Government identifies an OCI or potential OCI after that proposal was received or if the plan submitted does not mitigate the OCI risk, the Government will notify the offeror about the identified OCI and provide the offeror a reasonable opportunity to respond. If an offeror did not self-identify the OCI and submit an OCI plan with its proposal, it may be required to submit an OCI plan subsequent to submission of its proposal. The OCI plan, if submitted, as well as any other information provided by the offeror regarding OCIs will be evaluated by the Government to assess whether or not those OCI issues have been mitigated as is required for an offeror to be determined a responsible party to receive award of a federal contract.

The contracting officer will make the final determination if the OCI issue exists and can be mitigated.
