This is Amendment 3 to the Request for Proposal entitled CompreHensive Aircraft Readiness, Lifecycle, Engineering, and Support (CHARLES). The due date for the proposal has been extended to 1:30pm CDT on June 15, 2022. Attached is the (1) Detailed List of Revisions, (2) Change pages B-14, B-15, B-18, I-374, L-784, L-791, L-798, L-801, L-802, and L-813. In addition, Attachments include an updated version of Attachment L-1 CHARLES Resource Planning Document and Attachment L-4 CHARLES EPM Version K.

L.33.1 INTRODUCTION
The contract provides lifecycle, quality, safety, management, program and project support, flight operations, maintenance, and engineering for JSC, LaRC and WFF aircraft operations and other NASA Centers as required and other Government agencies under agreements with NASA. The IDIQ requirements are dynamic and will vary with missions, program phases, and lifecycle of aircraft. Although the level of support is unknown at this time, the identified tasks are known.
The number of aircraft, number of missions, and number of flight hours will drive the pace of maintenance, engineering, program and project support, and flight operations. The aircraft, missions and flight hours will be driven by the requirements of NASA programs.
In providing these instructions, the Government’s intention is to solicit information that will permit a competitive evaluation of the Offeror’s proposal. The information solicited will demonstrate the Offeror’s competence and capability to successfully complete the requirements specified in the CHARLES Statement of Work (SOW).
L.33.2 PROPOSAL ARRANGEMENT, PAGE LIMITATIONS, COPIES, AND DUE
DATES
(a) The entire proposal is due by June 15, 2022, at 1:30 PM Central Daylight Time. Proposal Volume II, Past Performance, and the Cognizant Federal Agency and Audit Office Template (CFAOT) of Volume III are requested by May 23, 2022, but not officially due until the proposal submittal date. The delivery location is specified in L.33.2.1 Electronic Submission of Proposals
– Proposal Marking and Delivery through NASA’s EFSS Box
(b) Late proposals will not be accepted in accordance with FAR 52.215-1, “Instructions to Offerors – Competitive Acquisition.”
(c) Offerors shall arrange their proposals as set forth below in Table L-2, Overview of Proposal Volumes, Page Limitations, Copies, and Format. Proposal sections excluded from the page limit shall be placed at the end of each volume.
L.33.2.1 ELECTRONIC SUBMISSION OF PROPOSALS – PROPOSAL MARKING
AND DELIVERY THROUGH NASA’S EFSS BOX (NOV 2021)
(a) The offeror shall submit its proposal via NASA’s Enterprise File Sharing and Sync Box (EFSS Box), a FedRAMP Moderate certified platform. Electronic submissions shall not contain hidden formulas, tables, be locked, be password protected, or contain links to data not included in the electronic copy. All electronic submissions should be searchable and should not contain scanned documents, except those documents that must be provided in their native format (e.g., signature pages, prior award fee letters for past performance, DCAA/DCMA approval letters, as applicable). The offeror shall ensure documents are free from viruses and malware, as documents determined by NASA to contain a virus or malware will not be opened or evaluated.
Subcontractors may submit their required proposal information separately using the instructions in this provision. The offeror shall ensure subcontractor submissions are made no later than the date and time specified for proposal submission and comply with all solicitation instructions.

(b) Provide information from organizations and companies for which the Key Personnel (Executive Manager) has previously performed work, five years from the date of the CHARLES original solicitation in order for the Government to obtain appraisals of past performance via the Key Personnel Resume in DRD-M17. References with Government contracts are preferred, but not required. Key Personnel (Executive Manager) with no past performance experience shall so state.
(c) Offerors shall consider the recency and relevance, as they relate specifically to this solicitation.
Only contract period of performances within five years from the date of the CHARLES original solicitation will be considered in the past performance evaluation.
(d) The following information shall be provided within the appropriate Past Performance Matrix (Attachment L-2-1 or L-2-2):
• Contract number, cage code, NAICS code, and SAM-based Unique Entity ID (SAM UEI) (if other than the prime, provide the prime’s contract number and the offeror’s cage code and SAM UEI)
• Contract value (If other than the prime, provide the overall contract value and the subcontract contract value)
• Number of full-time equivalent employees assigned to the contract (if other than the prime, provide the number of full-time equivalent provided by the applicable subcontractor/entity)
• Employing Agency/Company Name
• Point of Contact (including address, telephone, and e-mail addresses)
• If a Government Agency, include both the Contracting Officer and Contracting Officer’s Representative points of contact

(e) Submit information on contracts that you consider relevant in demonstrating your ability to perform the proposed effort. The submission shall include rationale supporting your assertion of relevance. This submission shall clearly detail what portions of the Statement of Work, the prime, major subcontractors, proposed Key Personnel (Executive Manager), teaming partner, and/or joint venture partner are responsible for and the specific resources (workforce, management, facilities, or other resources) to be employed and relied upon to perform the proposed effort. Offerors are required to develop a contractor team composite FBR per SLC, per contract year, and apply these rates to the specific hours per SLC proposed on each TO. The Offeror will utilize the hours proposed on the Sample TO in all remaining contract years and the Offerors will apply their contractor team FBRs to those hours to derive an estimated contract cost. This pricing approach is facilitated through the Government-provided cost templates in the Excel Pricing Model (EPM), which is explained in detail in Paragraph (d) below.
For proposal pricing and evaluation purposes, Offerors shall assume that all work is performed at JSC and ELP FOL. The Offeror shall propose any required NLRs.
Note: The Government reserves the right to award the fully evaluated Sample Task Order at contract start based on the Offeror’s proposal price.
2) Pricing for IDIQ RFP Specified Level of Resources
Offerors are required to develop a contractor team composite FBR per SLC, per contract year, and then apply those rates to the respective hours provided in Table L-2 (JSC), Table L-3 (El Paso), Table L-4 (LaRC), and Table L-5 (WFF). The Offeror shall also utilize the NLRs provided in Table L-2a (JSC), Table L-3a (El Paso), Table L-4a (LaRC) and Table L-5a (WFF). This pricing approach is facilitated through the Government-provided cost templates in the Excel Pricing Model, which is explained in detail in Paragraph (d) below.
Because of the uncertainties involved with IDIQ work, Offerors are cautioned that this estimate is not a guarantee of future work. Offerors are directed to Section B.3 regarding the guaranteed minimum order for IDIQ.
Note: It is important that Offerors understand the NLR specified resources do not include the application of any indirect expenses such as material handling or general and administrative expenses, nor does it include fee.

L.33.8 MODEL CONTRACT AND ADDITIONAL REQUIREMENTS - VOLUME V
Instructions for Preparation of the Model Contract. Offerors shall also submit with its proposal, in Volume V, the Model Contract in its entirety (basic and any amendments) per the instructions below. If the offeror takes exception to any of the terms and conditions within this model contract, they may be considered non-responsive to the RFP and excluded from further consideration.

Offerors shall indicate, in Block 12 of the SF 33, a proposal validity period of 365 days.
