About this file

This document is Attachment K of the NextSTEP-3 Broad Agency Announcement (BAA) Appendix A: Lunar Enabling Infrastructure Accelerator (LEIA) Solicitation, providing instructions and a template for Government Task Agreements (GTAs) and Letters of Intent (LOIs). The attachment establishes procedures for offerors proposing the use of NASA on-site resources—including property, facilities, assets, services, and specialized resources—as part of their contract performance. Offerors must inquire about available NASA resources through designated points-of-contact (POCs) at specific NASA Centers (ARC, AFRC, GRC, GSFC, JPL, JSC, KSC, LaRC, MSFC, and SSC), with communications strictly limited to information about the requested resources and excluding any assistance with proposal development or technical design guidance. Each GTA request must be accompanied by a corresponding LOI that memorializes NASA's tentative commitment to provide resources at a specific cost; however, the contractor is not financially responsible for reimbursing NASA.

GTAs must be limited in scope to distinct and singular resources, facilities, or technical domains, with separate GTAs required for each resource and center. Requested resources must be unique and not reasonably available commercially, and the Government retains the right to refuse any GTA request. For hardware delivered to or tested at NASA centers, offerors must submit Safety and Health Plans prior to delivery or testing. The GTA template requires detailed information including contract and task identifications, points of contact, overall task objectives, descriptions of work to be performed by both Government and Contractor, agreed-upon schedules, cost tables organized by fiscal year with categories for NASA labor, civil servant travel, contractor labor, and material/procurement costs, and baseline of estimate (BOE) details. Pre-award draft GTAs must be signed by the Authorized Offeror/Contractor Representative and NASA Performing Organization POC to be valid for evaluation; post-award GTAs require additional signatures from the NASA Authorized Contracting Officer and the NASA Advanced Research & Technology Division Portfolio Manager. During contract negotiations, GTAs undergo formal review and approval before becoming contract attachments upon funding and Safety and Occupational Health Plan approval.

NextSTEP-3 Appendix A: Lunar Enabling Infrastructure Accelerator

(LEIA) Solicitation

Attachment K Government Task Agreement Instructions and Template

Government Task Agreement and Letter of Intent Instructions

Introduction

While the majority of work to be completed under contracts awarded through the Next Space Technologies for Exploration Parnterships-3 (NextSTEP-3) Broad Agency Announcement (BAA) Appendix A: Lunar Enabling Infrastructure Accelerator (LEIA) solicitation is anticipated to be performed by the Contractor at Contractor or subcontractor facilities, the Offeror may propose the use of NASA on-site resources (e.g. property, facilities, assets, services, or other specialized resources). The following requirements and procedures apply to Offerors requesting NASA resources pursuant to Section 10.2.1.7.7 of the Solicitation.

How to Inquire About NASA Resources

To inquire about relevant NASA resources (e.g. property, facilities, or services), Offerors shall inquire through designated points-of-contact (POCs) for each NASA Center. A list of Center POCs and their contact information is provided below in page 3 of this Instruction.

Communications with these NASA Center POCs, or those designated by the Center POC, must be limited to the specific GTA requested. The communications and interactions with Offerors will not include any assistance in preparing the Offeror’s proposal, advice, or opinions on the Offeror’s proposed design solution or approach for performing the work requested by the Lunar Enabling Infrastructure Accelerator (LEIA) solicitation or any information regarding the LEIA competition or its technical requirements.

Letter of Intent

Letter of Intents (LOIs) is the instrument that memorializes NASA’s tentative commitment to provide the NASA resources requested by the Offeror at a specific price. Every GTA submitted by the Offeror with its proposal must be accompanied by a corresponding LOI.

A sample copy of the LOI is provided below on page 4 of this Instruction.

Government Task Agreements (GTAs)

GTAs are the documents in which the Offeror shall provide details of its approach to utilization of the NASA on-site resources. GTAs shall have an agreed-upon cost provided to the Contractor by the contributing NASA Center, however, the Contractor is not financially responsible for reimbursing NASA such costs. Offerors are advised that if awarded a contract for their effort proposed, the GTAs may be amended or revised during performance as agreed to by NASA and the Contractor.

Each GTA shall be limited in scope to a distinct and singular resource, facility, or technical domain. The aggregation of unrelated tasks or disparate support functions within a single GTA is not supported. The scope shall be sufficiently narrow to allow the contributing NASA Center to independently evaluate, estimate, and manage the requested resources without dependencies on unrelated Government resources. Related tasks may be grouped within a single GTA when appropriate and supported by the contributing NASA Center. The Offeror should not combine GTAs for different facilities, property, assets or services and should arrange for separate GTAs for use of each resource and at each Center.

Requested Government-contributed resources should involve only those NASA property, facilities, assets, services, or other specialized resources or other in-kind contributions that are unique and not reasonably available commercially. The Government has the right to refuse any GTA request for any reason.

For GTAs that include hardware delivered to and/or tested at NASA centers, Offerors shall submit appropriate Safety and Health plans prior to delivery or testing to address hazardous materials/activities, environmental and facilities considerations commensurate with their hardware and in accordance with NASA policy and regulations. Required documentation is dependent upon the hardware, identified hazards, and nature of the tests and facilities being exercised.

The GTA template that Offerors shall use for each GTA is provided below on pages 5-9 of this Instruction.

Contract Performance

During contract negotiations, the GTAs will be formally reviewed and approved by the Advanced Research and Technology Division Portfolio Manager, Contracting Officer. Once funding is secured from the appropriate funding organization, and the Safety and Occupational Health Plan has been approved, the approved GTA(s) will become an attachment to the contract and, after contract award, authorize the Contractor to proceed with the GTA(s).

Dear Offeror:

This letter (this “Letter”) sets forth the National Aeronautics and Space Administration’s (NASA) [insert Center name] estimate for its support of your proposal for Next Space Technologies for Exploration Parnterships-3 (NextSTEP-3) Broad Agency Announcement (BAA) Appendix A: Lunar Enabling Infrastructure Accelerator (LEIA). Should your proposal be accepted, NASA [insert Center name] anticipates providing the following level of support.

[Insert the nature of NASA’s support including, but not limited to [_____________________].

The estimated cost for NASA’s anticipated support is [insert $$$], assuming that the effort is performed during the following timeframe: [insert dates]. The above cost estimate is based on projected costs for the stated time periods and is subject to change.

NASA’s intention to provide the above support is nonexclusive and contingent on the selection of your proposal for NextSTEP-3 Appendix A: LEIA, as well as the availability of appropriated funds and other required resources. The actual commitment of NASA resources will be documented in a Government Task Agreement to be fully negotiated and approved after contract award.

The information contained in this Letter is provided solely for your purposes in proposing for NextSTEP- 3 Appendix A: LEIA and is a letter of intent only and is not intended to be, and shall not constitute in any way a binding or legal agreement, or impose any legal obligation or duty on either you or NASA.

This letter shall be interpreted and enforced in accordance with U.S. Federal law for all purposes, including but not limited to, determining the validity of the letter, the meaning of the provisions, and the rights, obligations, and remedies of the parties.

Should your proposal for NextSTEP-3 Appendix A: LEIA be accepted, we look forward to formalizing a Government Task Agreement. If you have any questions, please contact the undersigned.

Sincerely, [insert Signature of Center POC]
