About this file

This is an Invoicing Procedures exhibit for an Electric Vehicle Supply Equipment (EVSE) installation project administered by the Illinois Department of Transportation (IDOT) through the Illinois Facilities Association (IFA). The contract involves the acquisition, installation, and operation of EV charging infrastructure at multiple sites across Illinois to meet National Electric Vehicle Infrastructure (NEVI) standards. Vendors are required to submit monthly invoices by the 15th calendar day of each month for services rendered in the previous month, with invoices broken down by individual site and categorized as Equipment, Architectural and Engineering, or Construction costs. All invoices must be accompanied by supporting documentation including payroll records, timesheets, subcontractor invoices, and progress reports to substantiate billed amounts.

Payment will be issued within 60 calendar days of receipt of a complete and proper invoice, subject to IDOT review and approval of supporting documentation. Total invoices cannot exceed the Maximum Amount specified in the contract's Pricing Section 2.3, with any increases requiring a fully executed Amendment. Eligible Project Costs include on-site electric service equipment installation (not to exceed $120,000 unless approved on a case-by-case basis), minor grid updates, EVSE procurement and installation, engineering and design fees, and fixed operating and maintenance costs for up to five years post-commissioning. Ineligible costs include pre-agreement expenses, lobbying costs, general building maintenance unrelated to charging, major grid upgrades, equipment exceeding NEVI specifications, utility-covered upgrades, and administrative overhead. Operations and Maintenance invoicing occurs at the time of final invoice following successful installation and commissioning at each site.

Invoices must be submitted via email to accountspayable@il-fa.com and cc: cbrinley@il-fa.com.

Total invoices submitted under this Agreement during the Agreement term shall not exceed the Maximum Amount set forth in Pricing Section 2.3. This includes the itemized eligible costs per site as well as the total program cost. Any increase to either a site-specific cost or the overall total must be approved through a fully executed Amendment to this Agreement.

B. Invoice Requirements Each invoice must include the following and be broken out by site:

1. A formal invoice document on company letterhead

2. A unique invoice number

3. The invoice date

4. The date range of the work performed (e.g., June 1–June 30, 2026)

5. A short description of services provided and/or work completed

6. The total amount due for the billing period

7. A breakdown of each line item categorized as one of the following:

· Equipment

· Architectural and Engineering (including O&M)

· Construction

8. All costs must be clearly broken out by site.

C. Supporting Documentation All invoices must be accompanied by supporting documentation that clearly substantiates the amounts billed. This may include, but is not limited to:

1. Payroll records

2. Timesheets

3. Subcontractor invoices

4. Progress reports or other documentation of completed work

5. Supporting documentation requested by the Illinois Department of Transportation (“IDOT”) D. Payment Timing IFA will issue payment within 60 calendar days of receipt of a complete and proper invoice with all required supporting documentation, subject to IDOT requests for additional or corrected supporting documentation. IFA’s payment process include submission of certain reports and Vendor supporting documentation to IDOT for pre-payment review. IFA will promptly notify Vendor of any IDOT requests for additional or corrected supporting documentation that are necessary to issue payment to Vendor.

F. Rebates For any rebate paid directly to the Vendor, the Vendor must remit the full rebate amount to IFA or, if directed, to the Site Host within ten (10) business days. The Vendor may not retain any rebate funds unless expressly approved in writing by IFA.

G. Operations and Maintenance (O&M) Invoicing The Vendor shall invoice for Operations and Maintenance (O&M) costs at the time of the final invoice following the successful installation and commissioning of the EVSE at each site.

H. Allowable Costs For the avoidance of doubt, the Vendor agrees that all payments made to it related to the Project shall be for eligible project costs outlined in the Federal grant requirements and provided for ease of reference below.

I. Eligible Project Costs

Eligible Project Costs include:

1. Costs to acquire and install on-site electric service equipment (e.g., service connection, power meter / submeter, transformer, breaker panel upgrade, and customer feeder installation) not to exceed $120,000 in reimbursable costs, though exceptions that exceed this limit will be considered on a case-by-case basis;

2. Costs of minor grid updates (work necessary to connect a charging station to the electric grid distribution network like extending power lines or upgrading existing power lines);

3. Costs to procure and install, upgrade, and/or replace existing EV charging equipment to meet NEVI minimum standards and requirements;

4. Costs to procure and install EVSE-related hardware and software;

5. Fixed operating and maintenance costs (up to five years after the charging station is commissioned) including:

· Charging equipment lease fees (if site applicant chooses lease option for charging equipment rather than purchase option). The lease costs are only eligible if paid in advance through a contract;

· Cellular network fees, internet service fees, or similar fees; and

· Charger network fee;

6. Costs of engineering, design and permitting; and

7. Costs for additional ports or chargers beyond the NEVI requirement of four 150kW ports per EV charging site may be considered if each additional port meets the same criteria listed for the minimum four 150kW ports in 23 C.F.R. Part 680 (each additional port is capable of simultaneously charging at 150kW or greater with a CCS Type 1 connector, etc.). While these costs may be considered, it is not guaranteed that they are to be Eligible Project Costs.

J. Ineligible Project Costs Ineligible Project Costs include, but are not limited to:

1. Costs incurred prior to a fully executed agreement;

2. Costs not related directly to vehicle charging;

3. Costs for lobbying, or for the intervention in state, federal regulatory, or adjudicatory proceedings;

4. Costs for construction or general maintenance of building and parking facilities (if not related directly to vehicle charging);

5. Costs of major grid upgrades not within reason at the Grantor’s discretion (e.g., lengthy line extensions, bulk power transmission upgrades, or substation upgrades);

6. Costs for additional ports or chargers that do not meet the same criteria listed for the minimum four 150kW ports in 23 C.F.R. Part 680;

7. Costs to acquire and install on-site electric service equipment (e.g., service connection, power meter/ submeter, transformer, breaker panel upgrade, and customer feeder installation) that exceed the $120,000 reimbursable cost limit for electric service equipment, though exceptions will be considered on a case-by-case basis;

8. Utility service upgrade costs covered by the utility;

9. Costs covered by programs or tariff rules of the electric utilities;

10. Costs for research projects; and

11. Administrative costs, including overhead and indirect costs (e.g., office supplies, rent, marketing, and advertising).
