About this file
This is a Key Personnel Designation of Representatives form used to identify and document key personnel assigned to federal contracts, with particular applicability to IDIQ (Indefinite Delivery/Indefinite Quantity) contracts and task orders.
The form requires contractors to designate five categories of personnel: a Contractor Representative (required at IDIQ award) authorized to handle all contract administration matters; a Project Manager responsible for overall project execution and coordination; a Project Foreman or Site Lead (required at task order award) responsible for onsite supervision and day-to-day performance; a Quality Control Inspector responsible for internal quality assurance; and a 24/7 Emergency Contact. The form also includes a section for documenting internal delegation of authority to the Contractor Representative, allowing the contractor to specify which contractual actions this individual is authorized to execute, including acknowledging Notices to Proceed, signing payment estimates and invoices, executing contract modifications, and managing termination settlements. The contractor must acknowledge three critical requirements: compliance with IDIQ Section H.5(b)-(c) substitution restrictions including a 90-day no-substitution period without Contracting Officer approval, written justification for any personnel changes, and replacement personnel qualifications; confirmation that all listed personnel will be available for contract performance; and explicit recognition that contractor personnel have no authority to bind the Government or modify contract terms.
