If the apparent Successful Bidder declines to make any such substitution, Owner may award contract to the next lowest Bidder that proposes to use acceptable Subcontractors, Suppliers and other persons and organizations. The declining to make requested substitutions will not constitute grounds for sacrificing the Bid security of any Bidder. Any Subcontractor, Supplier, other person or organization listed and to whom Owner or Engineer does not make written objection prior to the giving of the Notice of Award will be deemed acceptable to Owner and Engineer, subject to revocation of such acceptance after the Effective date of the Agreement as provided in the General Conditions.

15. Award of Contract

Owner reserves the right to reject any or all Bids, including without limitation the rights to reject any or all nonconforming, non-responsive, unbalanced or conditional Bids and to reject the Bid of any Bidder if Owner believes that it would not be in the best interest of the Project to make an award to that Bidder, whether because the Bid is not responsive or the Bidder is unqualified or of doubtful financial ability or fails to meet any other pertinent standard or criteria established by the Owner. Owner also reserves the right to waive all informalities not involving price, time or changes in Work and to negotiate contract terms with the Successful Bidder. Discrepancies between words and figures will be resolved in favor of the words. Discrepancies between the unit price and the indicated sum of any column of figures, the unit price shall prevail. In evaluating Bids, Owner will consider the qualifications of Bidders, whether or not the Bids comply with the prescribed requirements, and such alternates, unit prices and other data, as may be requested in the Bid Form or prior to the Notice of Award.

Owner may consider the qualifications and experience of Subcontractors, Suppliers, and other persons and organizations proposed for those portions of the Work as to which the identity of Subcontractors, Suppliers, and other persons and organizations is required.

Owner may also consider the operating costs, maintenance requirements, performance data and guarantees of major items of materials and equipment proposed for incorporation in the Work when such data is required to be submitted prior to Notice of Award.

If contract is to be awarded, it will be awarded to the lowest Bidder whose evaluation by Owner indicates to Owner that the award will be in the best interest of the Project.

16. Contract Security

Representatives of Owner and Engineer will be present to discuss Project. Bidders are encouraged to attend and participate in the conference. Engineer will transmit to all prospective Bidders of record such Addenda as Engineer considers necessary in response to questions arising at the conference. Oral statements may not be relied upon and will not be binding or legally effective.

19. Sales and Use Taxes

The Bidder's attention is directed to the State of Texas Comptroller of Public Accounts Limited Sales Excise and Use Tax Rules and Regulations, paragraph 3, of Ruling No.9, Repairmen and Contractors (amended April 3,1972). Reference Article 20.01 (T). Upon compliance with certain conditions this ruling provides for exemption for this tax of materials incorporated into work done for an exempt agency under a contract. The Owner is an exempt agency.

Any Bidder may elect to exclude this sales tax from his bid. If the Bidder submitting the lowest acceptable Bid for performing the Work on this Project elects to comply with the above ruling on any item included in this contract by obtaining any necessary permit or permits from the State of Comptroller allowing the purchase of material incorporation into this Project without having to pay the Limited Sales, Excise and Use Tax at the time of purchase, Bidder shall upon award of contract submit statement in satisfactory form in which his Bid prices to the Owner for materials are listed separately from all other charges, either by Bid item or by total as required by the Comptroller. This statement shall be included in and made a part of the contract.

The Owner will furnish the Bidder with its exemption certificate for those materials incorporated in the project for which the above required statement is submitted.

The Owner will make no further allowance for and will make no price adjustment above or below the originally Bid unit price on account of tax. It shall be the Bidder's sole responsibility, if he/she elects to exclude the sales tax from his/her bid, to comply with the aforementioned ruling No.9 and with any other applicable rules, regulations, or laws pertaining to the Texas

B-7

Limited Sales, Excise and Use Tax which may now or at any time during the performance of this contract be in effect, and the Owner shall have no responsibility for any sales or use tax which the Bidder may be required to pay as the result of his failure or the Owner's failure to comply with said rules, regulations or laws, or as the result of the performance of the contract or any part thereof by the Bidder.

Bidders are cautioned that materials, which are not permanently incorporated into the work, are not eligible for exemption and are not to be included in the statement as "Materials" (example:

fuels, lubricants, tools, forming materials, etc.).

The Bidder shall make his own determination as to tax liabilities for purchases made in other states.

20. Guarantee

The Bidder shall guarantee the work for a period of one (1) year after date of acceptance in writing by the Owner. During this period, the Contractor shall make any repairs and/or replacements of defective materials and corrections due to poor workmanship, all as may be required for full compliance with the Contract Documents. This guarantee shall apply to all matters reported by the Owner in writing within the said one (1) year period and this guarantee shall be covered by the extension of the Performance Bond.

EXECUTIVE SUMMARY

A geotechnical exploration has been performed for the existing Edinburg Pump Station in Peñitas, Texas. A previous geotechnical study performed by URS Group, Inc. for the levee system adjacent to the pump station indicated variable soil conditions in the area, and recommended that a cement bentonite slurry cutoff wall be constructed to reduce exit gradients at the downstream levee toe.

Based on information provided by Lloyd Engineering, we understand that the pump station has existing wingwall foundations extending ten feet from the exterior pump station wall with a bottom elevation of approximately +95 feet, which inhibits the construction of the cement bentonite slurry cutoff wall in this area. The purpose of this study was to evaluate the need for the cement bentonite slurry wall beneath the existing pump station, specifically beneath the existing wingwall foundations adjacent to the western exterior pump station wall.

Based on the information obtained from our subsurface exploration, the site can be developed for the proposed project. The following geotechnical considerations were identified:

Groundwater was observed in the borings between 30 and 42 feet below existing grade during drilling. After a monitoring period of about 15 minutes, groundwater was observed between 27 and 37½ feet below existing grade.

The subsurface soils at this site generally consist of Lean Clay (CL) underlain by Fat Clay (CH), Clayey Sand (SC) and Silty Sand (SM).

A seepage analysis was conducted for flow beneath the existing pump station wingwall foundation. The computed factors of safety associated with this analysis are greater than the United States Army Corps of Engineers minimum requirements without the need for a cement bentonite slurry cutoff wall beneath the existing pump station wingwall foundation.

This summary should be used in conjunction with the entire report for design purposes. It should be recognized that details were not included or fully developed in this section, and the report must be read in its entirety for a comprehensive understanding of the items contained herein. The section titled GENERAL COMMENTS should be read for an understanding of the report limitations.

Conditions observed at individual boring locations are indicated on the boring logs. Stratification boundaries on the boring logs represent the approximate location of changes in soil types; in-situ, the transition between materials may be gradual. Details for the boring locations can be found on the boring logs in Appendix A of this report.

The highly permeable soils observed in nearby borings as part of the previous study performed by URS Group, Inc. (primarily silty sand and gravel) were not observed at the boring location performed as part of this study.

Permeability Test Results

The measured permeability values from the constant head (ASTM 2434) and falling head permeability tests (ASTM D 5084) are provided in the following table.

Groundwater

The borings were advanced using dry auger drilling techniques to depths of between 30 and 40 feet below existing grade in an effort to evaluate groundwater conditions at the time of our field program. Wash rotary techniques were used thereafter to the termination depths of the borings (approximately 90 feet below existing grade). The observed groundwater measurements are summarized in the following table.

These groundwater level observations provide an indication of groundwater conditions present at the time the borings were drilled. Groundwater level fluctuations occur due to seasonal variations in the amount of rainfall, runoff and other factors not evident at the time the borings were

Perched water can also be present in the existing fills. Therefore, groundwater levels during construction or at other times in the life of the structure may be different from the conditions encountered in the borings. The possibility of groundwater level fluctuations should be considered when developing the design and construction plans for the project.

4.0 RECOMMENDATIONS FOR DESIGN AND CONSTRUCTION

The following recommendations are based upon the data obtained in our field and laboratory programs, project information provided to us, and on our experience with similar subsurface and site conditions.

Seepage Analyses

The scope of this study is specific to the soil immediately adjacent to and beneath the existing pump station. Based on information provided by Lloyd Engineering, the previous study completed by URS Group, Inc. addressed the levee and provided recommendations for a cement bentonite slurry cutoff wall up to 50 feet from the edge of the existing pump station. We understand that the cutoff wall is planned to be reconstructed as recommended in the URS study up to the outside edge and above the existing wingwall foundations up to the exterior wall of the pump station, but not beneath the existing wingwall foundations.

Seepage analyses was performed for the existing improvements using finite element methods.

The water level during the future conditions was assumed to be at the specified 100-year flood elevation for the river (+133.8 ft). The water level was assumed to occur for a time period of such duration that steady state seepage conditions could develop in the dam and foundation soils.

The permeability of the foundation soils was estimated from correlations with index properties and laboratory permeability test results which were performed under controlled conditions on small soil samples. The results of the permeability testing are presented the “3.2 Permeability Test

Results” section of this report. To account for the macro-scale in the field and for the anticipated flow anisotropy, the following permeability values were utilized in the seepage analyses. These values were selected based on the results of our field and laboratory program for B-1, our experience with similar soils, the geologic history of the soil deposits, and hydraulic conductivity values reported in literature for similar geologic conditions. The soil conditions observed at boring B-3 were less permeable than the soil conditions observed at boring B-1, based on the presence of a clayey sand layer at a depth of about 23½ to 38½ feet in boring B-1 that was not observed in boring B-3. For the purposes of our analyses, the existing wingwall foundation and planned flood wall were assumed to be impermeable.

A seepage analysis was performed utilizing SLIDE® to calculate the following quantities for the 100-year Design Flood Elevation that was provided by Lloyd Engineering:

Seepage flow within clayey sand soils beneath the existing wingwall foundation Discharge velocity beneath the toe of the levee Exit gradient beneath the toe of the levee

The cross section analyzed is included in Appendix C. The calculated parameters are summarized in the following table.

Summary of Seepage Analyses Results

Seepage Flow1 (ft3/s) Exit Gradient2

Discharge Velocity2

(ft/s) Foundation

5.0 x 10-9 0.44 2.6 x 10-10

1. Through a vertical section beneath the existing wingwall foundation.

2. At a depth 0.5 feet beneath the ground surface at toe of the levee.

Based on the requirements provided in United States Army Corps of Engineers Engineering Manual 1110-2-2502, the exit gradient at the toe of the levee should not exceed 0.5. Our analysis indicates that the depth of the existing pump station wingwall is sufficient to meet the required maximum exit gradient. Based our analysis, a cement bentonite slurry cutoff wall is not required beneath the existing pump station or the associated wingwall foundations.
