CLAUSES INCORPORATED BY FULL TEXT

52.203-13 CONTRACTOR CODE OF BUSINESS ETHICS AND CONDUCT (OCT 2015)

(a) Definitions. As used in this clause--

Agent means any individual, including a director, an officer, an employee, or an independent Contractor, authorized to act on behalf of the organization.

Full cooperation—

(1) Means disclosure to the Government of the information sufficient for law enforcement to identify the nature and extent of the offense and the individuals responsible for the conduct. It includes providing timely and complete response to Government auditors' and investigators' request for documents and access to employees with information;

(2) Does not foreclose any Contractor rights arising in law, the FAR, or the terms of the contract. It does not require--

(i) A Contractor to waive its attorney-client privilege or the protections afforded by the attorney work product doctrine; or

(ii) Any officer, director, owner, or employee of the Contractor, including a sole proprietor, to waive his or her attorney client privilege or Fifth Amendment rights; and

(3) Does not restrict a Contractor from--

(i) Conducting an internal investigation; or

(ii) Defending a proceeding or dispute arising under the contract or related to a potential or disclosed violation.

Principal means an officer, director, owner, partner, or a person having primary management or supervisory responsibilities within a business entity (e.g., general manager; plant manager; head of a division or business segment; and similar positions).

Subcontract means any contract entered into by a subcontractor to furnish supplies or services for performance of a prime contract or a subcontract.

Subcontractor means any supplier, distributor, vendor, or firm that furnished supplies or services to or for a prime contractor or another subcontractor.

United States means the 50 States, the District of Columbia, and outlying areas.

(b) Code of business ethics and conduct. (1) Within 30 days after contract award, unless the Contracting Officer establishes a longer time period, the Contractor shall--

(i) Have a written code of business ethics and conduct;

(ii) Make a copy of the code available to each employee engaged in performance of the contract.

(2) The Contractor shall--

(i) Exercise due diligence to prevent and detect criminal conduct; and

(ii) Otherwise promote an organizational culture that encourages ethical conduct and a commitment to compliance with the law.

(3)(i) The Contractor shall timely disclose, in writing, to the agency Office of the Inspector General (OIG), with a copy to the Contracting Officer, whenever, in connection with the award, performance, or closeout of this contract or any subcontract thereunder, the Contractor has credible evidence that a principal, employee, agent, or subcontractor of the Contractor has committed--

(A) A violation of Federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in Title 18 of the United States Code; or

(B) A violation of the civil False Claims Act (31 U.S.C. 3729-3733).

(ii) The Government, to the extent permitted by law and regulation, will safeguard and treat information obtained pursuant to the Contractor's disclosure as confidential where the information has been marked “confidential” or “proprietary” by the company. To the extent permitted by law and regulation, such information will not be released by the Government to the public pursuant to a Freedom of Information Act request, 5 U.S.C. Section 552, without prior notification to the Contractor. The Government may transfer documents provided by the Contractor to any department or agency within the Executive Branch if the information relates to matters within the organization's jurisdiction.

(iii) If the violation relates to an order against a Governmentwide acquisition contract, a multi-agency contract, a multiple-award schedule contract such as the Federal Supply Schedule, or any other procurement instrument intended for use by multiple agencies, the Contractor shall notify the OIG of the ordering agency and the IG of the agency responsible for the basic contract.

(c) Business ethics awareness and compliance program and internal control system. This paragraph (c) does not apply if the Contractor has represented itself as a small business concern pursuant to the award of this contract or if this contract is for the acquisition of a commercial item as defined at FAR 2.101. The Contractor shall establish the following within 90 days after contract award, unless the Contracting Officer establishes a longer time period:

(1) An ongoing business ethics awareness and compliance program.

(i) This program shall include reasonable steps to communicate periodically and in a practical manner the Contractor's standards and procedures and other aspects of the Contractor's business ethics awareness and compliance program and internal control system, by conducting effective training programs and otherwise disseminating information appropriate to an individual's respective roles and responsibilities.

(ii) The training conducted under this program shall be provided to the Contractor's principals and employees, and as appropriate, the Contractor's agents and subcontractors.

(2) An internal control system.

(i) The Contractor's internal control system shall--

(A) Establish standards and procedures to facilitate timely discovery of improper conduct in connection with Government contracts; and

(B) Ensure corrective measures are promptly instituted and carried out.

(ii) At a minimum, the Contractor's internal control system shall provide for the following:

(A) Assignment of responsibility at a sufficiently high level and adequate resources to ensure effectiveness of the business ethics awareness and compliance program and internal control system.

(B) Reasonable efforts not to include an individual as a principal, whom due diligence would have exposed as having engaged in conduct that is in conflict with the Contractor's code of business ethics and conduct.

(C) Periodic reviews of company business practices, procedures, policies, and internal controls for compliance with the Contractor's code of business ethics and conduct and the special requirements of Government contracting, including--

(1) Monitoring and auditing to detect criminal conduct;

(2) Periodic evaluation of the effectiveness of the business ethics awareness and compliance program and internal control system, especially if criminal conduct has been detected; and

(3) Periodic assessment of the risk of criminal conduct, with appropriate steps to design, implement, or modify the business ethics awareness and compliance program and the internal control system as necessary to reduce the risk of criminal conduct identified through this process.

(D) An internal reporting mechanism, such as a hotline, which allows for anonymity or confidentiality, by which employees may report suspected instances of improper conduct, and instructions that encourage employees to make such reports.

(E) Disciplinary action for improper conduct or for failing to take reasonable steps to prevent or detect improper conduct.

(F) Timely disclosure, in writing, to the agency OIG, with a copy to the Contracting Officer, whenever, in connection with the award, performance, or closeout of any Government contract performed by the Contractor or a subcontractor thereunder, the Contractor has credible evidence that a principal, employee, agent, or subcontractor of the Contractor has committed a violation of Federal criminal law involving fraud, conflict of interest, bribery, or gratuity violations found in Title 18 U.S.C. or a violation of the civil False Claims Act (31 U.S.C. 3729-3733).

(1) If a violation relates to more than one Government contract, the Contractor may make the disclosure to the agency OIG and Contracting Officer responsible for the largest dollar value contract impacted by the violation.

(2) If the violation relates to an order against a Governmentwide acquisition contract, a multi-agency contract, a multiple-award schedule contract such as the Federal Supply Schedule, or any other procurement instrument intended for use by multiple agencies, the contractor shall notify the OIG of the ordering agency and the IG of the agency responsible for the basic contract, and the respective agencies' contracting officers.

(3) The disclosure requirement for an individual contract continues until at least 3 years after final payment on the contract.

(4) The Government will safeguard such disclosures in accordance with paragraph (b)(3)(ii) of this clause.

(G) Full cooperation with any Government agencies responsible for audits, investigations, or corrective actions.

(d) Subcontracts.

(1) The Contractor shall include the substance of this clause, including this paragraph (d), in subcontracts that have a value in excess of $5.5 million and a performance period of more than 120 days.

(2) In altering this clause to identify the appropriate parties, all disclosures of violation of the civil False Claims Act or of Federal criminal law shall be directed to the agency Office of the Inspector General, with a copy to the Contracting Officer.

(End of clause)

52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within ten (10) days prior to expriation of the contract.

52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within five 5 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least thirty (30) days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years and six (6) months..

52.219-28 POST-AWARD SMALL BUSINESS PROGRAM REREPRESENTATION (JULY 2013)

Long-term contract means a contract of more than five years in duration, including options. However, the term does not include contracts that exceed five years in duration because the period of performance has been extended for a cumulative period not to exceed six months under the clause at 52.217-8, Option to Extend Services, or other appropriate authority.

Small business concern means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and the size standard in paragraph (c) of this clause. Such a concern is ``not dominant in its field of operation'' when it does not exercise a controlling or major influence on a national basis in a kind of business activity in which a number of business concerns are primarily engaged. PERFORMANCE WORK STATEMENT

Standardization, Evaluation, and Assistance Team (SEAT) Services

1.0 General:

The Standardization, Evaluation, and Assistance Team (SEAT) assesses the Weapons of Mass Destruction – Civil Support Team (WMD-CST), Chemical, Biological, Radiological, Nuclear, and High-yield Explosive (CBRNE) Enhanced Response Force Package (CERFP) and Homeland Response Force (HRF) units regulatory compliance adherence for multiple functional areas in accordance with all DOD, Army, Air Force, National Guard regulations, policy, and instructions (refer to Attachment 1) that govern their operations and management.

1.1 Scope: The contractor shall provide regulatory compliance inspections, regulatory compliance instruction, data collection, inventory, help desk services, reporting, and briefing services to the National Guard Bureau (NGB).

This is a non-personal services requirement to provide SEAT Services. The Government shall not exercise any supervision or control over the contractor employees performing the services herein. Such contractor employees shall be accountable solely to the Contractor who, in turn, is responsible to the Government.

The contractor shall provide all personnel, equipment, tools, materials, supervision, and quality control necessary, except as specified in Paragraph 3.0 as Government Furnished, to perform SEAT Services, as defined in this PWS.

1.2 Background: The NGB developed the SEAT services to support National Guard (NG) Chemical, Biological, Radiological, and Nuclear (CBRN) Response Enterprise (CRE) operational readiness; to assure Congress and the Department of Defense (DOD) of program oversight; to assess the degree of compliance with law and policy, to audit the disposition of allocated resources; to assist with NG CRE missions to develop programs to establish and maintain capabilities and compliance; and to provide NGB with detailed information for use in making NG CRE management decisions.

The NG CRE is comprised of ten (10) HRFs, seventeen (17) CERFPs, and fifty-seven (57) WMD-CSTs. The NG CRE conducts CBRN response operations to support civil authorities and domestic preparedness in response to CBRN incidents and consequence management in order to save lives and minimize human suffering. These units bridges a gap between first responders and follow-on State and Federal Elements.

The NG CRE units work closely with local, tribal, state, and federal first responders, and have specialized equipment and training to perform operations in a CBRN environment. The equipment are both government-off-the-shelf and commercial-of-the-shelf, and the unit member are trained to operate within the National Incident Management System (NIMS). Both equipment and training requirements must meet National Institute for Occupational Safety and Health (NIOSH), Occupational Safety and Health Administration (OSHA), American National Standards Institute (ANSI), and National Fire Protection Association (NFPA) standards.

Weapons of Mass Destruction – Civil Support Team (WMD-CST)

The WMD-CSTs are high priority, rapid response units and each WMD-CST is prepared to conduct an immediate response deployment within ninety (90) minutes of notification. On location, the WMD-CST is prepared to conduct and sustain continuous operations for seventy-two (72) hours.

WMD-CSTs are usually be the first military responders to support civil authorities at any domestic CBRN incident site or event. As part of the assist mission, the WMD-CST works with Federal agency partners, including Federal Bureau of Investigation (FBI) WMD Coordinators, Environmental Protection Agency (EPA) on-scene coordinators, Department of Energy (DOE) Radiological Assistance Program (RAP) teams, and State Public Health officials.

The mission of the WMD-CST is to identify CBRN agents/substances, to assess current or projected consequences, to advise on response measures, and to assist with appropriate requests for state support to facilitate additional resources. WMD-CSTs provide a response capability to intentional or unintentional release of nuclear, biological, radiological, toxic or poisonous chemical materials and/or provide a response capability to man-made or natural disasters in the United States that result in, or could result in catastrophic loss of life or property.

Chemical, Biological, Radiological, Nuclear, and High-yield Explosive (CBRNE) Enhanced Response Force Package (CERFP)

The mission of the CERFP is provide immediate CBRN incident response capabilities. CERFPs are trained to handle non-standard conditions (contaminated and/or collapsed structure environments) and to assist local civilian commanders with large scale rescue missions.

The CERFP is comprised of five operational elements staffed by personnel from already established NG units. CERFP elements include: search and extraction, mass decontamination, medical, fatalities recovery, and command and control.

CERFPs are a key element of the DOD’s overall program to provide military life-saving support to civil authorities in the event of an intentional or accidental incident involving CBRN incident in the United States. The CERFPs provide specialized CBRN consequence management capabilities to local, state, and federal authorities and provide immediate CBRN incident response capabilities to the governor including: reconnaissance; incident site search of collapsed buildings and structures; casualty search and extraction; mass casualty decontamination; emergency medical triage, treatment, and patient stabilization; and the recovery of CBRN incident fatalities.

Homeland Response Force (HRF)

Similar to the CERFPs, the HRFs have an additional mission set to provide specialized CBRN consequence management capabilities to local, state, and federal authorities. The capabilities of the HRF are specifically tailored to augment, support, or relieve existing local, state, and federal capabilities and to fill voids in a response.

A HRF is comprised of a command and control (C2) element, a CBRN Task Force (CBRN-TF), a Joint Incident Site Communications Capability (JISCC), and a CBRN Assistance and Support Element (CASE). In addition to providing C2, the HRF C2 element issues orders, conducts deployment operations, establishes an area of operations, establishes communications, and conducts incident response operations. The CBRN-TF has identical capabilities and composition to each of the 17 CERFPs; the CASE provides security and additional general purpose assistance to CERFPs and CBRN-TFs.

These units possess an enhanced medical-triage capability, a mass casualty decontamination capability, a combat-security capability, and specialized search and extraction capabilities. All of these are achieved by leveraging existing capabilities and units, modifying existing mission-essential task lists, and providing additional equipment and training.

The CBRN-TF deploys an advanced party within six hours of notification and the remainder of the HRF within twelve hours. HRFs respond in direct support to state tasking in support of local incident command and other state missions. The HRF operates as directed by the state Joint Force Headquarters (JFHQ) and/or Joint Task Force – State (JTF-State).
