SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS
INSTRUCTIONS TO OFFERORS
SECTION L – INSTRUCTIONS, CONDITIONS, AND NOTICES TO OFFERORS CONTINUED
I. PROPOSAL SUBMISSION REQUIREMENTS
A. INTRODUCTION
1) The offeror’s proposal shall be submitted in digital form. The solicitation shall provide the Government address and receipt date for proposal submittal.
2) The offeror’s proposal shall consist of seven volumes. The Volumes are:
I – Army Technical, II – Air Force Technical, III – Cost/Price, IV – Past Performance, V – Small Business Participation, VI – Small Business Subcontracting Plan and VII – Solicitation, Offer and Award Documents and Certifications/Representations.
Files shall not contain classified data. The use of hyperlinks in proposals is prohibited.
3) Offerors will submit its proposal in accordance with two closing dates. The first closing date is only for the past performance volume, which will be due earlier than all other volumes. All other volumes will be due at the same later date. If either of the closing dates or times are missed, the proposal will be considered late.
4) Offerors are cautioned that “parroting” of the Technical Requirements or the PWS with a statement of intent to perform does not reflect understanding of the requirement or capability to perform. Offerors are responsible for including sufficient details to permit a complete and accurate evaluation of each proposal. Proprietary information must be specifically marked by paragraph and include an explanation regarding the facts that justify the marking. Universal marking as “Proprietary” will be considered a Mistake in Proposal and addressed accordingly.
5) During the conduct of this acquisition, the Acquisition Source Selection Interactive Support Tool (ASSIST) will be used by the Government to support the proposal evaluation and source selection process. A separate tool, the ASSIST2Industry, will be used in conjunction with ASSIST to accomplish all exchanges with Offerors after receipt of proposals pursuant to Federal Acquisition Regulation (FAR) 15.306. ASSIST2Industry provides the ability for the Government to issue, and the Offerors to receive and respond to all Evaluation Notices (ENs) in a secure online environment.
6) To initiate the use of ASSIST2Industry, the Government requires the name, company title, telephone number, and email address of no more than two (2) individuals that the Offeror has designated as responsible for receiving and responding to Government ENs through ASSIST2Industry. The designation of two (2) individuals is for the purpose of ensuring availability of one individual if the other individual is not available. The required information regarding these two (2) individuals must be submitted with the Offeror’s proposal as well as the cover letter.
7) After the solicitation’s second closing date, the Government will establish an account in ASSIST2Industry for each individual identified by the Offeror that submitted a proposal in response to this solicitation. The two individuals named by the Offeror will be authorized access to that account. Two (2) separate system generated emails will be sent to each individual. One of the emails will contain the individual’s ASSIST2Industry username. The other email will contain the individual’s temporary password. Using the provided username and temporary password, each individual can then go to https://ASSIST2Industry.army.mil to access the account.
NOTE: The first time a user logs in, the user will be required to change the temporary password before the user can use the site.
8) Whenever the Government issues ENs to the Offeror through ASSIST2Industry, the Government’s Contracting Officer (CO) will notify the Offeror through a medium independent of ASSIST2Industry (e.g., e-mail) that the Offeror has ENs in ASSIST2Industry waiting for a response. There will be no ENs in ASSIST2Industry until such notice is issued by the CO.
9) All Offerors are advised that ASSIST2Industry has been updated and it is now the responsibility of Prime Offerors to establish accounts for their Subcontractor to respond to Government ENs. A separate area within ASSIST2Industry has been created to allow authorized Subcontractor POCs to upload proposal files only. Subcontractors will not be able to access any other information on the ASSIST2Industry website (e.g., Questions/Evaluation Notices, Responses, etc.). Once a Subcontractor has been added, it will receive a user ID (e.g. subcontractor0001) and password (an initial password) that will be sent via two separate system generated e-mails. A subcontractor will have one user ID for all PRIMES and solicitation responses, i.e. if you are a Subcontractor to multiple Prime Offerors and multiple solicitation responses, you will only have one user ID.
10) Once an account has been established for the Subcontractor, go to https://ASSIST2Industry.army.mil to access the account. Prime Offerors will only be able to see the number of files submitted by their Subcontractors; but, will be UNABLE TO VIEW the Subcontractor’s files.
Both Prime Offerors and Sub-Offerors are instructed to review the ASSIST2Industry User’s Guide, located under the “Getting Started” tab on the website. The guide has been updated and provides step by step instructions on how to perform functions and navigate the website.
11) Offerors can contact Adam Rothschild at (609) 562-7050 or the ASSIST2Industry helpdesk at (609) 562-5988 for any technical assistance that may be needed.
THE OFFERORS ARE CAUTIONED THAT THE SYSTEM GENERATED EMAILS REFERRED TO ABOVE ARE INTENDED FOR ADMINISTRATIVE PURPOSES ONLY. RECEIPT OF THESE EMAILS DOES NOT CONSTITUTE THE COMMENCEMENT OF ANY TYPE OF EXCHANGE WITH THE OFFEROR IN ACCORDANCE WITH FAR 15.306(a), (b), OR (d) (I.E., CLARIFICATIONS, COMMUNICATIONS, OR DISCUSSIONS). ALSO, RECEIPT OF THESE EMAILS DOES NOT SIGNIFY THAT A COMPETITIVE RANGE DETERMINATION IN ACCORDANCE WITH FAR 15.306(c) HAS BEEN MADE OR THAT THE OFFEROR’S PROPOSAL WILL BE INCLUDED IN THE COMPETITIVE RANGE WHEN THAT DETERMINATION IS MADE. ALL NOTIFICATIONS THAT ANY TYPE OF EXCHANGE WITH THE OFFEROR HAS COMMENCED AND THE OFFEROR HAS EVALUATION NOTICES (ENS) AVAILABLE TO RESPOND TO, OR ANY NOTIFICATION THAT THE OFFEROR’S PROPOSAL HAS BEEN INCLUDED IN OR EXCLUDED FROM THE COMPETITIVE RANGE, WILL BE SENT TO THE OFFEROR BY THE CONTRACTING OFFICER INDEPENDENTLY OF ASSIST2INDUSTRY.
12) In accordance with FAR16.403-1(c)(1), the contractor must have an accounting system that is adequate for determining costs applicable to the contract. This requirement applies to cost-reimbursement, incentive type, time-and-materials, or labor-hour contracts as stated in DFARS 242.7503 and 252.242.7005 and 7006. The offeror shall provide a summary description of their accounting system, including indirect rate structure, and state whether it is compliant with Generally Accepted Accounting Principles (GAAP) and Cost Accounting Standards (CAS). The offeror shall provide any known/cited accounting system deficiencies. In addition, the offeror shall provide a copy of the DCAA Audit Report showing adequacy of the accounting system, purchasing system, estimating system if available, and DCMA ACO Determination Letter showing approval of these business systems. Any audit report or letter should be dated within four years of the offeror’s cost proposal. If DCMA has not approved the accounting system or DCAA has not determined adequacy, the offer shall submit a completed Pre-award Survey of Prospective Contractor Accounting System Checklist. Completion of the Pre-award Survey of Prospective Contractor Accounting System Checklist is required in order for the MICC to proceed with a request for a DCAA pre-award accounting system review. This should be submitted with the offeror’s proposal in the cost volume. The Contracting Officer will forward a copy to the cognizant DCAA office along with the request for audit. Additionally, Contractors must be determined to be financially responsible by the contracting officer. Therefore, contractors must submit the required information in DFARS 232.072-2(b). Contractors are also advised that the Government may request the assistance of DCAA for this determination and that the Government may require additional information.
13) Your comments and/or questions are requested, in writing, via email at usarmy.jbsa.acc-micc.list.rucker-maintenance-follow-on@mail.mil or Jennifer.l.hastedt2.civ@mail.mil no later than 16 January 2017 at noon Central Time.
B. PROPOSAL SUBMISSION REQUIREMENT
1) Each proposal submission shall be submitted on non-rewritable digital versatile disks (DVD-R) discs. Volume IV, Past Performance will be submitted on a separate DVD-R and will be due earlier than the rest of the proposal documents. Volume III, Cost/Price, will be submitted on a second DVD-R. All other Volumes will be submitted on the third DVD-R. Each requested DVD-R will be submitted in duplicate with one marked as “Original” and one marked as “Copy” for a total of six (6) submitted DVD-Rs.
2) For all subcontracts meeting or exceeding the threshold of FAR 15.404-3(c)(1), the Prime offeror shall submit or cause to be submitted Volume III cost data on DVD-R. Because some subcontractors may have confidentiality concerns, this may be submitted on an additional DVD-R, and may be submitted from the subcontractor directly to the Government. If this information is submitted separately, it shall be submitted at the time and place stipulated in the solicitation and in the formats required in the solicitation. Late submissions will be addressed in accordance with FAR 52.215-1(c)(3) Submission, modification, revision, and withdrawal of proposals.
3) Each paragraph shall be separated by at least one blank line. A standard, 12-point minimum font size applies. Either Arial or Times New Roman fonts are required. Tables and illustrations may use a reduced font size, but no less than 10-point, and may be in landscape orientation.
4) Changes to the requirements documents that reduce the threshold could only be considered through an amendment to the solicitation. All offerors must be given an opportunity to propose at the reduced threshold. Unlike an enhancement or increase to the requirement which is part of the negotiated agreement with individual offerors, reducing the requirement requires inclusion of all offerors for ensuring fairness. On the other hand, changes that enhance or are required to implement the specific approach while not reducing the threshold, do not require an amendment for fairness.
5)
6) There will be two closing dates for this proposal. The first is 2 February 2017 of the Past Performance Volume (DVD-R #1). The second closing date is 02 03 March 2017 for all other volumes (DVD-Rs #2 and #3). All offerors must submit the appropriate volumes on both dates on time to be considered for award.
7) The following volumes of material shall be submitted:

Each volume of the proposal shall consist of a Table of Contents and the Narrative discussion. Proprietary information shall be limited and marked as discussed previously. The following shall be included in the Narrative discussion specifically as detailed in the following paragraphs E through J.
E. TECHNICAL REQUIREMENT
The Technical factor includes the Fort Rucker Aviation Maintenance Overall Management Approach for both the Army and the Air Force requirements. The integrated management approach for the Army is subfactor 1 and the integrated management approach for the Air Force is subfactor 2.
a. SUBFACTOR 1 - VOLUME I – ARMY MANAGEMENT APPROACH.
Provide the most efficient and effective proposed approach with the initial offer. If an offeror considers its approach provides a strength, the specific requirement that is considered exceeded shall be identified. Additionally, the offeror shall specify specific paragraphs in the solicitation package (i.e. PWS, PRS, etc.) that will be changed and incorporated in the resulting contract at the new level. Changed requirements documents that incorporate the proposed enhancement will not count against the page limit provided they are separate documents that are identical to the original document except for the highlighted change. In addition, the offer must state specifically why the offeror considers the enhancement a strength demonstrating additional opportunity cost benefits through efficiency or effectiveness. The cost and/or pricing effect of this strength shall be called out and specifically detailed in the cost and price volume. If the Government concurs and in the unlikely event that the award is made without further discussions, those resulting enhancements will be included into the contract without discussions as part of the initial proposal.
The Army Technical Management approach shall specifically address Human Capital Staffing, Government Property and Supplies, Mission Planning Management, Quality Control, and Incentive Program Structure:
1) Comprehensive management approach that addresses how the staffing supports your maintenance program while improving the quality control program. Offeror must describe the analysis based on the historical and the projected data included in the Technical Data Repository (TDR) provided on the Huddle Cloud Sharing System used in determining the proper approach. Contractors are advised that the Government technical and cost/price evaluators will work collaboratively in the evaluation; therefore, this approach, just as all others in the technical and cost price volumes, shall crosswalk directly with each other.
2) Description of detailed labor and management staffing including where subcontract labor fits in the structure over the first 4 years. The offeror must include manpower charts that support the mission at each field and facility that recognizes unique requirements for each aircraft. The offeror shall provide the staffing allocation to each airfield/heliport and each facility, and to each Mission Design. The offeror shall provide the methodology for allocation of staffing and clearly connect it to the cost/price volume, the PWS, and/or the TDR. Explain specific communication lines when subcontract labor is used. Pay particular attention to the planned flying mission and the aircraft projections included in the TDR. Based on the schedule included in the TDR, describe your approach for managing the planned divestiture of specific aircraft support while simultaneously continuing flying hour program support on the aircraft being divested. Offeror shall clearly justify changes in its staffing mix that reflect divestiture of the TH67 and OH-58 A and C aircraft models and the expanded use of the UA 72 up through year 4. As specific charts are not required for out-years 5-10, the offeror must address specific changes for potential learning, management challenge, efficiency, or other differences in the staffing charts that are consistent and tracked directly to the cost proposal demonstrating each position identified is properly accounted for in the total amount proposed. Explain how the approach was developed, alternatives investigated and what significant factors drove the final solution. Identify any specific changes to requirements documents and the benefits perceived.
3) The approach describing how maintenance opportunities presented by weather, weekends, Federal Holidays, and the time available between flight periods will be used. Explain specific procedures that will be implemented that optimize the opportunities and any limitations that may currently exist in the Collective Bargaining Agreement (CBA) provided in the TDR. Identify what benefits are derived and justify any changes in requirements that are proposed as enhancements.
4) Given the data provided in the TDR 57-Workforce Statistics, regarding average age and experience of proposed workforce explain the human capital approach addressing how it motivates and stabilizes a properly trained maintenance workforce for each work center. Include an analysis over the entire term of the contract and options. Describe a risk based human capital strategic management approach that integrates attrition, recruiting, training, and incentives. Include any specific actions that will be taken beyond those required by the current CBA, for minimizing workforce disruption created by fleet divestiture and the rationale for choosing these actions.
5) Based on the PWS windows for providing aircraft in PWS Par 3.1.1.3, the approach describing a gap-free manning concept. Articulate specific limitations that may exist in the current CBA such as staffing, manning, duty hours, etc. that must be addressed, if any, for implementing the approach. Provide the specific reasoning behind the shift times, shift numbers, and manning for each shift and explain in detail why this methodology best supports meeting the contract requirements.
6) Discussion of risk tradeoff in developing an analysis for optimizing on-site or off-site component repair vs. relying on the federal supply system for parts supporting the military variant aircraft. Explain the process to determine if parts should be repaired or replaced. Specifically address the approach's perceived benefits in fulfilling this requirement and include consideration and articulation of enhancements that may be incorporated into this approach. Clearly explain the opportunity cost balance between parts replacement delay and expanded local labor. Clearly explain what local facilities would be used, hours of use and how capacity is optimized through an analysis of alternative balance between facilities, labor mix, delivery time, and missions covered.
7) Description of the approach for providing logistical support to all assigned aircraft including those aircraft not supported by the federal supply system. Describe methodology for acquiring and managing parts, including non-conforming material, warranty claims, and counterfeit parts mitigation. Provide an overview of property management including any customary commercial practices, or industry-leading practices planned for use in managing Government property. Explain alternative methods that were considered comparing and contrasting the various alternatives and why the approach was selected. Specifically address the approach's perceived benefits in fulfilling this requirement and include consideration and articulation of enhancements that may be incorporated into this approach. Clearly describe the benefits from the approach chosen and include any specific changes in requirements document for implementing that approach if perceived as an enhancement.
8) Using the TDR, specifically address your approach for minimizing uncorrected aircraft faults and deferred maintenance actions as well as your approach for approving, controlling and using controlled exchange actions to improve configuration availability. Identify specific changes in requirements documents and clearly justify proposed enhancement benefits.
9) The quality management philosophy and how this philosophy aligns with the quality program that is being proposed. Given the minimum compliance with higher level maintenance program of ISO 9001:2015 requirement for the National Maintenance Program, explain the offeror’s implementation of a higher level maintenance program. Either justify why the Government’s choice is appropriate to accomplishing the requirement for implementation or select one the offeror will use that provides more stringent compliance requirements. Explain how the higher level quality system was chosen and explain the benefits derived from the selected maintenance approach and why. Provide an analysis of the planned balance between Quality Control and Quality Assurance. Include the specific lines of communication and reporting and how this balance optimizes providing safe aircraft for the maximum number of training missions possible.
10) Based on the PWS requirement for developing a comprehensive Quality Management Plan, describe the top three quality objectives and list them in order of importance. Explain the rationale for choosing each in order of importance and how they support the proposed Quality system and Quality Management philosophy. The explanation must address why these three objectives and their order of importance were determined optimal to accomplishing the requirement. Identify specific requirements document changes such as the Performance Requirements Summary that would change as a result and what perceived benefits are derived
11) An approach that uses the government solicited incentives for performance and quality in Attachment 0008 as a starting point. Assess the incentives in terms of the Mission Performance and Quality incentive pools as well as percentage breakdown. Explain why the Government’s initially described performance and quality incentive pools appropriate to accomplishing the requirement. Alternatively, propose a different incentive pool structure that supports the maintenance, staffing and quality planned approach and how it will motivate success in all areas of the contract. Explain why the alternative pool structure was chosen and the theory for why it was determined optimal motivation. Include specific changes in requirements documents and the incentive clause that will be used for implementing the revision in the resulting contract. Per FAR 16.403-1, for the Fixed Price Incentive Firm (Firm Target) (FPIF) line items provide both an underrun and overrun share. In accordance with the DFARS 216.403-1(b)(2), the share ratios are initiated at 50/50 for both under and overruns. These reflect a presumed concurrence from both parties that there is an equal probability to either under or overrun the targets. Notwithstanding, explain why the Government’s initially described underrun and overrun share is appropriate to accomplishing the requirement. Alternatively, propose a different underrun and overrun share that supports the maintenance, staffing and quality planned approach and how it will motivate success in all areas of the contract. In addition to the description of the share ratios, provide the point of total assumption calculation as it relates to the approach’s risk based assessment; percentages should be included and explained but not the dollar values or other cost information. Provide an analysis of alternative considered in deriving the optimal mix between over and under run share ratios. Explain the details regarding why the under and overrun share percentages were developed. Describe what internal controls other than the share were considered for driving efficiency.
b. SUBFACTOR 2 - VOLUME II – AIR FORCE MANAGEMENT APPROACH.
Air Force Management Approach: The Air Force Technical Management approach shall:
1) Provide a series of organization charts and staffing tables that delineate an integrated management and workforce required for providing safe aircraft for AF training in accordance with the PWS over the first four years. Identify any deviations that are included in the cost section through management challenges, presumed efficiencies, and other changes proposed in the out years 5 through 10. Explain how fully trained, qualified, and knowledgeable employees including backups for “one-deep” positions are considered. Briefly address how the flight line operations, scheduled and unscheduled maintenance, supply, quality control, and all maintenance management and support functions by referring to the charts and tables.
2) Describe the quality assurance and control staffing organization that is proposed for the AF support portion of the contract. Particular attention should be paid to the fact that quality control personnel shall not provide production support. The staffing plan shall reflect this unique added emphasis on quality as mandated by Air Force direction through the PWS. Provide a clear line of communication and how the staffing optimizes a balance between mission training, and quality control. Finally describe the oversight process designed for ensuring compliance with documenting maintenance records and change records.
3) Provide an approach that uses the government solicited incentive in Attachment 0008 as a starting point. Explain why the Government’s initially described incentive pool is appropriate to accomplishing the requirement. In accordance with the latest Department guidance, the share ratios are initiated at 50/50 for both under and overruns. These reflect a presumed concurrence from both parties that there is an equal probability to either underrun or overrun the targets. Provide an analysis of alternative considered in deriving the optimal mix between overrun and underrun share ratios. Explain the details regarding why the under and overrun share percentages were developed. Describe what internal controls other than the share were considered for driving efficiency.
