Proposals must be submitted electronically as firm-fixed-price (FFP) quotes in Microsoft Office format with evaluation based on price, technical acceptability, and past performance. The amendment establishes on-ramp and off-ramp procedures allowing the Government to add qualified SB contractors during an open season and remove contractors failing to meet performance standards, participation metrics, or SB requirements. Questions must be submitted by 10:00 A.M. CST on 18 May 2026 to the Contracting Officer (christopher.a.richie.civ@army.mil) or Contract Specialist (shannon.s.campbell.civ@army.mil).

Continuation of Deliveries or Performance

Miscellaneous text in this section has been modified to:

Special Contract Requirements

This section establishes the Contracting Officer's authority to manage the Small Business (SB) pool and references the proper commercial termination authorities.

1 ON-RAMP PROCEDURES (OPEN SEASON)

W911RX26RA0040002

(a) Purpose: The Government reserves the unilateral right to initiate an "Open Season" to add qualified Small Business (SB) contractors to the Multiple Award Task Order Contract (MATOC) pool. This ensures adequate competition among eligible SB firms, accommodates the integration of new commercial capabilities, and maintains mission readiness.

(b) Frequency and Assessment: The Procuring Contracting Officer (PCO) will monitor the MATOC pool continuously. If the number of viable SB competitors drops due to Off-Ramping, graduation from the size standard, or loss of status, the PCO may determine it is in the Government's best interest to issue a new On-Ramp solicitation.

(c) Solicitation Process: The On-Ramp solicitation will be set aside for SB concerns in accordance with FAR 19.15. The Government will evaluate proposals using the same or updated criteria established in the original base contract solicitation.

(d) Coterminous Period of Performance: Contracts awarded through the On-Ramp process will share the remaining Period of Performance of the original base contracts. The overall MATOC ceiling will not increase solely due to the addition of new contractors.

2 OFF-RAMP PROCEDURES

(a) Purpose: The Government requires a highly active and capable pool of SB contractors. The Government reserves the unilateral right to "Off-Ramp" contractors that fail to meet commercial performance standards, participation metrics, or statutory SB requirements.

(b) Off-Ramp Triggers: A contractor may be subject to Off-Ramping if they meet any of the conditions outlined in the table below:

Trigger Category Description of Off-Ramp Condition

Loss of SB Status: The Contractor is acquired, experiences a change in ownership, or otherwise loses its SB certification status as defined by the Small Business Administration

(SBA).

Size Standard Graduation: The Contractor exceeds the applicable NAICS code size standard established for this MATOC and is no longer considered a small business for subsequent option periods.

Non-Participation: Failure to submit a bona fide, responsive proposal for at least three

(3) consecutive Requests for Task Order Proposal (RTOPs), or failure to bid on at least 30% of all RTOPs issued within a rolling 12-month period.

Poor Performance: Receiving a final Contractor Performance Assessment Reporting System (CPARS) rating of "Marginal" or "Unsatisfactory" on any commercial Task Order, or demonstrating a documented trend of failing to provide acceptable commercial services/products.

(c) Execution (Commercial): Because this is a commercial acquisition, the PCO may execute an Off-Ramp through the following administrative methods:

1. Declining to exercise the next available Option Period for the base contract.

2. Termination for the Government's Convenience in accordance with RFO FAR 52.212-4(l).

3. Termination for Cause in accordance with RFO FAR 52.212-4(m), if warranted by severe performance failures.

(d) Existing Task Orders: Off-Ramping at the base contract level does not automatically terminate active Task Orders. The Contractor must complete all active Task Orders unless specifically directed otherwise by the PCO via a separate modification at the Task Order level.
