1. PURPOSE: The U.S. Army TACOM Life Cycle Management Command (TACOM-LCMC) is soliciting offers under this Request for Proposal for Information Technology Support services at the Detroit Arsenal, Warren, MI (DTA). This solicitation is being issued as an 8(a) Small Business set-aside.

2. CLIN STRUCTURE: The awarded contract will consist of five ordering years as detailed in Contract Line Item Numbers below:

Year 1: 1001 - 1003 Year 2: 2001 - 2003 Year 3: 3001 - 3003 Year 4: 4001 - 4003 Year 5: 5001 - 5003

The Government reserves the right to revise the CLIN structure at time of award, for administrative purposes.

3. INTENT: Award will be to a single offeror. The resulting contract type will be Labor Hour (LH). FAR Part 12, Acquisition of Commercial Items, will apply. Note that not all the provisions will flow-down to the subcontract level, pursuant to FAR 12.504 Applicability of Certain Laws to Subcontracts for the Acquisition of Commercial Items.

4. PROPOSALS: Offerors are to submit a single proposal that includes all items outlined in Section L. Evaluation of offerors’ proposals for award of contract will be based on Past Performance and Price. Section L of the solicitation specifies what is required from offerors in their proposals. Section M specifies how the Government will evaluate offerors’ proposals.

5. WORKLOAD: The workload projections found in the SOW represent the Government’s estimates using the best information currently available, taking into consideration the significant changes in the Government’s requirements and the restructuring of the SOWs to comply with Common Levels of Support (CLS) guidelines.

6. START OF WORK / MANAGEMENT MEETINGS: The Government will require a post-award Start-of-Work meeting within thirty days after award of the basic contract or any task orders issued to establish working relationships and responsibilities. The meetings will take place at TACOM, Warren, Michigan. The Contractor shall ensure that any major subcontractors attend these meetings. There will also be a minimum of two management meetings per year at TACOM the purpose of these meetings will be to discuss any and all information specific to this contract.

7. REQUIREMENT: Section I of this document contains FAR52.204-7 System for Award Management (FEB 2014). Please pay particular attention to paragraph (d), which states that lack of registration in the SAM will render an offeror ineligible for an award. If already registered, offerors are strongly encouraged to review and update their registry at the time of proposal submission. Offerors are required to complete the System of Award Management (SAM) at the time of proposal submission. If already submitted, offerors are strongly encouraged to review and update their ORCA record at the time of proposal submission. Please see: https://www.sam.gov.

8. NOTICE: Pursuant to FAR 52.212-1 (g) Contract award (not applicable to Invitation for Bids). The Government intends to evaluate offers and award a contract without discussions with offerors. Therefore, the offeror's initial offer should contain the offeror's best terms from a price and technical standpoint. However, the Government reserves the right to conduct discussions if later determined by the Contracting Officer to be necessary. The Government may reject any or all offers if such action is in the public interest; accept other than the lowest offer; and waive informalities and minor irregularities in offers received.

9. CLAUSES: Clauses and provisions in this document may not appear in consecutive order. Clauses and provisions from the Federal Acquisition Regulation (FAR) and supplements thereto are incorporated in this document by reference and in full text. Those incorporated by reference have the same force and affect as if given in full text.

10. FORMAL COMMUNICATION: Any formal communication, such as requests for clarifications, discussions, and information concerning this solicitation should be submitted in writing electronically to the addresses below:

Melissa Bays melissa.c.bays.civ@mail.mil.

13. AMENDMENTS PRIOR TO DATE SET FOR RECEIPT OF PROPOSALS: The Government may revise or amend, the specifications or any aspect of the Solicitation prior to the date set for receipt of proposals. If the revisions and amendments are of a nature which requires material changes in quantities, prices offered, or both, the date set for receipt of proposals may be postponed such number of days as in the opinion of the issuing officer will enable offerors to revise their proposals. In such cases, the amendment will include an announcement of the new date for receipt of proposals.

14. RELEASE OF INFORMATION: Any award issued as a result of this solicitation will be distributed electronically. In the event of a FOIA request for a copy of any award issued as a result of this solicitation, or any subsequent modifications to the contract, the contract and modifications will be released, including the awarded unit price. This is the notice required by Executive Order 12600 (June 23, 1987) of our intention to release unit prices in response to any request under the Freedom of Information Act (FOIA), 5 USC 552. CLAUSES AND PROVISIONS

B1. CLAUSES AND PROVISIONS

1.1. Clauses and provisions from the Federal Acquisition Regulation (FAR) and supplements thereto are incorporated in this document by reference and in full text. Those incorporated by reference have the same force and effect as if they were given in full text.

1.2. Clauses and provisions in this document will be numbered in sequence, but will not necessarily appear in consecutive order.

1.3. Sections K, L, and M will be physically removed in the award document.

B2. GENERAL PROVISIONS

2.1. The offeror shall not place any information in section B of this solicitation. All of the required information shall be entered into Attachment 0001, Pricing Worksheet.

2.2. Contract Line Item Number (CLIN) structure will be in the contract award documents. This is an Indefinite- Delivery/Indefinite Quantity (ID/IQ) service contract utilizing Labor Hour (LH) task orders that may include cost reimbursable CLINS for travel, training, or supplies in accordance with Federal Acquisition Regulation (FAR) Part 12 and will utilize FAR part 15.3 for evaluation purposes. The Government reserves the right to revise the CLIN structure, to aid in the administration of the contract, at time of award.

2.3. Only a Contracting Officer has the authority to modify the terms and conditions of this contract.

2.4. Any services to be furnished under this contract will be ordered by issuance of Task Orders. Pursuant to Section 843 of the National Defense Authorization Act for Fiscal Year 2004 (PL 108-136) such orders may be issued from date of contract award until the last day of the basic contract period provided the performance period of the Task Order does not exceed the end of the fifth year of the contract. The total term of the contract, any extensions, and any performance there under may not exceed five (5) years. The Government reserves the right to modify this clause to incorporate future statutory changes.

2.5. The Government reserves the right to issue additional solicitations and award additional contracts within the activities covered by this contract. This is not a Requirements Contract.

B3. MAXIMUM AND MINIMUM ORDERS

3.1. The NAICS code for this Solicitation is as follows: 541511 Computer Facilities Management Services:

size standard $27.5M

3.2. The resulting contract will include five ordering periods.

3.3. Contract Maximum: The maximum hours for this effort will not surpass 1,084,800.

3.4. Contract Minimum: The minimum hours for an individual order is 1,920. The Government guarantees this amount over the first ordering period of the contract. No separate guarantee exists for each ordering period.

B4. JOB CATEGORIES

4.1. IT Labor Categories (Attachment 0004) are definitions for the type of personnel required to perform the services covered in the scope of work (SOW) and resulting Task Orders. The Government reserves the right to add additional classifications for similar type work based on Army requirements

4.1.1. Offeror/Contract Personnel are required to meet the minimum qualifications as identified in Attachment 0004, IT Labor Categories

4.2. The Government will issue non-performance-based Task Orders to the Contractor for individual tasks.

Individual Task Orders are developed at the installation where work is to be completed. Each individual Task Order will specify the task, location, service to be provided, service measurements, and the labor classification the Government has determined applies. The Government will evaluate quality, management, and regulatory compliance within the CPARS and CORT Monthly Status Report.

4.3. The labor categories individually priced rates will be used to price individual Task Orders.

4.4. In the event the Contractor is unable to fulfill requirements in a timely manner, the Government reserves the right to obtain services from another source. A pattern of continued inability to fulfill requirements may constitute the basis for considering remedies under Termination clauses. This is not a requirements contract and the Government reserves the right to obtain services from other sources.

B5. PLACE OF PERFORMANCE

5.1. The Contractor is expected to normally perform work under this contract in various customer agency locations, as well as non-Government facilities when applicable. The place of performance will be specified in the individual Task Orders.

5.2. Requirements for the contracts include work in Government facilities, and off-site locations which will be specified in each Task Order.

B6. OVERTIME, HOLIDAY AND WORK AT NIGHT

6.1. Overtime. Any overtime rates will be negotiated in advance of issuing individual Task Orders.

6.2. Work Required To Be Performed At Night. Any work performed at night will be authorized at applicable overtime rates.

6.3. Unless the Schedule prescribes otherwise, the hourly rates in the Schedule shall not be varied by virtue of the Contractor having performed work on an overtime basis. If no overtime rates are provided in the Schedule and overtime work is approved in advance by the Contracting Officer, overtime rates shall be negotiated. Failure to agree upon these overtime rates shall be treated as a dispute under the Disputes clause of this contract. If the Schedule provides rates for overtime, the premium portion of those rates will be reimbursable only to the extent the overtime is approved by the Contracting Officer. In the event performance of a task requires employees to work in excess of an “established” normal work week (usually 40 hours), thereby making the contracted employee eligible for an overtime premium, the Health and Welfare benefits will not be applied in calculating the loaded hourly rate.

The overtime premium shall be computed as follows:

6.3.1. The Contractor shall bill for overtime hours based on an overtime markup percentage that results in the recovery only of FICA, FUTA, SUTA and Workman’s Compensation costs for the overtime portion of the payment. This means that, for one hour of overtime, the Contractor shall recover costs in the same amount for their percentage markup as the Contractor would receive for any base hour at a straight time rate.

6.3.2. In conditions where work is required on a Federal holiday (such as a federal facility that is open on holidays), the Contractor shall pay applicable employees who work on the holiday regular pay for the hours worked on the holiday plus holiday pay in accordance with the Department of Labor (DOL).

6.3.3. Liability for a Contractor employee’s vacation is the responsibility of the Contractor by whom the person is employed at the time the contracted employee becomes eligible for vacation, i.e., the employee’s anniversary date of employment (this could include time spent on a predecessor contract as well as time spent under the current contract). (See DOL Title 29 of the Code of Federal Regulations, Labor Standards for Federal Service

Contracts, Part 4).

6.3.4.1. Since all costs associated with vacations and holidays are the exclusive responsibility of the Contractor; the Contractor’s markup percentage must include these costs. The only exception to this requirement would be if a specific statement were included in the wage determination, which makes an exception to the general rule.

B7. OTHER DIRECT CHARGES

7.1 The Contractor will not be required to obtain supplies, equipment, or services related to the performance of the task. Only travel specifically authorized by the Task Order will be reimbursed.

7.1.1. Travel costs shall be reimbursed utilizing the Joint Travel Regulations as applicable from FAR 31.205-46 for locality per diem rates. The travel costs will be reimbursed to include previously negotiated handling rates. Travel shall not be reimbursed for travel within a 50-mile radius of the place of performance stated in the contract. No handling charges, burden, G&A or profit will be paid on these actual costs.

B8. PROMOTIONAL PRICING

8.1. The Contractor is permitted to offer “promotional” terms when specific Task Order conditions and/or volume offer sufficient business potential to warrant special discount prices to the Government. Contractors may either offer promotional pricing in response to a Task Order request or in a written proposal at any time it is advantageous to the Government.
