SECTION H - SPECIAL CONTRACT REQUIREMENTS
H0006 - Economic Price Adjustment (EPA) Steel and Aluminum:___________________________________________________________
(a) This clause applies to the unit price(s) for steel and aluminum only. The amount of increases or decreases will be limited to the unit price(s) of the actual material (steel & aluminum) only and shall not include such costs as labor, overhead, G&A and profit. NOTE:
THIS CLAUSE APPLIES TO EXERCISED OPTIONS ONLY. IT DOES NOT APPLY TO THE BASE AWARDS. The Contracting Officer will notify the Contractor approximately 30 days prior to exercising any option. The contractor, within 20 days of issuance of the Contracting Officer's notice, shall notify the Contracting Officer of any price increases or decreases related to steel and/or aluminum, and shall provide sufficient data (e.g. purchase orders, quotes, invoices) supporting the amount of increases or decreases. The option quantity exercised will be awarded by modification to this contract at the Attachment 0001 - Pricing Matrix CLIN unit price, plus or minus the Contractor substantiated adjustment, based on the price fluctuation (increases or decreases) of steel and/or aluminum. For the purpose of defining contract performance, the basic contract and any options are considered to be individual performance periods and will be considered independent of each other. The Contractor shall submit sufficient data documenting the actual price paid for steel and/or aluminum, in the form required by the PCO, no later than 150 days prior to the first delivery of an option quantity awarded. If the data supporting actual price paid for steel and/or aluminum is less than the negotiated price for steel and/or aluminum indicated by the data provided under this clause, the Contracting Officer will issue a modification adjusting CLIN unit prices for option quantities exercised. The adjustment will be DOWNWARD ONLY. The modification decreasing applicable CLIN unit price(s) will be made within 30 days of receipt of the data required under this Paragraph. The notice shall include the Contractor's proposal for an adjustment in the contract unit price(s) to be negotiated under paragraph (b) of this clause, and shall include:
(1) Documentation to support the proposed unit price increase/decrease for each material; and
(2) Adjustments to the unit price of all CLINs affected.
(b) Promptly after the Contracting Officer receives the notice and data under paragraph (a) of this clause, the Contracting Officer and the Contractor shall negotiate a price adjustment in the contract unit price(s) and its effective date. The Contracting Officer shall modify this contract: (1) to include the price adjustment and its effective date, and (2) to revise the unit price(s) of material
(steel and/or aluminum) as proposed to reflect the increases or decreases resulting from the adjustment. The Contractor shall continue performance pending agreement on, or determination of, any adjustment and its effective date.
(c) Any price adjustment under this clause is subject to the following limitations:
(1) Any adjustment shall be limited to the effect on unit price(s) of the increases or decreases in the unit price(s) for steel and/or aluminum. There shall be no adjustment for-
(i) Supplies or services for which the production cost is not affected by such changes;
(ii) Changes in unit price(s) other than those proposed; or
(iii) Changes in the quantities of material (steel and/or aluminum) used from those proposed for each item.
(2) No upward adjustment shall apply to supplies or services that are required to be delivered or performed before the effective date of the adjustment.
(3) There shall be no adjustment for any change in the unit price(s) for material (steel and/or aluminum) which would not result in a net change of at least 2 percent (steel and/or aluminum combined) of the then-current unit price(s).
(4) The aggregate of the increases (steel and aluminum combined) in any contract unit price(s) made/adjusted under this clause shall not exceed 10 percent of the original unit price(s) during any performance period of the contract. After final negotiation of unit price adjustment(s) for a given performance period, no further adjustment to the unit prices will be made. There is no percentage limitation on the amount of decreases that may be made under this clause.
(d) The Contracting Officer may examine the Contractor's books, records, and other supporting data relevant to the cost of material
(steel and/or aluminum) during all reasonable times until the end of 3 years after the date of final payment under this contract or the time periods specified in Subpart 4.7 of the Federal Acquisition Regulation (FAR), whichever is earlier.
(e) As also required by this provision, the Contractor shall complete the information required below:

(f) Computation of EPA for each material will be according to the following methodology and the EPA Calculation Table:
(1) The difference, whether (+) or (-), between the negotiated steel and aluminum price in Column (5) and the base price, as proposed by the Contractor, in Column (4) will be entered in Column (6).
(2) The difference, whether (+) or (-), in Column (6) shall be divided by the applicable base price in Column (4). The resulting rate of change shall be entered in Column (7).
(3) The material content factor in Column (3) will be multiplied by the material price difference (+) or (-) in Column (6), with the resulting amount entered in Column (8).
(4) The adjustment amount in Column (8) shall be the basis for adjusting the contract unit price for the CLIN in column (2).
(5) The contract unit price adjustment will be computed for each eligible CLIN and applied, when material price changes meet threshold criteria, subject to paragraph (c) limits.
EPA Calculation Table_____________________
(1) (2) (3) (4) (5) (6) (7) (8)
Adjustment CLIN Material Content Base Negotiated Price Percent EPA
Period Factor Price Material Price Difference Change Adjustment
TABLE_____
(a) Column (1) is the performance period for which EPA adjustment is being made
(b) Column (2) is the CLIN
(c) Column (3) is the material content factor for the specific CLIN as proposed by the Contractor in this clause
(d) Column (4) is the base material unit price as proposed by the Contractor in this clause
(e) Column (5) is the negotiated steel or aluminum
(f) The remaining columns are for calculation of the EPA unit price adjustment for a given CLIN; and to determine if the change in price meets the threshold criteria for EPA adjustment in (c) above.
EXAMPLES:_________
1. EPA Upward Adjustment Example (Date and prices are for illustrative purposes only)
In this example, the base price for steel was $4.00 per pound and the negotiated price for steel is $4.50 per pound in Option Period 1
(OP1).
(1) (2) (3) (4) (5) (6) (7) (8)
OP1 0001 0.012099 $4.00 $4.50 $0.50 12.5% $0.0060
Result: Since the negotiated steel price is higher than the base price by more than 2%, the adjustment would increase the unit price.
2. EPA Downward Adjustment Example (Date and prices are for illustrative purposes only)
In this example, the base price for steel was $4.00 per pound and the negotiated price for steel is $2.75 per pound in OP1.
(1) (2) (3) (4) (5) (6) (7) (8)
OP1 0001 0.012099 $4.00 $2.75 -$1.25 -31.25% -$0.0151
Result: Since the negotiated steel price is lower than the base price by more than 2%, the adjustment would decrease the unit price.

3. EPA No Adjustment Example (Date and prices are for illustrative purposes only)
In this example, the base price for steel was $4.00 per pound and the negotiated price for steel is $3.95 per pound in OP1.
(1) (2) (3) (4) (5) (6) (7) (8)
OP1 0001 0.012099 $4.00 $3.95 -$0.05 -1.25% -
Result: Since the negotiated unit price for steel did not result in a change of at least +/-2 percent of the base price, there will be no adjustment.
4. EPA Upward Adjustment Exceeding Cap Example (Date and prices are for illustrative purposes only)
In this example, the base prices for steel and aluminum were $4.00 per pound and $1.00 per pound, respectively. The negotiated price in
OP1 for steel is $7.00 per pound, the negotiated price for aluminum is $1.60 per pound. The contractor's matrix unit price for CLIN
0001 at the projected quantity range as provided in paragraph (a) of this clause is $0.3820.
(1) (2) (3) (4) (5) (6) (7) (8)
Steel OP1 0001 0.012099 $4.00 $7.00 $3.00 75.00% $0.0363
Aluminum OP1 0001 0.004367 $1.00 $1.60 $0.60 60.00% $0.0026
Result: The two EPA adjustments combined total $0.0389 ($0.0363 + $0.0026 = $0.0389). 10% of the CLIN 0001 matrix unit price (for the given quantity range in OP1) is $0.0382 ($0.3820 x 10% = $0.0382). Since $0.0389 exceeds 10% of the unit price, the upward adjustment for CLIN 0001 would be capped at $0.0382.
