C.1 Statement of Work

STATEMENT OF WORK

FOR

Multiple Award Construction Contract

PART 1 GENERAL

1.1. General: It is the intent of this Statement of Work (SOW) is to define the requirements for the National Institute of Standards and Technology (NIST) Indefinite Delivery Indefinite Quantity (IDIQ) Multiple Award Construction Contact (MACC) at the NIST Boulder Campus and Fort Collins Site. The SOW identifies the requirements of the MACC and the procedures for soliciting, selecting and awarding IDIQ task orders. The MACC scope of work is for design-bid-build (DBB) projects involving construction and demolition work. The project requirements may involve minimal design work that is incidental to the construction work or basic design work for non-complex projects. The scope of work includes construction, maintenance, repair, equipment installation, sustainment, restoration / modernization and demolition.

1.2. Location: The Department of Commerce (DOC) site campus is located at 325 Broadway in Boulder, Colorado. The requirements, as presented in this document, along with any attachments, are intended to describe the minimum Government requirements.

1.3. Total Contract Value and Period of Performance: The total maximum quantity to be ordered is $9,999,000 for the length of the contract, not to exceed five years. The maximum quantity is calculated as the sum of all task orders (TO) issued, including modifications, to all the MACC contractors.

1.4. See the General Instructions (Attachment 1) for Construction/Maintenance Activities for conducting work included in the contract for information on rules and requirements of performing work on the sites in Boulder and Ft. Collins, Colorado.

PART 2 BACKGROUND

2.1 The NIST Office of Facilities and Property Management (OFPM) manages and provides services to the DOC staff in support of their research, technical, and administrative programs. DOC agencies serviced by OFPM Boulder include, but are not limited to NIST and the National Telecommunications and Information Administration (NTIA).

2.2 The facilities consist of scientific research facilities and radio transmission sites. The facilities are made up of approximately 30 different buildings (approx. 650,000 sq. ft.), which consist of scientific research laboratories and clean-rooms, warehouses, machine shops, maintenance shops, a central utility plant, administrative offices, and conference / auditorium spaces. The age of the facilities range from late 1950’s to recent technology and construction. These sites are located in Boulder and Fort Collins, Colorado. The majority of the work is expected to be at the NIST facility in Boulder, CO with minimal amount expected to be in the Fort. Collins, CO.

PAGE 10 OF 62 SB134118RP0009

2.3 The Contractor shall furnish all management, supervision, labor, materials, equipment, and incidentals required for a broad range of maintenance, repair, and construction work on various real property facilities at installations covered under this contract as design-bid-build projects. The Contractor shall principally perform construction only. Drawings, specifications, and other data for and preliminary to the construction are prepared by the Government; the contract is only for the construction of the project. Project requirements may involve minimal design and/or other engineering services work that is incidental to the construction work, or basic design work for non-complex projects.

2.4 The MACC scope of work includes architectural, mechanical, electrical and civil works for projects in support of facility investment such as facility and built-in equipment repair, construction, maintenance, equipment installation, sustainment, restoration / modernization, new footprint and demolition. The Contractor shall furnish all labor, management, supervision, tools, materials, equipment, engineering, and transportation, except otherwise specified herein, necessary to perform various facility and build-in equipment type projects.

Work may include hazardous material removal, including asbestos and lead-base paint, and environmental related work. Work will be performed in a scientific and research environment where the facility must remain operational at all times and the impact to the scientific research shall be mitigated/minimized at all times.

PART 3 TASK ORDER GENERAL REQUIREMENTS

3.1 Following award of the IDIQ MACC contracts, NIST will solicit MACC Contractors for TO - Request for Proposals (RFP). Each TO-RFP will identify the proposal submittal date.

TO-RFP periods will normally range between 5 - 30 days, depending on scope, complexity and value of work. Individual TO projects will range in ordering value from $2,000 to $1,250,000. The total maximum quantity to be ordered is $9,999,000 for the length of the contract, not to exceed five years. The maximum quantity is calculated as the sum of all orders issued, including modifications, to all the MACC contractors.

3.2 Contractors are not required to submit a proposal in response to each and every TO- RFP; however, contractors are encouraged to submit a proposal in response to each TO- RFP. If a contractor decides not to submit a proposal for a task order, the contractor SHALL submit a written notification to the CO of its intent to decline proposal submission including a brief explanation for declining. The written notification must be submitted by the TO-RFP proposal submittal date/time.

3.3 Task Orders may be evaluated and awarded on the basis of a Price Only method; a Lowest Price Technically Acceptable (LPTA) method; or a Best Value-Trade Offs method across the best value continuum. If the Government decides to issue the task order as a best value, the TO-RFP will identify factors, submittal requirements and the basis of evaluation.

Factors will vary depending on the unique requirements for each TO.

3.4 The Government reserves the right to accept other than the lowest price offer. The TO-RFP will describe the relationship between price and other non-price factors considered in TO source selection. When soliciting as best value, the TO-RFP may require submission of a written proposal describing the approach to the proposed project work described in the

PAGE 11 OF 62 SB134118RP0009

Government’s SOW and project drawings, if any. The Contractor’s proposal may be required to include; a written narrative describing their approach to the subject project, drawings to show the intended work, a schedule showing the Contractor’s intended progression, and any permits required.

3.5 The Government intends to award TOs without discussions; however, the Government reserves the right to conduct discussions if it deems appropriate. If discussions are conducted, each offeror will be requested to provide a final proposal, unless eliminated from discussions through the establishment of a competitive range.

3.6 TO competition: TO-RFPs will be competed among the MACC contractors; however, the Government may issue a TO-RFP to only one contractor in the following situations:

a. The work is specialized and one Contractor possesses a clear price advantage for the type of work that would be involved which is unlikely to be overcome by consideration of any other factors.

b. The work requirement is of such urgency that following the procedures set forth in this section, would result in unacceptable delay.

c. Only one Contractor possesses the capability of performing the work.

d. The order is a logical follow-on to an order already issued to a Contractor such that economy and efficiency dictate award to the same Contractor.

e. The order is necessary to meet the Government's minimum guarantee. Should one of the IDIQ contractors be unable to competitively secure a task order to meet the minimum guarantee, then the Government reserves the right to solicit and negotiate a task order with only that offeror.

3.7 The U.S. Government shall not be obligated to reimburse the Contractor for work performed, or any costs incurred, nor shall the Contractor be obligated to perform, or otherwise incur costs except as authorized by duly executed Task Orders. Contractor's costs will not be compensated for participating in site visits and task order proposal.

3.8 A written Task Order will be issued to the Contractor by the Contracting Officer for each project of work to be performed under this contract.

3.9 Task orders may involve trades such as carpentry, plumbing, electrical, mechanical, painting, pipe fitting, sheet metal, welding, roofing, site work, site utilities, excavation, concrete, masonry, pavement repair, asbestos and lead paint removal, security hardware installation, and demolition.

3.10 Task orders may include, but are not limited to, construction/renovation of scientific research laboratory facilities and/or administrative facilities (offices, operation centers, and warehouses); utilities; electrical systems; water systems; sewage systems; ADA compliance

PAGE 12 OF 62 SB134118RP0009

requirements; safety systems such as fall protection devices / guardrails; solar/energy conservation systems; roofs; communications; security systems; radio transmission towers;

HVAC systems; roads; fences; and gates. Activities may consist of but are not limited to:

a. Construction services including site renovations and renovations of existing labs and offices up to and including the complete strip out of selected areas and the reconstruction of new labs and offices in facilities built as long ago as the early 1950’s.

b. Structural demolition and construction including foundations, concrete, steel and other materials used in the construction trades.

c. Mechanical demolition and construction including energy conservation, heating and ventilation, air conditioning, plumbing, fire protection, alarms, sprinkler systems, special mechanical systems and process systems. May include the repair, replacement, and or upgrading of mechanical systems or equipment including controls.

d. Electrical construction including power service and distribution, lighting, telephones, fire detection and alarms, security systems, electronic communications, special electrical systems, energy conservation, code analysis, and general space requirements. May include the repair, replacement, and or upgrading of electrical systems or equipment.

e. General excavation including utility systems, water systems, fire protection systems, drainage systems, roads, earthwork and paving, grading, native landscaping, irrigation, landscape, and walkways/bike paths.

f. Disassembling, reassembling and moving of laboratory/office equipment/furniture from one area to a new location and or storage during the activities described in the SOW.

3.11 Task orders will be primarily multiple-craft involving the installation of new equipment, and/or the removal of old or outdated equipment and may involve the repair or modernization of existing equipment within laboratories and surrounding spaces attached to laboratories and offices. In addition, some TOs may involve the complete demolition of an existing space and the build-back of a completely new lab, office, or common space with new materials from the floor to ceiling including lights, air handling and temperature control systems, along with any specialized connections to support the lab function such as chilled water, low/high pressure air, special electrical requirements, fume hoods, and exhaust fans, etc. TOs may also include the moving and installation of new scientific/electronic equipment and/or the removal of equipment from one area of the site, then moving and installing it at a new, designated location. This will require involvement of contractor personal with the Contracting Officer’s Representative (COR), scientific staff, and possibly the manufacturer of equipment.

3.12 Work requirements may involve work in and around occupied areas performing scientific/research experiments where vibration, noise, dust, outages of utilities and/or disturbances to the physical environment will hinder the ability of the Government to perform required activities. ALL activities must be planned, scheduled and coordinated with the COR in order to be posted for a minimum of two weeks prior to the activity beginning. Flexibility

PAGE 13 OF 62 SB134118RP0009

may be required for certain activities and may have to be performed out of normal business hours, such as concrete sawing, hammer drilling, utility shutdown and/or other activities which may cause disturbances and interrupt normal activities.

3.13 Contracting Officer’s Representative (COR): The Government will designate a single specific COR for the IDIQ MACCs. The Government will assign a specific COR for each TO.

In the event that a COR is not designated for a task order upon award, then the MACC COR will serve as the COR for the TO.

3.14 Bonds: The contractor shall submit Performance and Payment Bonds for awarded TOs only. The Contractor shall ensure the MACC number and the TO number are included on each Performance and Payment Bond.

3.15 Liquidated damages: Liquidated damages will be identified for each specific TO in the

TO-RFP.

3.16 Precedence: In the event that the RFP or contract requirements of a TO conflict with the requirements of the basic MACC, the TO requirements take precedence over that of the MACC requirements.

PART 4 TASK ORDER SOLICITATION AND PROPOSAL

4.1 Task Order Request for Proposal: When the Government requires work under the MACC, a TO-RFP will be issued to the MACC contractors. The TO-RFP will include an electronic copy of the SOW, and if applicable, an electronic set of drawings and specifications. The level of the design provided to the Contractor shall be anywhere from a basic concept to a complete design package, depending on the scope and complexity of the requirement. The Contractor may reproduce the drawings and specifications at the Contractor’s own expense. The Contractor shall check all drawings and specifications immediately upon receipt for discrepancies and notify the Contracting Officer (CO) immediately of any/all discrepancies found. Enlarged plans and details shall govern where the same work is shown at smaller scales. The Contractor shall compare all drawings and verify the installation before proceeding with work and shall be responsible for any errors which might have been avoided thereby.

4.2 Site Visit: Depending on the complexity of the project, the Government may conduct a pre-proposal site visit for the TO-RFP. Site Visits are encouraged but are not mandatory.

The Government will not reimburse any expense the contractor incurs in proposal preparation. Site visit discussions may include clarification of: scope of work, method of construction, sequence of operations, progress schedule, means of access to project site, delivery and storage of materials and equipment, work restrictions, coordination requirements, project goals, liquidated damages, and potential difficulties/problems. The Contractor shall email site visit questions to the CO within two (2) workdays following the site visit.

4.3 On-Site Conditions: As-builts / drawings / existing site conditions: As-built drawings will be provided when possible; however, current as-built drawings may not be available.

PAGE 14 OF 62 SB134118RP0009

Drawings showing the location of equipment, piping, ducts and conduit, etc. are diagrammatic and may not show every detail required. In addition, site conditions will not always permit installation in the locations shown. Drawings showing equipment, piping, ducts, conduit, etc., to be removed, altered, or installed, may require deviation from the configuration of the demolition or installation drawings. This may be due to existence of conflicting ducts, conduits, hangers, light fixtures, structural items, and temporary walls, etc. All such minor details of work which are not shown on the drawings, as well as such items not specifically mentioned in the specifications, but which are essential and necessary for the completion of the work, and to make all systems or equipment operational, shall be considered as incidental and shall be included as part of the work. When this situation occurs, the final placement of permanently installed items shall be subject to approval by the CO. The Contractor shall be responsible for inspecting to his satisfaction all areas/items of possible conflict. Failure to verify the dimensions and locations will be at the Contractor's risk and shall not relieve the Contractor from accomplishing the work required by the TO.

4.4 Location of Underground Facilities: Where existing piping, utilities, and underground obstructions of any type are indicated in locations to be traversed by new piping, ducts, and other work provided herein, and such are not indicated or specified to be removed, the elevations of the existing utilities and obstructions shall be verified before the new work is laid closer than the nearest manhole or other structure at which an adjustment in grade could be made. For any additional work required by reason of conflict between the new and existing work, an adjustment in contract price will be made in accordance with Contract Clause entitled "DIFFERING SITE CONDITIONS".

4.5 All proposals shall include, at a minimum, a cover page, the firm-fixed price, assumptions, performance period, any special considerations such as request for winter exclusion, phasing of construction, operational concerns, etc. The Contractor’s proposals shall be complete and concise.

4.6 For non-complex projects, the Government may require, as part of the proposal, a basic design concept or solution. Design concepts and drawings shall be sufficient to substantiate the proposed approach for the TO and shall be compliant with all applicable building and construction codes. In the RFQ, the Government will identify the extent of documentation that the Contractor shall include in the TO proposal.

4.7 For TOs involving incidental design work or non-complex TOs involving basic concepts or design, the documentation requirements may include calculations to substantiate appropriate equipment or material selection/ sizing, component assembly, and proposed layout and sizing of utilities and structural elements. The Contractor shall (if applicable) supply the following calculations:

a.i. Mechanical: HVAC load analysis and unit sizing, pipe sizing, and duct sizing.

a.ii. Electrical: Electrical system capacity, conductor, conduit, protective devices, and other equipment sizing.

a.iii. Structural: Structural system and foundation sizing.

The Contractor shall maintain complete inspection records and make them available to the Government. All work shall be conducted under the general direction of the Contracting Officer and is subject to Government inspection and test at all places and at all reasonable times before acceptance to ensure strict compliance with the terms of the contract.

(c) Government inspections and tests are for the sole benefit of the Government and do not--

(1) Relieve the Contractor of responsibility for providing adequate quality control measures;

(2) Relieve the Contractor of responsibility for damage to or loss of the material before acceptance;

(3) Constitute or imply acceptance; or

(4) Affect the continuing rights of the Government after acceptance of the completed work under paragraph (i) of this section.

(d) The presence or absence of a Government inspector does not relieve the Contractor from any contract requirement, nor is the inspector authorized to change any term or condition of the specification without the Contracting Officer`s written authorization.

(e) The Contractor shall promptly furnish, at no increase in contract price, all facilities, labor, and material reasonably needed for performing such safe and convenient inspections and tests as may be required by the Contracting Officer. The Government may charge to the Contractor any additional cost of inspection or test when work is not ready at the time specified by the Contractor for inspection or test, or when prior rejection makes reinspection or retest necessary. The Government shall perform all inspections and tests in a manner that will not unnecessarily delay the work.

Special, full size, and performance tests shall be performed as described in the contract.

(f) The Contractor shall, without charge, replace or correct work found by the Government not to conform to contract requirements, unless in the public interest the Government consents to accept the work with an appropriate adjustment in contract price. The Contractor shall promptly segregate and remove rejected material from the premises.

(g) If the Contractor does not promptly replace or correct rejected work, the Government may--

(1) By contract or otherwise, replace or correct the work and charge the cost to the Contractor;

or

(2) Terminate for default the Contractor`s right to proceed.

(h) If, before acceptance of the entire work, the Government decides to examine already completed work by removing it or tearing it out, the Contractor, on request, shall promptly furnish all necessary facilities, labor, and material. If the work is found to be defective or nonconforming in any material respect due to the fault of the Contractor or its subcontractors, the Contractor shall defray the expenses of the examination and of satisfactory reconstruction. However, if the work is found to meet contract requirements, the Contracting Officer shall make an equitable adjustment for the additional services involved in the examination and reconstruction, including, if completion of the work was thereby delayed, an extension of time.

(i) Unless otherwise specified in the contract, the Government shall accept, as promptly as practicable after completion and inspection, all work required by the contract or that portion of the work the Contracting Officer determines can be accepted separately. Acceptance shall be final and conclusive except for latent defects, fraud, gross mistakes amounting to fraud, or the Government`s rights under any warranty or guarantee.

(1) by an act of the Contracting Officer in the administration of this contract, or

(2) by the Contracting Officer`s failure to act within the time specified in this contract (or within a reasonable time if not specified), an adjustment shall be made for any increase in the cost of performance of this contract (excluding profit) necessarily caused by the unreasonable suspension, delay, or interruption, and the contract modified in writing accordingly. However, no adjustment shall be made under this clause for any suspension, delay, or interruption to the extent that performance would have been so suspended, delayed, or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an equitable adjustment is provided for or excluded under any other term or condition of this contract.

(c) A claim under this clause shall not be allowed--

(1) For any costs incurred more than 20 days before the Contractor shall have notified the Contracting Officer in writing of the act or failure to act involved (but this requirement shall not apply as to a claim resulting from a suspension order); and
