Section H - Special Contract Requirements
TO ORDERING PROCEDURES
1. Fair Opportunity. IAW 16.505(b)(2)(i), the contracting officer shall give every awardee a fair opportunity to be considered for a task order exceeding the micro-purchase threshold unless one of the following statutory exceptions applies:
(A) The agency need for the supplies or services is so urgent that providing a fair opportunity would result in unacceptable delays;
(B) Only one awardee is capable of providing the supplies or services required at the level of quality required because the supplies or services ordered are unique or highly specialized;
(C) The order must be issued on a sole-source basis in the interest of economy and efficiency because it is a logical follow-on to an order already issued under the contract, provided that all awardees were given a fair opportunity to be considered for the original order;
(D) It is necessary to place an order to satisfy a minimum guarantee;
(E) For orders exceeding the simplified acquisition threshold, a statute expressly authorizes or requires that the purchase be made from a specified source;
(F) In accordance with section 1331 of Public Law 111-240 ( 15 U.S.C. 644(r)), contracting officers may, at their discretion, set aside orders for any of the small business concerns identified in 19.000(a)(3); or
(G) The order satisfies one of the exceptions permitting the use of other than full and open competition listed in
6.302 ( 10 U.S.C. 2304 c(b)(5)).
IAW FAR 16.505(b)(1)(iii), each order exceeding the simplified acquisition threshold (SAT) shall be placed on a competitive basis in accordance with paragraph FAR 16.505(b)(1)(iii)(B), unless one of the statutory exceptions above applies.
2. Issuance of Task Orders.
a. Task Orders will be issued in writing by the Mission and Installation Contracting Command (MICC) Environmental Division at Joint Base San Antonio Fort Sam Houston, Texas.
b. The type of competition is a Contracting Officer decision, not subject to FAR 52.212-4 (d) Disputes.
c. Specific performance assignments will be made by the Government by issuance of TOs wherein the work to be performed will be described in terms of scope, services required and schedule milestones. The procedure for establishing task orders will be as follows:
d. When the Government has a requirement for work above the micro-purchase threshold, the Contracting Officer shall give every awardee a fair opportunity to be considered for a task order unless the Contracting Officer implements an exception under FAR 16.505(b)(2)(i). The Contracting Officer has sole discretion to set aside a requirement for small business concerns under the FAR 16.505(b)(2)(i)(F) exception or not to set aside the requirement for small business concerns. If the requirement exceeds SAT, a Request for Task Order Proposal (RTOP) will be sent out to the appropriate business suite. The RTOP will provide each IDIQ awardee with the Performance Work Statement (PWS) describing the requirements and objectives of the tasks and all other applicable documents (ie., performance requirement summary, deliverable schedule, wage rates, site background information, reference materials, government furnished information, etc.). The RTOP will also include a price schedule containing the Contract Line-Item Number (CLIN) structure. Additionally, the RTOP will provide the source selection evaluation method and all evaluation factors, establish a date for questions & answers, site visit (if applicable) and the RTOP’s closing date; and any other pertinent information required to provide a fair opportunity for the competition of the TO requirement.
e. The contractor shall furnish a TO proposal to the Contracting Officer within the timeframe specified in the RTOP.
The RTOP’s response should demonstrate an understanding of the PWS tasks required through a comprehensive discussion of the contractor’s technical capability, to include but not limited to technical approach, proposed staffing, level of effort, and project schedule. The response shall also include a completed pricing schedule/CLIN Structure. Each TO requirement will be priced on a Firm-Fixed-Price (FFP) basis.
3. Award of Task Orders.
a. Task Order proposal evaluation procedures will be conducted IAW FAR Part 16.505 and supplements thereto.
Award will be made to a single offeror who is deemed responsible in accordance with FAR 9.104, whose proposal conforms to the RTOP requirements, and whose proposal, and other considerations specified in the RTOP, represents the best value to the Government.
b. Applicable wage determinations will be identified within the RTOP for task orders that are subject to the Service Contract Labor Standards (SCLS). The contractor shall comply with SCLS and related clauses when task orders are covered by the SCLS.

ii. Require that the Contracting Officer take corrective action regarding the complaint.
e. If the Contracting Officer does not agree with the decision of the ombudsman, the matter shall be referred to the Mission Installation Contracting Command Senior Contracting Official (SCO) for final decision.

52.216-19 ORDER LIMITATIONS (OCT 1995)
(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than $5,000, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.
(b) Maximum order. The Contractor is not obligated to honor -
(1) Any order for a single item in excess of $25,000,000;
(2) Any order for a combination of items in excess of $25,000,000; or
(3) A series of orders from the same ordering office within 180 days that together call for quantities exceeding the limitation in paragraph (b) (1) or (2) of this section.
(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after the completion of the task order, including task order option periods, five (5) years following the expiration of the IDIQ contract ordering period.

(3) Contracts that have been awarded on a sole-source basis in accordance with subparts 19.8, 19.13, 19.14, and 19.15;
(4) Orders expected to exceed the simplified acquisition threshold and that are—
(i) Set aside for small business concerns under multiple-award contracts, as described in 8.405-5 and 16.505(b)(2)(i)(F); or
(ii) Issued directly to small business concerns under multiple-award contracts as described in 19.504(c)(1)(ii);

(6) Contracts using the HUBZone price evaluation preference to award to a HUBZone small business concern unless the concern waived the evaluation preference.
(d) Independent contractors. An independent contractor shall be considered a subcontractor.
(e) Limitations on subcontracting. By submission of an offer and execution of a contract, the Contractor agrees that in performance of a contract assigned a North American Industry Classification System (NAICS) code for—
(1) Services (except construction), it will not pay more than 50 percent of the amount paid by the Government for contract performance, excluding certain other direct costs and certain work performed outside the United States (see paragraph (e)(1)(i)), to subcontractors that are not similarly situated entities. Any work that a similarly situated entity further subcontracts will count towards the prime contractor’s 50 percent subcontract amount that cannot be exceeded. When a contract includes both services and supplies, the 50 percent limitation shall apply only to the service portion of the contract. The following services may be excluded from the 50 percent limitation:
