** HOUR & DATE for Receipt of Offers for FA4 is EXTENDED to: January 9, 2012 @ NLT 12 noon E.T.

See continuation pages.

Joseph L. Widdup Contracting Officer

The purpose of this amendment is to publish the Government’s responses to questions received from potential offerors:

NOTE: This amendment revises the deadline for submitting questions regarding FA4 to December 9, 2011 and the due date for FA4 proposals to January 9, 2012 @ no later than 12:00 noon E.T.

1. With the consolidation of FA4 and FA5 to one FA4, there are several areas in Section

C.4.4 and Section C.4.5 of the solicitation that are misleading or could be confusing. This coupled with the number of amendments that have been issued to the MOMS contract, and the volume of RFP overwrites included, does the government intend to issue a revised RFP with all amendments addressed?

NRC Response: No. Please read the solicitation and all amendments carefully.

2. With the consolidation of FA4 and FA5 and for a modernized system, will a Task Order include the Development of a modernized system and the Maintenance and Operation of the same system, therefore eliminating any communication constraints between contractors that would have been issued a Task Order for FA4 and a Task Order for FA5?

NRC Response: Communication between the FA4 and FA5 vendors will no longer be required, as FA5 has been consolidated into FA4.

3. What types of contracts will be issued under FA4? In section L.3 (page L-9) of the original RFP, it was stated that “d) FA4 contract award(s) will result in subsequently competed task order(s) that will utilize the firm-fixed-price contract type, depending on the task order requirements” and that “e) FA5 contract award(s) will result in subsequently competed task order(s) that may utilize the time-and-materials, labor-hour or firm-fixed-price contract type, depending on the task order requirements.” Please clarify the types of contracts that will be issued under the combined FA4, “Legacy Modernization, New Software Application Development, and Maintenance and Operation of Modernized Systems.”

NRC Response: The FA4 task orders will include both modernization and maintenance and operations.

Modernization tasks will be firm-fixed-price with a period of performance not to exceed 6 months. Maintenance and operations task orders may be firm-fixed- price, time-and-materials, and/or labor hour.

4. Amendment 006 states - 7. Delete pages M-1 thru M-5 in Section M – EVALUATION

FACTORS FOR AWARD and replace with the following: M.1 52.212-2 “(c) Each offeror’s proposal will be evaluated according to the factors shown below. The Technical Capability factor is more important than the Past Performance Information Factor. The Technical Capability factor and the Past Performance Information factor, when combined, approximately equal importance to the Cost/Price factor. The Small Business Subcontracting Plan factor, which applies only to FA2 and FA3, will be evaluated on a pass/fail basis.”

Question: Within the Technical Capability (Volume II) how will Subfactors A-Management Plan, B- Technical Approach and C- Corporate Experience be scored relative to each other?

NRC Response: The Technical Capability Subfactors A-C are of approximately equal importance.

5. Deadline for FA4 Questions

a. What is the deadline for submitting questions regarding FA4?

NRC Response: This Amendment revises the deadline for submitting questions regarding FA4 to December 9, 2011.

b. When does the government anticipate issuing responses to FA4 Questions?

NRC Response: The Government anticipates issuing responses to FA4 questions within 2 weeks after the due date for submitting questions.

6. Does the government intend to keep November 7, 2011 as the due date for FA4 proposals?

NRC Response: No. This Amendment revises the due date for FA4 proposals to January 9, 2012 @ no later than 12:00 noon E.T.

7. The response to Amendment 007, Question 24 states “FAR Subpart 104 - Information

Technology Services prohibit describing any experience or education requirement for contractor personnel.

However, after awarding the IDIQ contracts and during the task order competition(s), the NRC will require contractors to propose key personnel and a description of current personnel resources. This includes resumes detailing an individual’s background, education, work experience, and accomplishments with a description of the experience and capability.” and “the offeror shall include its own labor category descriptions and related education/experience/duties standards for its own labor categories that it is proposing in its proposal so that those specific labor category titles and related standards can be incorporated into the IDIQ contract award (if the offeror receives an award).”

Will the government clarify whether the contractor needs to include their own equivalent labor category qualifications, descriptions and education for their proposed equivalent and additional labor categories, or whether the contractor only needs to furnish this information after an award is made?

NRC Response: If additional labor categories are being proposed (in addition to the six labor categories identified in Addendum FF) by the offeror, then the offeror shall provide labor category descriptions and related education/experience/duties for the additional labor categories proposed. However, the Government does not expect the offeror to submit resumes until after award.

Question: If it needs to be included in the IDIQ proposal, in which volume should the contractor include this information, and will it count against the page budget for that volume?

NRC Response: Resumes should not be included in the IDIQ proposal.

8. Will the government issue an updated Appendix FF (FA1-5) Cost Template to:

a. Eliminate the tab for FA5

NRC Response: No. Offerors should ignore or eliminate FA5 tab.

b. Add more labor categories to FA4, as was done for FA3

NRC Response: No. Offerors may add more labor categories at their discretion.

9. Amendment 009 provides breakouts for the estimated values for FA2 and FA3 per year.

Can the government provide an estimated breakout per year for FA4?

NRC Response: FA4 value over 10 years: Estimate: $100 million; Maximum Value: $140 million. Estimate per contract year:

Base Period: $1 million Option Period I: $1.5 million Option Period II: $1.5 million

Option Period III: $1.5 million Option Period IV: $17million Option Period V: $20 million Option Period VI: $20 million Option Period VII: $20 million Option Period VIII: $10 million Option Period IX: $5 million Option Period X: $2.5 million

10. If an offeror submitted Past Performance Questionnaires for a separate functional area

(e.g. FA3), and the Past Performance Questionnaires would be identical to those submitted for FA4, can the offeror refer the government to the previously submitted Past Performance Questionnaires?

NRC Response: No, the offeror shall not refer the Government to previously submitted documentation. The scope of each functional area is different.

11. Amendment 6 – Page 3 – a. Management Plan – Paragraph 2:

“A ‘Small Business’ shall indicate how they intend to ensure compliance with FAR clauses 52.219-6, 52.244-2 and 52.244-5.”

Question: FAR 52.244-2 mentions an “approved purchasing system.”

a) Is the contractor required to have an approved purchasing system at the time of submission?

b) If the contractor does not have an approved purchasing system, may this requirement be met post-submission?

c) Is it okay if the contractor’s purchasing system is not yet approved but will be approved at a later date?

d) How should contractors demonstrate the intention to ensure FAR compliance?

NRC Response: Offerors are not required to have an approved purchasing system as defined in FAR 44.101.

However, it’s the responsibility of each offeror to demonstrate in their proposal how they will ensure compliance with the aforementioned clauses.

12. Handing off a project from one team to another can add cost and risk loss of knowledge.

To guard against this risk, does the NRC anticipate contract overlap between FA3 and FA4 Modernization efforts? For example, would any FA3 business analysts be retained to support the FA4 Modernization effort to retain continuity of key requirements knowledge?

NRC Response: No. However, the Government anticipates meetings between contractors and project officers in different functional areas, as appropriate, to share information. Please also be advised that an FA3 contractor or subcontractor may not work on a related FA4 requirement.

13. Our understanding is that the NRC will organize MOM work along the lines of the NRC Segment Architecture.

Does the NRC anticipate structuring Task Orders where each covers multiple applications in a segment, or will each Task Order correspond to a single application?

NRC Response: Task orders may be organized by segment architecture, by office, or by system depending on the nature of the systems to be modernized.

14. Prior to the consolidation of FA4 and FA5, it was presumed that Modernization for a given application would be under an FA4 Task Order, and Maintenance and Operations (M&O) would be handled under a separate FA5 Task Order. Does the NRC still anticipate that a second M&O Task Order would be competed for each application or segment, in addition to the Modernization Task Order? Alternatively, does the NRC anticipate issuing a single Task Order per application or segment that would include the full scope of Modernization and M&O activities?

NRC Response: Please see answers to questions #3 and #13 above.

15. Our understanding of the scope of work for FA4 is that it includes at least three distinct components: 1) The initial Modernization of an application; 2) a period of 1-2 years of Maintenance support by the Modernization vendor; and 3) ongoing "steady state" Maintenance and Operations. Could the NRC provide guidance as to which of these components would be priced as Fixed Price tasks and which would be Time and Materials?

NRC Response: Please see answer to question #3 above.

16. Reference to Solicitation SF1449, Page 1, Block 15:

In Amendment 0007, the answer to Question #15 provides a minor correction to the Block 15 address provided in the original solicitation. Prior to signing the SF1449, shall the offeror correct the address in Block 15?

NRC Response: The offeror may correct the address in Block 15 when submitting its proposal if it so chooses.

17. Reference to SF30, Page 1, Section E for Amendments 0001 through 0004, 0007, and 0008:

Neither the “Contractor is not required . . .” nor the “Contractor is required . . .” box is checked. Prior to signing the SF30s for these amendments, shall the offeror check the box for “Contractor is required . . .”?

NRC Response: The offeror need not be concerned with blocks in the form and number of copies as long as the offeror acknowledges each amendment in its proposal by sending one signed copy of each amendment in its proposal or by acknowledging each amendment in a cover letter to the proposal.

18. Reference to SF30, Page 1, Section E for Amendments 0001 through 0004, 0007, and 0008:

The number of copies to return is left blank. Prior to signing the SF30s, in accordance with the answer to Amendment 0004 Question #1, shall the offeror insert “2” as the number of copies to return?

NRC Response: Neither. See response to question #17 above.

19. Reference to SF30, Page 1, Section E for Amendments 0005, 0006, and 0009:

The SF30s list the number of copies to return as “1”. Prior to signing the SF30s, in accordance with the answer to Amendment 0004 Question #1, shall the offeror insert “2” as the number of copies to return?

NRC Response: No. See response to question #17 above.

20. Reference to Solicitation Addendum FF regarding:

a) Amendment 0006, Page 9, Section M.5 COST/PRICE FACTOR (VOLUME III) evaluation factor: “. . . the Government will calculate the average of the offerors proposed hourly rates for each of the 10 years and add those averages together to derive the evaluated cost/price for that proposal for source selection purposes.”

-- And --

b) Amendment 0002 Question #25 and Government answer:

Question: Regarding the cost/price template (Addendum FF), is the Government requesting Contractor provides Contractor site or Government site rates?

Section C.4.1.3 Place of Performance indicates work could be performed at either site, “The anticipated place of performance shall be at the contractor site and/or Government sites in Rockville, MD.” however the price template referenced in Section L12 3. Instructions For Volume II, “The offeror shall complete the cost/price template (Addendum FF).” appears to allow for rates at only one site.

Answer: The offeror may propose both on-site (Government-site) and off-site (contractor site) fixed hourly rates. If the offeror elects to do that, then the Government would add the average proposed on-site fixed hourly rate to the average off-site fixed hourly rate for a given year to derive the average annual fixed hour rate for the offeror for a given year and use those annual averages to derive the total evaluated cost/price for the offeror for evaluation purposes.

New Question:

For the increased fair and equitable evaluation of all proposals, would the NRC consider requiring all offerors to respond with Contractor-site and Government-site fixed hourly rates, to be accomplished by each offeror’s completion of Addendum FF with its Contractor-site and Government-site rates?

NRC Response: Yes. The NRC hereby requests that each offeror provide both Contractor-site and Government-site fixed hourly labor rates, to be accomplished by each offeror’s completion of Addendum FF with its Contractor-site and Government-site rates. The NRC anticipates all or most task orders issued under FA4 will be performed at the contractor site. The on-site rates and off-site fixed hourly labor rates need not necessarily be different (e.g., if the offeror’s accounting system doesn’t differentiate costs based on location of performance).

21. Reference to Solicitation Addendum FF regarding:

a) Amendment 0007 Question #5 and Government answer:

QUESTION: It appears that additional labor categories will be necessary to bid and deliver services under any anticipated task order awarded under FA3; for example Analysts, Managers and other types of Subject Matter Experts which are not currently represented. Therefore, can the government confirm that these additional labor categories will be available for use when bidding future task order responses under FA3?

ANSWER: In addition to offerors proposing the mandatory fixed hourly labor rates for the labor categories that are identified in the solicitation Addendum FF, Addendum FF also indicates that the offeror may propose additional labor categories. See also item a. in this amendment, which replaced solicitation labor category titles in FA3 with new labor category titles.

-- And --

b) Amendment 0007 Question #21 and Government answer:

QUESTION: Please clarify whether bidders are to submit additional labor categories and rates on the initial proposal submission. If bidders are not to submit additional labor categories, will the addendum FF Cost Template be modified to eliminate the following statements “- Provide any additional labor categories you think you may use in a development effort and add to this template, as necessary. Extra rows have been added to accommodate additional labor categories”?

a. In amend 002 Question 57 answer it stated: Answer: Offerors shall only propose fixed hourly labor rates for the labor categories that are identified in the solicitation Addendum FF. If, on a task order by task order basis, the NRC determines that additional labor categories may be necessary, then the Government will direct offerors for those task orders accordingly.

ANSWER: See answer to Question #5 above.

Please clarify:

i. The Government’s answer to Amendment 0007 Question #5 conflicts with its answers to Amendment 0002

Questions #57 and 62. Does the Government intend for the instruction provided in its answer to Amendment 0007 Question #5 to replace and supersede the instructions provided by its answers to Amendment 0002 Questions #57 and 62?

ii. The Government’s answer to Question #5 appears to refer only to FA3. Does the Government’s answer to

Question #5 also apply to FA4?

NRC Response to Questions i and ii above: In general, the content of an amendment supersedes any related information from the solicitation, as previously amended. So, the changes made in Amendment 0007 take precedence over the contents of the solicitation and prior amendments, as applicable.
