Question 3:

Reference: Section J – List of Documents (page 83) references Attachment 9, DD Form 254.

Will we be receiving the DD254 prior to award?

Answer 3:

Security requirements prevent the Government from posting the DD Form 254 on a public website. Offerors are instructed to request a copy of the DD Form 254 for proposal purposes by e-mailing Lauryn Petty and Robert Fisher at lauryn.petty@navy.mil and Robert.v.fisher@navy.mil.

Question 4:

Reference: Statement of Work, 9.0 Material and Purchasing (page 19) Are approvals above $3,000 required from both the COR and KO?

Answer 4:

Yes, for all purchases valued at $3,000 or higher, the contractor must receive approval from the Contracting Officer and concurrence from the COR.

Question 5 Reference: Section L-1 Proposal Instructions 1.10.1 (page 94) Offeror shall submit 1 printed original, 4 printed copies, and 1 CD-ROM of all volumes… Offeror will ensure that the Price/Cost Volume is provided on a separate

Answer 5:

No, as stated in section L, each volume should have 1 corresponding CD-ROM.

3.2.4 (pages 100,101) be addressed for each Contract submitted. This instruction indicates that the Contractor’s response to each of these four areas be grouped under the individual Contracts presented.

Strict compliance with numbering instructions would require offerors to address the performance elements of each submitted contract in sequence within each numbered element (3.2.1 Technical Performance, etc.). As a result, performance data would not be grouped by contract but rather by performance element. Is this the Government’s intent?

Answer 6:

No, each proposal submitted should comply with the specific instructions provided in the past performance section.

The second example referenced is correct per RFP instructions for the past performance section.

Question 7:

Reference: 1.11.1 (page 95) “No smaller than a 10 point font.”

Would the Government consider reducing the minimum font size for tables and graphics to 8pt?

Answer 7:

No, the RFP will not be changed to accommodate the request.

Question 8:

Reference: 1.11.1 (page 95) “Photographs, pictures or hyperlinks are not permitted” We assume that we may still include graphics such as organizational or process charts. Is this assumption correct?

Answer 8:

Yes, proposals may include graphics such as organization or process charts.

Question 9:

Reference: 1.11.1 Proposal Format (page 94) Files shall be Microsoft Office 2003 or PDF format.

Can a newer version of Microsoft Office be used?

Answer 9:

Yes; however, due to system constraints, all files must be submitted in Microsoft Office 2003 format or a compatible version of Microsoft Office or PDF format. The RFP has been updated to reflect this clarification.

Question 10:

Reference: L-2, Volume 1, 1.1 Offer Letter (page 96) Identify at a minimum the enclosures being transmitted, proposed subcontractors and team members to be utilized under the contract, the CAGE code, DCMA, DCAA, and DFAS for the prime contractor and all proposed subcontractors and team members.

Volume 4.0 Cost/Price Proposal , 4.3.7 (page 103) The offeror shall provide Defense Contract Audit Agency (DCAA) Information/Payroll Verification information as follows. A DCAA point of contact, with a current e-mail address, must be provided for the prime and each subcontractor.

Do you want DCAA POC information reported in the cover letter and the cost proposal?

Answer 10:

Yes, please provide the DCAA POC information in both the Offer Letter and Cost/Price Proposal.

Question 11:

Reference: L-2 Proposal Content: 1.4 Teaming Agreements (page 96) Provide a copy of any applicable teaming arrangement documentation.

Is there a page limit for the teaming agreements?

Answer 11:

There is no page limit for teaming arrangements.

Question 12:

Reference: L-2, Volume 2, 2.1.2.1 Key Personnel (page 97) “Résumés shall contain, at a minimum, the following information: Current hourly wage or annual salary.”

2.0 Technical Proposal (page 96) “* Note: No cost/pricing information shall be contained in the technical proposal.”

Should hourly wage or salary be included on the resume and therefore a part of the Technical Proposal?

Answer 12:

Offerors should not include hourly wage or salary information on the Resumes contained within the technical proposal. The RFP has been amended to remove this requirement from the resumes and more accurately reflect that no cost/pricing information shall be contained in the Technical proposal.

Question 13:

Reference: L-2, Volume 2, 2.1.1 Workforce Qualifications (page 97) “The offeror shall provide a cross reference table (Attachment P1) that outlines how the minimum qualification/experience elements used by the contractor…”

Will Attachment P1 be included as part of the 50 page count for the Technical Proposal?

Answer 13:

Per section L-2 guidance (page 96) “Resumes and spreadsheets are excluded from page counts.” This guidance applies to the Attachment P1 Table.

Question 14:

Reference: L-2, Proposal Content, Volume 3, 3.0 (page 100), Attachment P3.

We assume that Attachment P3 should be integrated into the Technical Proposal file and not submitted as a separate Excel file. Is this assumption correct?

Answer 14:

The Attachment P3 is part of the Past Performance volume and as such should be integrated into that volume of the proposal and included in its CD-ROM disk.

Question 15:

Reference: Solicitation, C.6.3, Table 1. page 14

Will the Government allow 2 years of experience as a substitution for the Associate’s Degree in the Engineering Technician II, III and IV labor categories?

Answer 15:

No, all valid substitutions are included in the table, all offers must meet the minimum requirements listed in the Labor Category Qualifications table.

Question 16:

Reference: Solicitation, Section J, page 83

Section J listed the DD-254 as Attachment 9 of the solicitation. However, the document has not been provided in the solicitation or on FBO. Please provide.

Question 17:

Reference: Solicitation, Section L-1, 1.12.2, Page 95; Solicitation, Section L-2, 2.0, Page 96; Solicitation, Section M, 2.3.2, Page 113

1. “1.12.2 COST OR PRICING INFORMATION MAY NOT APPEAR ANYWHERE IN THE PROPOSAL

OTHER THAN VOLUME 4.”

2. “* Note: No cost/pricing information shall be contained in the technical proposal.”

3. “2.3.5 Small Business Subcontracting Plans: 2.3.5.1 The Offeror shall provide its Small Business

Subcontracting Plan conforming to the requirements of FAR 19.7 and DFARS 219.7 and fill in the Subcontracting Plan information.”

Ref 1 and 2 clearly state that no cost or pricing information shall not appear in any volume but Volume 4. However, Ref 3 requests a Small Business Subcontracting Plan in Volume 2. The cited FAR/DFAR clauses require the document to include the percentage and total dollars of the bid and subcontracting. In order to deconflict the instructions and ensure Offerors only provide cost/price information only in Volume 4, we recommend the Government move the Section L instructions in L-2 2.3.4 into Volume 4. In addition, this would necessitate a realignment of the Section M evaluation criteria at 2.3.2 to Volume 4.

Answer 17:

Offerors are instructed to include the subcontracting plan as currently required in the RFP in the “original” proposal binder and CD-ROM. Offerors are instructed to remove, or black out, all cost information from the subcontracting plan in the required copies submitted. Please see the revised RFP Section L paragraph 2.3.5.3.

Question 18:

Reference: Solicitation, Section L-2, Proposal Organization and Page Limits, Page 95-96; Solicitation, Section L-2, 1.0, Page 96

L-2 Volume Descriptions, 1.1 refers to “Offeror Letter,” 1.2 refers to “Section K – Reps and Certs.” Later in L-2 under specific instructions provided for Volume 1, Offerors must include teaming arrangements in Section 1.4.

Please confirm that teaming arrangements are excluded from the page count.

Question 19:

Reference: Solicitation, Section L-2, paragraph 2.1.1, page 97

The solicitation states “Subcontractors and team members shall provide this information either separately or include the information in the prime contractor’s proposal.” If an Offeror chooses to require their subcontractor to submit the information required in paragraph 2.1.1 what is the desired format and method of submission the subcontractor should use?

Answer 19:

Section L-2 paragraph 2.1.1 has been updated to reflect that the offerors are required to include the subcontractor’s information in the prime contractor’s proposal.

Question 20:

Reference: Solicitation, Section L-2, paragraph 2.2.1.1.3.1, page 98

The solicitation requires Offerors to discuss “manpower utilization to maintain an optimum level of support for coverage of all active task orders and all functions of the Statement of Work throughout the life of the contract…” Will the Government provide non-incumbent Offerors active task orders so we can accurately estimate the level of support needed?

Answer 20:

Please see the RFP revised section L-2 paragraph 2.2.1.1.3.1; offerors are required to discuss manpower utilization to maintain an optimum level of support for coverage of all functions of the Statement of Work throughout the life of the contract, while remaining within the constraints of the provided total LOE. If offerors require copies of task order statements of work they are instructed to contact Meichelle McGuire in the FOIA office at meichelle.mcguire@navy.mil.

Question 21:

Reference: Solicitation, Section L-2, 2.1.1.1.3.2, page 98

Can the Government please provide details and guidance for what is expected in the warranty of work section?

Answer 21:

The warranty of work section, if applicable, would include discussion of the offeror’s internal compliance process, if any, beyond the inspection of services clause 52.246-5 in section E.

Question 22:

Reference: Solicitation, Section L-2, paragraph 2.3.2.1, page 99

The solicitation requires the submission of a Subcontract Management Plan. Is the Subcontract Management Plan intended to be integrated within Volume 2 or should it be submitted as an attachment? If it is an attachment, what is the page limitation, if any?

Answer 22:

The subcontract management plan is intended to be integrated within volume 2 and has no individual page limitation; however, its pages do count towards the 50 page limitation for the overall Technical volume.

Question 23:

Reference: Solicitation, Section L-2, paragraph 2.3.4, pages 99-100 The solicitation requires the submission of a Transition Plan. Is the Transition Plan intended to be integrated within Volume 2 or should it be submitted as an attachment? If it is an attachment, what is the page limitation, if any?

Answer 23:

The Transition plan is to be integrated with Volume 2 and has no individual page limitation; however, its pages do count towards the 50 page limitation for the overall Technical volume

Question 24:

Reference: Solicitation, L-2, 4.3.1.2, Page 102 Section L-2, 4.3.1 states, “Offerors are required to submit a total compensation plan setting forth salaries and fringe benefits proposed for employees (including temporary and part time employees) who will work under the contract and are subject to the Act.”

As fringe benefits and total compensation for all SCA applicable employees is defined by rule/regulation, please confirm that the requirement for “total compensation plan” for SCA employees would be satisfied by the statement that “Offeror will meet the mandatory salary and benefits for SCA employees as defined by 52.222-41 and Attachments 5, 6, and 7 of the solicitation.”

Answer 24:

The statement is acceptable if proposing exactly the mandatory minimum, otherwise offerors need to explain their compensation plan per section L requirements.

Question 25:

Attachment P3 and Section L-1 Proposal Instructions, 1.11.1 (page 95), “Not smaller than a 10 point font” and “Single-spaced typed lines”

Attachment P3 is provided in 12pt font. Can we assume that the Attachment P3 should follow the 10pt font and single-spaced type requirements provided for the rest of the proposal?

Answer 25:

Yes; the attachment should follow the guidelines for the rest of the proposal.

Question 26:

Reference: Section C, Statement of Work, 6.4, Table 2 (page 17 and 18). This table lists employee headcount by location, client or contractor site, and security clearance. However, the RFP’s Attachment P2 cost spreadsheet template does not include blank cells for labor category costs and hours by location, work site or clearance.

Should offerors adjust the Attachment P2 sheet as necessary to allow for additional rates related to multiple locations and Government/Contractor site, or will an amendment be issued to modify the attachment sheet?”

Answer 26:

Offeror’s are encouraged to add rows as they see fit, while remaining within the general format provided by the attachment.

SECTION L - INSTRUCTIONS, CONDITIONS AND NOTICES TO BIDDERS

The following have been modified:

L-1 Proposal Instructions

1.0 GENERAL

1.1 The North American Industry Classification System (NAICS) code for this requirement is 541330 which has a small business size standard of $35.5 million.

1.2 This contract will be awarded on an unrestricted basis.

1.3 The Government intends to award an Indefinite Delivery Indefinite Quantity (IDIQ) Cost Plus Fixed Fee (CPFF)/Cost type contract to a single source as a result of this solicitation. Each offeror shall submit a proposal that clearly and concisely describes and defines the offeror’s response to the requirements of this solicitation. Use of general or vague statements such as “standard procedures will be used” will not satisfy this requirement.

Unnecessary elaboration or presentations beyond that sufficient to present a complete and effective proposal are not desired and may be construed as an indication of the offeror’s lack of understanding. Elaborate artwork and expensive visual or other presentation aids are neither necessary nor desired.

1.4 Each offeror must submit an offer/proposal and other information in strict accordance with these instructions.

Each offeror’s submission shall be screened by the Contracting Officer or a designee upon receipt to ensure compliance with the instructions contained in the Request for Proposal (RFP).

1.6 QUESTIONS: The Contract Specialist is the sole point of contact for this acquisition. Address any questions, concerns, or requests for clarification you may have, in writing, to Robert Fisher at robert.v.fisher@navy.mil and Lauryn Petty at lauryn.petty@navy.mil. It is requested that each question reference the applicable document, paragraph, and page. Questions containing proprietary information shall not be submitted. Questions answered by the Government will be provided to all potential Offerors via an amendment to the solicitation. It is requested that all questions be received within five (5) days of the date this solicitation was posted. All questions received ten (10) days after the posting of this solicitation will not be answered.

1.8 DISCUSSIONS: Though the Government reserves the right to hold discussions, award may be based upon initial offers. Therefore, do not submit an offer that takes exception to any term or condition of this RFP, propose any additional term or condition, or omit any required information. The offeror’s initial proposal should contain the offeror’s best terms from a cost or price and technical standpoint. However, the Government reserves the right to hold discussions if necessary.

1.10 INSTRUCTIONS FOR SUBMISSION OF PROPOSALS

1.10.1 Offeror shall submit 1 printed original, 4 printed copies, and 1 CD-ROM of all Volumes via United States Postal Service or through a commercial carrier using the address provided below. Offeror will ensure that the Price/Cost Volume is provided on a separate CD-ROM with all data and cell formulas, in Microsoft Excel. Each CD-ROM is to be labeled for content and the Offeror’s name. Offeror shall not submit proposal by facsimile or electronically via email.

Offeror must present proposal information in a manner that facilitates a one-to-one comparison between the information presented and this Proposal Instruction. Proposal information must be structured such that its paragraph number/letter is identical to the Proposal Instructions paragraph number/letter to which it is responding, although the Offeror may add lower tier subparagraphs. The Offeror must provide reasons it will not provide information for a particular paragraph. The proposal information instructions are structured by paragraph numbers where first, second, third, and fourth parts correspond to the volume, book, section, and element, etc., in the Offeror’s proposal.

Offeror shall clearly mark all packages with the solicitation number. The submission date for the original proposal shall be no later than the date and time specified in Block 9 of Standard Form 33 of the RFP.

Hand carried proposals may be delivered to the address above, attention Robert Fisher.

Offeror shall package the proposal volumes in cartons or equivalent packaging containers in the most efficient manner possible grouping like volumes to the maximum extent possible. Each container shall be single person portable. One container shall include all Original Proposal volumes including the original/signed documents submitted as part of Volume 1 Executive Summary.

Each container should include a packing slip detailing the contents to include the volume number, title, and copy number. Also, each container should be stamped or marked “For Official Use Only” and “Source Selection Information – See FAR-2.101 and 3.104”.

Proposals that do not comply with these instructions may be considered deficient and may render the offeror ineligible for award.

1.11 PROPOSAL FORMAT

1.11.1 In order to maximize efficiency and minimize the time for proposal evaluation, all offerors shall submit their proposals in accordance with the format and content specified. The electronic proposal shall meet the following format requirements:

Identify at a minimum the enclosures being transmitted, proposed subcontractors and team members to be utilized under the contract, the CAGE code, DCMA, DCAA, and DFAS for the prime contractor and all proposed subcontractors and team members, a statement regarding Representations and Certifications being incorporated or attached to offer, acknowledgement of solicitation amendments, and state the length of proposal validity (at least 120 days after proposal submission).

1.3 Single or Split Award Information

The Government requires that offerors’ proposals include all items listed in the Section B Schedule. The Government does not intend to make a split award under this solicitation.

Based on the inclusion of FAR clause 52.222-17 (Nondisplacement of Qualified Workers), the offeror shall provide their plan for (1) hiring the incumbent workforce for the Service Contract Act (SCA) labor categories during the transition period and (2) filling those positions should any of the incumbent personnel decline to work for the offeror in support of this successor contract.

The offeror shall provide the following information:

2.1.1 Workforce Qualifications. For each NAVAIR standard labor category identified in the Statement of Work Section 6.0, the offeror shall define and specify the minimum qualifications/experience elements which will be used by the contractor as a basis for assigning personnel for work under the contract. The offeror shall submit labor category titles, functional responsibilities, and labor qualifications for all key and non-key labor categories proposed under the prospective contract and that meet the minimum qualifications stated in Section C Statement of Work.

Functional responsibilities shall include the principal duties to be performed under that labor category on the prospective contract. Labor qualifications shall include experience and/or education requirements for all labor categories proposed. The labor category titles used by the offeror shall be consistent throughout the proposal. The offeror shall provide a cross reference table (Attachment P1) that outlines how the minimum qualification/experience elements used by the contractor will meet the minimum qualifications defined in the Statement of Work Section 6.0 and that matches corporate labor category titles, used by the offeror, to the standard labor category titles used in this solicitation. Subcontractors and team members shall provide this information within the prime contractor’s proposal.

The offeror must have the personnel, organization, and administrative control necessary to ensure that the services performed meet all requirements of this contract. The work history of each offeror’s employees shall contain experience directly related to the tasks and functions to be assigned. The Government reserves the right to determine if a given work history contains the necessary and sufficiently detailed related experience to reasonably ensure the offeror’s ability for effective and efficient performance.

2.1.2 Key Personnel Résumés.

2.1.2.1 For proposed Key Personnel, identified in Section B under clause 5252.211-9503, provide a résumé of the work assignments, training, etc., that demonstrates the experience and specialized qualifications of each key person proposed. Résumés shall contain, at a minimum, the following information:

Employee name Years of employment experience in chronological order including narrative description of duties and responsibilities Current position, title and employer Educational history Institution name, degree or certification earned, and year for all degrees or certifications earned Current level of security clearance and status (final, interim, or pending) Site where personnel are to be assigned (i.e. China Lake and Point Mugu, California; Patuxent

River, Maryland; Canada, or Australia) Phone number

2.1.2.2 The Government may check educational background to verify degrees or certifications received.

2.1.2.3 Proposed personnel may be contacted to verify employment commitments. Current employers will not be contacted without permission of the proposed personnel. Previous employers may be contacted to verify experience and job performance.

2.2 Understanding of the Work

2.2.1 Statement of Work Approach:

2.2.1.1 Provide a written narrative of the offeror’s understanding and capability to perform the requirements of the Statement of Work (SOW). The narrative shall include, but is not limited to, the elements set forth below:

2.2.1.1.1 Provide a description of the approach, including the procedure and methodology which would be used in accomplishing services in the areas listed in the Statement of Work Section 1.4;

2.2.1.1.2 Provide a description of possible areas to be investigated in researching each task;

2.2.1.1.3 Provide an implementation plan that includes:

2.2.1.1.3.1 Manpower utilization to maintain an optimum level of support for coverage of all functions of the Statement of Work throughout the life of the contract while remaining within the constraints of the provided total LOE. If offerors require copies of task order statements of work they are instructed to contact Meichelle McGuire in the FOIA office at meichelle.mcguire@navy.mil; and

2.2.1.1.3.2 Warranty of work, if applicable.

2.3 Management Plan

The offeror’s management plan shall address the following:

2.3.1 Overall Management Approach: Offerors shall address in sufficient detail the following:

2.3.1.1 Adequacy of management and resources to support the technical requirements of the solicitation and ability to function as a viable and productive partner with the Government;

2.3.1.2 Proposed management roles of the offeror’s proposed workforce for this contract;

2.3.1.2.1 A discussion on how the offeror will address the following management functions:

Local Organization Management Deputy Local Organization Management Business/Financial Management Contract Administration Facility Security Personnel/Human Resources Design and Development Engineering Management Test and Evaluation Management Transition Engineering Management Management Support Services

2.3.1.3 Proposed lines of responsibility, authority, and communication through which the tasks will be managed;

offerors are advised to address the duties and functions of the Local Organization Manager in relation to managing resources (to include teammates/subcontractors) and identify, from the corporate standpoint, when matters must be referred for higher corporate decision, and if a deputy Local Organization Manager is to be used, to address the duties and functions of the deputy in the absence of the Local Organization Manager;

2.3.1.4 Processes for managing the contract from start to finish, including the role of the offeror’s contract manager in product/process quality and how these functions are accommodated in the acquisition and overhead structures;

2.3.1.5 Plan for early identification and resolution of problems;

2.3.1.6 Identification of potential performance risks and proposed risk mitigation strategies;

2.3.1.7 Identification of multiple function positions, if proposed, and the level of effort for each function; and

2.3.1.8 Identification of personnel to be charged as indirect and direct; identify the technical task(s) to be performed by indirect personnel that justify direct charges.

2.3.2 Usage of Teaming, Personnel, and Subcontractors: Offerors shall present in sufficient detail the following:

2.3.2.1 Subcontract Management Plan. Prime Contractor shall detail how the subcontractors will be managed to ensure cohesive integration into the overall management approach;

2.3.2.2 Description of the integration of the teaming partners into the overall management approach and how the offeror will leverage their strengths to increase value to the customer through technical leadership, quality assurance, and process improvement;

2.3.2.3 How and why selected subcontractor(s) were chosen, which knowledge and skills the offeror will be acquiring through each subcontract, the level of subcontract effort expected;

2.3.2.4 How the offeror will maintain control during the performance of work; and

2.3.2.5 What percentage of the total proposed contract value represents subcontract awards to small business concerns (reference Statement of Work Section 4.0).

2.3.3 Qualification/Recruitment/Retention: Offerors shall present in sufficient detail the following:

2.3.3.1 Qualification/recruitment/retention procedures that would provide workforce improvements and upgrade the skills of highly trained and motivated personnel;

2.3.3.2 Description of its process for qualifying personnel to perform SOW tasks;

2.3.3.3 Explanation of approaches for maintaining technical competence to perform the tasks in the SOW;

2.3.3.4 Explanation of intentions regarding retention of incumbent personnel to include intent to hire, and the offeror’s policy for determining the rate of pay, benefits, and vesting for incumbent personnel; and

2.3.3.5 Employee retention plan.

2.3.4 Transition Plan: The tasks under this solicitation are vital to the Government and must be continued without interruption. The offeror is required to submit a written narrative delineating a transition plan based on a 30 day period after award that ensures a smooth workplace changeover from an incumbent with no loss of service and minimal loss of corporate knowledge. The plan should take into consideration the following elements as well as any additional elements deemed necessary by the offeror:

2.3.4.1 Work Turnover. The offeror shall provide a plan of action to effectively transfer tasked work that is in process at the expiration of the current contract from the incumbent to the successful offeror.

2.3.4.2 NMCI Desktop issues. The offeror shall provide a plan of action to address NMCI transfers between the incumbent and the successful offeror.

2.3.4.3 Quality Assurance. The offeror shall provide a plan of action to ensure continuation of quality review processes during the transition period from the incumbent to the successful offeror.

2.3.4.4 Training. The offeror shall provide a plan of action to implement personnel training needed during the transition period to ensure continuity between the services provided by the incumbent and the successful offeror.

2.3.4.5 Risk Mitigation Strategies. The offeror shall provide a plan of action to mitigate contract performance risks encountered during the transition period.

2.3.4.6 Security Requirements to include OPSEC, facility clearances and base access. The offeror shall provide a plan to implement the required security clearances and physical access requirements of the contract (Section C, paragraph 6.4) within 30 days following contract award so that service is not interrupted.

2.3.4.7 Data Transfer. The offeror shall provide a plan of action for the efficient inventory and transfer of program data from the incumbent to the successful offeror.

2.3.5 Small Business Subcontracting Plans: If the offeror is a small business submitting an offer under an unrestricted competition, it is not required to submit a Small Business Subcontracting Plan.

2.3.5.1 The offeror shall provide its Small Business Subcontracting Plan conforming to the requirements of FAR

19.7 and DFARS 219.7 and fill in the Subcontracting Plan information. If the offeror is a participant in the DoD Comprehensive Subcontracting Test Program specified in DFARS 219.7, the offeror shall describe how Small Business participation on this contract will contribute to its overall Comprehensive Subcontracting goals. Offerors shall describe specific efforts to ensure the resulting contract meets or exceeds proposed goals. These efforts shall include, but are not limited to: sponsoring program specific outreach programs and industry conferences, establishing Mentor-Protégé relationships with SDBs and using the NAVAIR SUBNet website (http:

//www.navair.navy.mil/osbp) to locate Small Business concerns and to post requirements. Small Business subcontracting plans which reflect a SDB goal of less than 5 percent shall also provide, as a part of the subcontracting plan submission, those extenuating circumstances that do not allow the offeror to propose this percentage goal.

Note: (1) The subcontracting plan of the successful offeror(s) will be reviewed and approved by the Procuring Contracting Officer (PCO) prior to contract award. See FAR 19.702 Statutory Requirements (a)(1) regarding failure of the apparent successful offeror to negotiate and submit a Plan acceptable to the PCO. The successful offeror’s subcontracting plan will be incorporated as an attachment into the resultant contract.

2.3.5.2 Proposals submitted in response to this solicitation by Large Business Concerns shall demonstrate adherence to Statement of Work Section 4.0. Proposals submitted by Large Business Concerns that fail to demonstrate adherence to Statement of Work Section 4.0 shall be deemed deficient.

2.3.5.3 Offerors are instructed to to remove, or black out, all cost information from the subcontracting plan in the required copies submitted. All cost information is to remain intact in the original proposal and CD-ROM.

3.0 PAST PERFORMANCE

3.1 The offeror shall identify on Attachment P3, Past Performance Contract Data , contracts performed within five years of the Request for Proposal release date and that contain efforts similar to those required by this solicitation (e.g., tasks, contract type, location, contract dollar value, etc.) for itself, primary subcontractors, and critical team members. A primary subcontractor is defined as any subcontractor who is providing at least 20% of the total labor cost proposed. Commercial contracts may be included. A critical team member is defined as a subcontractor providing less than 20% of the labor cost proposed who is deemed essential to the successful performance of the requirement by the offeror. Include only those contracts that are within five years of the Request for Proposal release date. When possible, these contracts should include at least five contracts for the prime contractor, and at least two contracts for each primary subcontractor.

3.2 For each contract identified, provide a brief description of performance in delivering quality service in each of the areas identified below. Include in these descriptions any information that demonstrates the level of performance obtained; where available, provide quantifiable measures/trends to demonstrate past and current performance. For each past performance problem identified, describe the status of the demonstrated systemic improvement efforts and, where applicable, demonstrate the impact that the demonstrated systemic improvement effort had on resolving the problem such that it would not reoccur.

3.2.1 Technical Performance: meeting technical requirements (e.g., performing analysis, design, testing, etc.);

3.2.2 Schedule Performance: meeting schedule requirements (e.g., on time or late delivery, modification of original schedules and reasons for any changes, etc.);

3.2.3 Cost Performance: controlling contract cost (e.g., within the budget, actual vs. contract cost, and cost metrics);

3.2.4 Management Performance: managing the contracted effort (e.g., cooperation with customer, subcontract management).

3.3 If a past performance problem has been identified, describe the status of the improvement efforts and, where applicable, describe the impact that the improvement effort had on resolving the problem so that it would not reoccur.

3.4 FOR CONTRACTS THAT ARE CURRENTLY IN THE CONTRACTOR PERFORMANCE

ASSESSMENT REPORTING SYSTEM (CPARS), AND FOR WHICH ANNUAL REPORTING HAS BEEN

PERFORMED, DO NOT SEND THE PAST PERFORMANCE QUESTIONNAIRE FOR SERVICES TO

THE CUSTOMER.

3.5 For contracts that have Contractor Performance Assessment Reports (CPARs) that are more than 12 months old the offeror will complete items numbered 1 through 8 on page 1 of the Past Performance Questionnaire Package for Services (Attachment P4) and forward it to the contract customer’s Program Manager to address only the items numbered 9 to 15 on page 1. For all contracts identified which do not have CPARs, the offeror will complete items numbered 1 through 8 on page 1 of the Past Performance Questionnaire Package for Services (Attachment P4) and forward the 2 pages to that contract customer’s Technical Point of Contact or Contracting Officer’s Representative (COR). All questionnaires shall be forwarded within two weeks from the RFP release date to allow enough lead-time so that responses can be received by the Government concurrent with the Government’s receipt of the offeror’s past performance information submitted as per paragraph 3.1 and 3.2. The offeror shall include past performance package instructions to the customers. This submittal information is provided at the top of the questionnaires to facilitate the offeror’s effort in meeting these instructions. The offeror shall not conduct follow-up actions with regard to this questionnaire. The Government may send any other questionnaires as necessary.

3.6 Offerors shall provide written consent from their primary subcontractors that will allow the Government to coordinate their past performance issue(s) with the prime offeror. If offerors do not submit such written consent, the Government will address any past performance issues directly with the primary subcontractor and the offeror will forfeit the opportunity to participate in any related discussions. Consequently, for any primary subcontractors and critical team members that do not provide such written consent, provide a point of contact (name, address, phone number, and email address) with which the Government may coordinate these issues and obtain any responses as needed.

3.7 Offerors are reminded that the Government may use information other than that provided by the Offerors in their proposals, such as questionnaires, to evaluate past performance. The Government may use past performance information obtained from sources other than those identified by the offeror. Review of data retrieved from the Past Performance Information Reporting System (PPIRS) will be the primary method used to evaluate past performance.

It is incumbent upon the offeror to explain the relevance of the data provided. The Government does not assume the duty to search for data to cure the problems it finds in the information provided by the offeror. The burden of providing thorough and complete past performance information remains with the offeror.

3.8 If the offeror does not have any past performance, it shall provide an affirmative statement stating it has no past performance. This statement shall be provided in the submittal under Volume 3 Past Performance.

4.0 Cost/Price Proposal

4.1 Complete and submit Section B.

4.2 The cost/price proposal shall be submitted as a separate file. All cost and/or pricing information shall be contained in Volume 4 only. Offerors shall submit their cost/price proposal utilizing the Cost Spreadsheet (Attachment P2). The offeror shall submit a fully completed Attachment P2. The Offeror will ensure that the Price/Cost Volume is provided with all data and cell formulas, in Microsoft Excel. Within all Excel spreadsheets, the Offeror shall use formulas and functions to the maximum extent possible and avoid using output type “value only” cells. If links are utilized, supply those referenced files. Spreadsheets shall not be protected.

4.2.1 The offeror shall fully disclose the buildup of cost/price of each CLIN.

4.2.2 When completing Attachment P2, the offeror, (e.g., prime vendor) shall identify direct hourly rates and show the build-up to and identify the fully burdened hourly rates when pricing the labor of its employees.

4.2.3 If a subcontractor of the offeror utilizes fully burdened rates in its proposal to the prime, the subcontractor shall provide its own P2 delineating the buildup of those rates to the Government.

4.3 In preparing the cost/price proposal, the offeror shall ensure the submittal is easy to understand and includes the following:

4.3.1 This solicitation is, and the resulting contract will be, subject to the Service Contract Act of 1965, as amended, and to FAR clause 52.222-41, contained in Section I of this solicitation. Offerors shall propose employee’s wages in accordance with the attached Wage Determination. As part of the cost/price proposal, the offeror shall furnish the names of the proposed labor categories and the corresponding labor categories from the attached Wage Determination in accordance with Section C Statement of Work as well as documentation of compliance with the minimum monetary wages and fringe benefits for service employees as specified in the Wage Determination (provided as Attachments 5, 6, and 7 in Section J of this solicitation). Offerors are required to submit a total compensation plan setting forth salaries and fringe benefits proposed for employees (including temporary and part time employees) who will work under the contract and are subject to the Act.

4.3.1.1 If the offeror’s proposed employees are under a collective bargaining agreement, a copy of the agreement shall be provided.

4.3.1.2 Effective 18 January 2013, the FAR was revised to include requirements regarding Nondisplacement of Qualified Workers under Service Contracts. Specifically, Subpart 22.12 and clause 52.222-17 were added. The new FAR requirements are applicable to all service contracts that (1) are subject to the Service Contract Act (SCA) and

(2) succeed contracts for same or similar services at the same location. This clause is included in the solicitation, as this requirement falls under the Service Contract Act. The FAR clause requires successor contractors to give the right of first refusal to all qualified service employees (within the meaning of the Service Contract Act) that were performing in the proposed positions under the predecessor contract. The Offeror’s proposal shall demonstrate compliance with FAR 22.12 and Clause 52.222-17. For SCA labor categories, if the offeror is proposing the incumbent workforce based on FAR 52.222-17, the proposed employee should be identified as either current (only applies if offeror is the incumbent contractor), contingent (only if offeror has a letter of intent in place with the employee) or "Prospective/Incumbent" if the offeror does not know the identity of the incumbent employee.

4.3.4 Provide a narrative that addresses any assumptions made during the preparation of the cost/price proposal and discuss the basis for the cost elements listed below:

4.3.4.1 Labor hours per labor category

4.3.4.2 Direct labor rates by category. The offeror is required to submit labor rates for proposed labor categories. If composite or category averages are proposed, provide a breakdown of how rates are developed. The offeror shall provide a narrative to describe derivation of labor rates, use of uncompensated overtime, pools to which indirect rates are applied, historical / provisional billing rates for indirect rates for the last 3 years, from the Request for Proposal release date, and description, and amount of proposed other direct costs.

4.3.4.3 Escalation on labor

4.3.4.4 Indirect costs (i.e. Overhead, Fringe Benefits, General & Administrative (G&A), etc.)

4.3.4.5 Information needed to explain the offeror’s estimating practices

4.3.4.6 Profit/Fee: Identify profit/fee rate and total amounts proposed and identify the various cost elements to which the profit/fee is being applied. Fee rates, as applicable in Section B, must be clearly distinguishable.

Profit/Fee shall not be applied to ODCs.

4.3.4.7 Other Direct Costs (ODCs) by specific cost element (e.g. Travel and Material). Reimbursement for Travel will be in accordance with the Federal Travel Regulation. If it is the contractor’s accounting practice to apply (and invoice for) burdens with regards to ODCs, then the contractor shall propose the ODC amount plus the addition of the applicable burdens.

4.3.4.8 When the offeror elects to claim Cost of Money (COM) as an allowable cost, the offeror must submit a DD 1861 and show the calculations of the proposed amount.

4.3.4.9 Professional employee compensation plan in accordance with FAR 22.1103.

4.3.5 The offeror shall prepare and submit the cost/price proposal (Attachment P2) in, or compatible to, Microsoft Office Excel. Portable Document Format (PDF) is not acceptable. The spreadsheet shall be formatted on letter size (8.5 X 11) paper. The proposal shall be unprotected and unlocked, with formulae intact to show mathematical operations.

4.3.6 If subcontractors are proposed, provide the same information required for the prime contractor. The proposed subcontractors are required to submit their cost/price proposal under their prime contractor to the Government point of contact in section 1.10.1 above.
