Section B - Supplies or Services and Prices
SECTION B
B-1 GENERAL
The contractor’s proposed rates shall be stated as “per ship per diem” or “per event” as appropriate to the specific item. The rates for services provided under this contract shall be payable at the applicable, fully loaded, rates stipulated in Section B. Said payments shall be considered payment in full for all services, equipment, supplies and maintenance of Government equipment, and all Contractor personnel under this contract, except as elsewhere provided as specifically reimbursable. Note: Any number of days identified herein for FOS, ROS, and RAV, etc., are for pricing and evaluation purposes only. Any representations to operating tempo per year are estimates only.
B-2 PER DIEM RATE FOR OPERATION AND MAINTENANCE
Per Diem rates shall cover the cost of daily operation, maintenance, equipment, personnel, and service for each vessel, unless an expense is specifically listed in the contract as being reimbursable. Payment of the awardee’s per diem rate shall commence upon ship delivery.
B-3 REIMBURSABLE ITEMS
Reimbursable supplies and services are those items specified in the contract as reimbursable, or otherwise pre-approved by the Contracting Officer’s Represenative (COR) or authorized Approving Authority. The reimbursement cost shall not include overhead, general and administrative costs, material handling costs, profit, or fees above the actual costs. See Section G for the documentation requirements for reimbursable items. The Contractor is responsible for ensuring that reimbursable expenses do not exceed funding expressly obligated to the applicable CLIN by the Contracting Officer for reimbursables.
B-4 ESTIMATES
All quantities are estimates unless specifically guaranteed.
B-5 CLIN STRUCTURE
CLIN structure will be provided at award. One CLIN will be provided for per diem for all ships for each contract year. One CLIN will be provided for reimbursable expenses for each ship for each contract year.
This structure is subject to change at the discretion of the Government.
B-6 CONTINUING RATE
B-6.1 If a vessel has a voyage in progress on the date of contract expiration, the applicable per diem rate for that vessel for the period beyond the expiration date shall be the per diem rate that is in effect on the last day of the contract for that vessel.
B-7 REDUCED OPERATING STATUS (ROS)
The prices for ROS will only consider direct costs for expenses other than wages and fringes (specifically costs for port engineers/port captains, insurance and other ship expenses), as well as indirect costs, G&A and Profit. Crew wages/fringe costs for Reduced Operating Status (ROS) will be negotiated on a case-by-case basis prior to a ship entering ROS, and will be based on specific crew requirements.
B-8 REPAIR AVAILABILITY (RAV)
The prices for RAV shall not include direct costs for wages, fringes, and provisions as those will be negotiated for each RAV period. All other direct costs, such as training, insurance and other ship expenses, as well as indirect costs, such as G&A and Profit shall be included. Crew wages/fringe costs for Repair Availability (RAV) will be negotiated on a case-by-case basis prior to a ship entering RAV, and will be based on specific crew requirements. With prior COR or authorized Approving Authority approval, subsistence and lodging for the agreed-upon RAV crew will be reimbursable.
B-9 CONTRACTOR’S ACCOUNT
All overtime, penalty time, bonuses (e.g. ammo bonus), and other additional emoluments, payable for whatever reasons, shall be for the Contractor’s account except as specifically otherwise provided in the contract.
B-10 REIMBURSABLE SERVICES
Following are reimbursable type expenses which may be used if authorized by the contract or as approved by the COR or authorized Approving Authority. Reimbursable expenses are reimbursable at cost only and reflect actual costs. No indirect costs (i.e. overhead and/or general administrative or profit) shall be added to the costs of the reimbursable items in this section.

Section C - Descriptions and Specifications
SECTION C
SECTION C – PERFORMANCE WORK STATEMENT
C-1 OPERATIONS AND MANNING
C-1.1 GENERAL OPERATIONS
The purpose of this contract is to provide for the operation and maintenance of the Oceanographic Survey (T-AGS 60) fleet and the USNS WATERS (T-AGS 45). The contractor shall provide ship officers and crews, operational and technical support ashore and afloat, equipment, tools, provisions and supplies, to operate, maintain, and repair the vessels. The following paragraphs describe the general scope of the Performance Work Statement.
C-1.1.1 Scope of Work. The contractor shall provide personnel, operational and technical support ashore and afloat, equipment, tools, provisions, and supplies necessary to operate and maintain up to six (6) Oceanographic Survey (T-AGS 60) and the USNS WATERS as United States Naval Ships (USNS).
These ships are public vessels of the United States Government under the operational and administrative control of the Commander, Military Sealift Command (COMSC). The Oceanographic ships are operated for the Naval Oceanographic Office (NAVOCEANO or Sponsor). USNS WATERS is a consolidated support ship operated for the Director, Strategic Systems Programs (DIRSSP or Sponsor) supported by contractors and Ordnance Test Support Unit Two. The mission of these ships is to conduct military surveys, which are carried out by Sponsor personnel aboard ship.
The current scope of work is for the following ships engaged in or to be engaged in littoral and deep ocean operations:
USNS WATERS (T-AGS 45) “In Service” USNS PATHFINDER (T-AGS 60) "In Service" USNS BOWDITCH (T-AGS 62) "In Service" USNS HENSON (T-AGS 63) "In Service" USNS BRUCE HEEZEN (T-AGS 64) "In Service" USNS MARY SEARS (T-AGS 65) "In Service" USNS MAURY (T-AGS 66) "In Service”
The Government reserves the right to increase or decrease the number of vessels at any time during the performance period under this contract subject to the mutual agreement of the parties.
The contractor shall plan, schedule, coordinate, and assure effective completion of all services described herein. All mechanical, electrical, and auxiliary systems shall be maintained at an acceptable level throughout the contract performance period. The contractor is responsible for performing scheduled and unscheduled maintenance and repairs, as necessary, on a 24-hour, 7-day basis.
On USNS WATERS there will be, in addition to ships crew, mission personnel typically consisting of twenty (20) technicians, the senior of which will be named the Sponsor’s Representative (SR). For some missions there may be a military detachment of approximately 14 members. On occasion up to 150 guests may be embarked, subject to current MSC and regulatory body regulations, for observing operations. DIRSSP shall have support responsibilities for the technical operation and maintenance of their mission equipment. The Master and SR shall effectively execute each mission through compliance with operational orders.
Attachment A is the T-AGS Technical Manual (TTM) and WATERS Technical Manual (WTM). All requirements specified in this technical manual shall be complied with as though they were contained in
Section C of the contract. Where there are differences in requirements between Section C (Performance Work Statement - PWS) and Attachment A, Section C will take precedence. In many cases, the TTM and WTM provide amplifying information to requirements outlined in Section C.
C-1.1.2 Control
C-1.1.2.1 Operational Control (OPCON). OPCON of the ships resides with the numbered fleet commander
(e.g. COMFIFTHFLT, COMSIXTHFLT, or COMSEVENTHFLT) and will normally be delegated to a subordinate Task Force Commander who shall promulgate operating instructions specific to the operating area. The Operational Commander is also responsible for the protection of the ships within the operating area and will establish anti-terrorism/force protection (AT/FP) and other security requirements for the ships while at sea and in port. The ships shall comply with the directions of the Operational Commander. In the event such direction may exceed or be in conflict with the terms of this work statement, the contractor shall comply within the time required, notifying the Contracting Officer’s Representative (COR) immediately upon the receipt of such direction.
C-1.1.2.2 Tactical Control (TACON). OPCON authority includes TACON, which is the detailed and local direction and control of ship movements necessary to accomplish the missions and is normally delegated to the cognizant MSC Area Commander or office by the Operational Commander. The command exercising TACON will issue sail orders in accordance with the established ship schedules.
Aboard ship, the Senior NAVOCEANO Representative (SNR) or Sponsor Representative (SR) for DIRSSP shall control and have authority over the performance of Sponsor missions. Upon request of the SR/SNR to meet urgent or technical requirements, the Master is authorized to make minor deviations from the sailing orders until formal orders can be provided by the Commander having OPCON or TACON of the ship, provided all commands within the operational chain of command are immediately notified.
C-1.1.3 Concept of Operations (CONOPS). At contract performance commencement, it is anticipated seven
(7) ships will be in Full Operating Status (FOS).
C-1.1.4 Area of Operations. Area of operations shall be worldwide. See Section 21 of the T-AGS Technical
Manual (TTM-21) and WATERS Technical Manual (WTM) for current projected areas of operation.
Both the ship and equipment are designed for extended, independent underway operations in remote geographic areas. Therefore, self-sufficiency in operations and maintenance is an important mission objective.
C-1.1.5 Hours of Operation. At sea operations will be conducted 24 hours a day, 7 days a week. For shore-based operations, see Section C-3.4.
C-1.1.5.1 Operational Tempo (OPTEMPO). The normal OPTEMPO for T-AGS and WATERS vessels is described in TTM-21 and WTM-21. However, due to the nature of the ships’ missions, these schedules are subject to short-notice changes that can have an impact on availability planning. The contractor shall be flexible, plan accordingly, and be able to support the vessels adequately to meet mission requirements.
C-1.1.6 Weather Operations
C-1.1.6.1 Weather Information and Ship Routing. The Naval Oceanography Centers will provide Optimum
Track Ship Routing (OTSR) for the T-AGS and WATERS vessels in accordance with COMSCINST
3121.9 (Series) and NAVMETOCCOMINST 3140.1 (Series). The contractor shall ensure Masters document weather conditions and prepare Surface Weather Observation Reports in accordance with NAVMETOCCOMINST 3144.1 (Series).
C-1.1.6.2 Severe and Destructive Weather Plan. The contractor shall ensure each ship maintains and implements a Severe and Destructive Weather Plan in accordance with the Operational Commander’s guidelines. It is always the master’s responsibility to take all necessary steps to effectively mitigate risks in circumstances where the Operational Commander’s guidelines fall short. The Master is ultimately responsible for the safe operation of the vessel and safety of the crew at all times.
C-1.1.7 Administrative Control (ADCON). Administrative control will be exercised through Special Missions Program Office (PM2), Military Sealift Command Headquarters (MSC HQ).
C-1.1.8 Port Services. The contractor shall arrange for all port services, which include, but are not limited to, tugs, pilots, berthing, potable water, shore power, line handlers, embarking and escorting visitors, launch services, telephone service and internet connection (Sections C-1.1.8.1.1 and C-1.1.14.15), ship’s official vehicle (Section C-1.1.19.1), and trash/garbage, oily waste, sewage, hazardous materials removal. The contractor may use, or be directed to use, Government Contracts [USN Husbanding Service Providers (HSP)](e.g., Naval Supply Systems Command (NAVSUP) , Commander, Navy Installations Command (CNIC), when available, for port or husbanding services if it is more cost effective or prudent to do so.
C-1.1.8.1 Port Charges and Expenses. The Government shall reimburse the contractor for costs of loading and unloading equipment, canal tolls, port/local taxes (provided the contractor exercises due diligence in seeking on behalf of the Government immunity from such dues and taxes), entering/leaving port fees, customs broker fees, pilotage (when customary or required to transit a hazardous or restricted area or body of water), pilotage or towage in connection with bunkering, ballasting or shifting berths pursuant to Government orders and any other similar port charges for ports visited at the Government’s direction, except as any of the foregoing pertains to the Master, officers, and crew. The Government shall reimburse the contractor for costs of port services associated with supporting Sponsor mission operations including, but not limited to supporting all Sponsor requested work. The Government shall not reimburse the contractor for expenses incurred by the contractor for services rendered for the convenience of the ship, its crew, or in connection with the contractor business such as fees of underwriters, or expenses in moving the ships about the port to obtain stores or provisions.
C-1.1.8.1.1 Inport Internet and Telephone Service. In ports where landline service is available and preferred, the costs associated with providing landline telephone to the Gangway Watch and Sponsor are reimbursable. Also, upon arrival in port or at shipyard the contractor shall arrange internet service for dedicated Sponsor use, which is reimbursable under this contract. Additionally, there are four cellular phones considered pre-approved as reimbursable in this contract: Master, SR/SNR, MOW or Gangway (when landline not available), and Chief Engineer.
C-1.1.8.2 Interruption of Shore Services. If, due to ongoing or impending maintenance and repair work to equipment or machinery critical to providing inport services, the contractor is unable to provide the necessary services to support inport operations (including Sponsor support), the contractor shall provide written notification to the COR describing the reason for procurement of shore services. This notification shall be sent no later than the day on which the ship enters port. See Section C-1.1.14.2.1 for requirements for notification prior to interrupting service.
C-1.1.8.3 Shore-Side Crane Services. It is incumbent upon the Master to review and approve crane and sling safety certificates prior to allowing lifts on his/her ship. This action will not be required in ports where the Government arranges crane services.
C-1.1.9 Diplomatic Clearances. The Government will obtain Diplomatic Clearances and Operational Area
Clearances when and where required. The Government will make Port Visit notifications. The Operational Commanders will obtain clearances to call at foreign ports. The Sponsor will obtain all operational clearances and foreign territorial water diplomatic clearances.
C-1.1.10 Husbanding Agent Appointments. The Government shall reimburse the contractor, in accordance with Section G-7, for the customary fee paid to port husbanding agents in conjunction with the port visits of the ships, including the fees of agents appointed for canal transits and at bunkering ports. The Government retains the right to disapprove proposed agents and to require the contractor discontinue using an agent. The Government retains the option to direct the use of a specific commercial agent or Government husbanding service provider (HSP) in any port for the reimbursable elements.
C-1.1.11 Port Costs Reporting. The contractor, or his agent, shall submit all detailed port charges to the COR.
A template for submission will be provided to the contractor upon contract award.
C-1.1.12 Mail. Ships are assigned Navy Fleet Post Office (FPO) addresses, and forwarding services. Mail forwarding services will be provided by the Government through the appropriate Government Joint Military Postal Activity and the U.S. Postal Service in accordance with OPNAVINST 5112.6 (Series).
The contractor shall ensure each ship transmits via naval message an updated Mail Routing Information (MRI) message (TTM/WTM-3.1.6, Report 006A) and a Cargo Routing or Fleet Freight Forwarding Information Naval message to allow mailings to be properly forwarded. See TTM/WTM-15 for additional instructions on properly informing DoD mail and cargo forwarding services of the ship location. The contractor shall pickup, deliver and/or forward any correspondence and parcels with respect to this contract on a daily basis.
C-1.1.12.1 Registered Mail. Registered mail shall only be opened by personnel holding SECRET clearances.
C-1.1.13 Operate Ships. The contractor shall operate the ships, hydrographic survey launches (HSLs) and related ship systems and equipment in a quality manner to support all MSC and Sponsor requirements, and in accordance with U.S. Coast Guard regulations and ABS regulations, including Standards of Training, Certification and Watchkeeping for Seafarers (STCW) as amended.
a. Sovereign Immunity. The Master, while performing ship operations, shall advise foreign authorities that each USNS vessel under this contract is a sovereign immune vessel of the United States. These privileges include immunity from arrest or search (whether in foreign internal or territorial waters, or in international waters), immunity from foreign taxation, exemption from any foreign state regulation requiring flying the flag of such foreign state either in its ports or while passing through its territorial sea, and entitlement to exercise exclusive control over persons on board such vessels with respect to acts performed on board.
b. Foreign Law Enforcement. Masters shall refuse requests from foreign authorities for documents, physical evidence, interviews of personnel, statements, any request to board, examine, inspect, or search the vessel, and any request for the physical delivery of persons on the vessel to foreign authorities. The Master lacks authority to comply with such a request, and shall so advise foreign authorities.
c. Foreign Port Visits. The Master may, if appropriate, provide a Shore Party List of individuals who will go ashore to the host nation before granting liberty in port if such a list is requested. The Shore Party List may contain only the names and passport numbers of those personnel, all other information will not be provided. Masters shall comply with applicable U.S. and host nation agreements, such as status of forces agreements, that specify particular procedures for port visits in that country.
C-1.1.13.1 Ships in Full Operating Status (FOS). The contractor shall operate each ship in a safe and professional manner and sail with a full crew as specified in Section C-1.7.1.1 and TTM/WTM-19.
The contractor is responsible for complying with operational schedules and other such mission taskings issued by MSC or the Operational Commander.
C-1.1.13.2 [RESERVED]
C-1.1.13.3 Standard Operating Manual (SOM). The contractor shall comply with the Standard Operating
Manual (SOM), COMSCINST 3121.9 (Series), which is the primary MSC instruction that addresses the unique mission of the MSC fleet and is applicable to the subject ship(s). It provides policies and procedures pertaining to the operation and administration of the MSC fleet and provides a guide to other more definitive instructions. Masters shall be familiar with the instruction’s content. In cases where the SOM and this contract conflict, the contractor shall notify the COR, and the Operational Commander immediately.
C-1.1.13.3.1 Master’s Responsibilities. The Master is responsible for the safe navigation, care, and custody of the vessel as well as the safety of personnel embarked. The Master shall comply with SAILORDS, OPORDS, Fleet Commander and Numbered Fleet Commander guidance. The Master shall exercise due diligence to observe all such orders and instructions. The Master shall enforce all laws of the United States and all applicable rules and regulations of the U.S. Coast Guard and Military Sealift Command under his/her purview. In case of emergency, nothing in this contract shall be construed as preventing the Master from taking the most effective action which, in his/her judgment, will rectify the situation causing the emergency, and thereby safeguard life, property, and the ship. The Master will have authority to abort operations temporarily on the basis of clear and present danger to life at sea, and will inform the Operational Commander with an information copy to COMSC and cognizant MSC Area Commander. The Master shall provide a written report of the action taken, his rationale, and recommendations as soon as possible.
