Entire Clause Request removal of OCI clause H-209-H004. It appears that this clause addresses the types of

OCI issues encountered between service contracts (in support of PEOs and program offices) and hardware acquisitions, to include ACAT programs. The instant solicitation is for follow-on technical support to foreign-owned ships whose configuration of HM&E equipment and Combat

Systems is already determined and known. Consequently, it appears that this clause is overly restrictive for the work under this proposed contract. For instance, the three year restriction would require contractors who participate on FMS FOTS to recuse themselves from any new hardware acquisitions or any work of the same or similar type performed under this contract.

Based on the RFP statement of work, the primary purpose of this program is to provide routine and emergent support for HM&E and Combat Systems equipment, hardware, and software issues with legacy USN ships, to include identification of root causes of problems, provide technical troubleshooting of the issues, and initiate temporary or permanent solutions that may involve significant upgrades. This support for ex-USN ships is to ensure the foreign navies can meet operational commitments through FMS support. Removal of the clause will allow contractor(s) to bring forward the best personnel, with engineering/technical expertise gained through work on ship construction or repair efforts, to correct any issues. Contractor(s) would still be bound to adhere to all FAR 9.5 requirements (See NAVSEA Clause L209-H009) if in the future any change to the required work creates a potential OCI.

The government does not intend to remove this clause from the solicitation.

Please see section L4.3.2 for the amplifying language. This language is already included in the solicitation, see the second paragraph under L.4.3.2.

Section L clauses are not included post-award, whereas Section H clauses are applicable during execution of the contract. It should also be noted that future contracting efforts and any potential or actual OCIs related to those efforts will be reviewed and addressed by the Cognizant PCO at that time.

The selection of subcontracting teammates and other personnel in support of this solicitation is within the discretion of the Prime Offeror when proposing its best competitive technical solution.

Page 153: "As it pertains to this solicitation, recency is considered any prime contracts or subcontracts (for major subcontractors, see definition above) that were performed within the past 10 years."

The recency requirement for past performance is stated as "10 years" in Sections L and M on pages 143 and 153, respectively. However, in Section L, Paragraph 4.4 on page 142, the recency requirement is stated as "five years." Will the Government please confirm that the recency requirement for past performance is 10 years?

In Sample Task 2, we are required to describe the considerations that would go into each of the factors identified by the customer. In the Background for Sample Task 2 in L.4.2.1.2, it states "While most training during a ship transfer is not performed by shipyard personnel and is conducted onboard ship, the ability for the shipyard to support classroom training should be considered." The factors stated in the Background for Task 2 in L.4.2.1.2 don't include subjects that would allow training to be considered. Will the Government clarify if other Factors can be added to allow a complete evaluation of the shipyards?

The government provided the background for sample task 2, offerors shall prepare a proposal that is responsive to the sample task as described.

Section L provides a framework for an offeror's response.

Provide a summary of the qualifications and approach for identifying the instructors that will execute the training curriculum developed. Since the training will be conducted onboard customer ships on the installed

Air Conditioning and Repair plants, the instructors will likely be required to assist the customer’s crew with some level of actual repairs to these systems during the training events. This may include coordinating requirements for subcontracting expertise to effect required repairs that exceed normal ship’s force maintenance levels (which is a normal maintenance practice for repairs that exceed ship’s force capability).

In the L-2 Sample Task Template for Sample Task 3, the last sentence of item 3 under Task

Performance states "This may include coordinating requirements for subcontracting expertise to effect required repairs that exceed normal ship’s force maintenance levels (which is a normal maintenance practice for repairs that exceed ship’s force capability)." Will the Government clarify if the offeror is to include estimated labor hours or address qualifications for instructors related to coordinating subcontracting expertise to effect repairs if ship's force is unable to accomplish the work?

The intent is to obtain, from the contractor, what their approach would be if the required fix was beyond the instructor's expertise, and other resources were identified as necessary (e.g. what would the company do to identify and coordinate the completion of the fix).

Is the intent for the Offeror to both develop the work package for the three items and provide a team in-country that would execute that work package during the availability?

The task is to develop a work package and execute that work. It is up to the offeror to determine the appropriate team to execute those tasks.

Amendment 2 provides clarification on this item. For clarification, actual labor costs incurred under CLINs 0001 - 0005 will be allowable under the contract. Under CLINs 0007 and 0008, the rates identified in Note D will be the only indirect rates that will be considered reasonable, allowable, and allocable in performance.
